REGAN Secretary TRACY DAVIS Director Effective August 1, 2013 the State Stormwater program was transferred from the Division of Water Quality (DWQ) to the Division of Energy, Mineral and Land Resources (DEMLR). All previous references to DWQ will remain in older stormwater permits issued prior to August 1, 2013 until they are modified. Please note that the attached updated and transferred permit now references DEMLR as the Division responsible for issuance of the permit. PERMIT CORRECTION The permit issued on March 25, 2014, had several errors that are corrected as follows: 1. The number of lots covered by the permit is corrected to be 21. 2. The total impervious area treated by the pond is corrected to be 143,748 sf. 3. The lot 13UA is corrected to 84,000 sf. 4. The "Other" BUA is changed to "_Beach Club" BUA, but the amount remains the same, 32,645 Square feet. 5. A Future allocation of 11,103 sf is added. PERMIT TRANSFER On December 29, 2016, the Division of Energy, Mirferal and Land Resources (DEMLR) received a Name/Ownership Change Form from Harbor Development Corp. for the subject project. A file review and site inspection was performed on August 17, 2016 by DEMLR staff and as noted in the enclosed inspection report, the project was in compliance with the terms and conditions of the current state stormwater permit as of that date. As indicated on the Name/Ownership Change form, you have acknowledged receipt of a copy of the permit. By acknowledging receipt of the permit, and by signing the Name/Ownership Transfer form, you have accepted the responsibility for complying with the terms and conditions outlined in this permit. The Division is hereby notifying you that permit SW8 941203 has been transferred on February 2, 2017 and to remind you that this permit shall be effective until March 20, 2021. For your records, please find enclosed a copy of the updated permit, which includes the application and supplement forms, a copy of the required Operation and Maintenance agreement, a copy of the inspection report, and a copy of the Name/Ownership Change form. Please keep this cover letter, the updated permit, the approved plans, and the permit documents on file at all time. Please note that the adjacent subdivision is also covered by this permit and runoff from the 21 lots is treated in the permitted wet detention pond. Please pay special attention to the conditions listed in this permit regarding the limitation on built -upon area; Operation and Maintenance of the BMP(s), recordation of deed restrictions, and the procedures for changing ownership, transferring the permit, and renewing the permit. Failure to limit the built -upon area, to establish an adequate system for operation and maintenance of the stormwater management system, to record deed restrictions, to transfer the permit, or to renew the permit, will result in future compliance problems. If any parts, requirements, or limitations contained in this permit are unacceptable, you have the right to request an adjudicatory hearing by filing a written petition with the Office of Administrative Hearings (OAH). The written petition must conform to Chapter 15013 of the North Carolina General Statutes, and must be filed with the OAH within thirty (30) days of receipt of this permit. DESIGN STANDARDS This permit is effective only with respect to the nature and volume of stormwater described in the application and other supporting data. This stormwater system has been approved for the management of stormwater runoff as described in Section 1.5 of this permit. 3. The subdivision is permitted for 21 lots, each allowed a maximum of 4,000 square feet of built -upon area, as stipulated in Section 11.16 of this permit. The runoff from all built -upon area within the permitted drainage area(s) of this project must be directed into the permitted stormwater control system. 5. The overall tract and the wet pond drainage area will be limited to a maximum of 143,748 square feet of built -upon area (BUA) of which 11,103 square feet is reserved for future BUA. The permittee is responsible for monitoring the project on a routine basis to assure that no lot has exceeded the maximum built -upon area limit allowed by this permit. Once the lot transfer is complete, the built -upon area may not be revised without approval from the Division of Energy, Mineral and Land Resources. The permittee shall review all lot plans for compliance with the BUA limit. The plans reviewed must include all proposed built -upon area. The permittee shall not approve any plans where the maximum BUA limit is exceeded. The Director may notify the permittee when the permitted site does not meet one or more of the minimum requirements of the permit. Within the time frame specified in the notice, the permittee shall submit a written time schedule to the Director for modifying the site to meet minimum requirements. The permittee shall provide copies of revised plans and certification in writing to the Director that the changes have been made. The stormwater management system shall be entirely constructed, vegetated and operational for its permitted use prior to the construction of any built -upon surface. All stormwater collection and treatment systems must be located in public rights - of -way, dedicated common areas or recorded drainage easements. The final plats for the project will be recorded showing all such required rights -of -way, common areas and drainage easements, in accordance with the approved plans. Page 2of8 State Stormwater Management Systems Permit No. SW8 941203 7. , The permittee shall submit to the Director and shall have received approval for revised plans, specifications, and calculations prior to construction, for any modification to the approved plans, including, but not limited to, those listed below: a. Any revision to the approved plans, regardless of size. b. Redesign or addition to the approved amount of built -upon area. C. Further development, subdivision, acquisition, or sale of any, all or part of the project area reported on the application. d. Filling in, altering, rerouting, eliminating, relocating or resizing of any runoff conveyance shown on the approved plan. e. The construction of any future BUA reported on the application. f. The construction of permeable pavement on any subdivision lot or within the Beach Club property for BUA credit. 8. The Director may determine that other revisions to the project should require a modification to the permit. 9. During construction, erosion shall be kept to a minimum and any eroded areas of the system will be repaired immediately. 10. Upon completion of construction, prior to issuance of a Certificate of Occupancy, and prior to operation of this permitted facility, a certification must be received from an appropriate designer for the system installed certifying that the permitted facility has been installed in accordance with this permit, the approved plans and specifications, and other supporting documentation. Any deviations from the approved plans and specifications must be noted on the Certification. 11. If the stormwater system was used as an Erosion Control device, it must be restored to design condition prior to operation as a stormwater treatment device, and prior to occupancy of the facility. 12. Permanent seeding requirements for the stormwater control must follow the guidelines established in the North Carolina Erosion and Sediment Control Planning and Design Manual. 13. The permittee shall at all times provide the operation and maintenance necessary to assure that all components of the permitted stormwater system function at optimum efficiency. The approved Operation and Maintenance Plan must be followed in its entirety and maintenance must occur at the scheduled intervals including, but not limited to: a. Semiannual scheduled inspections (every 6 months). b. Sediment removal. C. Mowing and re -vegetation of side slopes. d. Immediate repair of eroded areas. e. Maintenance of side slopes in accordance with approved plans and specifications. f. Debris removal and unclogging of structures, orifice, catch basins and piping. g. Access to all components of the system must be available at all times. 14. Records of maintenance activities must be kept and made available upon request to authorized personnel of DEMLR. The records will indicate the date, activity, name of person performing the work and what actions were taken. 15. The built -upon areas and stormwater control measures shall be constructed, operated and maintained in accordance with the conditions of this permit, the approved plans and specifications, and other supporting data. Page 3 of 8 State Stormwater Management Systems Permit No. SW8 941203 16., The following deed restrictions statements were recorded on February 15, 2005, in DB 2089 at PG 711 as an amendment to the original July 16, 1996 recording in DB 1099 at PG 228. Lots 1 & 2 were initially reserved for use as a parking lot, however, only Lot 2 was used for parking. Lot 1 was subjected to these covenants by deed recorded on March 10, 2008 in DB 2754 at PG 1238: a. The following covenants are intended to ensure ongoing compliance with State Stormwater Management Permit Number SW8 941203, as issued by the Division of Energy, Mineral and Land Resources under NCAC 2H.1000. b. The State of North Carolina is made a beneficiary of these covenants to the extent necessary to maintain compliance with the Stormwater Management Permit. C. These covenants are to run with the land and be binding on all persons and parties claiming under them. d. The covenants pertaining to stormwater may not be altered or rescinded without the express written consent of the State of North Carolina, Division of Energy, Mineral and Land Resources. e. Alteration of the drainage as shown on the approved plans may not take place without the concurrence of the Division of Energy, Mineral and Land Resources. f. The maximum built -upon area per lot is 4,000 square feet. This allotted amount includes any built -upon area constructed within the lot property boundaries, and that portion of the right-of-way between the front lot line and the edge of the pavement. Built upon area includes, but is not limited to, structures, asphalt, concrete, gravel, brick, stone, slate, coquina and parking areas, but does not include raised, open wood decking, or the water surface of swimming pools. g. All runoff on the lot must drain into the permitted system. This may be accomplished through providing roof drain gutters, which drain to the street, grading the lot to drain toward the street, or grading perimeter swales and directing them into the pond or street. Lots that will naturally drain into the system are not required to provide these measures. i. Built -upon area in excess of the permitted amount will require a permit modification. 17. The recorded deed restrictions pertaining to stormwater management may not be altered or rescinded without the express written consent of the State of North Carolina. 18. Prior to transfer of the permit, the stormwater facilities will be inspected by DEMLR personnel. The facility must be in compliance with all permit conditions. Any items not in compliance must be repaired or replaced to design condition prior to the transfer. Records of maintenance activities performed to date will be required. 19. Decorative spray fountains will be allowed in the wet pond stormwater control measure, subject to the following criteria: a. The fountain must draw its water from less than 2' below the permanent pool surface. b. Separated units, where the nozzle, pump and intake are connected by tubing, may be used only if they draw water from the surface in the deepest part of the pond. C. The falling water from the fountain must be centered in the pond, away from the shoreline. d. The permanent pool volume must be greater than 30,000 cubic feet. e. The maximum horsepower for the fountain's pump is 1/8. Page 4 of 8 State Stormwater Management Systems Permit No. SW8 941203 III. GENERAL CONDITIONS This permit is not transferable to any person or entity except after notice to and approval by the Director. The permittee shall submit a completed and signed Name/Ownership Change Form, accompanied by the supporting documentation as listed on the form, to the Division of Energy, Mineral and Land Resources at least 60 days prior to any one or more of the following events: a. An ownership change including the sale or conveyance of the project area in whole or in part, except in the case of an individual lot sale that is made subject to the recorded deed restrictions; b. The sale or conveyance of the common areas to a Homeowner's or Property Owner's Association, subject to the requirements of Session Law 2011-256; c. Bankruptcy; d. Foreclosure, subject to the requirements of Session Law 2013-121; e. Dissolution of the partnership or corporate entity, subject to NCGS 57D-2- 01(e) and NCGS 57D-6-07; f. A name change of the current permittee; g. A name change of the project; h. A mailing address change of the permittee; 2. The permittee is responsible for compliance with all of the terms and conditions of this permit until such time as the Director approves the transfer request. Neither the sale of the project nor the transfer of common area to a third party constitutes legal transfer of the stormwater permit. 3. Approved plans and specifications for this project are incorporated by reference and are enforceable parts of the permit. 4. Any individual or entity found to be in noncompliance with the provisions of a stormwater management permit or the requirements of the stormwater rule is subject to enforcement procedures as set forth in North Carolina General Statute 143 Article 21. The issuance of this permit does not preclude the Permittee from complying with any and all statutes, rules, regulations, or ordinances, which may be imposed by other government agencies (local, state, and federal), which have jurisdiction. In the event that the facilities fail to perform satisfactorily, the Permittee shall take immediate corrective action, including those as may be required by this Division, such as the construction of additional or replacement stormwater management systems. The permit may be modified, revoked and reissued or terminated for cause. The filing of a request for a permit modification, revocation and re -issuance or termination does not stay any permit condition. The Permittee grants permission to DEMLR staff to access the property for the purposes of inspecting the stormwater facilities during normal business hours. The permittee shall maintain this permit, and a copy of the approved plans and specifications on file at all times. 10. The permittee shall submit a permit renewal application request at least 180 days prior to the expiration date of this permit. The renewal request must include the appropriate documentation and the processing fee. The following is in response to your letter requesting additional information for the above -mentioned project. For ease, your questions are repeated in normal font and our responses follow in bold. As part of demonstrating compliance, please provide verification that no lot has exceeded its 4,000sf maximum BUA limit. This can take the form of property records, tax records, or as - built surveys. Please find the attached table created by the developer with supporting Brunswick County tax records indicating compliance with the BUA limit. 2. The NCSOS filings for St. James Plantation Property Owners Association, Inc. need to be updated to reflect the name of the current board president (Jerry Iverson) and any mailing address changes. The last filing was from 2010, and indicates that Gordon Corlew is board president. Additionally, the mailing address shown on the transfer application does not match up with any of the corporate mailing addresses listed with the NCSOS. If 2696 Four Oak Road, Southport is the "official" mailing address for the POA, you will need to update the NCSOS by filing a change of mailing address with them. If this is Mr. Iverson's personal residence address, perhaps you would like to revise the POA mailing address provided on the transfer application? You are correct about the mailing address shown on the change of ownership form. Please find the attached revised page 1 of the Ownership form with corrected address. Committee Reports Infrastructure: • Beach Club Pool: Leveling took place on 11 December and the contractor inserted 520 Ibs of foam under the pool. Another 304 Ibs of foam was used to level the walkway. The pool had an estimated cavity of 60 cubic yards and the walkway a cavity of 35 cubic yards. Overall, the pool was raised about'/, inches. Warranted for 10 years and contractor says pool should settle no more than Y. inch. Miscellaneous repairs to pool and beach club identified and will be worked prior to opening this spring. • Amphitheater Terraced Seating: All stone work completed and electrical and irrigation task in work. Landscaping in work as well and all should be completed by year end. • Woodlands Pavilion: We have engaged the architect to better define the concept. Original proposed dimensions' are 60' by 120' and will seat 300-350 people. Pavilion will include bathrooms, gas grill, and limited kitchen serving area. Work to start in 2016. Safety & Security: • Traffic Statistics: There were 61 traffic citations written in November. Additionally, we are being more aggressive in collecting traffic fines from contractors, monitoring their access into the plantation. We are currently having security check about 4-6 contractors with outstanding fines each week as they come in the gate. • Lightening protection at the three gate houses: We will be installing lightening protection at our three gate house to protect the security personnel and prevent continued damage to our gates and electrical equipment. Cost will be approximately $27K and will be largely covered by traffic fines received. ACC: • December report: YTD new construction approved through December 15 is 181, with 12 new submittals received in December. Ponds: • The committee will be interviewing volunteers to fill at least 2 vacant positions in 2016 and are asking to increase Ponds Committee membership by an additional 2 if qualified volunteers step forward. Landscape: • Infiltration area off Parkridge Dr: There is resident concern about the appearance and health issues of this particular infiltration area. Elevation readings have been taken and it appears the inlet area has scoured out and is holding water, preventing water from evenly flowing into the infiltration area. The developer and POA are completing plantings around the area and will finish that project once the infiltration area dries out more completely. The infiltration area must be kept natural to comply with our SW permits. We have placed larvacide cubes in the water to limit mosquitos and will continue to monitor that condition. • Irrigation maintenance contract: Currently maintenance is handled predominantly by Phoenix, but it is not their priority. We are developing an RFP to help consider the option of contracting a company focused on irrigation maintenance. General: • Beach Club Tax issue: There is a new County Attorney and he may be more sympathetic on this issue than was his predecessor. More to follow with a meeting set for 3 Feb, 2016. • Native Plant Trail brochure: Thanks to Amanda Kiel and Janette Fernandes for putting together a wonderful brochure. • PMD/AMD database: We now have a comprehensive data base that was recently developed for the POA. In a nutshell, the March 2014 permit contained a multitude of errors that need to be corrected. It boils down to the fact that the March 2014 permit should have listed 21 lots, not 20 and it should have included the future allocation of 11,103 sf and the correct BUA for the lots at 84,000 sf. I have to get the permit corrected first, and then I can address the transfer. Comments 1 and 2 from my August 11, 2016 emailed transfer review comments can be deleted/ignored. The inspection revealed no major issues, so Comment #3 also goes away. The parking lot layout changes approved in 2014 have been completed. You still need to address comment #4 regarding verification that no lot has exceeded its 4000 sf limit. There are a lot of compacted gravel driveways which are counted as BUA. For comment #5, 1 see that there is an HOA listed on the NCSOS site called St. James by the Sea HOA, Inc. with Nancy Lamb as the president. However, the transfer form lists St. James Plantation Property Owners Association as the proposed permittee. Does this need to be corrected on the transfer application? Such rebuilding or removal of debris shall be completed within three (3) months from the date of the casualty unless a written extension is granted by the Architectural Control Committee. 14. WAIVER OF AND CONSENT TO VIOLATIONS: Except where waiver rights are granted herein to the Architectural Control Committee, Declarant may waive any violation of these restrictive covenants and conditions by appropriate instrument in writing, provided, that if the violation occurs on any Lot or Lots which abut a Lot or Lots which have been conveyed to a fee simple owner or owners, in St. James By The Sea, the written waiver of such violation by such owner or owners shall also be obtained. SECTION 2 PURPOSE OF ASSESSMENT (a) The assessments levied by the Association shall be used exclusively to promote the recreation, health, safety and welfare -4- G". of the residents of the P 4t'ties a%l in particular for the acquisition, improvement and maintenance of properties, services and facilities devoted to this purpose and related to the maintenance of the Common Area, including but not limited to, the cost of repairs, replacements and additions, the cost of labor, equipment, materials, management and supervision, the maintenance of any streets within the Common Area which are not accepted for maintenance by the appropriate governmental authority, the maintenance of any street lights, the maintenance of any entrance signs and landscaping, the maintenance of water and sewer mains in and upon the Common Area, maintenance and operation of any common sanitary sewer system serving the Properties, including a central nitrification area, the payment of charges for utility services furnished to the Common Area, the payment of taxes assessed against the Common Area, the procurement and maintenance of insurance in accordance with the Bylaws, and the employment of attorneys to represent the Association when necessary, and such other needs as may arise. In addition, assessments may be used for the acquisition, improvement or maintenance of land or facilities, or interests therein, that enhance the appearance of the general neighborhood or provide enjoyment, recreation or other use or benefit to the Owners, although not a part of the Common Area. (b) All monies collected by the Association shall be treated as the separate property of the Association, and such monies may be applied by the Association to the payment of any expense of operating and managing the Properties, or to the proper undertaking of all acts and duties imposed upon it by virtue of this Declaration, the Articles of Incorporation and the Bylaws of the Association. As monies for any assessment are paid to the Association by any Owner, the same may be commingled with monies paid to the Association by the other Owners. Although all funds and common surplus, including other assets of the Association, and any increments thereto or profits derived therefrom shall be held for the benefit of the members of the Association, no member of the Association shall have the right to 000ign, hypothecate, pledge or in any manner transfer his membership interest therein, except as an appurtenance to his Lot. when an Owner shall cease to be a member of the Association by reason of his divestment of ownership of his Lot, by whatever means, the Association shall not be required to account to such Owner for any share of the funds or assets of the Association which may have been paid to the Association by such Owner, as all monies which any Owner has paid to the Association shall be and constitute an asset of the Association which may be used in the operation and management of the Properties. SECTION 3, MAXIMUM ANNUAL ASS%SSMENT. Until December 31 of the year of the conveyance of the first Lot to an Owner, the maximum annual assessment shall be Six Hundred ------ Dollars ($600.00) per Lot. -5- '� (a) The maximum annual ass e929 2 ssment for the calendar year immediately following the year in which conveyance of the first Lot to an Owner is made and for.each calendar year thereafter shall be established by the Board of Directors and may be increased by the Board of Directors without approval by the membership by an amount not to exceed fifteen percent (15%) of the maximum annual assessment of the previous year. (b) The maximum annual assessment for the calendar year immediately following the year in which conveyanco of the first Lot to an Owner is made and for each calendar year thereafter may be increased without limit by a vote of two-thirds (2/3) of each Class of Members who are voting in person or by proxy, at a meeting duly called for this purpose. (c) The Board of Directors may fix the annual assessment at an amount not in excess of the maximum, subject to the provisions of section 6 of this Article. SECTION 9 SPECIAL ASSESSMENTS In addition to the annual assessments authorized above, the Association may levy, in any calendar year, a special assessment for the purpose of defraying in whole or in part the costs of any construction, reconstruction, repair or replacement of a capital improvement upon the Common Area, including fixtures and personal property related thereto, or for such other purpose deemed necessary or desirable by the Board of Directors, provided that any such assessment shall have the assent of two-thirds (2/3) of the votes of each Class of Members who are voting in person or by proxy at a meeting duly called for this purpose. Except as set forth in Section 6, all special assessments shall be fixed at a uniform rate for all Lots and may be collected on a monthly basis or as otherwise determined by the Board of Directors. SECTION 5 NOTICE AND O OR ml FOR ANY ACTION AUTHORIZED NDFR SECTIONS 3 AND 4. Written notice of any meeting called for the purpose of taking any action authorized under Sections 3 or 4 shall be sent to all Membor❑ not less than fi£Leen (15) days nor more than sixty (60) days in advance of the meeting. At the first such meeting called, the presence of Members or of proxies entitled to cast forty percent (40%) of all the votes of each Class of membership shall constitute a quorum. If the required quorum is not present, another meeting may be called subject to the same notice requirement, and the required quorum at the subsequent meeting shall be one -halt (1/2) of the required quorum at the preceding meeting. No such subsequent meeting shall be held more than sixty (60) days following the preceding meeting. SECTION 6. RATE OF ASSE5aMENT, With the exception set forth in this Section, both annual and special assessments must be fixed at a uniform rate for all Lots and may be collected on a monthly basis or as otherwise determined by the Board of Directors. Notwithstanding anything to the contrary herein, for a period of two years after the date the first Lot is conveyed to Owner, Declarant shall not pay any annual or special assessments of any -6- 925 'S3 kind. Provided, however, Declarant shall pay the difference in costs between the sum of all Assessments (including Working Capital Funds as described in this Article IV, Section 12), collected from the Class A members and the actual costs of operation of the Association. At the end of such two year period Declarant shall be obligated to pay assessments on each Lot owned by it in an amount equal to twenty-five (25%) of the assessment paid by Class A members. Provided, further, so long as Lots 17-22 are subject to the Central System Easement such Lots shall not be subject to annual or sper.inl assessment.. The provisions of this subparagraph shall not be amended or deleted without the consent of Declarant. SECTION 7, COMENCEMENT OF ANNUAL ASSESSMENTS: DUE DATES. The annual assessments provided for herein shall commence as to each Lot on the day such Lot is conveyed by Declarant to an Owner (other than Declarant). The first annual assessment shall be adjusted according to the number of months remaining in the calendar year. At least thirty (30) days in advance of each annual assessment period, the Board of Directors shall fix the amount of the annual assessment and shall send written notice of the annual assessment to every Owner subject thereto. The due dates shall be established by the Board of Directors. The Association shall, upon demand, and for a reasonable charge, furnish a certificate signed by an officer of the Association setting forth whether the assessments on a specified Lot have been paid. SECTION S EFFECT OF NONPAYMENT OF ASSESSMENTS• RZMUDIES OF THE ASSOCIATION. The Board of Directors may set a late fee which shall be charged to Owners who have not paid their assessments within ten (10) days of the date due. Such late fee shall be charged on each subsequent due date until the assessments are paid. Fines and other charges authorized by this Declaration shall be due and payable thirty (30) days after written notice thereof from the Association. In addition, any assessment, fine or other charge not paid within thirty (30) days after the duo date shall bear interest from the due date at the rate of fifteen percent (15%) per annum until such delinquent assessment or installment thereof, and all interest due thereon, has been paid in full to the Association. The Association may bring an action at law against the owner personally obligated to pay the same, or foreclose the lien created herein against the Lot in the same manner as prescribe❑ by the laws of the state of NorLh Carolina for the foreclosure of deeds of trust, and interest, costs and reasonable attorney's fees for representation of the Association in such action or foreclosure shall be added to the amount of such assessment. No Owner may waive or otherwise escape liability for the assessment provided for herein by non-use of the Common Area or abandonment of his Lot nor shall damage to or destruction of any improvements on any Lot by fire or other casualty result in any abatement or diminution of the assessments provided for herein. -7- 925 7 9 A UN ASbtNbtiM lllb NUN PUOL1C 1MYKUMEMENT5 BY ASSOCIATION Upon default by the Association in the payment to the governmental authority entitled thereto of any ad valorem taxes levied against the Common Area or assessments for public improvements to the Common Area, which default shall continue for a period of six (6) months, each Owner of a Lot in the Properties shall become personally obligated to pay to the taxing or assessing governmental authority a portion of such unpaid taxes or assessments in an amount determined by dividing the total taxes and/or assessments due the governmental authority by the total number of Lots in the Properties. If such sum is not paid by the Owner within thirty (30) days following receipt of notice of the amount due, then such sum shall become a continuing lien on the Lot of the then Owner, his heirs, devisees, personal representatives and assigns, and the taxing or assessing governmental authnrity may either bring an action at law or may elect to foreclose the lien against the Lot. SECTION 10, SU©ORDINATION OF THE LIEN TO MORTGAGES, The liens provided for herein shall be subordinate to the lien of any first mortgage or deed of trust. Sale or transfer of any Lot shall not affect the assessment lien or liens provided for in the preceding section. However, the sale or Lransfer of ally Lot which is subject to any such first mortgage or deed of trust, pursuant to a foreclosure thereof or any proceeding in lieu of foreclosure thereof, shall extinguish the lien nf such assessments as to the payment thereof which become due prior to such sale or transfer. No such sale or transfer shall relieve such Lot from liability for any assessments thereafter becoming due or from the lien thereof, but the liens provided for herein shall continue to be subordinate to the lien of any first mortgage or deed of trust. Nothing herein contained shall be construed as releasing the party liable for such delinquent assessment from the payment thereuf or the enforcement of collection of such payment by means other than foreclosure. SECTION 11, EXEMPT PROPERTY All property dedicated to, and accepted by, a local public authority and all properties owned by a charitable or nonprofit organization exempt from taxation by the laws of the State of North Carolina shall be exempt from the assessments created herein. However, no land or improvements devoted to dwelling use shall be exempt from said assessments, SECTION 12. WORKING CAPITAL FUND, In order to insure that the Association will have sufficient monies available to meet operational needs during the initial months of its existence, the Association has established a Working Capital Fund. At the time of the Closing Of the first Sale of each Lot from Declarant to an Owner, the purchaser thereof shall pay into such Fund an amount equal to two -twelfths (2/12ths) of the current annual assessment established by the Association. No such payments made into the Working Capital Fund shall be considered advance or current am 9 �� 7.5 5 payment of regular assessments. 1 monies paid into the Working Capital Fund shall be held and administered by the Association in accordance with the terms of this Declaration and the Bylaws. ARTICLE V ARCHITECTURAL CONTROL ECTION 1 ARCHITECTURAL CONTROL COMMITTEE An Architectural Control Committee (the "Committee") consisting of three (3) or more persons shall be appointed by the Class B Member. At such time as the Class B membership expires, the Committee shall be appointed by the Board of Directors of the Association. SECTION 2. PURPOSE, The Committee shall regulate the external design, appearance, use, location and maintenance of the Properties and of improvements thereon in such a manner so as to preserve and enhance values and to maintain a harmonious relationship among structures and the natural vegetation and topography. SECTION z PLAN OR DESIGN APPROVAL. No site preparation or initial construction, erection, or installation of any improvements, including, but not limited to, residences, outbuildings, driveways, fences, walls, signs, television antennas, clothes lines, mailboxes, post lamps and other structures, or excavation, or changes in grade shall be undertaken upon any Lot unless the plans and specifications therefor, showing the nature, kind, shape, height, materials, and location of the proposed improvements shall have been submitted to the Committee and expressly approved in writing. No subsequent alteration or modification of any existing improvements or construction, erection or installation of additional improvements may be undertaken or allowed to remain without the review and express written approval of the Committee. SECTION 4 EFFECT OF FAILURE TO APPROVE OR DISAPPROVE In the event that the Committee fails to approve or disapprove any of the foregoing within thirty (30) days after plans and specifications therefor have been submitted and received, approval will not be required, and the requirements of this Article will be deemed to have been fully satisfied; provided, that the plans and specifications required to be submitted shall not be deemed to have been received by the Committee if they contain erroneous data or fail to present full and adequate information upon which the Committee can arrive at a decision. SECTION 5 RIGHT OF INSPECTION The Committee shall have the right, at its election, to enter upon any Lot during preparation, construction, erection, or installation of any improvements to determine that such work is being performed in conformity with the approved plans and specifications. -9- SECTION 6. EXTERIOR MAINTENAN 2 The n<iai ntenance of Lots and the exterior maintenance of residences and other improvements constructed thereon shall be the duty and responsibility of the Owner or such Lot and shall not be the responsibility of the Association. If, however, in the opinion of the Association any Owner shall fail to discharge his repair, maintenance and upkeep responsibilities in a reasonable and prudent manner to a standard harmonious with that of other Lots, the Association, at its discretion, and following thirty (30) days written notice to the Owner, may enter upon and make or cause to be made maintenance work or repairs as may be deemed by the Association reasonably required. The Association, or its agents, shall have an easement for the purpose of accomplishing the foregoing. The costs incurred by the Association In rendering such services plus a service charge of twenty percent (20%) of such costs, shall be added to and become a part of the assessments to which such Lot is suhject. SECTION 7 LIMITATION OF LIABILITY. Neither the Committee nor any individual member thereof, shall be liable to any person for any official act of the Committee in connection with submitted plans and specifications, except to the extent the Committee or any individual member thereof acted with malice or wrongful intent. Approval by the Cmmnittee does not necessarily assure approval by the appropriate governmental board or commission. Notwithstanding that the Committee has approved plans and specifications, neither the Committee nor any of its members shall be responsible or liable to any Owner, developer or contractor with respect to any loss, liability, claim, or expense which may arise by reason of such approval or the construction of the improvements. Neither the Board of Directors, the Committee or any agent thereof, nor Declarant or any of its shareholders, officers, directors, partners, employees, agents, or consultants shall be responsible in any way for any defects in any plans or specifications submitted, revised or approved in accordance with the provisions hereof, nor for any structural or other defects in any work done according to such plan and specifications. In all events the Committee shall be defended and indemnified by the Association in any such suit or proceeding, The Association, however, shall not be obligated to indemnify each member of the Committee to the extent any such member of the Committee shall be adjudged to be liable for gross negligence or misconduct in the performance of his duty as a member of the Committee unless and only to the extent that the court in which such action or suit may be brought shall determine upon application that, despite the adjudication of liability but in view of all circumstances of the case, such person is fairly and reasonably entitled to indemnification for such expense as such court shall deem proper. ARTICLE VI USE RESTRICTIONS SECTION 1 DESIGNATED RESIDENTIAL PROPERTY RESTRICTIONS, RENTAL, All Lots shall be used, improved, and devoted exclusively -10- 0 F " to single-family residential" 9 e'by ti7e Owner thereof, his immediate family, guests, invitees and lessees. SECTION 2. COMMON AREA CONSTRUCTION OR ALTERATION No person shall'undertake, cause, or allow any alteration or construction in or upon any portion of the Common Area except at the direction of and with the express written consent of the Association. SECTION 3 NUISANCE OR ANNOYING ACTIVITY No noxious or offensive activity shall be carried on, in or upon the Common Area. SECTION A. PARKING. The Association may regulate parking of all kinds on the Common Area. In addition to the enforcement mechanisms provided in Article II, Section 1 above, the Association shall have the power to enforce violations of parking regulations by Members or by any person to whom a Member has delegated his right of enjoyment by removal of the offending vehicle from the Common Area. The costs of such removal and any storage fees shall be the responsibility of the Member or person to whom such Member has delegated his right of enjoyment. Any such costs and fees shall be deemed to be assessments as set forth in Article IV herein and if not paid within thirty (30) days after notice and demand therefor, the Association shall be entitled to the remedies set forth in Article IV, Section 8. SECTION 5. ANTENNAS. The installation and maintenance of satellite dish receivers and of radio antennas shall be prohibited on Lots. The Association may regulate or prohibit the erection of television antennas on Common Area or Lots. SECTION 6 DWELLING UNIT SPECIFICATIONS, Declarant may determine it to be desirable to provide minimum size requirements, building setback lines or other requirements for Lots. Such requirements will be set forth in further restrictive covenants either in the deeds to each Lot or in a separate instrument filed with the Brunswick County Register of Deeds. SECTION 7. ANIMALS. No animals, livestock or poultry of any kind shall be kept or maintained on any Lot or in any dwelling except that dogs, cats or other household pets may be kept or maintained provided that they are not kept or maintained for commercial purposes and further provided that they are kept and maintained in compliance with (i) all laws and ordinances of the State of North Carolina, the County of Brunswick or the City of Long Beach relating thereto; and (ii) such rules and regulations pertaining thereto as the Board of Directors may adopt from time to time. The Association shall have the power to enforce the provisions of this Section in the manner set forth in Article II, Section 1. -11- -. q as , sg 9 25 "ARTICLE VII EASEMENTS SECTION I. UTILITIES. Easements for installation and maintenance of utilities and the Common Area and drainage facilities are reserved as indicated on the Plat. Within these easements no structures, planting or other material shall be placed or permitted to remain which may interfere with the installatinn and maintenance of utilities on the Common Aroa, or which may change the direction of flow of drainage channels in the easements, or which may obstruct or retard the flow of water through drainage channels in the easements. An easement is hereby established for the benefit of the City of Long Beach and the County of Brunswick (and any other person or firm providing services to the Properties under agreement with or at the direction of the Association) over all Cutwava Areas as may be reasonably necessary for the setting, removal and reading of water meters, and the maintenance and replacement of water, sewer and drainage facilities and for the fighting of fires and collection of garbage. The Association shall have the power and authority to grant and establish upon, over and across the Common Areas such additional easements as are necessary or desirable for the providing of service or utilities to the Common Areas or Lots in accordance with the provisions of Article II, Section 1(c) hereof. SECTION 2. CENTRAL NITRIFICATION ^`STEM. In the event the Lots are serviced by a common or central sanitary sewer system, Declarant hereby reserves for itself and grants to the Association an easement of ingress, egress and regress over, under and across the Properties for the purpose of installation, operation, maintenance and replacement of the central sanitary sewer system and any components thereof. ARTICLE VIII RIGHTS RESERVED UNTO INSTITUTIONAL LENDERS SECTION 1. ENTITIES CONSTITUTING INSTITUTIONAL LENDERS "Institutional Lender" as the term is used herein shall mean and refer to banks, savings and loan associations, mortgage companies, insurance companies or other firms or entities customarily affording loans secured by first liens on residences. SECTION 2 OBLIGATION OF A c0 IATION TO INSTITUTIONAL LENDERS. So long as any Institutional Lender shall hold any first lien upon any Lot, or shall be the Owner of any Lot, such Institutional Lender shall have the following rights: (a) To inspect the books and records of the Association during normal business hours and to he furnished with at least one (1) copy of the annual financial statement and report of the Association prepared by a certified public accountant designated -12- qaS ,5q by the Hoard of Directors of SF�Assojat�on, such financial statement or report to be furnished by Ap'il 15 of each calendar year. (b) To be given notice by the Association of the call of any meeting of the membership to be held for the purpose of considering any proposed amendment to this Declaration of Covenants, Conditions and Restrictions or the Articles of Incorporation or Bylaws of the Association or of any proposed abandonment or termination of the Association or the effectuation of any decision to terminate professional management of the Association and assume self -management by the Association. (c) To be given notice of any delinquency in the payment of any assessment or charge (which delinquency remains uncured for a period of sixty (60) days) by any Owner of any Lot encumbered by a awrtgage held by the Institutional Lender, such notice to be given in writing and to be sent to the principal office of such Institutional Lender, or to the place which it may designate in writing. (d) To be given notice of any condemnation loss or casualty loss which affects a material portion of the Common Area. (a) To have the right to approve of any alienation, release, transfer, hypothecation or other encumbrance of the Common Area, other than those specific rights vested in the Association under Article II hereof. (f) To be notified of any lapse, cancellation or material modification of any insurance policy or fidelity bond maintained by the Association. S EC'1'lON 3 REOOIREMENTS OF INSTITUTIONAL LENDER, Whenever any Institutional Lender desires to avail itself of the provisions of this Article, it shall furnish written notice thereof to the Association by CERTIFIED MAIL at the address shown in the Articles of Incorporation identifying the Lot or Lots upon which any such Institutional Lender holds any first lien or identifying any Lot or Lots owned by such Institutional Lender and such notice shall designate the place to which notices, reports or information are to be given by the Association to such Institutional Lender. ARTICLE IX GENERAL PROVISIONS SECTION 1 ENFORCEMENT The Association, or any Owner, shall have the right to enforce, by any proceeding at law or in equity, all restrictions, conditions, covenants, reservations, liens and charges now or hereafter imposed by the provisions of the Declaration, the Articles of Incorporation or Bylaws of the Association. Failure by the Association or by any Owner to enforce any covenant or restriction herein contained shall in no -13- event be deemed a waiver of the rigp �o dohereafter. The Association shall have the right t uest7so a law enforcement, public safety and animal control officers come on the Properties to facilitate the enforcement of the laws, codes and ordinances of any governmental authority. SECTION 2, SEVERABILITY. Invalidation of any one of the covenants or restrictions by judgment or court order shall in no wise affect any other provision which shall remain in full force and effect. SECTION 3, AMENDMENT The covenants and restrictions of this Declaration shall run with and bind the land for a term of twenty (20) years from the date this Declaration is recorded, after which time they shall be automatically extended for successive periods of ten (10) years. This Declaration may be amended by an instrument signed by not less than seventy -Five percent (75%) of each Class of Members, provided, however, that Declarant or the Board of Directors of the Association may amend this Declaration to make any amendment (i) required by the Department of Housing and Urban Development, or the Federal National Mortgage Association, or (ii) to correct obvious typographical or drafting errors or inconsistencies, without action or consent of the Owners, and further provided that no amendment shall alter any obligation to pay ad valorem taxes or assessments for public improvements, as herein provided, or affect any lien for the payment thereof established herein. Any amendment must be properly recorded. SECTION 4, ANNEXATION. Additional residential property and Common Area may be annexed to the Properties with the consent of two-thirds (2/3) of each Class of Members, SECTION S. RELEASE OF DZQLARANT'S RIGHTS. 'Declarant may, in its sole discretion, release, from time to time and in whole or in part, any rights or privileges granted to Declarant herein. Any such release of Declarant's rights shall be effective when set forth in a written instrument executed by Declarant and recorded in the Brunswick County Registry. State Permit No. 179-06 was issued to St. James Plantation POA Inc. on December 4, 2006 for the expansion of the existing parking lot. The permit was extended per Session Laws 2009-406 and 2010-177 and expired on December 31, 2013. Mr. Petroff is requesting State Permit No. 179-06 be modified to allow the construction of additional parking areas landward of the 60' setback. Mr. Petroff states the modification to the state stormwater permit was approved by the Division of Water Resources on March 25, 2014 (Permit # SW8 941203). This office has received a check in the amount of $200 for the modification and renewal fee (Check #4911). By copy of this memo, DCM is requesting that the USACE, DWR and DCM/Fisheries Resource Specialist provide any comment that your agency may have on the proposed project to Jonathan Howell of DCM's Morehead City office within 10 days of receipt of this memo. It is recommended that the permit modification include the following conditions: The structure must set back a minimum of 60 feet from the first line of stable natural vegetation, as determined by the DCM, the LPO, or other assigned agent of the DCM. The permittee is required to contact the Local Permit Officer shortly before he plans to begin construction to arrange it setback measurement that will be effective for sixty (60) clays barring a major shoreline change. Construction must begin within sixty (60) days of the determination or the measurement is void and must be redone. All unconsolidated material resulting from associated grading and landscaping shall be retained on site by effective sedimentation and erosion control measures. The structure(s) shall be relocated or dismantled within two years of the time when it becomes imminently threatened, and in any case upon its collapse or subsidence. However, if natural shoreline recovery or beach renourishment takes place within two years of the time the structure becomes imminently threatened, so that the structure is no longer imminently threatened, then it need not be relocated or dismantled at that time. This renewal and modification stems from a parking lot revision. The attached plans show the existing parking configuration and the proposed modification. There is a slight impervious increase and a stormwater permit modification was submitted to NCDENR and approved on 3-25-14 under SW8 941203. As shown on the proposed plan, the parking lot modifications will be approximately 170' from the static vegetation line.
