These include: The Sassafras Phase II conservation easement was revised to include an internal crossing on Ditch 1 and remove areas that were uncreditable on RS1 and RS3 due to the Utility crossing.The newly proposed conservation easement totals 12.88 acres. Theconservation easement will also include a 20-foot-wide internal crossing on Ditch 1 and is discussed in Section 2.4. The overall credit potential changed from 29,176.760 to 28,121.208lbs of Nitrogen. 1.Add the DWR ID which is 2021-0754v3 DWR IDhas been added. 2.It says this document was prepared for DMS. Please explain. This typo has been corrected to Division of Water Resources 3.Replace the CE easement template with the one online that does not refer to other regulatory agencies, just DWR. The correctCE easement template has been providedin the appendices. 4.Throughout the BPDP, there is reference to "EBX" and "RES". Only the Bank Sponsor, who is noted in the UMBI should be referenced as the responsible entity in this plan. The Bank Sponsor, EBX, who is noted in the UMBI, is now referenced as the responsible entity in the plan. 5.This paragraph should reference the proposed UMBI and indicate who the Bank Sponsor is. This paragraph now clearly references the proposed UMBI and who the Bank Sponsor is (EBX). 6.When referencing the Sassafras Phase II bank site throughout the BPDP, it is important that EBX refer to it as described in this paragraph, which is "Project". It is not referenced this way consistently throughout the Plan. It is sometimes referenced as "project" instead of "Project", which makes it difficult to know whether the DMS project or the Bank is being referred to. The Sassafras Phase II Project is now referenced as “Project”. If the Sassafras project, contracted with DMS, is mentioned it is clearly referenced to make sure it is clear what project is being discussed. 7.It is important to add a notation here that the DMS site includes a CE that includes all the top of banks of all the features except the ditch since those top of banks are within the CE proposed by the Phase II project. Language has been added to clarify the DMS site conservation easement includes top of banks for all features except the ditch top of banks, which is included in the Phase II conservation easement. res.us 8. Add additional detail regarding the DMS site: the DMS ID#, DWR ID#, status of the submittal of a mitigation plan, etc. Also need to indicate that this Project is contingent on the Sassafras DMS project being fully implemented according to its approved Plan. DMS ID# and DWR ID# were added. Additionally, a note about the DMS Sassafras project mitigation plan status was added. Language was included to clarify that this Project is contingent on full implementation of Sassafras DMS project approved Plan. 9. When describing the features where riparian restoration is being performed, make sure to describe the features as Streams, Ephemeral channels or ditches. Just calling the features "stream tributaries" doesn't provide enough detail of what is being restored under 0295. It is also very important to make it clear that this Phase II project doesn’t actually include any top of banks except for those along the Ditch, and that those top of banks are protected via another project. which is why this Phase II project is dependent on the DMS project being implemented in order to get crediting. The features are described in the following paragraphs. Language has been added to clarify that the Project only protects the ditch top of banks, and that the stream and ephemeral channel top of banks are protected through the Sassafras DMS project conservation easement. 10. Define what is meant by "pollution" from active crop production. This has been revised to describe the pollution as “nutrient loading”. 11. Does the Project not also include a Ditch? Language has been revised to include the Ditch. 12. When saying "Project streams" it implies that there are streams within the Project Boundary, which is inaccurate. Throughout the document, there needs to be clearer representation of exactly what this Project entails, including only riparian areas that are adjacent to certain features. There is only one feature within this project boundary, and that is the Ditch. Language has been added to better describe the riparian restoration efforts within the Project and areas immediately adjacent to the Project boundary. 13. Reference Figure 4a here. This figure has been referenced. 14. One of the main conditions that made this site viable for generating nutrient offsets is that it is currently agriculture, a known practice actively contributing nutrient loads to nearby surface waters/waters. it is important that this plan indicate how it is changing that nutrient load practice. Language has been included to clarify that nutrient offset credits will be produced by converting existing agricultural practices to non-agricultural practices by establishing a native forested and herbaceous riparian plant community and protecting these riparian areas in perpetuity with a conservation easement. 15. See previous comment about identifying what is actually within the Project boundary..."all features within the Project" is a misrepresentation of this Project description, since only 1 feature is within the project. Language has been revised to represent features within and adjacent to Project correctly. 16. Photos provided in this section are not current enough to be used in the Plan to represent "existing conditions". You may include these photos as long as there are more current photos provided that represent the site conditions closer to the time the Plan was submitted to DWR. No photos should predate the DWR Site Viability Letter, which was August 26, 2021. Existing conditions photos were updated as of March 23, 2023. 2 17. Add the width of the utility crossing, the crossings located on RS2 and Ditch 1. The crossing on Ditch 1 at RS3 was shown on RS3 in the site viability letter, not on the Ditch. However now, the crossing is proposed above the Stream Origin and disconnects the CE along the Ditch from the Stream origin which affects the viability of the Ditch to generate credits. How will the Provider ensure that the hydrologic connection between Ditch 1 and RS3 is not interrupted and that the crossing will be able to be maintained in the event the ditch and stream become disconnected in some way. Widths of the utility crossing, and crossings on RS2 and Ditch 1 were added to Figure 6. In regard to the hydrologic connectivity between Ditch 1 and RS3, the Bank Conservation Easement has been altered to now include an internal crossing. This allows access to land parcels for the landowner while ensures that the hydrologic connection between Ditch 1 and RS3 is not interrupted. Language will be added to the conservation easement to ensure that the hydrologic connection will be maintained and undisturbed within the internal crossing. In addition to the following comments, some editorial edits were provided by NCDWR. All editorial edits were accepted and added to the document as proposed. 18. Where in the Rule 0703 does it state riparian restoration can generate nutrient offset credit? The reference to Rule 0703 has been removed from Section 3.2.1. Explain that the DMS easement includes the innermost riparian areas adjacent to streams and the ephemeral channel but that it isn't including Ditch 1 or the riparian areas adjacent to Ditch 1 Language has been added to describe riparian restoration activities performed in adjacent DMS conservation easement. 20. The 0295 Rule does not define "Ephemeral Streams" it defines "Ephemeral Channels". This has been revised to “Ephemeral Channels”. 21. There is another reference to 0703 that speaks to contributing drainage area... Where in the Rule 0703 does it cite this as a requirement? When referencing a rule, make sure the reference is accurate. The reference to Rule 0703 has been removed. 22. The first sentence does not adequately describe the riparian activities for this project. Modify sentence to explain where the riparian activities are taking place and explain the minimum and maximum distances away from features the activities are taken place. This sentence was modified to properly describe riparian restoration activities for the Project. 23. There are no performance standards in 0703 for riparian projects generating nutrient offset credits. You may reference the applicable part of the Rule 0295 as well as the UMBI for this reference. The reference to Rule 0703 has been removed and now refers the performance standards in Rule 15A NCAC 02B .0295. 24. Spring 2022 may not be a practical timeline. This date has been changed to Spring 2023. 25. Add language from the UMBI that commits the Provider to notifying DWR within 30 calendar days from the completion of the activities. 3 Language has been added to Section 3.5 that states “Within 30 calendar days after completing the establishment of the nutrient offset areas, the Sponsor will submit written notification to DWR documenting that all buffer mitigation and nutrient offset activities have been completed. This will be in accordance with the RES Sassafras Phase II Nutrient Offset Banking Instrument.” 26. Add language to this section that indicates the boundaries will be adequately marked prior to the DWR site visit prior to the Task 2 credit release. Language has been added that states “These boundary markers will be installed prior to the DWR as-built site visit in order to satisfy the Task 2 milestone.” 27. The Project Credit table shows total area to be 12.8 acres, but it states 13.17 acres in the text. Explain the difference. The 12.37 acres is the total creditable area, while 12.68 acres is the total planted area. 28. When referencing this document, do not refer to it as a Mitigation Plan, but instead a "BPDP". This has been revised to reference the BPDP. 29. Use the term "Performance Criteria" instead of Success Criteria. This has been revised to success criteria. 30. Need to add clarity that the DWR has to approve the steward chosen and at this time, there is a conservation easement that needs to be approved by the two parties before it will be an acceptable steward to use. Language has been updated to clarify that DWR needs to approve the long-term steward, and the two parties approve the conservation easement. 31. Add language consistent with the UMBI language that the long-term steward will be chosen prior to the year 4 monitoring period. This language referencing financial assurances has been removed. 33. Add language that the credits are neither convertible nor transferable to riparian buffer credits. Explain that these credits are dependent on the DMS project being approved by the DWR and fully implemented according to the approved mitigation plan. Language has been added to this section that states “These credits are dependent on the DMS Sassafras project being approved by the DWR and fully implemented according to the approved mitigation plan. The nutrient offset credits are neither convertible nor transferable to riparian buffer credits.” 34. For this particular project, it is not necessary to split out the ft2 adjacent to the In-line Pond. The only time this is usually necessary, is if 1) the pond is being converted into a stream restoration and the footprint of the old pond bottom becomes the new riparian buffer being restored and generating credits; or 2) the pond is the "stream origin" like in the case of an upland pond. Otherwise, the ft2 of the riparian areas adjacent to this pond being restored needs to be included in the Total Area adjacent to I/P feature RS2B. Table 6 has been updated accordingly. 4 35.See comments on Figure 8 regarding the terminus shown off the utility crossing and modify credits based on those comments. The comments on Figure 8 have been addressed and the credits were modified based on the adjustments. 36. When this table has been finalized and resubmitted with the revised BPDP, please also email me the working spreadsheet separately. RES will email the finalized working spreadsheet (Table 6) separately upon resubmittal. FIGURE 1 37. Edit title to say "Nutrient Offset Credit Service Area". Figure 1 title has been updated to “Nutrient Offset Credit Service Area”. FIGURE 4A 38. Add the widths of the crossings. The widths of crossings and easement breaks have been added. 39. This crossing must comply with hydrologic connectivity and ensure no disruption in perpetuity. how will this be achieved? Refer to comment 17. The crossing is now proposed to be within the Conservation Easement to ensure no disruption in perpetuity. FIGURE 6 40. It doesn't appear that the Ephemeral riparian restoration area is different than the other areas. If intending to represent this area in the Project Credit Table, then show this area differently (maybe dots, or other markings to distinguish riparian restoration off the Ephemeral vs other areas. The ephemeral area (101-200’) has been distinguished from the other nutrient offset credit areas. 41. Show pond 101-200 same as Stream 101-200'. Pond 100-200’ was changed to be included in Stream 100-200’. 42. If there are areas >200' where no credit is viable, highlight that area as "No Credit" in the table. Areas that are > 200 ft where no credit is viable are now shown as “No credit” in the Figure and in the Project Credit Table. 43. Some of the area proposed here for nutrient offset credits will not be viable for credits due to the easement break of riparian restoration from top of bank. As indicated in the field w/ RES, DWR agreed to allow the Provider to measure the radius from top of bank (terminus). See comments on Figure 8 regarding how the Terminus is drawn and edit this figure as well. Figure 6 has been edited to include the terminus radius. The conservation easement was adjusted to minimize credit loss in the area outside of the terminus radius. Areas that are still within the conservation easement but outside of the terminus radius are represented as no credit area in the Project Credit Table (Table 6). FIGURE 8 44. Show stream origins on this feature, they were left off. Stream origins were added to the Figure. 5 45.Show the Terminus Points on RS1 and RS2 and delineate a 100' terminus and a 200' terminus from each point for both RS1 and RS2. The terminus only applies on the side of the crossing where the Terminus Point is taken. Anything beyond the 200' terminus needs to be shown as "No Credit" on all features. Adjust all Credits and widths based on this comment. 100’ and 200’ terminus radius’ from RS1 and RS2 terminus points were added to Figure 8 and credits have been adjusted. FIGURE 9 46. Most of these plots appear to be dead center of the Planted Areas between Inner CE boundary and outer CE boundary of Phase II. Plots should be randomly placed such that they are not uniform like they are represented here. Move plots to the outer CE boundary, closer to the inner boundary of the CE and to represent different widths of the riparian restoration areas. Vegetation Plot proposed locations were adjusted and are randomly distributed throughout the CE. 47. Show Sassafras DMS easement boundary The DMS easement boundary has been added to the Figure. This Project (DWR #: 2021-0754v3) is designed to provide nutrient offset credits for unavoidable impacts due to development within the Neuse River Basin, United States Geological Survey (USGS) 8-digit Cataloguing Unit 03020201 (Neuse 01), excluding Falls Lake Watershed (Figure 1). This Bank Parcel Development Package (BPDP) is in accordance with the Consolidated Buffer Mitigation Rule 15A NCAC 02B .0295 and Nutrient Offset Credit Trading Rule 15A NCAC 02B .0703. The Project is being codeveloped with the proposed Sassafras Mitigation Project (DWR #: 2021-0754v2, DMS #: 100178) that is contracted with the NC Division of Mitigation Services (DMS) and will extend riparian areas associated with the DMS project and include an additional feature. The Sassafras Project contracted with DMS Buffer Mitigation Plan is currently under Final Review with NCDWR. The DMS project includes a conservation easement that includes the top of banks of all the features except for the ditch (D1), which top of bank is included within the proposed conservation easement for this Project. This Project is contingent upon the full implementation of the Sassafras DMS project according to its approved Plan. 1.1 Parcel Location The Sassafras Phase II Project is within the Neuse River Basin within the 8-digit HUC 03020201, 14-digit HUC 03020201200030 and DWR Sub-basin Number 03-04-12. The Project is located in Wayne County, approximately 5 miles west of Goldsboro, off of Braswell Road (Figure 2). To access the Project from Raleigh, take I-40 East to US-70. Then take exit 350 onto US-70 East toward Goldsboro, after approximately one mile take a right onto NC-581. In 2 miles, take a right onto Rita Lane and follow to the end of the road. The upstream extent of Reach RS2 will be on your left. The coordinates are 35.396 °N and -78.070 °W. 1.2 Parcel Overview The Sassafras Phase II Project consists of a conservation easement that will total approximately 13.17 acres and includes three unnamed streams, the upstream ephemeral feature of one of the streams. and a ditch feature surrounded by active cropland that drain to Charles Branch. The Project includes top of banks along the ditch but does not include the top of banks of the streams and ephemeral channel. The stream and ephemeral channel top of banks are protected through the adjacent proposed Sassafras DMS project. Charles Branch is a USGS-named stream that eventually drains to the Neuse River (Figure 3). Current land use within the Project is primarily crop production (Figure 4a). Much of the Project area has been used extensively for agricultural purposes for at least 70 years (Figure 5). Water quality stressors currently affecting the Project include heavily manipulated/relocated and maintained stream channels, nutrient loading from active crop production, and lack of forested riparian areas. Current riparian area conditions demonstrate significant degradation with the loss of stabilizing vegetation because of continued crop production. Sassafras Phase II Project Bank Parcel Development Package Nutrient Offset 3 September 2022 The goal of the Project is to restore ecological function to the existing streams and their associated riparian areas by establishing appropriate plant communities while minimizing temporal and land disturbing impacts and permanently protecting the newly restored areas in perpetuity through a conservation easement. Riparian area improvements will filter runoff from agricultural fields, thereby reducing nutrient and sediment loads to Project channels and provide water quality benefit to the overall watershed. The Project easement can be accessed from Rita Lane off NC Highway 581 (Figure 2). The Project is composed of riparian areas of one perennial stream (RS1), two intermittent stream channels (RS2 and RS3), and a ditch (Ditch 1) that drains to and connects to RS3. RS2 includes an ephemeral portion (RS2-A) and an in-line pond between RS2-B and RS2-C. (Figure 4b). All streams have been straightened and are incised. Furthermore, the fifty-foot riparian buffers of all stream channels were determined to be subject to the Neuse buffer protection rules, and stream determinations were verified by the DWR site visit on th May 5, 2021. Correspondence regarding this determination is in Appendix A. Riparian restoration efforts along the Project ditch and riparian areas adjacent to the Sassafras DMS project protected stream features will be accomplished through the planting, establishment, and protection of a hardwood forest community. The result will be a riparian area that functions to mitigate nutrient and sediment inputs from the surrounding uplands. This BPDP is being submitted for review under the Consolidated Buffer Mitigation Rule 15A NCAC 02B .0295 and Nutrient Offset Credit Trading Rule 15A NCAC 02B .0703. DWR staff performed a site viability assessment for buffer mitigation and nutrient offset th on July 29, 2021. This correspondence is provided in Appendix A. The Project presents the opportunity to provide Nutrient Offset Credits. These will be derived from restoration of the riparian areas of the streams, ephemeral channel, and ditch within or immediately adjacent to the Project boundary (Figure 4a). The Nutrient Offset Credits will be produced by converting existing agricultural practices to non- agricultural practices by establishing a native forested and herbaceous riparian plant community and protecting these riparian areas in perpetuity with a conservation easement. The new plant community will be established in conjunction with the treatment of any existing exotic or undesirable plant species. 1.2.1 Parcel Ownership The land required for the construction, management, and stewardship of this Project includes the parcel listed in Table 1. EBX, LLC will record a conservation easement for the Project area within the property. The Wilmington District Conservation Easement model template will be utilized to draft the site protection instrument. The recorded easement will allow EBX, LLC to proceed with the Project development and protect the mitigation assets in perpetuity. Rice Lisa Rexanna Sasser McCabe 1.3 Existing Conditions 1.3.1 Surface Water Classification The current State water quality classifications for Charles Branch are Water Supply IV (WS-IV) and Nutrient Sensitive Waters (NSW). WS-IV waters are used as sources of water supply for drinking, culinary, or food processing purposes where a WS-I, II, or III classification is not feasible. These waters are also protected for C Class uses. Class C waters are protected for uses such as secondary recreation, fishing, wildlife, fish consumption, aquatic life including propagation, survival and maintenance of biological integrity, and agriculture. Secondary recreation includes wading, boating, and other uses involving human body contact with water where such activities take place in an infrequent, unorganized, or incidental manner. NSW designation is intended for waters needing additional nutrient management due to being subject to excessive growth of microscopic or macroscopic vegetation (NCDWQ 2011). 1.3.2 Physiography and Soils The Project is located within the Rolling Coastal Plain Level IV ecoregion within the Southeastern Plains Level III ecoregion and is characterized by greater relief, elevation, and stream gradients compared to the Mid-Atlantic Coastal Plain to the east. This ecoregion contains both dissected irregular and smooth plains, and low to moderate gradient sandy-bottomed streams that branch from broad interstream divides with steep to moderately gentle side slopes. The ecoregion also contains better drained soils and a slightly cooler and shorter growing season than the Mid-Atlantic Coastal Plain; however, it is still a productive agricultural region with typical crops of corn, soybeans, tobacco, cotton, sweet potatoes, peanuts, and wheat. The Natural Resources Conservation Service (NRCS) depicts six soil series across the Project (Figure 7). A majority of reaches RS1, RS2, and RS3 run through Rains sandy loam. Pantego loam is mapped at the heads of RS1 and RS3. The most downstream section of RS1 also runs through Bibb sandy loam. Lynchburg sandy loam is mapped at the head of RS2. Goldsboro loamy sand and Wagram loamy sand are mapped between reaches in areas of higher elevations. The specific soil map units are as follows: Bibb sandy loam, Goldsboro loamy sand 0 to 2 percent slopes (Southern Coastal Plain), Lynchburg sandy loam 0 to 2 percent slopes, Pantego loam, Rains sandy loam 0 to 2 percent slopes, and Wagram loamy sand 0 to 6 percent slopes. Sassafras Phase II Project Bank Parcel Development Package Nutrient Offset 5 September 2022 All soils on-site are formed in loamy or loamy and sandy marine deposits. Bibb sandy loam, Pantego loam, and Rains sandy loam are considered hydric by the NRCS, while Lynchburg sandy loam and Wagram sandy loam have minor hydric inclusions. The soil characteristics of these map units are summarized in Table 2. Table 2. Although, PFO1A and PEM1Bd wetlands are depicted adjacent to the southern and eastern portions of the Project area. 1.3.4 Landscape Communities A. Existing Vegetation Communities Currently, within the agricultural area of the Project, the vegetative cover is primarily comprised of fields of soybean crops with one small, disturbed line of trees along RS2-C that are reminiscent of mixed-mesic hardwood forest (Coastal Plain subtype). The tree species that do exist adjacent to the Project include sweet gum (Liquidambar styraciflua), red maple (Acer rubrum), water oak (Quercus nigra), willow oak (Quercus phellos), persimmon (Diospyros virginiana), Southern magnolia (Magnolia grandiflora), sweetleaf (Symplocos tinctoria), loblolly pine (Pinus taeda), mulberry (Morus alba), sumac (Rhus copallinum) and sassafras (Sassafras albidum). The only noted invasive species in the area was mimosa (Albizia julibrissin). B. Riparian Vegetation In general, all areas within the proposed project area boundaries are active crop fields. The ditch feature within the Project and stream features protected by the adjacent Sassafras DMS project abut crop fields Sassafras Phase II Project Bank Parcel Development Package Nutrient Offset 6 September 2022 that have little to no existing riparian buffer and do not function to their full potential. Current conditions demonstrate significant habitat and water quality degradation with a loss of stabilizing vegetation because of impacts from ongoing crop production. A small in-line pond feature exists between RS2-B and RS2-C and is approximately one-quarter acre. According to the United States Fish and Wildlife Service’s (USFWS) Information for Planning and Consultation (IPAC) database review tool (accessed September 3, 2020) and the self-certification process conducted by RES and submitted to the USFWS on March 29th, 2021. The list of endangered species includes the Red-cockaded woodpecker (Picoides borealis) and the Tar River Spinymussel (Elliptio steinstansana). Three additional species on the list submitted to USFWS are proposed for listing: Neuse River Waterdog (Necturus lewisi), Atlantic Pigtoe (Fusconaia masoni), and Carolina Madtom (Noturus Furiosus). The Sassafras Phase II Project does not contain any suitable habitat for the Red-cockaded woodpecker, the Atlantic Pigtoe, the Tar River Spinymussel, the Neuse River Waterdog, nor the Carolina Madtom. A self-certification letter sent to USFWS (on March 29, 2021) A copy of this letter is enclosed. No response was received by USFWS. This consultation was conducted as part of the Categorical Exclusion (CE) process and supporting documentation and correspondence can be found in Appendix C. Sassafras Phase II Project Bank Parcel Development Package Nutrient Offset 8 September 2022 The Fish and Wildlife Coordination Act requires consultation with state fish and wildlife agencies when “waters of any stream or other body of water are proposed or authorized, permitted or licensed to be impounded, diverted…or otherwise controlled or modified. The North Carolina Wildlife Resources Commission (NCWRC) was consulted during the CE process and the NCWRC did not comment on any state or federally listed species; however, they did recommend the use of biodegradable and wildlife- friendly sediment and erosion control devices and to treat invasive species as part of the Project. Documentation is included in Appendix C. 2.2Cultural Resources A review of North Carolina State Historic Preservation Office (SHPO) GIS Web Service (accessed 3 September 2020) database did not reveal any registered occurrences within the Project area; however, there are five occurrences within a half mile radius, which include: Lafayette Sasser House, Rosewood School, and three other unnamed notable houses. RES consulted with the SHPO during the CE process and the SHPO had “conducted a review of the Project and are aware of no historic resources which would be affected by the Project.” Documentation is included in Appendix C. 2.3 Federal Emergency Management Agency (FEMA)/ Hydrologic Trespass The western portion of the Project, consisting of Reach RS1 and its floodplain, is in FEMA Zone AE (Figure 4b). However, the Project does not propose any earthwork in these areas, so FEMA permitting is not required. 2.4 Constraints There is an existing 25-foot-wide telephone line easement that runs northwest to southeast from Reach RS1 to Reach RS3. The Sassafras DMS easement and Sassafras Phase II bank easement were developed to avoid interference with the current telephone line easement (Figure 4b, Figure 6). The conservation easement will include a 20-foot-wide internal crossing on Ditch 1. This allows access to land parcels for the landowner while ensures that the hydrologic connection between Ditch 1 and RS3 is not interrupted. 2.5 Clean Water Act – Section 401/404 Due to the nature of this Project, there will be no 401/404 permit required. 2.6 Additional Environmental Considerations A limited Phase I Environmental Site Assessment was completed for the Parcel by acquiring an Environmental Date Resources (EDR) report in February 2021. The report can be found in Appendix D. Neither the target property nor the adjacent properties were listed in any of the Federal, State, or Tribal environmental databases searched by EDR. There are no known or potentially hazardous waste sites identified within or immediately adjacent to the Project area. Sassafras Phase II Project Bank Parcel Development Package Nutrient Offset 9 September 2022 3 RIPARIAN RESTORATION IMPLEMENTATION PLAN Riparian restoration areas adjacent to stream and ditch features are shown in Figure 6 and mitigation type determinations and nutrient offset viability was approved by the DWR in the Site Viability Letter dated th August 26, 2021 (Appendix A). 3.1ParcelPreparation Preparation at the Project will involve spraying crops and exotic invasive species, applying soil amendments, seeding native plants, and planting trees. Soil amendments will be provided across the entire planted area based on the results of soil fertility tests. The soils fertility tests will be based on soil samples collected within proposed riparian restoration areas across the site. A seed mix will be chosen to maximize successful herbaceous growth in all riparian areas while also incorporating valuable pollinator species. All riparian planting areas will be seeded using a no-till drill prior to tree planting. Temporary and permanent riparian seeding and bare root plantings will be planted according to the planting plan (Section 3.3). The limits of the riparian restoration areas will be surveyed post-planting and seeding, and information will be provided in the As-Built report. 3.2 Methods Nutrient load reductions will be achieved from riparian restoration activities adjacent to streams and a viable ditch will be implemented to generate nutrient offset credits. All applicable areas were determined by the site viability assessment by DWR (Appendix A). 3.2.1 Riparian Restoration Activities – Streams and Ephemeral Channels For stream channels and the in-line pond, the Project will provide nutrient offset through riparian restoration activities in accordance with the Consolidated Buffer Mitigation Rule 15A NCAC 02B .0295 (n). Riparian restoration activities will include the planting of bare root plantings as described in Section 3.3. These activities will begin outside of the DMS project Conservation Easement (~100 feet from Top of Bank of the stream channels) and extend to a maximum of 200 feet perpendicular and landward from the stream channel. The DMS easement includes the riparian buffer and innermost riparian areas adjacent to streams and the ephemeral channel but does not include Ditch 1 or riparian areas adjacent to Ditch 1. Restoration will occur where cropland is currently present (Figure 6). One of the stream features, RS2-A, is an ephemeral channel. As per the rule, ephemeral channels are natural channels with discernable banks observable within crenulations on a USGS 7.5-minute topographic map (Figure 3). Moreover, the entire area proposed for nutrient offset credit along reach RS2-A is located within the contributing drainage area to the ephemeral channel and is directly connected to an intermittent reach downstream (Figure 4 and Figure 6). The channel will be contiguously contained within the conservation easement areas of the DMS Sassafras project and the Sassafras Phase II Project. 3.2.2 Riparian Restoration Activities - Ditch The Project includes a nutrient offset viable ditch: Ditch 1 (Figure 6). This ditch is proposed for nutrient offset in accordance with the RES Sassafras Phase II Nutrient Offset Banking Instrument and the DWR site viability assessment (Appendix A). As no channel work is proposed on Ditch 1, the only nutrient offset Sassafras Phase II Project Bank Parcel Development Package Nutrient Offset 10 September 2022 activities will include the planting of bare root trees as described in Section 3.3. These activities will begin from the tops of the ditch banks and extend outward to a maximum of 200 feet perpendicularly landward to the ditch channel (Figure 8). The area draining to the ditch is currently cropland (Figure 4a). 3.3 Planting Plan Riparian restorationareasadjacent toDitch 1 will be planted from top of bank, extending out to a maximum of 200 feet. The remainder of riparian restoration areas will be planted from the DMS project Conservation Easement (~100 feet from Top of Bank of the stream channels) and extend to a maximum of 200 feet perpendicular and landward to the stream channel. These areas will be planted with bare root tree seedlings on a nine by six-foot spacing to achieve an initial density of approximately 800 trees per acre. Planting will occur in all areas proposed for nutrient offset and will meet the performance standards outlined in the Rule 15A NCAC 02B .0295. The final performance standard shall include a minimum of four native hardwood tree species or four native hardwood tree and native shrub species, where no one species is greater than 50 percent of stems. Native hardwood and native shrub volunteer species may be included to meet the final performance standard of 260 stems per acre. Invasive species will be treated and monitored throughout. To ensure tree diversity across the Project area, bare root trees will be well mixed before planting. Mixed-Mesic Hardwood Forest (Coastal Plain subtype) (Schafale 2012) will be the target community type and will be used for all areas within the Project. This community composition is highly diverse and is suitable given the Project’s soil and landscape characteristics and will provide water quality and ecological benefits. The initial planting of bare root trees will occur before Spring 2023. The list of bare root tree species to be planted and their percentage of total species composition can be found in Table 3. Please note that the real compositions of planted trees may differ from this proposed list due to availability; however, the procured trees will ideally be comprised of species from the list. With that said, the minimum number of unique species to be planted across the Project will be seven. In addition, these areas will be seeded with an herbaceous seed mix to provide rapid herbaceous cover and promote immediate buffer effectiveness as well as habitat for pollinators and other wildlife. The seed blend will contain both temporary and permanent seed and will include taproot species. See Table 4 for the proposed herbaceous seed mix composition. The seed will be sown utilizing a no-till drill. Table 3. Boundaries may be identified by marker, bollard, post, tree-blazing, or other means as allowed by Project conditions and/or conservation easement. Boundaries will be marked with signs identifying the property as a mitigation Project and will include the name of the long-term steward and a contact number. These boundary markers will be installed prior to the DWR as-built site visit in order to satisfy the Task 2 milestone. Boundary markers disturbed, damaged, or destroyed will be repaired and/or replaced on an as needed basis. The easement boundary will be checked annually as part of monitoring activities and the conditions as well as any maintenance performed will be reported in the annual monitoring reports to DWR. This Project will be codeveloped with a DMS full-delivery buffer mitigation project as mentioned throughout this document and shown in figures. There will be a DMS conservation easement adjacent to the boundaries of this Project that will also be marked appropriately. 3.5 Post-Establishment Notification Within 30 calendar days after completing the establishment of the nutrient offset areas, the Sponsor will submit written notification to DWR documenting that all buffer mitigation and nutrient offset activities have been completed. This will be in accordance with the RES 2022 Phase II UMBI.. 4 MONITORING PLAN 4.1 Monitoring Protocol and Success Criteria Annual vegetation monitoring and visual assessments will be conducted. Riparian vegetation monitoring where nutrient offset credits are being generated will be based on the “Carolina Vegetation Survey- Ecosystem Enhancement Program Protocol for Recording Vegetation: Level 1-2 Plot Sampling Only Version 4.2”. Annual vegetation monitoring will occur each year for a minimum of five years and will be conducted during the fall season with the first year occurring at least 6 months from initial planting. Monitoring plots will be installed a minimum of 100 meters squared in size and will cover at least two percent of the planted mitigation area. The planted area is 12.68 acres, and there will be 11 vegetation plots measuring riparian buffer mitigation success. These plots will be randomly placed throughout the planted riparian nutrient offset area and will be representative of the riparian community (Figure 9). The following data will be recorded for all trees in the plots: species, height, planting date (or volunteer), and grid location. All stems in plots will be flagged with flagging tape. The measures of vegetative success for the Project will be the survival of at least four native hardwood tree species, where no one species is greater than 50 percent of stems, at a density of at least 260 stems per acre at the end of Year 5. Native volunteer species may be included to meet the performance standards upon approval by DWR. Invasive and noxious species will be monitored and treated so that none become dominant or alter the desired community structure of the site. Sassafras Phase II Project Bank Parcel Development Package Nutrient Offset 13 September 2022 Photos will be taken from all photo points each monitoring year and provided in the annual reports. Visual inspections and photos will be taken to ensure that applicable areas are being maintained and compliant. A visual assessment of the conservation easement will also be performed each year to confirm: Easement markers are in good condition throughout the site; no encroachment has occurred; no invasive species occur in areas where invasive species were treated, diffuse flow is being maintained in the conservation easement areas; and there has not been any cutting, clearing, filling, grading, or similar activities that would negatively affect the functioning of the buffer. A summary of Project monitoring and maintenance activities can be found in Table 5. Table 5. Boundaries will be marked with signs identifying the property as a mitigation Project and will include the name of the long-term steward and a contact number. Boundaries may be identified by fence, marker, bollard, post, tree- blazing, or other means as allowed by Project conditions and/or conservation easement. Boundary markers disturbed, damaged, or destroyed will be repaired and/or replaced on an as-needed basis. Easement monitoring and staking/ signage maintenance will continue in perpetuity as a stewardship activity. Sassafras Phase II Project Bank Parcel Development Package Nutrient Offset 14 September 2022 4.2Adaptive Management Plan and ProjectMaintenance Adaptive measures will be developed,or appropriate remedial actions taken if in the event that the Project, or a specific component of the Project, fails to achieve the defined performance criteria. Remedial actions will be designed to achieve the success criteria specified in this BPDP, and will include identification of the causes of failure, remedial design approach, work schedule, and monitoring criteria that will consider physical and climatic conditions. Initial plant maintenance may include a one-time mowing, prior to initial planting to remove undesirable species. If mowing is deemed necessary by RES during the monitoring period, RES must first receive approval by DWR prior to any mowing activities to ensure that no buffer violations will be committed. Failure to receive approval to mow within the Neuse River buffer, as defined in 15A NCAC 02B .0714 by DWR, could result in Neuse River buffer violations and violations of the conservation easement. If necessary, RES will develop a species-specific control plan. Sassafras Phase II Project Bank Parcel Development Package Nutrient Offset 15 September 2022 5 LONG TERM MANAGEMENT PLAN The long term stewardship plan for the Project entails that the Project would be transferred to a DWR approved conservation easement holder. EBX intends to assign this conservation easement to the North Carolina Department of Environmental Quality (NCDEQ) Stewardship program. The NCDEQ Stewardship program currently holds conservation easements for many North Carolina Division of Mitigation Service projects (like the paired project for Sassafras Phase II, “Sassafras Buffer Mitigation Project (DWR # 2021- 0754v3)”) and is working to get approved as a conservation easement holder for DWR. EBX commits to ensure that the assignment is completed prior to the end of the Monitoring Year 4 in accordance with the RES 2022 Phase II UMBI. The adjacent nature of these projects makes NCDEQ a good fit to manage both easements. In the unexpected situation that they are not approved, EBX will transfer the conservation easement to another approved easement holder. NCDEQ Stewardship Program would serve as the conservation easement holder and entity responsible for long term stewardship of the Project. This party shall serve as conservation easement holder and long-term steward for the property and will conduct periodic inspection of the Project to ensure that restrictions required in the conservation easement are upheld. The NCDEQ Stewardship Program is developing an endowment system within the non-reverting, interest-bearing Conservation Lands Conservation Fund Account. The use of funds from the Endowment Account will be governed by North Carolina General Statute GS 113A-232(d)(3). Interest gained by the endowment fund may be used for the purpose of stewardship, monitoring, stewardship administration, and land transaction costs, if applicable. The Stewardship Program will periodically install signage to identify boundary markings as needed. Any livestock or associated fencing or permanent crossings will be the responsibility of the owner of the underlying fee to maintain. 6 FINANCIAL ASSURANCE The Sponsor will provide financial assurances in the form of Performance Bonds sufficient to assure one hundred percent (100%) completion of all mitigation work, required reporting and monitoring, and any remedial work required. The initial performance bond will be in the amount of at least $150,000 and shall be able to cover 100% of the costs associated with construction of the riparian restoration areas. The monitoring bond shall be in the amount of at least $100,000 and shall be able to cover 100% of the costs associated with the monitoring and maintenance of the riparian restoration areas for five years. Performance bonds for monitoring will be renewed to cover the next years monitoring period, with confirmation of renewal provided to DWR with each annual monitoring report when applicable. DWR reserves the right to alter the credit release schedule if monitoring reports are submitted without proof of bond renewals when applicable. 7 PROJECT’S CREDIT POTENTIAL This Project has the potential to generate of Nutrient Offset Credit (;12.68 acres) within a 12.88-acre conservation easement as depicted in Figure 6. These will be derived from riparian restoration. The nutrient offset credits generated will service the Neuse 01 watershed, excluding the Falls Lake Watershed. These credits are dependent on the DMS Sassafras project being approved by Sassafras Phase II Project Bank Parcel Development Package Nutrient Offset 16 September 2022 the DWR and fully implemented according to the approved mitigation plan. The Nutrient Offset Credits are neither convertible nor transferable to riparian buffer credits. The total potential nutrient offset credits that the Sassafras Phase II Project will generate were calculated using the DWR “Project Credit Table Template (Updated February 2022),” and are presented in Table 6. Furthermore, Figure 8 depicts riparian zones of 50, 100, and 200 feet from the top of banks to demonstrate width requirements for crediting. Site cannot be a Preservation Only site to comply with this rule. 3 NC Division of Water Resources - Methodology and Calculations for determining Nutrient Reductions associated with Riparian Buffer Establishment 4 Determinations made for this Site are determined based on the proposal provided in maps and figures submitted with the request. 5 All features proposed for buffer mitigation or nutrient offset, must have a planted conservation easement established that includes the tops of channel banks when being measured perpendicular and landward from the banks, even if no credit is viable within that riparian area. Easement breaks that disconnect the continuity of riparian restoration/enhancement/preservation result in no credit viable beyond the break. 6 The area of the mitigation site on ephemeral channels shall comprise no more than 25 percent (25%) of the total area of buffer mitigation per 15A NCAC 02B .0295 (o)(7). Substantial changes to the proposed easement boundary as well as any site constraints identified in this letter, could affect the Site’s potential to generate buffer mitigation and nutrient offset credits. This letter does not constitute an approval of this Site to generate buffer and nutrient offset credits. Pursuant to 15A NCAC 02B .0295, a mitigation proposal and a mitigation plan shall be submitted to DWR for written approval prior to conducting any mitigation activities in riparian areas and/or surface waters for buffer mitigation credit. Pursuant to 15A NCAC 02B .0703, a proposal regarding a proposed nutrient load-reducing measure for nutrient offset credit shall be submitted to DWR for approval prior to any mitigation activities in riparian areas and/or surface waters. All vegetative plantings, performance criteria and other mitigation requirements for riparian restoration, enhancement and preservation must follow the requirements in 15A NCAC 02B .0295 to be eligible for buffer and/or nutrient offset mitigation credits. For any areas depicted as not being viable for nutrient offset credit above, one could propose a different measure, along with supporting calculations and sufficient detail to support estimates of load reduction, for review by the DWR to determine viability for nutrient offset in accordance with 15A NCAC 02B .0703. This viability assessment will expire on July 27, 2023 or upon approval of a mitigation plan by the DWR, whichever comes first. The purpose of this Conservation Easement is to maintain streams, wetlands andriparianresourcesandothernaturalvaluesofapproximately_acres, more or less, and being more particularly described in Exhibit B attached hereto and incorporated fully herein by reference (the “Conservation Easement Area”), and prevent the use or development of the Conservation Easement Area for any purpose or inany manner that would conflict with the maintenance of its natural condition. WHEREAS, the restoration, enhancement and preservation of the Conservation Easement Area is also a conditionofthe approval of the Riparian Buffer and Nutrient Offset Mitigation BankingInstrument (MBI) and Bank ParcelDevelopment Package(BPDP)for theRiparian Buffer and Nutrient Offset Mitigation Bank, NorthCarolina Division of Water Resources (NCDWR) Project ID# , which wasapproved bythe NCDWR, and will bemade and entered into by and between , acting as the Bank Sponsor (Bank Sponsor), and the NCDWR. The RiparianBuffer andNutrient OffsetSite is intended to be used to compensate for riparian buffer andnutrient impacts tosurface waters. WHEREAS, Grantor and Grantee agree that third-party rights of enforcement shall be held by the NCDWR and may be exercised through the appropriate enforcement agency of theState of North Carolina, and that these rights are in addition to,anddonotlimit,the rights ofenforcementundertheNC DWR ProjectID# (Umbrella Mitigation Banking Instrument)or any permit or certification issued by the Third- Party. NOW, THEREFORE, for and in consideration of the covenants and representations contained herein and for other good and valuable consideration, the receipt and legal sufficiency of which is hereby acknowledged, Grantor hereby unconditionally and irrevocably grants and conveys unto Grantee, its heirs, successors and assigns, forever and in perpetuity a Conservation Easement of the nature and character and to the extent hereinafter set forth,over the Conservation Easement Area described on Exhibit B, togetherwith the right to preserve and protect the conservation values thereof, as follows: ARTICLE I. DURATIONOFEASEMENT This Conservation Easement shall be perpetual. This Conservation Easement is an easement in gross, runs with the land and is enforceable by Grantee against Grantor, Grantor’s personal representatives, heirs, successors and assigns, lessees, agents and licensees. ARTICLEII. PROHIBITED AND RESTRICTED ACTIVITIES Any activity on, or use of, the Conservation Easement Area inconsistent with the purpose of this Conservation Easement is prohibited. The Conservation Easement Area shall be preserved in its natural condition and restricted from any development that would impair or interfere with the conservation values of the Conservation Easement Area. Without limiting the generality of the foregoing, thefollowing activities and uses are expressly prohibited, restricted or reserved as indicated hereunder: A.Disturbance of Natural Features. Any changedisturbance, alteration or impairment of the natural features of the Conservation Easement Area or any introductionofnon-nativeplantsand/oranimalspeciesisprohibited. B.Construction. Thereshall be no constructing or placing of any building, mobile home, asphalt or concrete pavement, billboard or other advertising display, antenna,utility pole, tower, conduit, line, pier,landing,dock or anyother temporary or permanent structure or facility on or above the Conservation EasementArea. C. Industrial, Commercial and Residential Use. Industrial, residential and/or commercial activities, including any rights of passage for such purposes are prohibited. D.Agricultural, Grazing and Horticultural Use. Agricultural, grazing, animal husbandry, and horticultural use of the Conservation Easement Area are prohibited. E. Vegetation.There shall be no removal, burning, destruction, harming, cutting or mowingof trees, shrubs, or other vegetation in the Conservation Easement Area except as provided in the BPDP. Mowing of invasive and herbaceous vegetation for purposes of enhancing planted or volunteertrees andshrubsapproved intheBPDP is allowable once a year for no more than five consecutive years from the date on page 1 of this Conservation Easement, except where mowing will negatively impact vegetation or disturb soils. Mowing activities shall only be performed by the Bank Sponsor and shall not violate any part of Item L of Article II. F. Roadsand Trails. There shall be no construction of roads, trails or walkways on the Conservation Easement Area; nor enlargement or modification to existing roads,trailsorwalkways. G.Signage.No signs shall be permitted on or over the Conservation Easement Area, except the posting of no trespassing signs, signs identifying the conservation values of the Conservation Easement Area, signs giving directions or proscribing rules andregulationsfortheuseoftheConservationEasementAreaand/orsignsidentifying theGrantorasowneroftheConservationEasementArea. H.Dumping or Storage. Dumping or storage of soil, trash, ashes, garbage, waste, abandoned vehicles, appliances, machinery orhazardoussubstances, or toxic or hazardous waste, or any placement of underground or aboveground storage tanks or othermaterialsontheConservationEasementAreaisprohibited. I. Excavation, Dredging or Mineral Use. There shall be no grading, filling, excavation, dredging, mining or drilling; noremoval of topsoil, sand, gravel, rock, peat, minerals or other materials, and no change in the topography of the land in any manner on the Conservation Easement Area, exceptto restore natural topography or drainagepatterns. . J. Water Quality and Drainage Pattern. There shall be no diking, draining, dredging, channeling, filling, leveling, pumping, impounding or related activities, or altering or tampering with water control structures or devices, or disruption or alteration of the restored, enhanced, or created drainage patterns. In addition, diverting or causing or permitting the diversion of surface or underground water into, within or out of the easement area by any means, removal of wetlands, polluting or discharging into waters, springs, seeps, or wetlands, or use of pesticide or biocides is prohibited. K.Development Rights. No developmentrights that have been encumbered or extinguished by this Conservation Easement shall be transferred pursuant to a transferable development rights scheme or cluster development arrangement or otherwise. L. Vehicles. The operation of mechanized vehicles, including, but not limited to, motorcycles, dirt bikes, all-terrain vehicles, cars and trucks is prohibited other than for temporary oroccasional access by the Enter Sponsor Name, theGrantee, its employees andagents, successors, assigns,and the NCDWRfor purposes of constructing, maintaining and monitoring the restoration, enhancement and preservation of streams, wetlands and riparian areas within the Conservation EasementArea.. M. Other Prohibitions. Any other use of, or activity on, the Conservation Easement Area which is or may become inconsistent with the purposes of this grant, the preservation of the Conservation Easement Area substantially in its natural condition, or the protection of its environmental systems, is prohibited. ARTICLE III GRANTOR’S RESEVERED RIGHTS The Grantor expressly reserves for himself, his personal representatives, heirs, successors or assigns,the right to continue the use of the Conservation Easement Area for all purposes not inconsistent with this Conservation Easement, including, but not limited to, therightto quiet enjoyment of theConservation Easement Area, the rights of ingress and egress, the right to hunt, fish, and hike on the Conservation Easement Area, the right to sell, transfer, gift or otherwise convey the Conservation Easement Area, in whole or in part, provided such sale, transfer or gift conveyance is subject to the termsof,andshall specifically reference,this Conservation Easement. Notwithstanding the foregoing Restrictions, Grantor reserves for Grantor, its successors and assigns, including acting as the Bank Sponsor, the right to construct and perform activities related to the restoration, enhancement, and preservation of riparian areas within the Conservation EasementArea in accordance with the approved _ BPDP, and theUMBI described inthe Recitalsof this Conservation Easement. ARTICLE IV. GRANTEE’SRIGHTS TheGrantee or itsauthorizedrepresentatives, successors and assigns and NCDWR, shall have the right to enter thePropertyand ConservationEasement Area at all reasonable times for the purpose of inspecting the Conservation EasementAreato determine if the Grantor, or his personal representatives, heirs, successors, or assigns, is complying with the terms, conditions, restrictions, and purposes of this Conservation Easement. The Grantee, Enter Sponsor Name, and its authorized representatives, successors and assignsand NCDWR shall also have the right to enter and goupon the Conservation Easement Area for purposes of making scientific or educational observations and studies, and taking samples. The easement rights granted herein do not include public access rights. ARTICLE V ENFORCEMENT AND REMEDIES A.To accomplishthe purposes of thisEasement, Grantee, and NCDWR are allowed to prevent any activity on or use of the Conservation Easement Area that is inconsistent with the purposes of this Easement and to require the restoration of such areas or features of the Conservation Easement Area thatmay be damaged by such activity or use.Upon any breach of the terms of this Conservation Easement by Grantor that comes to the attention of the Grantee, the Grantee shall notify the Grantor in writing of such breach. The Grantor shall have 30 days after receipt of such notice to correct the conditions constituting such breach. If the breach remains uncured after 30 days, the Grantee may enforce this Conservation Easement byappropriate legal proceedings including damages, injunctive and other relief. Notwithstanding the foregoing, the Grantee reserves the immediate right, without notice,to obtain a temporary restrainingorder, injunctive or other appropriate relief if the breach of the terms of this Conservation Easement is or would irreversibly or otherwise materially impair the benefits to be derived from this Conservation Easement. The Grantor and Grantee acknowledge that under such circumstances damage to the Grantee would be irreparable and remedies at law will be inadequate. The rights and remedies of the Grantee provided hereunder shall be in addition to, and not in lieu of, all other rights and remedies available to Grantee in connection with this Conservation Easement. The costs of a breach, correction or restoration, including the Grantee’s expenses, court costs, and attorneys’ fees, shall be paid by Grantor, provided Grantor is determined to be responsible for the breach. The NCDWR shall have the same rights and privileges as the said Grantee to enforce the terms and conditions of this Conservation easement.. B. No failure on the part of the Grantee to enforce any covenant or provision hereof shall discharge or invalidate such covenant or any other covenant, condition, or provision hereof or affect the right to Grantee to enforce the same in the event of a subsequent breach or default. C. Nothing contained in this Conservation Easement shall be construed to entitle Grantee to bring any action against Grantor for any injury or change in the Conservation Easement Area resulting from causes beyond the Grantor’s control, including,withoutlimitation,fire,flood,storm,war,actsofGodorthirdparties,except Grantor’slesseesorinvitees; orfromanyprudentactiontakeningoodfaithbyGrantor under emergency conditions to prevent, abate, or mitigate significant injury to life, damage to property or harm to the Conservation Easement Area resulting from such causes. ARTICLE VI MISCELLANEOUS A.Warranty. Grantor warrants, covenants and represents that it owns the Propertyinfeesimple,and that Grantor either owns all interests inthe Property which may be impaired by the granting of this Conservation Easement or that there are no outstanding mortgages, tax liens, encumbrances, or other interests in the Property which have not been expressly subordinated to this Conservation Easement. Grantor further warrants that Grantee shall have the use of and enjoy all the benefits derived from and arising out of this ConservationEasement, and that Grantor will warrant and defendtitle to the Property against the claims of all persons. B. Subsequent Transfers. The Grantor agrees to incorporate the terms of this Conservation Easement in any deed or other legal instrument that transfers any interest in all or a portion of the Conservation Easement Area. The Grantor agrees to provide written notice of such transfer at least sixty (60) days prior to the date of the transfer.TheGrantorandGranteeagreethatthetermsofthisConservationEasement shall survive any merger of the fee and easement interests in the Conservation Easement Area or any portion thereof andshall not be amended, modified or terminated without the prior written consent and approval of the NCDWR. C. Assignment. The parties recognize and agree that the benefits of this Conservation Easement are in gross and assignable provided, however that the Grantee hereby covenants and agrees, that in the event it transfers or assigns this Conservation Easement, the organization receiving the interest will be a qualified § 501 (c)(3) holder pursuant to33 CFR 332.7 (a)(1),N.C. Gen.Stat. § 121-34 et seq. and and § 170 (h) of the Internal Revenue Code, and the Grantee further covenants and agrees that the terms of the transfer or assignment will be such that the transfereeor assignee will be required to continue in perpetuity the conservation purposes described inthisdocument. D.Entire Agreement and Severability. The combined Mitigation Banking Instruments: MBI with corresponding Mitigation Plan, and MBI with corresponding BPDP, and this Conservation Easement sets forth the entire agreement of the parties with respect to the Conservation Easement and supersedes all prior discussions, negotiations, understandings or agreements relating to the Conservation Easement. If anyprovisionisfoundtobevoid or unenforceableby a courtofcompetentjurisdiction, the remainder shall continueinfullforce and effect. E. Obligations of Ownership. Grantor is responsible for any real estate taxes, assessments, fees, or charges levied upon the Property. Grantor shall keep the Property free of any liens or other encumbrances for obligations incurred by Grantor. Grantee shall not be responsible for any costs or liability of any kind related to the ownership, operation, insurance, upkeep, or maintenance of the Property, except as expresslyprovidedherein.NothinghereinshallrelievetheGrantoroftheobligationto comply with federal, state or local laws, regulations and permits that may apply to the exerciseoftheReservedRights. F. Long-Term Management.If livestock operations will be maintained on the property, Grantor is responsible for all long-term management activities associated with fencing to ensure livestock do not have access to the Protected Property. These activities include the maintenance and/orreplacementof fence structures,as deemed necessary by the Grantee, to ensure the aquatic resource functions within the boundaries of the ProtectedProperty are sustained. G.Extinguishment. Intheevent that changed conditions renderimpossible the continued use of the Conservation Easement Area for the conservation purposes, this Conservation Easement may only be extinguished, in whole or in part, by judicial proceeding. H.Eminent Domain. Whenever all or partof the ConservationEasementArea is taken in the exercise of eminent domain so as to substantially abrogate the Restrictionsimposedby this Conservation Easement, Grantor and Grantee shall join in appropriate actions at the time of such taking to recover the full value of the taking, and all incidental and direct damages due to the taking. I. Proceeds. This Conservation Easement constitutes a real property interest immediately vested in Grantee. In the event that all or a portion of the Conservation Easement Area is sold, exchanged, or involuntarily converted following an extinguishment or the exercise of eminent domain, Grantee shall be entitled to the fair market value of this Conservation Easement as determined at the time of the extinguishment orcondemnation. J. Notification. Stream restoration projects often improve water quality and aquatic habitat. Establishing native,forested buffers in riparian areas will improve both aquatic and terrestrial habitats andprovide atravel corridor for wildlife species. In addition to stringent best management practicesfor erosion and sediment controlduring construction, the NCWRCrecommendsthe use of biodegradable and wildlife-friendly sediment and erosion control devices. Siltfencing,fiberrolls and/or other products should have loose-weave netting that is made of natural fiber materialswith movable joints between the vertical and horizontal twines. Silt fencingand similar productsthat havebeen reinforced with plastic or metal mesh should be avoidedas they impede the movement of terrestrial wildlife species. Excessive silt and sediment loads can have detrimental effectsonaquatic resources including destruction of spawning habitat, suffocation of eggs and clogging ofgills.
