Board of Directors Meetings
June 18, 2021
The Board of Directors held a meeting Friday, June 18, 2021, at 10 00 A M at the Yacht Club
Those present included Board member§-Frank=Voh_and Joe Heidel Jason Warner and Pete Arnold attended
by phone Also present was Hunter Tayloe, Dock Master, and Tara Armstrong, CAMS Representative
Quorum was established, and the meeting was called to order at 10 07 A M
Minutes
The minutes of the April meeting were unanimously approved
Board Reorganization
Wayne Pierce has had to resign for health reasons Frank made a motion to appoint Dan Martin to the vacant
position until the time of the next election The motion was seconded and unanimously approved

Managers Reports
Hunter summanzed a few points on the manager's report which was circulated in advance
Parking Issues
Owners and renters have been wanting to park at TIYC to go to the beach without the intention of using their
boats, the pool, etc It hasn't become an issue yet with Memorial Day weather being poor Hunter is
anticipating Independence Day to be a better indicator of whether or not there is an issue and action to be taken
Hunter did obtain a small sign that indicates Private Property, No Trespassing
Frank asked Hunter to contact the city about having signage erected along the street in the grass area to denote
no parking
Oyster Roast
Joe indicated that if the Board wants to move forward with an oyster roast this year that we need to get on the
schedule with Captain Bill's/Mussers
July 3rd Party
Hunter located a caterer in Lillington who can provide two meats, sides, desserts and beverage for $15 per
person Charging a certain amount per head seemed to help guarantee that people showed up and the head
count was accurate for catering Charge per head of $5 with kids free
Review Financials
Financials are tracking in accordance with budget through May 31'` Delinquencies are being pursued to the
Furthest extend allowed by statute
Tax Issue
Ongoing tax issue with the town continues Dan reported that right now counsel remains poised to take action
but is awaiting response of the town's counsel to avoid costs
Adiournment There being no further business, the Topsail Island Yacht Club Board of Directors meeting
adjourned at 11 39 A M

I am sure there are meeting minutes with that information Mark Yew was the original developer that setup
the association Frank Voli was President when we built our clubhouse in late 2015-early 2016 We had to
modify the existing stormwater permit at that time due to the developer's bankruptcy Mr Voli signed all the
documents related to the stormwater permit at that time
I will contact our Association's management company to get copies of minutes reflecting Frank Voli as
President

Thank you to the response of the additional information request A review of the NC Secretary of State lists a Mr Mark
Yew as President of Topsail Island Yacht Club The letter of signature authority would have to come from an identified
member on the Secretary of State business registration Are there perhaps meeting minutes from the club or online
listing that states Mr Voli as President you could send?

Pursuant to N C G S §55A-10-05, the undersigned nonprofit corporation hereby
submits these Articles of Amendment for the purpose of amending its Articles of Incorporation
Association, Inc
The name of the corporation is Beach House Yacht Club Owners
The text of each amendment adopted is as follows
The Articles of Incorporation of the corporation hereby are
amended by deleting Paragraph 1 thereof and inserting in
lieu thereof the following new Paragraph 1
"1 The name of the corporation is Topsail Island Yacht
Club ("Association")
The Articles of Incorporation of the corporation hereby are
further amended by deleting Paragraph 15 thereof and
inserting in lieu thereof the following new Paragraph 15
"15 Amendment of these Articles may only be
undertaken with the affirmative vote of not less than
sixty-seven percent (67%) of all of the members of
the Association.
The above amendments were approved by the members as required by
Section 15 of the Articles of incorporation and Chapter 55A
This document shall be effective upon filing
