Staff review of the plans and specifications has determined that the project, as proposed, will comply with the Stormwater Regulations set forth in Session Law 2008-211 and Title 15A NCAC 2H.1000 We are forwarding Permit No. SW8 101009 dated January 13, 2011, for the construction of the subject project This permit shall be effective from the date of issuance until January 13, 2021, and shall be subject to the conditions and limitations as specified therein. Please pay special attention to the Operation and Maintenance requirements in this permit Failure to establish an adequate system for operation and maintenance of the stormwater management system will result in future compliance problems If any parts, requirements, or limitations contained in this permit are unacceptable, you have the right to request an adiudicatory hearing upon written request within thirty (30) days following receipt of this permit This request must be in the form of a written petition, conforming to Chapter 150B of the North Carolina General Statutes, and filed with the Office of Administrative Hearings, P.O. Hwy. 421, Wilmington, New Hanover County FOR THE construction, operation and maintenance of one (1) infiltration basin in compliance with the provisions of Session Law 2008-211 and 15A NCAC 2H .1000 (hereafter collectively and separately referred to as the "stormwater rules') and the approved stormwater management plans and specifications and other supporting data as attached and on file with and approved by the Division of Water Quality and considered a part of this permit. This permit shall be effective from the date of issuance until January 13, 2021, and shall be subject to the following specified conditions and limitations - I. DESIGN STANDARDS This permit is effective only with respect to the nature and volume of stormwater described in the application and other supporting data. 2. This stormwater system has been approved for the management of stormwater runoff as described in Section 1.8 on page 3 of this permit. The stormwater control has been designed to handle the runoff from 641,274 square feet of impervious area, including future amount 3 The tract will be limited to the amount of built -upon area indicated in Section 1.8 on page 3 of this permit, and as shown on the approved plans. The built -upon area for the future development is limited to 92,083 square feet. 4 The stormwater system is designed to infiltrate the 10-year, 24-hour storm without discharging at half the expected infiltration rate within 5 days, and therefore no bypass, vegetated filter, or additional storage volume is required. The rainfall depth of the 10-year storm is 7.08 inches over a 24-hour period 5. SCHEDULE OF COMPLIANCE 1. The stormwater management system shall be constructed in its entirety, vegetated and operational for its intended use prior to the construction of any built -upon surface. 2. The permittee shall at all times provide the operation and maintenance necessary to assure the permitted stormwater system functions at optimum efficiency. The approved Operation and Maintenance Plan must be followed in its entirety and maintenance must occur at the scheduled intervals including, but not limited to• a Semiannual scheduled inspections (every 6 months) b. Sediment removal. C. Mowing and revegetation of slopes d Immediate repair of eroded areas. e. Maintenance of all slopes in accordance with approved plans and specifications. f. Debris removal and unclogging of infiltration media, catch basins, swales, and piping g A clear access path to infiltration basin must be available at all times. 4. The facilities shall be constructed as shown on the approved plans. This permit shall become voidable unless the facilities are constructed in accordance with the conditions of this permit, the approved plans and specifications, and other supporting data 5 If the stormwater system was used as an Erosion Control device, it must be restored to design condition prior to operation as a stormwater treatment device, and prior to occupancy of the facility 6. A copy of the approved plans and specifications shall be maintained on file by the Permittee for a minimum of ten years from the date of the completion of construction 7 Records of maintenance activities must be kept for each permitted BMP. The reports will indicate the date, activity, name of person performing the work and what actions were taken 8. Upon completion of construction, prior to issuance of a Certificate of Occupancy, and prior to operation of this permitted facility, a certification must be received from an appropriate designer for the system installed certifying that the permitted facility has been installed in accordance with this permit, the approved plans and specifications, and other supporting documentation. Any deviations from the approved plans and specifications must be noted on the Certification. A modification may be required for those deviations. 9. Access to the stormwater facilities shall be maintained via appropriate easements at all times 10. The permittee shall submit to the Director and shall have received approval for revised plans, specifications, and calculations prior to construction, for any modification to the approved plans, including, but not limited to, those listed below - a. Any revision to any item shown on the approved plans, including the stormwater management measures, built -upon area, details, etc. b. Project name change C. Transfer of ownership. d. Redesign or addition to the approved amount of built -upon area or to the drainage area e. Further development, subdivision, acquisition, lease or sale of any, all or part of the project area. The project area is defined as all property owned by the permittee, for which Sedimentation and Erosion Control Plan approval or a CAMA Major permit was sought. f. Filling in, altering, or piping of any vegetative conveyance shown on the approved plan. Page 4 of 8 State Stormwater Management Systems Permit No SW8 101009 11. The permittee shall submit final site layout and grading plans for any permitted future areas shown on the approved plans, prior to construction. 12 The Director may notify the permittee when the permitted site does not meet one or more of the minimum requirements of the permit Within the time frame specified in the notice, the permittee shall submit a written time schedule to the Director for modifying the site to meet minimum requirements. The permittee shall provide copies of revised plans and certification in writing to the Director that the changes have been made. III. GENERAL CONDITIONS 1. Approved plans and specifications for this project are incorporated by reference and are enforceable parts of the permit 2. This permit is not transferable to any person or entity except after notice to and approval by the Director. In the event of a change of ownership, or a name change, the permittee must submit a completed Name/Ownership Change form to the Division of Water Quality, signed by both parties, and accompanied by the appropriate documentation as listed on page 2 of the form. The approval of this request will be considered on its merits and may or may not be approved. 3 The permittee is responsible for compliance with all permit conditions until such time as the Division approves the transfer request 4. Failure to abide by the conditions and limitations contained in this permit may subject the Permittee to enforcement action by the Division of Water Quality, in accordance with North Carolina General Statute 143-215.6A to 143-215.6C 5. The issuance of this permit does not preclude the Permittee from complying with any and all statutes, rules, regulations, or ordinances, which may be imposed by other government agencies (local, state, and federal) having jurisdiction. 6 In the event that the facilities fail to perform satisfactorily, including the creation of nuisance conditions, the Permittee shall take immediate corrective action, including those as may be required by this Division, such as the construction of additional or replacement stormwater management systems 7. The permittee grants DENR Staff permission to enter the property during normal business hours for the purpose of inspecting all components of the permitted stormwater management facility. 8. The permit issued shall continue in force and effect until revoked or terminated. The permit may be modified, revoked and reissued or terminated for cause The filing of a request for a permit modification, revocation and reissuance or termination does not stay any permit condition. 9 Unless specified elsewhere, permanent seeding requirements for the stormwater controls must follow the guidelines established in the North Carolina Erosion and Sediment Control Planning and Design Manual 10. The issuance of this permit does not prohibit the Director from reopening and modifying the permit, revoking and reissuing the permit, or terminating the permit as allowed by the laws, rules and regulations contained in Session Law 2008- 211, Title 15A NCAC 2H.1000, and NCGS 143-215.1 et. al. 11 The permittee shall notify the Division in writing of any name, ownership or mailing address changes at least 30 days prior to making such changes Page 5 of 8 State Stormwater Management Systems Permit No SW8 101009 12. The renewal request must include the appropriate documentation and the processing fee. The following terms used in this Agreement shall have the following meanings (unless otherwise expressly provided herein) - (a) "Act" means the North Carolina Limited Liability Company Act, as the same may be amended from time to time (b) "Articles of Organization" means the Articles of Organization of the Company filed with the Secretary of State, as amended or restated from time to time. (c) "Capital Account" means for the account established for the Member pursuant to Section 6.2 hereof and maintained in accordance with the provisions of this Agreement (d) "Code" means the Internal Revenue Code of 1986, as amended from time to time (and any corresponding provisions of any succeeding law). The Manager shall hold office until the Manager's successor shall have been elected and qualified, or until the death or dissolution of the Manager, or until his resignation or removal from office in the manner provided in this Agreement or in the Act 3.4 Resignation. The Manager of the Company may resign at any time by giving written notice to the Member of the Company. The resignation of the Manager shall take effect upon receipt of notice thereof or at such later time as shall be specified in such notice; and, unless otherwise specified therein, the acceptance of such resignation shall not be necessary to make it effective 3.5 Removal. The Manager may be removed at any time, either with or without cause, by the Member. 3.6 Vacancies The Member shall appoint a person to serve as Manager in the event of the death, resignation, or removal of the Manager 3.7 Inspection of Books and Records. The Manager shall have the right to examine all books and records of the Company for a purpose reasonably related to the Manager's position as a Manager 3.8 Compensation The compensation of the Manager shall be fixed from time to time by the Member, or by contract approved by the Member, and the Manager shall not be prevented from receiving such salary if he is also the Member of the Company ARTICLE IV - THE MEMBER 4.1 Name and Address of Initial Member The name, address and Membership Interest of the initial Member of the Company are as reflected in Schedule I attached hereto and made a part hereof, which Schedule shall be as amended by the Company as of the effectiveness of any transfer or subsequent issuance of any Membership Interest 4 2 Identification of Member. The Organizer of the Company hereby identifies Southern Metals Recycling, Inc., a North Carolina corporation, as the initial Member of the Company. 4.3 Admission of Members. (a) In the case of a Person acquiring a Membership Interest directly from the Company, the Person shall become a Member with respect to such Membership Interest on compliance with the requirements of Article VIII and, with respect to the initial Member, making the initial Capital Contribution specified in Section 6 1 (b) An assignee of a Membership Interest shall become a Member only on compliance with the requirements of Article VIII (c) Any Person may become a Member unless such Person lacks capacity or is otherwise prohibited from being admitted by applicable law. ARTICLE V - LIMITATION OF LIABILITY AND INDEMNIFICATION OF THE MANAGER AND THE MEMBER 5.1 Limitation of Liability. No Manager or Member of the Company shall be Fable to the Company for monetary damages for an act or omission in such person's capacity as a Manager or a Member, except as provided in the Act for (i) acts or omissions which a Manager knew at the time of the acts or omissions were clearly in conflict with the interests of the Company, (ii) any transaction from which a Manager derived an improper personal benefit, or (ui) acts or omissions occurring prior to the date this provision becomes effective If the Act is amended to authorize action further eliminating or limiting the liability of Managers and Members, then the liability of the Manager or Member of the Company shall be eliminated or limited to the fullest extent permitted by the Act as so amended. Any repeal or modification of this section shall not adversely affect the right or protection of a Manager or Member existing at the time of such repeal or modification. 5 2 Indemnification The Company shall indemnify the Manager and Member to the fullest extent permitted or required by the Act, as amended from time to time, and the Company may advance expenses incurred by the Manager or Member upon the approval of the Member and the receipt by the Company of an undertaking by the Manager or Member to reimburse the Company unless it shall ultimately be determined that the Manager or Member is entitled to be indemnified by the Company against such expenses. The Company may also indemnify its employees and other representatives or agents up to the fullest extent permitted under the Act or other applicable law, provided that the indemnification in each such situation is first approved by the Member As used in this agreement, "improper personal benefit" does not include reasonable compensation or other reasonable incidental benefits for or on account of service as a Manager, an officer, an employee, an independent contractor, an attorney, or a consultant of the Company. 5 3 Other Rights The indemnification provided by this Agreement shall: (i) be deemed exclusive of any other rights to which a person seeking indemnification may be entitled under any statute, agreement, or otherwise, both as to action in official capacities and as to action in another capacity while holding such office, (ii) continue as to a person who ceases to be a Manager or Member, (iii) inure to the benefit of the estate, heirs, executors, administrators or other successors of an indemintee, and (iv) not be deemed to create any rights for the benefit of any other person or entity 5 4 Report to Member. The details concerning any action to limit the liability, indemnify or advance expenses to the Manager or other, taken by the Company shall be reported in writing to the Member as soon as possible, and in any event, within ten (10) days immediately following the date of the action. ARTICLE VI - CONTRIBUTIONS TO CAPITAL AND CAPITAL ACCOUNTS; LOANS 6.1 Capital Contribution; Loans. (a) Upon execution of this Agreement, the Member agrees to contribute cash to the Company as set forth as the Initial Capital Contribution of such Member on Schedule I, attached hereto. If the Member determines that the Initial Capital Contribution is insufficient to carry out the purposes of the Company, the Member may make additional contributions to the capital of the Company (b) The Member shall not be paid interest on any Capital Contribution to the Company. 6 2 Capital Accounts. (a) The Company shall maintain a separate capital account ("Capital Account") for the Member pursuant to the principles of this Section 6 2. The Initial Capital Account of the Member shall be the Initial Capital Contribution of the Member. Such Capital Account shall be increased by (i) the amount of the subsequent Capital Contributions of the Member to the Company under Section 6 1 and (n) such Member's allocable share of Company Income and Net Income pursuant to Section 7.1. Under circumstances involving a return of any Capital Contribution, no Member shall have the right to receive property other than cash, except as provided in Article IX of this Agreement. 6 4 Liability of Member The Member shall not be liable for the debts, liabilities or obligations of the Company beyond its respective Initial Capital Contribution. The Member shall not be required to contribute to the capital of, or to loan any funds to, the Company. ARTICLE VII - ALLOCATIONS, DISTRIBUTIONS, ELECTIONS AND REPORTS 7.1 Allocations. The Manager shall distribute Distributable Cash and other property at such times and in such amounts as he may determine, in his sole discretion. All such distributions of Distributable Cash or other property shall be made to the Member. Except as provided in Section 7.3, all distributions of Distributable Cash and property shall be made at such time as determined by the Manager Subject to the limitations in Section 7 3, such distributions may include a return of part or all of the Member's Initial Capital Contribution or any additional capital contribution by the Member 7.3 Limitation Upon Distributions. No distribution shall be declared and paid if payment of such distribution would cause the Company to violate any limitation on distributions provided in the Act. 7 4 Allocations for Tax Purposes. Each item of Income, Net Income or Net Loss of the Company shall be allocated to the Member in the same manner as such allocations are made for book purposes pursuant to Section 7 1. 7.5 Records and Reports. At the expense of the Company, the Manager shall maintain records and accounts of all operations and expenditures of the Company The Company shall keep at its principal office the records required by the Act to be maintained there 7 6 Books of Account. (a) The Manager shall maintain, or cause to be maintained, the Company's books and records and shall determine all items of Income, Loss, Net Income and Net Loss in accordance with the method of accounting selected by the Manager, consistently applied All of the records and books of account of the Company, in whatever form maintained, shall at all times be maintained at the principal office of the Company and shall be open to the inspection and examination of the Member or its representatives during reasonable business hours. Such right may be exercised through any agent or employee of the Member designated by its or by an attorney or independent certified public accountant designated by the Member. The Member shall bear all expenses incurred in any examination made on behalf of the Member. (b) All expenses in connection with the keeping of the books and records of the Company and the preparation of audited or unaudited financial statements required to implement the provisions of this Agreement or otherwise needed for the conduct of the Company's business shall be borne by the Company as an ordinary expense of its business. 7 7 Bank Accounts. The bank account or accounts of the Company shall be maintained in the bank approved by the Manager The terms governing such accounts shall be determined by the Manager and withdrawals from such bank accounts shall only be made by such parties as may be approved by the Manager. ARTICLE VIII - TRANSFERABILITY OF MEMBERSHIP INTERESTS, ADMISSION OF MEMBERS 8 1 Transferability of Membership Interests Membership interests may be voluntanly transferred only with the consent of the Manager. The Manager may require the proposed transferee to furnish the Company with an opinion of counsel, satisfactory in form and substance to the Manager, that neither the offering nor the proposed transfer will violate any Federal or applicable state securities law and that such offering or proposed transfer will not adversely affect the Company from being taxed as a partnership for Federal income tax purposes. 7 8.2 Pledge as Collateral. The provisions of Section 8.1 shall apply to pledge of any Membership Interest as collateral for a loan 8 3 Rights of Transferee. Unless and until admitted as a Member of the Company in accordance with Section 8.4, the transferee of a Membership Interest shall not be entitled to any of the rights, powers, or privileges of a Member, except that the transferee shall be entitled to receive the distributions and allocations to which the Member would be entitled but for the transfer of its Membership Interest 8.4 Admission of Transferees as Members. A transferee of a Membership Interest may be admitted as a Member of the Company upon furnishing to the Company all of the following: (a) The written consent of all Members; (b) The acceptance, in a form satisfactory to the Manager, of all the terms and conditions of this Agreement; and (c) Payment of such reasonable expenses as the Company may incur in connection with his admission as a Member. 8.5 Admission of New Members. New Members to the Company may only be admitted with the consent of all Members, upon compliance with Section 8 1, and, if the Manager so requires, upon receipt by the Company of an opinion of counsel, satisfactory in form and substance to the Manager that neither the offering nor the proposed sale of the Membership Interest will violate any Federal or applicable state securities law and that neither such offering or sale will adversely affect the Company from being taxed as a partnership for Federal income tax purposes ARTICLE IX - DISSOLUTION AND TERMINATION 9.1 Withdrawal Except as otherwise provided in this Agreement, the Member shall not at any time retire or withdraw from the Company or withdraw any amount out of its Capital Account Any Member retiring or withdrawing in contravention of this Section 9.1 shall indemnify, defend and hold harmless the Company from and against any losses, expenses, judgments, fines, settlements or damages suffered or incurred by the Company arising out of or resulting from such retirement or withdrawal 9 2 Dissolution (a) The Company shall be dissolved upon the first of the following to occur- (i) Upon the election to dissolve the Company by the Member; (it) Upon the happening of any event of withdrawal (as defined in the Act) with respect to the Member, or (iii) The entry of a decree of judicial dissolution or the issuance of a certificate for administrative dissolution under the Act. (b) Upon dissolution of the Company, -the business and affairs of the Company shall terminate and be wound up, and the assets of the Company shall be liquidated under this Article IX (c) Dissolution of the Company shall be effective as of the day on which the event occurs giving rise to the dissolution, but the Company shall not terminate until there has been a winding up of the Company's business and affairs, and the assets of the Company have been distributed as provided in Section 9.4. (d) Upon dissolution of the Company, the Manager may cause any part or all of the assets of the Company to be sold in such manner as the Member shall determine in an effort to obtain the best prices for such assets. Otherwise, the assets of the Company shall be distributed in kind to the Member to the maximum extent practicable 9 3 Articles of Dissolution Upon the dissolution and commencement of the winding up of the Company, the Manager shall cause Articles of Dissolution to be executed on behalf of the Company and filed with the Secretary of State, and the Manager shall execute, acknowledge and file any and all other instruments necessary or appropriate to reflect the dissolution of the Company. 9.4 Distribution of Assets Upon Dissolution. In settling accounts after dissolution, the assets of the Company shall be paid in the following order: (a) First, to creditors, in the order of priority as provided by law, except those to the Member on account of its Capital Contributions, (b) Second, an amount equal to the then remaining credit balances in the Capital Accounts of the Member shall be distributed to the Member; and (c) Thad, any remainder shall be distributed to the Member. ARTICLE X - MISCELLANEOUS PROVISIONS 10 1 Competing Business Except as otherwise expressly provided in this Agreement or the Act, neither the Manager nor the Member, nor any of their employees, officers, directors, stockholders, partners, agents, family members or affiliates, shall be prohibited or restricted in any way from investing in or conducting, either directly or indirectly, and may invest in and/or conduct, either directly or indirectly, businesses of any nature whatsoever, including the ownership and operation of businesses or properties similar to or in the same geographical area as those held by the Company Except as otherwise provided in this Agreement or the Act, any investment in or conduct of any such businesses by any such person or entity shall not give rise to any claim for an accounting by any Member or the Company or any right to claim any interest therein or the profits therefrom we 10.2 Member Representations and Agreement. Notwithstanding anything contained in this Agreement to the contrary, the Member hereby represents and warrants to the Company, the Manager that- (a) the Membership Interest of the Member is acquired for investment purposes only, for the Member's own account, and not with a view to or in connection with any distribution, reoffer, resale or other disposition not in compliance with the Securities Act of 1933, as amended, and the rules and regulations thereunder (the "1933 Act") and applicable state securities laws, (b) the Member, alone or together with the Member's representatives, possesses such expertise, knowledge and sophistication in financial and business matters generally, and in the type of transactions in which the Company proposes to engage in particular, that the Member is capable of evaluating the merits and economic risks of acquiring and holding the Membership Interest and the Member is able to bear all such economic risks now and in the future; (c) the Member has had access to all of the information with respect to the Membership Interest acquired by the Member under this Agreement that the Member deems necessary to make a complete evaluation thereof; (d) the Member's decision to acquire the Membership Interest for investment has been based solely upon the evaluation made by the Member; (e) the Member is aware that the Member must bear the economic risk of an investment in the Company for an indefinite period of time because Membership Interests have not been registered under the 1933 Act or under the securities laws of various states and, therefore, cannot be sold unless such Membership Interests are subsequently registered under the 1933 Act and any applicable state securities laws or an exemption from registration is available; (0 the Member is aware that only the Company can take action to register Membership Interests and the Company is under no such obligation and does not purpose to attempt to do so; (g) the Member is aware that this Agreement provide restrictions on the ability of the Member to sell, transfer, assign, mortgage, hypothecate or otherwise encumber the Member's Membership Interest, and (h) the Member agrees that the Member will truthfully and completely answer all questions, and make all covenants, that the Company or the Manager may, contemporaneously or hereafter, ask or demand for the purpose of establishing compliance with the 1933 Act and applicable state securities laws. 10.3 Notice (a) All notices, demands or requests provided for or permitted to be given pursuant to this Agreement must be in writing. (b) All notices, demands and requests to be sent to any Manager or Member pursuant to this Agreement shall be deemed to have been properly given or served if addressed to such person at the address as it appears on the Company records and (i) personally delivered, (ii) deposited for next day delivery by Federal Express, or other similar overnight courier services, (iii) deposited in the United States mail, prepaid and registered or certified with return receipt requested or (iv) transmitted via telecopier or other similar device to the attention of such person with receipt acknowledged. (c) All notices, demands and requests so given shall be deemed received: (i) when actually received, if personally delivered, deposited for next day delivery with an overnight courier or telecopied, or (ii) as indicated upon the return receipt if deposited in the United States mail 10 (d) The Manager and Member shall have the right from time to time, and at any time during the term of this Agreement, to change their respective addresses by delivering to the Company written notice of such change in the manner prescribed in Section 10.3(b) (e) All distributions to any Member shall be made at the address at which notices are sent unless otherwise specified in writing by any such Member. 10.4 Amendments. This Agreement or the Articles of Organization may only be amended or modified by a writing executed and delivered by all of the Members. 10.5 Governing Law This Agreement is made in New Hanover County, North Carolina, and the rights and obligations hereunder shall be interpreted, construed and enforced in accordance with the laws of the State of North Carolina. 10.6 Entire Agreement This Agreement, including all schedules to this Agreement, as amended from time to time in accordance with the terms of this Agreement, contain the entire agreement among the parties relative to the subject matters hereof 10.7 Severabihty If any provision of this Agreement or the application thereof to any person or circumstance shall be invalid or unenforceable to any extent, the remainder of this Agreement and the application of such provisions to other persons or circumstances shall not be affected thereby, and the intent of this Agreement shall be enforced to the greatest extent permitted by law 10 8 Binding Agreement. Subject to the restrictions on transferability set forth in this Agreement, this Agreement shall inure to the benefit of and be binding upon the undersigned Member and its respective legal representatives, successors and assigns 10 9 Tense and Gender Unless the context clearly indicates otherwise, the singular shall include the plural and vice versa. Whenever the masculine, feminine or neuter gender is used inappropriately in this Agreement, this Agreement shall be read as if the appropriate gender was used. 10 10 Captions. Captions are included solely for convenience of reference and if there is any conflict between captions and the text of this Agreement, the text shall control. 10 11 Benefits of Agreement. Nothing in this Agreement expressed or implied, is intended or shall be construed to give to any creditor of the Company or any creditor of any Member or any other person or entity whatsoever, other than the Member and the Company, any legal or equitable right, remedy or claim under or in respect of this Agreement or any covenant, condition or provisions herein contained, and such provisions are and shall be held to be for the sole and exclusive benefit of the Member and the Company. 10.12 Counterparts, This Agreement maybe executed in multiple counterparts, each of which shall be deemed an original for all purposes and all of which when taken together shall constitute a single counterpart instrument Executed signature pages to any counterpart instrument may be detached and affixed to a single counterpart, which single counterpart with multiple executed signature pages affixed thereto constitutes the original counterpart instrument. Offline Bypass: Please provide an offline bypass to a level spreader/filter strip unless the design is intended to comply with one of the alternate designs on page 16-9 of the manual. If that is the case, please provide calculations for that design option. 10.)Offsite Drainage Area: There are two ways to address offsite drainage: a. Treat it in the basin. Please ensure that the offsite drainage area is shown on the plan'and show all of the impervious area in this drainage area just as you would for any standard onsrte drainage area. The difficult thing about offsite drainage is that this permit will not control the impervious on the offsite land. The owner of the offsite drainage area can build as much impervious as they want and so that area has to be accounted for in the BMP when offsite area drains to the BMP. This means that the offsite area has to be accounted for at full build -out (100% impervious) unless there is some impervious limitation for that tract of land. Often zoning or other local ordinances restrict the impervious amount If that is the case, for instance, if zoning restricts impervious to 50% then you only have to account for the offsite at 50% impervious and submit a copy of the zoning ordinance restriction for the area. The package currently does not account for any impervious area offsite b. Route it around the project: If you don't want to treat the offsite impervious in the basin, then you have to route it around the project. New Hanover County The Cape Fear Pick & Pull is a commercial/light industrial site in New Hanover County, Parcel ID# R04000-002-003-002, owned by Great Neck Holdings, LLC, and contains approximately 22.5 acres. The site was previously a sand mining pit but is now being developed into a stockpile facility for recycled automobiles that will be sold for used parts. Due to the mining operation, there currently is a large depression area in the center of the site that will be used for the proposed infiltration basin in which all on -site stormwater will be directed. No wetlands exist on the site. Cape Fear Pick & Pull is proposing to construct one commercial sales building, parking area, one open shed building, roads, stockpile parking for recycled automobiles, utilities, and an infiltration basin. The main purpose of the open shed building will be to drain remaining fluids (gas, oil, brake, etc.) from the recycled cars prior to stockpiling the vehicles on -site. After the fluids have been extracted, the parts will be capped and/or sealed to prevent leaks on -site and the extracted fluids will be hauled off -site. The total drainage area for the site is approximately 23.0 acres which includes both on -site and off -site drainage. The total amount of proposed and future impervious area for this project is approximately 14.7 acres (12.6 proposed / 2.1 future). Approximately 0.5 acres of existing off - site area will be treated in the proposed infiltration basin. The basin is sized accordingly to accept the 0.5 acres of off -site drainage. Based upon visual on -site inspection and New Hanover County GIS topography, approximately 9 0 acres of off -site area drains to the site along the south property boundary adjacent to Flemming Road. This off -site area currently drains to an existing vegetative depression near the southeast property corner. Therefore to minimize the 10/6/10 TE 10023 natural drainage patterns of adjacent property, the 9.0 acres of existing off -site drainage (South of Flemming Road) will not be treated in the proposed infiltration basin. The site is located in the Cape Fear River Basin and is located approximately 0.47 miles from the Northeast Cape Fear River (Class SC; Sw, Index #: 18-74-(61)). The high density project will be treated by erosion control measures such as drop inlets with inlet protection, grassed conveyance swales, temporary silt fence, temporary graveled construction entrance, and an infiltration basin. The infiltration basin will be designed to meet the State's 1.5" requirement and alternately sized for the 1-yr, 10-yr, 25-yr, and 100-yr storm events. Calculations have also been provided to demonstrate that the 10-yr 24-hour storm event can be infiltrated without discharging the system using an infiltration rate of one-half of the infiltration rate reported in the soils report, therefore waiving the State required off-line bypass and vegetated filter strip. To evenly distribute discharge to the infiltration basin, six separate drop inlet outfalls are proposed around the perimeter of the basin. The maximum volume allowed per inlet is 2.0 acre -inches (NCDENR BMP Manual section 16.3.3,2). Per the attached soils report, the SHGWT was approximately I V below the ground surface in the bottom of the existing depression area The elevation of the ground surface at the bore location is approximately elevation 7.9, therefore the SHGWT elevation is approximately elevation 7.0. The bottom of the infiltration basin has been set 2' above the SHGWT at elevation 9.0. Ultimately, the infiltration basin is sized adequately for the proposed and future impervious area and will drawdown in less than 3 days for the 100-yr storm event with no emergency outfall. In the case of default within the infiltration basin, a temporary pumping system will be implemented. The Debtors Sled their petition pursuant to Chapter 11 of the United States Bankruptcy Code on September 18, 2009, and continue to operate as debtors -in -possession. 4. The Debtors are individuals who own real property in Horry County, South Carolina, and New Hanover County, North Carolina. S. The Motion is made pursuant to the provisions of Sections 363(b) and (f), 105, and 1101, el seq. of the Bankruptcy Code and subject to Rule 6004 of the Bankruptcy Rules which provide for a sale of property of the estate and subsequent determination of the validity, priority, and extent of such liens and other interests against the Property after due notice and a hearing as provided by law. 6. The Debtors own jointly with Jason Thompson and Shannon Thompson (the "Thompson") the real property identified on the attached Exhibit 1 together with all improvements located thereon (the "Property"). 7. The Debtors and the Thompsons have entered into a contract for the sale of all of their right, title, and interest in the Property to Southern Metals Recycling, Inc. and/or its assigns ("Purchaser") for the sum of $1,150,000.00. A copy of the contract and an amendment to the contract is attached to the Motion as Exhibit 2 (together the "Contract"). The Debtors' interest in the Property is believed to be a one-half undivided interest in the Property but the interest authorized to be transferred hereunder shall include such greater interest in the Property as the Debtors may in fact have. The Court finds that the sale proposed by the Debtors satisfies the following attributes: A. Sound business reason; B. Fair and reasonable price; C. Accurate and reasonable notice; and D. Existence of good faith. 10. The Court finds that the foregoing requirements are satisfied by way of the Motion and the Notice thereof for the following reasons: A. First, the property is not crucial for the Debtors' operations and it would be more productive, and there exists a sound business reason, to sell the Property as a sale will allow the Debtors to receive a maximum return for their creditors; B. Second, the Motion and the Notice thereof provides suitable information necessary to determine whether or not to oppose this Motion; C. Third, the sale, which the Court finds has been adequately noticed, provides a fair means of liquidating the Property; D. Fourth, the Court finds that the proposed sale was negotiated in good faith, represents a fair price for the Property, and will be in the best interest of the estate; and E. Any and all remaining interests, liens, encumbrances, rights and claims asserted against the Property, which relate to or arise as a result of a sale of the Property, or which may be asserted against the Purchaser of the Property, including, but not limited to, those liens, encumbrances, interests, rights and claims, whether fixed and liquidated or contingent and unliquidated, that have or may be asserted against the Property or the Purchaser of the Property by the North Carolina Department of Revenue, the Internal Revenue Service, the Employment Security Commission, and any and all other taxing and government authorities. 12. The Debtors are authorized to sell their interest in the Property free and clear of liens, interests, and claims pursuant to I I U.S.C. § 363(f), as the interests set forth above are liens and it is anticipated that the price at which the Property is to be sold will be greater than the aggregate value of all liens on the Property. The Court finds and concludes that the Motion has been properly filed, served, and noticed to all creditors and parties in interest who have been afforded adequate opportunity to object to or to be heard on the Motion. That the sale of the Property to the Purchasers, including the interest of the Debtors therein, pursuant to the terms set forth in the Contract, is APPROVED. The purpose of this testing was to provide soil parameters for stormwater infiltration design. An estimate of the seasonal highwater level was provided in our previous report dated August 26, 2010. Infiltration Testine Infiltration testing was performed using a model 2800 Guelph Permeameter which is a constant -head device which operates on the Marione siphon principle and is referenced in ASTM D-5126. The permeameter is used to determine field saturated hydraulic conductivity in centimeters per second for soil at a specified depth. This testing involves advancing a borehole to the desired infiltration depth and introducing water at a constant head to determine the steady state flow rate from which the hydraulic conductivity can be calculated. It was requested that this testing be performed within the upper 12 inches below the existing surface. The results of our permeameter testing are presented in Table 1. The purpose of this testing was to provide soil parameters for stormwater design. Seasonal High Watertable Estimate A hand auger boring was advanced at one location to a depth of approximately 3 '/2 feet below the existing ground surface directly east of the existing pond on the site. The ground surface elevation at this location is not known, but visually appeared to be approximately 2 feet higher than the water level in the pond. The encountered soils were logged and visually classified by 'depth and a Munsell Soil Color Chart was used to determine the hue, value, and chroma of the visually distinct soil layers. Our soil logs are presented in Table 1. Soils encountered in our boring consisted of clean sands (USCS Soil Group SP) in the upper 20 inches below the existing ground surface. Below the depth of 20 inches and continuing through a depth of 24 inches sand with silt (USCS Soil Group SM) was encountered. From 24 inches to the boring termination depth of 38 inches clean sands were again encountered. Comparison of the soils to the Munsell Chart suggests the presence of a limited zone of aerated soils indicative of the seasonal water level approximately 11 inches below the ground surface within the unsaturated zone Measurements made 30 minutes after augering indicate a depth to standing water in the boreholes of 22 inches below the existing ground surface.
