OPERATING AGREEMENT THIS AGREEMENT is made and entered into to become effective as of the 24th day of October, 1. Organization. Members are authorized and directed to execute such documents and take such actions as may be necessary to properly organize the Company under North Carolina law. John Russell Stoutt IV shall be the initial Registered Agent for the service of process and the initial Registered Office of the Company shall be 7832 Wakebrook Drive, Raleigh, N.C. 27616. The Registered Agent shall deliver any communications received on behalf of or intended for the Company to the Members in a timely fashion. 2. General Purpose. The Company's general purpose shall be to conduct farming operations and other business for any lawful purpose. The Company shall have the authority to do all things necessary or convenient to accomplish its purpose and operate its business as provided herein. 3. Sole Members, Initial Contribution. Members shall be the sole Members of the Company. No additional Members shall be admitted as members of the Company without the prior written consent of all Members and only on such terms and conditions as the Members may deem appropriate. The Members shall each initially contribute One Hundred Dollars ($100) to the capital of the Company. John Russell Stoutt, IV is the sole initial member and organizer. 4. Management. Management of the Company is initially vested in its Manager, John Russell Stoutt III. He has full general authority to manage any and all aspects of the Company. He shall have continuing responsibility and exclusive authority for management and control of the business affairs of the Company including, but not limited to, management and operation of the Company in accordance with the provisions of Chapter 57D of the North Carolina Statues. The Company agrees to hold him harmless from and against any and all liability caused by his good faith actions of in managing the Company. 5. Books and Records. The Company shall maintain a system of books and records which is adequate for the financial and tax reporting needs of the Company's business. The Company shall provide financial and other reports at such time and in such manner as the Manager may deem reasonable and appropriate. Management of books and records and payment of appropriate taxes are the responsibility of the Manager. 6. Amendment. The Agreement may be amended or modified upon written consent of all Members holding an interest in the Company at the time of any such amendment or modification. 7. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina. If any provision of this Agreement shall be contrary to the laws of the State of North Carolina or any other applicable law, such provision shall be deemed null and void and such shall not affect the legality of the remaining provisions of the Agreement. This Agreement shall be deemed to be modified and amended so as to comply with applicable law and this Agreement shall then be construed in such a way as will best serve the intention of the parties at the time of execution of the Agreement. 8. Binding Effect. The terms and provisions of the Agreement shall be binding upon and shall inure to the benefit of the Members and each Member's successors and assigns.
