I, Jerome O'Brien, in my capacity as the acting Corporate Secretary of Cypress Creek Holdings,
LLC, a Delaware limited liability company ("Holdings"), hereby confirm the following:
1. Each of (i) BG Stewart Solar Farm, LLC (`BG Stewart"), (ii) Innovative Solar 48, LLC ("IS48"),
(iii) Nash 97 Solar, LLC ("Nash 97"), and (iv) Old Pageland-Monroe Road Solar Farm, LLC
("Old Pageland", and together with BG Stewart, IS48, and Nash 97, the "Project Companies") is
a direct or indirect subsidiary of Holdings.
Joseph Cleary ("Mr. Cleary") is duly authorized (in accordance with the `Approval and Signing
Authority Policy' of Holdings in effect as of the date of execution) to execute those certain
applications, contracts, agreements, instruments, amendments, supplements, restatements,
certificates, affidavits, consents, and/or other documents related to, or in connection with, the
Post -Construction Stormwater Management Permit or any related approvals, authorizations,
certifications, licenses, permits of the North Carolina Division of Energy, Mineral and Land
Resources (collectively, the "Application") on behalf of the Project Companies.
3. Mr. Cleary is duly authorized (in accordance with the `Approval and Signing Authority Policy' of
Holdings in effect as of the date of execution) to delegate to Andrew Nourafshan ("Mr.
Nourafshan") the authority to execute the Application on behalf of the Project Companies.
4. The authority of Mr. Cleary to execute the Application on behalf of the Project Companies and
delegate such authority to Mr. Nourafshan has remained in effect during the period commencing
on October 27, 2021 and continuing through the date hereof.
