This permit modifies permit SW8 950317, issued on August 3, 2006, by revising the permit to increase the built -upon area (BUA) in the high density pocket of an overall 30% low density development; and by reducing the BUA in the low density section. Staff review of the plans and specifications has determined that the project, as proposed, will comply with the Stormwater Regulations set forth in Title 15A NCAC 2H.1000. Therefore, we are forwarding Permit No. SW8 950317 Modification 2 dated April 5, 2012, for the construction, operation, and maintenance of the subject parking project. However, this permit represents a temporary approval pending a modification to expand the wet detention pond In the high density pocket (drainage area DA1) to handle the actual BUA (pre-88 + newer) plus any future expansion. Presently, for the pocket of high density, the pond is . designed to handle runoff from 176,410 square feet of BUA. For the future modification the pond will need to be designed to handle 295,594 (pre-1988 + newer) square feet of BUA plusany future BUA expansion. Please reference the "BUA Summary' table in the permit for a summary of the BUA and project area. In order to validate this permit approval, and remain in compliance with this permit modification, the permittee must submit a new permit modification with revised plans showing future development to DWQ within 18 months, as stated in the attached letter dated April 4, 2012 from David Newsom to DWQ. This means that, unless otherwise notified by the permittee of a new development schedule, a new permit modification must be received by DWQ by October 5, 2013, otherwise the permittee may be subject to enforcement action by the Division of Water Quality, in accordance with North Carolina General Statute 143-215.6A to 143-215.6C. On August 5, 2009, the Governor signed Session Law 2009-406. This law impacts any development approval Issued by the Division of Water Quality under Article 21 of Chapter 143 of the General Statutes, which is current and valid at any point between January 1, 2008, and December 31, 2010. The law extends the effective period of any stormwater permit that is set to expire during this time frame to three (3) years from its current expiration date. On August 2, 2010, the Governor signed Session Law 2010-177, which grants an extra year for a total of four (4) years extension. Please pay special attention to the conditions listed in this permit regarding the Operation and Maintenance of the BMP(s), recordation of deed restrictions, certification of the BMP's, procedures for changes of ownership, transferring the permit, and renewing the permit. Failure to establish an adequate system for operation and maintenance of the stormwater management system, to record deed restrictions, to certify the BMP's, to transfer the permit, or to renew the permit, will result in future compliance problems. If any parts, requirements, or limitations contained in this permit are unacceptable, you have the right to request an adjudicatory hearing by filing a written petition with the Office of Administrative Hearings (OAH). This permit shall be effective from the date of issuance until August 3, 2020 and shall be subject to the following specified conditions and limitations: I. DESIGN STANDARDS This permit is effective only with respect to the nature and volume of stormwater described in the application and other supporting data. The overall tract built -upon area percentage for the project must be maintained at 30% per the requirements of Section .1005 of the stormwater rules. This stormwater system for the high density pocket (drainage area DA1) has been approved for"the management of stormwater runoff as described in Section 1.6 on page 5 of this permit. The stormwater control has been designed to handle the runoff from 176,410 square feet of impervious area that will result from the increase in BUA for the subject project. 3. The runoff from the design built -upon areas within drainage areas of the pockets of high density must be directed into the permitted stormwater control systems. 4. The stormwater s stems proposed to treat the runoff generated by the designated high density areas have been approved for the management of stormwater runoff as described in Section 1.6 on page 5 of this permit and in the City of Jacksonville permit. 5. No homeowner/lot owner/developer shall fill in, alter, or pipe any drainage feature (such as swales) shown on the approved plans as part of the stormwater management system without submitting a revision to the permit and receiving approval from the Division. 2. The Director may notify the permittee when the permitted site does not meet one or more of the minimum requirements of the permit. Within the time frame specified in the notice, the permittee shall submit a written time schedule to the Director for modifying the site to meet minimum requirements. The permittee shall provide copies of revised plans and certification in writing to the Director that the changes have been made. 3. The stormwater management system shall be constructed in its entirety, vegetated and operational for its intended use prior to the construction of any built -upon surface. ' 4. Within the low density portions of the permitted project, all roof drains shall terminate at least 30 feet from the mean high water mark of surface waters. 5. The permittee shall submit to the Director and shall have received approval for revised plans, specifications, and calculations prior to construction, for any modification to the approved plans, including, but not limited to those listed below: a. Any revision to the approved plans, regardless of size. b. Project name change. C. Transfer of ownership. d. Redesign or addition to the approved amount of built -upon area. Page 5 of 10 State Stormwater Management Systems Permit No. SW8 950317 MOD 2 e. Further development, subdivision, acquisition, or sale of any, all or part of the project area. The project area is defined as all property owned by the permittee, for which Sedimentation and Erosion Control Plan approval or a CAMA Major permit was sought. f. Filling in, altering, or piping of any vegetative conveyance shown on the approved plan. 6. The Director may determine that other revisions to the project should require a modification to the permit. 7. All stormwater collection and treatment systems must be located in either dedicated common areas or recorded easements. The final plats for the project must be recorded showing all such required easements, in accordance with the approved plans. 8. During construction, erosion shall be kept to a minimum and any eroded areas of the system will be repaired immediately. 9. Upon completion of construction, prior to issuance of a Certificate of Occupancy, and prior to operation of this permitted facility, a certification must be received from an appropriate designer for the system installed certifying that the permitted facility has been installed in accordance with this permit, the approved plans and specifications, and other supporting documentation. Any deviations from the approved plans and specifications must be noted on the Certification. 10. If the stormwater system was used as an Erosion Control device, it must be restored to design condition prior to operation as a stormwater treatment device, and prior to occupancy of the facility. 11. Unless otherwise shown, permanent seeding requirements for the stormwater control must follow the guidelines established in the North Carolina Erosion and Sediment Control Planning and Design Manual. 12. This permit shall become void unless the facilities are constructed in accordance with the conditions of this permit, the approved plans and specifications, and other supporting data. 13. The permittee shall at all times provide the operation and maintenance necessary to assure that all components of the permitted stormwater system function at optimum efficiency. The approved Operation and Maintenance Plan must be followed in its entirety and maintenance must occur at the scheduled intervals including, but not limited to: a. Semiannual scheduled inspections (every 6 months). b. Sediment removal. C. Mowing and re -vegetation of side slopes. d. Immediate repair of eroded areas. e. Maintenance of side slopes in accordance with approved plans and specifications. f. Debris removal and unclogging of structures, orifice, catch basins and piping. g. Access to all components of the system must be available at all times. 14. Records of maintenance activities must be kept by the permittee. The records will indicate the date, activity, name of person performing the work and what actions were taken. Page 6 of 10 State Stormwater Management Systems Permit No. SW8 950317 MOD 2 15. Prior to transfer of the permit, the stormwater facilities will be inspected by DWQ personnel. The facility must be in compliance with all permit conditions. Any items not in compliance must be repaired or replaced to design condition prior to the transfer. Records of maintenance activities performed to date will be required. 16. Decorative spray fountains will be allowed in the stormwater treatment system, subject to the following criteria: a. The fountain must draw its water from less than 2' below the permanent pool surface. b. Separated units, where the nozzle, pump and intake are connected by tubing, may be used only if they draw water from the surface in the deepest part of the pond. C. The falling water from the fountain must be centered in the pond, away from the shoreline. d. The maximum horsepower for the fountain's pump in this pond is 1/6 hp. III. GENERAL CONDITIONS This permit is not transferable to any person or entity except after notice to and approval by the Director. In the event there is either a desire for the facilities to change ownership, or there is a name change of the Permittee, a completed "Name/Ownership Change Form" must be submitted to the Division of Water Quality, signed by the parties involved, along with the applicable documents as listed on page 2 of the form. The project must be in good standing with DWQ. The approval of this request will be considered on its merits and may or may not be approved. 2. The permittee is responsible for compliance with all of the terms and conditions of this permit until such time as the Director approves the transfer request. Neither the sale of the project nor the transfer of common area to a third party, constitutes an approved transfer of the stormwater permit. 3. Failure to abide by the conditions and limitations contained in this permit may subject the Permittee to enforcement action by the Division of Water Quality, in accordance with North Carolina General Statute 143-215.6A to 143-215.6C. 4. The issuance of this permit does not preclude the Permittee from complying with any and all statutes, rules, regulations, or ordinances, which may be imposed by other government agencies (local, state, and federal), which have jurisdiction. 5. In the event that the facilities fail to perform satisfactorily, including the creation of nuisance conditions, the Permittee shall take immediate corrective action, including those as may be required by this Division, such as the construction of additional or replacement stormwater management systems. 6. The permit may be modified, revoked and reissued or terminated for cause. The filing of a request for a permit modification, revocation and re -issuance or termination does not stay any permit condition. 7. Permittee grants permission to staff of the DWQ to access the property for the purposes of inspecting the stormwater facilities during normal business hours. 8. Approved plans and specifications for this project are incorporated by reference and are enforceable parts of the permit. 9. The permittee shall notify the Division in writing of any name, ownership or mailing address changes at least 30 days prior to making such changes. At the time the permit is transferred to a new owner, the permittee shall forward the approved plans to the new owner. 11. The permittee shall submit a permit renewal request at least 180 days prior to the expiration date of this permit. Current permit is a Low Density permit which includes a 'Pocket of High Density" as more fully described in permit SW8 950317 This project (Driveway/Parking Improvements Plan) spans both the Low Density and High Density "zones" of that permit. The portion of the project within the Low Density zone results in less impervious surface (4,630 sf BUA to be removed) . However, that portion of the project within the High Density zone results in a net increase of 3,660 sf of impervious surface (7,310 sf BUA to be added & 3,650 sf BUA to be removed) Calculations are attached which indicate that the existing wet detention pond serving this Pocket of High Density area is more than adequate to accommodate the marinal increase in BUA associated with this project. 2. a. During that meeting, Mr. Holdren shared with me plans for a future building expansion project that when initiated, would trigger another Stormwater Permit Modification, and thus would also likely trigger enlargement of the existing Pond No.1 serving High Density Pocket No. 1. Specifically, the building expansion is proposed in the existing courtyard area between the original "main" building and the more recently constructed ER $ Surgical Pavilion. We have labeled this location "Future Project Area" on the Master Stormwater Plan (revised copy attached). You will note that this "Future Project Area" is indeed located within the designated drainage area for High Density Pocket 1, as was previously delineated by Mulkey Engineers & Consultants. Onslow Memorial Hospital understands and agrees that this future building expansion would trigger another stormwater permit modification. Furthermore Onslow Memorial Hospital recognizes that this building expansion would likely require enlargement of existing Pond 1 and intends to include funding for that expansion in the building project funding. Although I understand it is typical to "exempt' such Pre 88 BUA from Low Density permits, I did NOT think (until this situation anyway) is permissible to exclude such Pre 88 BUA from pond calculations, if said BUA is tributary to said pond (it is in this case). Although unorthodox (the only situation I am aware of) I can only presume that DWQ was aware and approved of this design rationale (i.e., "area" sized on ADDITIONAL / "volume" sized on TOTAL). Therefore, when evaluating the "adequacy" of the existing pond, I used the same design rationale. Please note, that even using that unorthodox design rationale, the existing pond DID NOT have capacity (at least in terms of area) to accommodate the additional BUA associated with this project (parking improvements). However, a subsequent Pond Asbuilt survey reveals that the existing Pond 1 was actually constructed LARGER (at least in area) than the design/permit conditions. That additional area is sufficient to accommodate the small amount of BUA associated with this project (parking improvements), USING THE SAME DESISN RATIONALE AS USED IN THE MULKEY CALCULATIONS (excluding pre-existing BUA). I think it could be argued, at least in consideration to TODAYS design requirements, that the existing Pond 1 is perhaps undersized (at least in area) for the TOTAL AMOUNT OF BUA (including Pre -Existing) tributary to it. I have made the Hospital aware of my opinions/findings in this regard, and informed them they should NOW beginning budgeting for expansion of this existing pond, as it is NOT, in my opinion, adequate to accommodate any more tributary BUA (at least beyond the small amount presently proposed). The hospital indicates that they are already in the planning/budgeting phase of another future parking improvements project which will likely be under design this summer. They indicate that they will indeed plan on enlarging the existing Pond 1 at that time. They also indicate that they currently have a serious lack of parking, and very much appreciate the DWQ's understanding, at that they are hopeful that this project (March 2012 Parking Improvements) can be approved as submitted with the understanding that the future parking project will include a pond enlargement. However, your recent calculations show an additional 6,639 sf on top of the original 169,771 sf BUA, yielding a total of 176,410 sf. So, the difference between 180,415 and 176,410 is 4,005 sf. The ONLY way I know to "reconcile' is to base ALL BUA measurements on the actual recent Asbuilt Survey. Note, the BUA numbers will NOTjive with the 2006 permit, for various reasons (that permit written on basis of ADDITIONAL BUA and the Existing BUA used in the calculations does not distinguish between pre and post 1988 BUA). I have revised the "accounting" so that now EVERYTHING is based on a constant, that being the recently completed AS - Built Survey which depicts ALL BUA on site, including that within both pockets of high density and the resulting Low Density Project area. Attached is a New BUA summary spreadsheet on that basis.... Also attached are the AutoCad "worksheets" where each BUA measurement for each category was measured/computed. Take a look at this, and see if this approach makes sense to you ..... I am convinced it is the ONLY way to reconcile "Permitted BUA" to the ACTUAL BUA on the ground.... which in reality is what I think we are concerned about. At the very least, I think your Permit Application package should include a Page 3 of 6 of the DWQ SW application form (i.e., Drainage Area Chart).... and your Permits themselves I thing ought to include a "Design Criteria" section (including info such as Drainage Area and a breakdown of BUA) similar to the DWQ permits. About the 95/96 permit for the Urgent Care facility, this impervious area was permitted as 28,610 sf in a low density permit dated May 28, 1996 but never built. However, there is another building and parking lot in that general location, the "Imaging Center for Women", a one-story brick medical office (reference plans by Mulkey Engineers, approved August'06). This area was counted as impervious in the'06 permit for ER & Surgical Services Pavilion by Mulkey Engineers. Note that the Mental Health Center was not included in the drainage area of this permit but it may be considered offite. It is my understanding that the Mental Health Center, although technically part of the Onslow Memorial tract, is a separate lease, and therefore probably NOT APPROPRIATE to account for it under the Hospital SW permit. It is my understanding the BUA in that facility pre -dates the Stormwater Rules .... and therefore no SW permit exists (at least does not exist to my knowledge). I have combined all the numbers I can find into the spreadsheet attached. These number match the numbers I submitted in my previous Add Info request letter. Hopefully, we can use this spreadsheet to validate the numbers. Basically, I need to know two (2) things: 1. Where is the offsite area in the 2006 permit (5,378 so? Is this the Mental Health Center? I have no way of knowing ..... as 1 believe Mulkey computed/provided those BUA figures.... Do you have a contact for someone at Mulkey who we can perhaps contact in an effort to answer this question? 2. How does the pre-88 BUA add up to 114,998 sf? Again, I have noway of knowing..... These items would be best explained in a drawing. If these numbers are incorrect, it would be best to correct them now. One additional note: the site area in acres appears to have gone from 54.88 in 2006 to 44.72 in 2012. Reasons for this? Again, I have no idea ... I can't imagine how it could be that large (54,88). GIS shows the total tract area as 47.98.... which includes the leased area (3.27 ac) to the Mental Health Center. These previous permit applications were prepared and submitted by various Engineers, at differing times, under varying permitting requirements, and the respective permits issued by various DWQ staff with often varying requirements. In short, it is difficult, if not impossible, for one to measure and categorize BUA from the pre-existing development .... and to have those figures "match" those prepared and permitted previously by others as listed in those old permits. I am currently involved in another situation that is very similar (old Low Density Permits with various Engineers involved) which is very similar. I have now been "reconciling" those numbers for over 3 weeks (including all the holidays except Christmas Day itself), and I STILL can't reconcile the figures to exactly match those measured and permitted by others. In fact, I have a meeting with DWQ today at 1:30 to discuss that project...... if you have a moment, perhaps you could join us and we can discuss this project (Hospital) in a little more detail. I still need to discuss this with Georgette Scott who is out sick today. So, just keep working on the BUA calculations for now. We will extend the due date for another week to Feb. 22. About the 95/96 permit for the Urgent Care facility, this impervious area was permitted as 28,610 sf in a low density permit dated May 28, 1996 but never built. However, there is another building and parking lot in that general location, the "Imaging Center for Women", a one-story brick medical office (reference plans by Mulkey Engineers, approved August'06). This area was counted as impervious in the'06 permit for ER & Surgical Services Pavilion by Mulkey Engineers. Note that the Mental Health Center was not included in the drainage area of this permit but it may be considered offite. I have combined all the numbers I can find into the spreadsheet attached. These number match the numbers I submitted in my previous Add Info request letter. Hopefully, we can use this spreadsheet to validate the numbers. Basically, I need to know two (2) things: 1. Where is the offsite area in the 2006 permit (5,378 sf)? Is this the Mental Health Center? 2. How does the pre-88 BUA add up to 114,998 sf? These items would be best explained in a drawing. If these numbers are incorrect, it would be best to correct them now. One additional note: the site area in acres appears to have gone from 54.88 in 2006 to 44.72 in 2012. Reasons for this? The is a REAL MESS with all these overlapping permits .... Also, I need to confirm my understanding that little or no BUA associated with the 1995/1996 permit activity for the Urgent Care Facility was constructed... That permit required a pond ..... I am aware of no such pond, so I presume that project was never constructed .... If not, it may be easier to simply VOID that particular permit medication as opposed to trying to reconcile it in the BUA numbers. And whereas, the County has agreed to lease said land and hospital facilities to the Authority, and the Authority has agreed to maintain and oper said hospital facilities in order to provide hospital and clinic services to the people of this County and the general public for the preservation of the public health; NOW, THEREFORE, in consideration of the premises and subject to the terms and conditions hereinafter set forth, the County does hereby lease tc the Authority for a term endind-September 30, 1983; the premises and hospital facilities above described. The terms and conditions of this agreement are as follows; I. This lease shall commence upon the completion of construction of the hospital facility presently under construction on the property hereinbefore described and its acceptance by the North Carolina Medical Care Commission. 2. The Authority agrees to establish, maintain and operate said hos- pital facilities for the preservation of Public Health and in order to provide hospital and clinic services to the general public and in all respects to carry out and per the objects for which .said hospital facility is being construct 3. The hospital facility shall be operated at all times and in every respect administered as a charitable, non-profit facility; no part of the net earnings of the Authority shall ever uiure to the benefit of any individual, firm or corporation. 4. The Authority shall, by regulations, establish a reasonable but adequate and uniform scale of fees and charges for the use of the facilities and services of the hospital facility. All persons financially able to do so shall pay full fees and charges or furnish acceptable security for same. Those persons not financially able to pay full fees and charges but able to pay or secure a part or portion of same shall be required to so do according to their financial ability. Any profits derived from the operation of the hospital facility shall be used exclusively for the purposes and objectives of the hos facility, including expansion of facilities, to be used for patients. purchase of supplies and equipment 1 BOOT( 477 PACE 206 5. The Authority shall observe the rule of furnishing each person admitted to the hospital with equal facilities and the same standard of service and treatment, irrespective of race, color, descent or creed; but this rule shall not prohibit the assignment of separate rooms, wards or sections for certain types of diseases. No favoritism or discrim-ination shall be shown or made because of any person's rank, profession, financial status, or station in life. 6. The Authority agrees to maintain said hospital facilities and equip- ment in good repair and modern condition. 7. The Authority agrees to adequatelyt b.aff the hospital with sufficient professional personnel or arrange with the members of the Hospital Medical Staff to provide for a physican on call at all times to handle emergency cases at the hospital. 8. Upon the commencement of the term of this lease and thereafter, the Authority agrees to keep the hospital facilities, equipment and contents insured against loss by fire, explosion and other casualty in reliable insurance companies in such amounts as the Authority may deem necessary, and the I Authority agrees to pay the premiums for such insurance. 9. The Authority agrees to maintain an accounting system in such a manner as to give a true and accurate accounting of financial transactions of the hospital facility. I 10. The Authority agrees to furnish the County an audit report at least annually by a Certified Public Accountant designated by the County and such other, information of a fiscal nature as may be required by the County. 11. The County shall have the right, ,after review of the financial status of the Authority, to require any excess cash in the opinion of the County to be transferred from the Authority to the County to help cover the hospital bond commitments for payment of principal and interest. 12, If the Authority fails to comply with any of the terms and condition of this agreement, said County may re-enter and take possession of said hos- pital facilities, and use or re -let the same as if this agreement had not been entered into. BOOK 477 PAU207 13, The Authority agrees that in the event of its failure at any time to operate said hospital facilities as herein provided, the Authority shall deliver and convey all its moneys, properties and other assets to the County 14. Regardless of any other provision hereof, the Authority shall oper ate pursuant to and under the provisions of Article 12, Chapter 131 of the Gen- eral Statutes of North Carolina. 15L The County shall be solely responsible for naming the hospital being constructed upon the leased premises. 16. The Authority shall have the right and option to purchase the prop- erty herein leased during the term of this lease for a sum to be mutually agreed upon by the parties hereto at the time of purchase and the County, upor receipt from the Authority of the purchase price agreed upon, shall transfer any and all assets of the hospital facility or facilities, both tangible and intan- gible, including cash, to the Authority. Current permit is a Low Density permit which includes a "Pocket of High Density" The Hospital now proposes to construct Driveway and Parking Improvements in the rear (westerly portion) of their site. This project (Driveway/Parking Improvements Plan) spans both the Low Density and High Density "zones" of that permit. The portion of the project within the Low Density zone results in less impervious surface (4,630 sf BUA to be removed) than that currently allowed by the permit. However, that portion of the project within the High Density zone results in a net increase of 3,660 sf of impervious surface (7,310 sf BUA to be added & 3,650 sf BUA to be removed). VESTED RIGHTS. Approval of this permit confers upon the property the right to develop with the type and intensity of use only as such relates to the requirements of the Phase II stormwater ordinance and in the manner as herein described and as shown on the approved site plan. Development of the property, however, shall be subject to any and all future amendments to this ordinance which do not affect such type and intensity of use and shall proceed in full compliance with all other applicable local, state and federal regulations. The following deed restrictions and protective covenants shall be recorded for all subdivisions, outparcels, and future development prior to the sale of any lot: ARTICLE STORMWATER OPERATION AND MAINTENANCE, EASEMENT AND ACCESS AGREEMENT FOR STRUCTURAL MANAGEMENT OF BMPS AND ESCROW CONTRIBUTION CONTRACT 1. Definitions. As used within this Maintenance Covenant Section, the following words and terms have the following definitions. (a) "Maintain", "Maintenance", "Maintaining" or any similar term used herein is defined to include one or more of the following, as the context requires: acquisition, purchase, construction, re -construction, installation, maintenance, inspection, examination, upkeep, cleaning, renewal, alternation, repair, replacement, repainting, remodeling, restoration, removal, improvement, administration, operation, use, planting, mowing, cutting, trimming, pruning, fertilizing, watering and preservation. (b) "Maintenance Covenant" is defined as this Article. (c) "Structural BMPs" is defined collectively as the stormwater control structures and other stormwater structural Best Management Practices (BMPs) and associated appurtenances and vegetation as stipulated on the approved final plat for said Property. 2. Location and Identification of Structural BMPs. A description of the portions of the Property where all the Structural BMPs are located, as well as a description of the Property in the Contract executed between the Association and the City of Jacksonville entitled "City of Jacksonville's Stormwater Operation, Maintenance, Easement and Access Agreement for Structural Stormwater Management of BMPs and Escrow Contribution Contract" which has been registered at the Onslow County Register of Deeds to run with said Property. 3. Maintenance of Structural BMPs. Structural BMPs shall be maintained by the Association in strict compliance with the Stormwater Ordinance and Agreement. At all times, the Structural BMPs shall comply with all applicable laws, ordinances, regulations, and rules. Membership in the Association is mandatory for each Owner of a Lot with membership being appurtenant to the Lot and running with ownership of the Lot. The Association or its Board of Directors shall levy assessments for the costs and expenses of maintaining the Structural BMPs in further compliance with the City of Jacksonville Stormwater Ordinance and Agreement. Upon compliance with the provisions of Chapter 47F of the North Carolina General Statutes (or any applicable successor provision), all assessments levied against a Lot that remain unpaid for a period of thirty (30) days or longer shall constitute a lien on that Lot. Association Costs and Expenses for Maintenance of Structural BMPs The costs and expenses of maintaining the Structural BMPs shall be a common expense of the Association and shall include, without limitation, all contribution payment obligations owed to the City of Jacksonville under a Stormwater Agreement covering the Property. 5. Establishment of an Escrow Account. The initial construction cost for the Structural BMP will be used to establish the level to which the escrow account will be funded. The sinking fund budget is established in the Stormwater Maintenance Agreement. Any funds drawn down from the escrow account shall be replaced in accordance with the schedule of contributions specified by the City of Jacksonville prior to the withdrawal of said funds. 6. Penalties Associated with Failure to Maintain Structural BMPs Operation and Maintenance of the Structural BMPs must comply with all relevant provisions of the Ordinance, as may be amended from time to time, and the Operation and Maintenance Agreement. Failure to maintain the Structural BMPs is a violation of the Ordinance and may subject each Lot Owner to significant daily civil penalties and other enforcement actions by the City of Jacksonville. 7. Grant of Easement. Association hereby dedicates, bargains, sells, grants, and conveys unto the City of Jacksonville, its successors and assigns, a perpetual, non-exclusive and irrevocable right and easement over, under, through, and across the Stormwater Areas and access through the Property to and from the Stormwater Areas for the purpose of permitting City inspection and, if deemed necessary, as determined by the City, maintenance, replacement, reconstruction, and repair of the Structural BMPs. 8. Joint and Several Liability. Each Owner shall be jointly and severally responsible for maintenance and operation of the Structural BMPs, including payment of any unpaid expenses related to the maintenance of the Structural BMPs and including all interest charges thereon, together with the costs and expenses of collection incurred, including court costs and reasonable attorneys' fees actually incurred. 9. Action for Specific Performance. Recognizing the consequences to the City of Jacksonville of non-compliance with the obligations of this Maintenance Covenant, Association hereby grants the City of Jacksonville the right to seek, in any court of appropriate jurisdiction, judicial action for specific performance of any of the obligations established within this Maintenance Covenant. WITNESSETH WHEREAS, the City, under various state and federal laws, is required to regulate the maintenance of Structural BMPs (as defined herein) constructed to serve new or re -development within the City's planning jurisdiction to ensure that, following initial construction, the Structural BMPs are operated, maintained, and to the extent necessary, repaired in accordance with applicable state and federal laws; and WHEREAS, the City may be subject to substantial regulatory and financial penalties from the State of North Carolina and the federal government if the above -referenced rules and regulations are not applied to new or re -developments occurring within the planning jurisdiction of the City; and WHEREAS, the City Council of the City of Jacksonville has determined that, to maintain the City of Jacksonville's compliance under applicable state and federal regulations, certain obligations are to be met by Developers and subsequent owners of Structural BMPs; and WHEREAS, Developer is the owner in fee simple of that certain "Property" situated in Onslow County, North Carolina and more particularly described on Exhibit A; and WHEREAS, the Property is located within the planning jurisdiction of the City and subject to certain stormwater standards set forth in Jacksonville City Ordinance 2009-07 (the "Ordinance"), as may be amended from time to time; and WHEREAS, the Developer has submitted construction drawings depicting the Stormwater Area and Structural BMPs (both herein defined), for the purpose of establishing a stormwater management system for the Property, and WHEREAS, these Structural BMPs are required to comply with the Ordinance and that failure to maintain the Structural BMPs is a violation of the Ordinance potentially subjecting each lot owner of the Property to significant daily civil penalties and other enforcement actions; and WHEREAS, the City also requires that the Developer grant or dedicate to the City an access and maintenance easement over and across the Property and Stormwater Areas for the purpose of inspecting, maintaining, repairing, reconstructing and replacing the Structural BMPs set forth in the Ordinance and this Agreement; and WHEREAS, this Agreement has been procured in accordance with the requirements of N.C. General Statutes Chapter 143, Article 21, Part I and Jacksonville City Ordinance 2009-07. NOW, THEREFORE, for a valuable consideration, including benefits Developer may derive there from, the receipt of which is hereby acknowledged, the Owner and City hereby agree as follows: 1. RECITALS. The foregoing recitals shall constitute an integral part of this Agreement, and this Agreement shall be incorporated herein and made a part thereof. 2. PROPERTY. As required by the City in connection with the development of this Property, the Developer shall install engineered stormwater control structures and other stormwater structural Best Management Practices (BMPs) and associated appurtenances and vegetation (collectively, the "Structural BMPs") as shown on the construction drawings prepared by John L. Pierce & Associates/Crystal Coast Engineering PA, entitled Radiation/Oncology Pavilion and dated March 9 2009 on portion of Property as described in Exhibit B (the "Stormwater Areas"), for purposed of establishing a stormwater management system for the Property, and that Developer assumes specific maintenance, replacement, reconstruction and repair, responsibilities set forth in the Ordinance and with respect to the Structural BMPs; and 3. GRANT OF EASEMENT. Developer hereby dedicate, bargain, sell, grant, and convey unto the City, its successors and assigns, a perpetual, non-exclusive and irrevocable right and easement over, under, through, and across the Stormwater Areas and access through the Property to and from the Stormwater Areas for the purpose of permitting City inspection and, if deemed necessary, as determined by the City, maintenance, replacement, reconstruction, and repair of the Structural BMPs, as more fully set forth herein and in the Ordinance (the "Protection Easement"). Said easement shall be clearly identified and labeled on the approved final plat for Property. Said easements shall be permanent and shall run with the land. 4. CONSTRUCTION AND MAINTENANCE STORMWATER MANAGEMENT FACILITIES. The Developer shall be responsible for the construction of the Stormwater BMPs; and prior to conveying control of the Stormwater Area, their appurtenances and vegetation to another Owner by deed or easement, the Developer will be responsible for maintenance, repair, reconstruction, and replacement thereof in the manner specified herein and in strict compliance with the Stormwater Ordinance 2009-07 which is incorporated herein by reference and made a part thereof (the "Ordinance"). At all times, the Stormwater BMPs shall perform as designed and shall at all times comply with all applicable laws, ordinances, regulations, rules and directives of governmental authorities. 5. OWNERSHIP AND/OR TRANSFER OF PROPERTY AND STORMWATER AREAS. Developer agrees that it shall not transfer ownership and/or control of the Structural BMPs until construction has been completed in accordance with the Stormwater Permit, as defined in the Ordinance, approved Stormwater Areas and Structural BMPs plans, and the City hasinspected and approved the same. In addition, the Developer and any new Owner must request that the Permit for the Structural BMPs be reissued to any subsequent Owner. The Developer agrees that it shall not transfer, convey, assign or otherwise relinquish or release its responsibility for the operation and maintenance of its Structural BMPs until a Permit has been issued to Developer's successor, or new owner at which time Developer shall be released from any obligations hereunder arising from events or circumstances occurring after the date the Structural BMPs is transferred and the Permit is reissued to the new Owner of the Property; and 6. INSPECTION. The Developer, its successors and assigns, shall ensure that the Structural BMPs are inspected by one of the following professional services: Qualified Registered North Carolina Professional engineer, surveyor, landscape architect, soil scientist, aquatic biologist, or person certified by the North Carolina Cooperative Extension Service for Stormwater treatment practice inspection and maintenance (the "Professional"). The Professional shall submit an annual inspection report, a copy attached hereto as Exhibit C, which may be amended from time to time, to the City. The inspection report shall be due annually 30 days from the date of the final structural stormwater BMP construction inspection approval by the City. The inspection shall cover the entire Stormwater Area as well as any Structural BMPs. 7. USE OF PROTECTION EASEMENT. The City, its officers, employees, contractors and agents may access the Property and enter the Stormwater Areas for purposes of exercising City's rights hereunder. This Agreement shall in no way obligate the City to maintain, replace, reconstruct and repair the Structural BMPs, and the City shall not be liable to any person, firm, partnership, company, corporation, governmental agency, or entity for the condition or operation of the Structural BMPs. Further, this Agreement shall in no way diminish, limit, or restrict the right of the City to enforce any of its ordinances as permitted by law. 8. DEFAULT. If the Developer, or subsequent Owners shall fail to comply with the foregoing requirements or any other obligations imposed herein, in the Ordinance as the same may be amended from time to time, the City, in its sole discretion, may perform such work and recover the costs thereof from the person who is then responsible for the performance of such requirements and obligations provided, however, that, except in cases of emergencies, the City will give the Owner written notification of deadline for correcting the violation and an opportunity to cure the Owner's default hereunder. If the City exercises its right hereunder and maintains, repairs, reconstructs or replaces all or a portion of the Structural BMPs, then following acceptance and payment of the work, the City shall deliver to the Owner written notice of the costs of such work, and the Owner shall pay all such costs within forty-five (45) days after receipt of such notice.. Any costs not paid by the Owner to the City within the forty-five (45) day period shall be delinquent, and the Owner shall be considered in default of this Agreement. In the event of such default, the City may either bring an action at law against the Owner for the cost of the work, plus interest at the rate of eight percent (8%) per annum, collection costs, and reasonable attorney fees, or foreclose a lien against the Property, or both. Any payment required by this Agreement which is not paid to the City within thirty (30) days after its due date shall be delinquent. In the event of such default, the City may bring an action against the Owner for nonpayment plus interest at a rate of eight percent (8%) per year, collection costs, a late payment charge of three hundred dollars ($300) during the first forty five (45) days of default and five hundred dollars ($500) thereafter and reasonable attorneys' fees. The remedies set forth herein are cumulative; the City may, for example, bring an action for collection and foreclose its lien claim. 9. RESERVATION BY RECORD OWNER. The Developer and its successors and assigns shall in all other respects remain the owner of the Property, subject to the Protection Easement, and may make all lawful uses of the Property not inconsistent therewith. 10. NO WAIVER OF RIGHT. The City does not waive or forfeit the right to take action to ensure compliance with the terms, conditions and purposes of this Agreement by a prior failure to act. 11. NOTICE. Written notice as required hereunder shall be provided to the City Manager of the City of Jacksonville at PO Box 128, Jacksonville, NC 28541, and to the Owner at Onslow County Hospital Authority, 241 New River Drive Jacksonville NC 28541. Written notice shall be deemed received four (4) days following its deposit, first class mail, with the United States postal system. In the event notice to the Owner is returned, the City may notify the Owner at the mailing address provided by the Onslow County Tax Assessor. 12. SUCCESSORS AND ASSIGNS. The designation of Developer and Owner shall include the heirs, assigns, and successors to the Developer and Owner. The designation of City shall include the assigns and successors to the City. 13. TERM. This Agreement shall continue as a servitude running in perpetuity with the Property. 14. CONTROLLING LAW. This Agreement is to be governed by the laws of the State of North Carolina. Any and all applicable laws, rules, and regulations, ordinances, codes, and orders of any and all governmental bodies, agencies, authorities, and courts will be construed pursuant to the laws of the State of North Carolina. All claims and disputes arising from any contract shall be construed pursuant to the laws of the State of North Carolina. The State of North Carolina is the proper jurisdiction for all claims and disputes arising under any contract and the proper venue is the Onslow County Superior Court. 15. INDEMNIFICATION. Developer and successors and assigns agree to protect, defend, indemnify and hold the City, its officers, employees and agents free and harmless from and against any losses, penalties, damages, settlements, costs, charges, professional fees or other expenses or liabilities in connection with or arising out of this Agreement and/or the performance hereof that are due to the negligent acts of the Developer, its officers, employees, or agents.
