WITNESSETH: WHEREAS, by the terms of the Articles of Incorporation, the Bylaws, and the Declaration of Covenants, Conditions and Restrictions of LANTANA CROSSING HOMEOWNERS ASSOCIATION, INC., the Association shall Provide for , among other things: (i) the use, improvement, maintenance, operation and repair of the Common Areas or Elements located in the Property including any improvements and amenities located thereon; (ii) the establishment of reasonable Rules and Regulations for the Common Areas or Elements and Lots, not inconsistent with the Declaration; (iii) the distribution among the Owners in the property of the costs of the use, improvement, maintenance, repair and replacement of the Common Areas or Elements and other improvements in the property as provided in the Declaration; (iv) the promotion of the health, pleasure, recreation and welfare of the residents of the Lots within the property; enforcement of the Declaration, Rules and Regulations and Bylaws; and This Contract is the Property of CEPCO Management Services, LLC and Is not to be given to any other management company or individual, Lantana Crossing Homeowners Association, Inc. 'v the FEB 0 5 2021 Page 2 WHEREAS, the Association, under the terms of the Articles, Bylaws and Declaration, may delegate those duties to a Management Agent and may enter into a contract with a Management Agent or Company for the purpose of providing for the upkeep, maintenance and repair of the common areas and for the collection of dues and/or assessments of the Association including but not limited to interest and late charges. NOW, THEREFORE, in consideration of ONE ($1.00) DOLLAR and other valuable consideration each to the other paid and the mutual covenants herein contained, the parties hereto do enter into this Management Contract and do mutually agree as follows: I CONTRACT Association hereby contracts with CEPCO, and CEPCO hereby accepts Contract, on the terms and conditions hereinafter provided, as exclusive managing agent for the Association of all property under the jurisdiction of the Association and all services provided therewith regarding the property known as LANTANA CROSSING HOMEOWNERS ASSOCIATION, INC. and located in Wilmington, New Hanover County, North Carolina. 11 TERMS OF CONTRACT The term of this Contract shall be for a period of One (1) year from the date of execution hereof. At the expiration of the initial term, this Contract shall automatically renew for successive periods of Three (3) years each unless on or before ninety (90) days prior to the expiration of the initial term or any renewal period either party hereto shall notify the other in writing that it elects to terminate this Contract, in which case this Contract shall be terminated at the end of said period. This Contract Is the property of CEPCO Management Services, LLC and Is not to be given to any other management company at Individual, except for the Lantana Crossing Homeownets Association, Inc. Board Members, for any reason. - -- - -- -- -- — — - Page 1 3 III COMPENSATION Association shall pay CEPCO a management fee as specified in the Fee Schedule or any revision thereto, the initial form of which is attached hereto and incorporated herein by reference as well as the amount of supplies and postage used in the performance of the management of the Association. The management fee shall be paid monthly in advance. It is understood, however, that any management services performed for the Association or the Board, beyond those services identified in this Contract shall be at the expense of the Association at compensation rates then effective. Compensation rates to be used in computing additional charges beyond the scope of this Contract as well as the charge for basic supplies are also specified in the Fee Schedule, which is attached hereto and incorporated herein by reference. CEPCO is authorized to pay any amount owed to CEPCO by the Association from Association funds within the first five days of each month. In the event the Association is unable to pay CEPCO's fees and expenses when due, a service charge equal to one and one half (1'% %) percent of the unpaid balance will be added each month for as long as there is any balance owed to CEPCO. CEPCO shall have no obligation to advance funds to the Association for any purpose whatsoever. It is understood and agreed that any services performed for the Association or the Board, beyond those services identified in Section IV of this contract, shall be at the expense of the Association at the rates specified in the Fee Schedule which is attached hereto and included herein by reference as it may be amended from time to time by agreement of the parties. The parties hereto agree that the Board and CEPCO shall revise the compensation rates annually during the preparation of the proposed budget for each fiscal year. Thereafter a revised Fee Schedule shall be prepared and become a part of the Contract between the parties, replacing the prior Fee Schedule at the commencement of the newfiscal year. IV MAINTENANCE AND ADMINISTRATIVE DUTIES CEPCO shall perform for the Association certain services in connection with maintenance of the property, the common areas, and facilities and in connection with the Association's duties regarding the assessment of individual unit owners, it being understood that in all such matters the Association has the full and final authority and that CEPCO will not become involved in any matters of policy or decision making except on an advisory basis. The duties of CEPCO are as follows: (a) CEPCO shall collect assessments and other charges due to the Association from the membership; provided, however, that with respect to delinquent assessments or charges, CEPCO's only obligation is to make reasonable efforts to collect same by sending out notices of delinquency to the delinquent owners. CEPCO shall, at the direction of the Board of Directors, notify an attorney to take any necessary legal action, including but not limited to, preparing a claim of lien to be fled against any owner whose account has remained delinquent or according to the Board approved Collection Policy. (b) CEPCO shall maintain records showing all the Association's revenues and expenses and shall submit to the Board a financial statement for the preceding month indicating the balance or deficit in the accounts of the Association. (d) CEPCO shall make available to the Association a summary of all revenues and expenses relating to the property for the preceding year, provided that this service shall not be construed to require CEPCO to prepare an audit, review or compilation, orcause an audit, review or compilation to be performed by anyone. Any such audit, review or compilation required by the Association shall be performed at the Association's expense by accountants of their selection upon specific written direction of the Board. (e) Subject to the direction of the Board and at the expense of the Association, CEPCO shall cause the common elements of the complex to be routinely maintained according to the appropriate standards of maintenance consistent with the character of the property and the Association's annual operating budget. It is understood that management responsibilities for repairs or reconstruction of areas over which the Association has responsibility which are required due to catastrophic occurrence such as vandalism, water damage, storm damage, fire or other cause shall be deemed outside the scope of this management Contract and that management services required for them shall be an additional expense to the Association. The charge for these services shall be based upon the greater of the man hours expended at the compensation rates specified in the most recent Fee Schedule, the initial form of which is attached hereto and incorporated herein by reference, or 5% of any Claim. (f) CEPCO may determine what person or entity shall be retained to perform the duties required for maintenance, repairs, replacements, etc. to common areas. It is understood and agreed that from time to time due to convenience, required response time, improved economics or other reason This Contract Is the Property of CEPCO Management Services. Page 6 as determined by CEPCO, employees of CEPCO, CEPCO's affiliates or affiliates of CEPCO's employees may be used to perform maintenance duties for the Association and said use shall not constitute a conflict of interest. (g) On the basis of the budget, job standards or wage rates previously approved by the Board, CEPCO shall negotiate agreements with, hire, pay, and discharge any personnel or contractor required to maintain the property and is hereby given the authority to execute contracts for same and bind the Association thereby. All such personnel referenced in these contracts shall be employees of Contractors or Sub -contractors of the Association and not of CEPCO during the performance of the maintenance functions. All expenses payable on account of such personnel of Contractors or Sub -contractors shall be operating expenses of the Association and paid by the Association. Performance of significant work orders and contacts will be reviewed for satisfactory completion prior to payment. (h) CEPCO shall, if required, execute and file all tax returns and other instruments on behalf of the Association. In connection, therewith the Association agrees to execute and deliver promptly to CEPCO all necessary powers of attorney, notices of appointment, and the like which may reasonably be required to enable CEPCO to perform such service. (i) Subject to the direction of the Board of Directors of the Association, CEPCO shall negotiate and execute on behalf of the Association contracts for services for the common elements of the property as may be necessary or advisable. CEPCO shall also purchase on behalf of the Association, such equipment, tools, appliances, materials and supplies as are reasonably necessary for the proper operation and maintenance of the common elements. Page 1 7 and contracts shall be in the name and at the expense of the Association. 0) CEPCO shall pay from the funds of the Association all taxes, building inspection fees, water rates and other governmental charges, and all other charges or obligations incurred by the Association with respect to the maintenance of the common elements pursuant to the terms of the Contract or pursuant to other authority granted by the Association. (k) CEPCO shall maintain appropriate records of all insurance coverage carried by the Association. CEPCO shall cooperate with the Association or Board in investigating and reporting all accidents or claims for damage relating to the ownership, operation and maintenance of the common elements of the property including any damage or destruction thereto. At the request of the Board of Directors CEPCO shall review and make available for their consideration those types of insurance which the Board has deemed necessary. CEPCO shall not be required to procure or renew any insurance coverage until directed to do so by the Board of Directors. Renewal of existing coverages by CEPCO, however, shall not be deemed a default under this Contract. The Board shall be solely responsible for determining the amount of coverage, which is necessary to adequately protect the Association or any of the Association properties. (1) In discharging its responsibilities under the foregoing paragraphs, CEPCO shall not make any expenditures nor incur any non -recurring contractual obligations exceeding One Thousand Dollars ($1,000.00) without the prior consent of the Board. Notwithstanding the limitations imposed by the preceding sentence, CEPCO may on behalf of the Association without prior consent expend any amount required to deal with emergency conditions which may involve danger to life or property or may threaten the safety of the occupants of the property, the common elements of the This Contract Is the Property of CEPCO Management Services, LLC and Is not to be given to any other management company or Individual, except for the Lantana Crossing Homeowners Association, Inc. Board Members, for any reason. Page 1 8 Association or may threaten the suspension of any necessary service to the property or common elements. (m) CEPCO shall have no obligation whatsoever relating to the completion of construction, preparation, and review or monitoring of completion checklists or any other work on areas that are the responsibility of the individual owners in the Association. (n) Notwithstanding any other provisions of this Contract, CEPCO is given no authority or obligation to maintain or repair individual dwellings in the complex or undertake the contracting of major maintenance projects for the Association beyond those recognized as normal, routine maintenance and identified in the business plan (operating budget) of the Association. Such additional work shall be agreed upon separate and apart from this contract at the compensation rates stated in the most recent Fee Schedule, the initial form of which is attached hereto and incorporated herein by reference. Maintenance of or repairs to the individual dwellings shall be the sole responsibility of the owners individually. Each individual dwelling owner may contract with CEPCO on an individual basis for the provision of certain maintenance and other related services. Such shall not be considered to be a conflict of interest. Neither shall this paragraph otherwise obligate CEPCO to undertake any action for such repair or maintenance of units except as it may agree with individual owners on a case by case basis. (o) CEPCO agrees that all monies collected by it on behalf of the Association shall be deposited in an account in a state or national bank of CEPCO's choosing, where deposits are insured by the Federal Deposit Insurance Corporation. Such account shall bear the name of the Association and shall be separate and apart from CEPCO's own funds. Page 1 9 account may include monies received by CEPCO in a representative capacity on behalf of the Association, individual unit or lot owner or owners and that the balance in such account may exceed the insurance limits of the Federal Deposit Insurance Corporation for a single account. The Association shall have the right to direct CEPCO to deposit monies of Capital Replacement Fund or any surplus monies which have been collected by CEPCO on behalf of the Association in an interest -bearing account and to account to Association for any interest earned. (p) CEPCO agrees that one of its employees shall be designated as Community Manager. The Community Manager or an appropriate designee shall, upon adequate notice on any weekday, Monday thru Thursday inclusive, attend up to four (4) quarterly meetings of the Board of up to two (2) hours in length and one (1) annual Membership meeting of up to three (3) hours in length without additional charge. Charges for additional meetings or additional time for meetings or additional personnel for meetings shall be at the compensation rates identified in the most recent Fee Schedule. CEPCO shall not be required to record minutes of any meeting. V MISCELLANEOUS It is further agreed between the parties that: (a) All expenses of operation and management as set forth herein may be paid from the Association's funds held by CEPCO without prior notice to the Association. CEPCO agrees that all its employees who handle or are responsible for the safekeeping of any monies of the Association This Contract Is the property of CEPCO Management Services, LLC and is not to be given to any other management company or individual, except for the Lantana Crossing Homeowners Association, Inc. Board Members, for any reason. Page 1 10 shall be covered by a fidelity bond. CEPCO currently carries One Million ($1,000,000.00) Dollars in fidelity coverage at its own expense. The fidelity bond premium for any additional coverage required by the Association is to be an operating expense of the Association. (b) Association shall designate a single individual who shall be authorized to deal with CEPCO on any matter relating to the management of the property or pertaining to the duties of CEPCO contemplated by the Contract. In the absence of any other designated by the Board, the President of the Board shall have this authority. Not withstanding the foregoing, CEPCO will confer freely with the Board members on Association matters. (c) CEPCO shall have no authority to make any structural changes in the property or to make any other major alterations or additions in or to any building or equipment therein, except such emergency repairs as may be required because of danger to life or property or which are immediately necessary for the preservation and safety of the property or the safety of the Association and occupants or are required to avoid the suspension of any necessary service to the property. (d) CEPCO shall not be obligated to do anything to bring the property, the common elements, the property use or any activity on the property or involving the common elements into compliance with any ordinances, laws, or regulations (including but not limited to those relating to the disposal of solid, liquid and gaseous wastes) of the City, County, State or Federal Government, or any public authority or official thereof having jurisdiction over it. CEPCO shall notify the Association or the Board promptly or forward to the Association or the Board promptly, any complaints, warning notices or summonses received by it relating to such matters. The Association represents that to the best of its knowledge the property complies with all such requirements, and authorizes CEPCO to disclose the ownership of the property to any such officials, and agrees to indemnify and hold This Contract is the Property of CEPCO Management Services, LLC and is not to be given to any other management company or individual, except for the Lantana Crossing Homeowners Association, Inc. Board Members, for any reason. - - - ---- — — — Page I 11 harmless CEPCO, its representatives and employees, of and from all loss, costs and expense related to any present or future violation or alleged violation of such laws, ordinances, rules, or regulations. (a) The Association shall indemnify and hold CEPCO harmless from all liability, damage, and the cost and expense of any suits, including reasonable attorney's fees in connection with the management of the property and from liability, damage, costs and expenses which may arise in connection with injury or damages to person or property suffered by any employee, owner, or other person or entity. The Association shall carry, at its own expense, necessary commercial general liability, and all other insurance adequate to protect the interest of the parties hereto, which policies shall be so written as to protect CEPCO in the same manner and to the same extent they protect the Association, and will name CEPCO as an additional named insured. This paragraph is not intended to apply to any action between CEPCO and the Association relating to mismanagement, gross negligence, or criminal acts. (f) The Association shall pay all expenses which may be incurred by CEPCO including, without limitation, attorney's fees for counsel employed to represent CEPCO or the Association in any proceeding or suit brought by CEPCO or the Association against any homeowner or homeowners or others, or against CEPCO by any homeowner or others, or against the Association by homeowners or others. This paragraph is not intended to apply to any action between CEPCO and the Association. (g) If either party shall be in default under any of the terms of this Contract, then the defaulting party shall have thirty (30) days after receiving written notice of default to cure such default. If the default is not cured within the thirty (30) day period herein discussed, then this Contract may be terminated upon ninety (90) days written notice to defaulting party. (h) Realizing that from time to time the Association may be in need of attorneys to represent the Association in various matters, including the collection of dues and assessments and the enforcement of terms and provisions of the Association documents, CEPCO shall have the authority to retain such legal counsel as it and the Board of Directors deems appropriate for the representation of the Association. Such attorney or firm may have previously or currently represented CEPCO or its employees or officers in various matters. If, during the course of representation, a conflict of interest shall arise between CEPCO or its employees or officers and the Association as to the attomey's representation of both, the attorney shall be allowed to withdraw from representing the Association and CEPCO or its employees or officers (as the case may be) solely, subject to the Rules of Professional Conduct of the North Carolina State Bar. VI NOTICES Any notice now and hereafter required to be given in this Contract shall be sent certified mail return receipt requested to the parties as follows: Association: LANTANA CROSSING HOMEOWNERS ASSOCIATION, INC. There are no agreements, representations, amendments of understandings except as are set forth herein. All changes, additions, modifications or deletions hereto must be in writing and signed by the parties hereto. VIII COMPLIANCE WITH STATUTES AND REGULATIONS The Association and CEPCO each agree to comply with all applicable statutes, regulations, and guidelines governing the conduct of business herein described. THIS CONTRACT shall be binding, shall supersede any previous contracts between the parties and shall inure to the benefit of the heirs, successors, and assigns of CEPCO and the Association, and shall be construed in accordance with the laws of the State of North Carolina. Grantor also hereby grants to the Grantee a temporary construction easement over and upon the Burdened Tract to install storm water drainage pipes on the Burdened Tract. The temporary construction easements granted to the Partnership by this Section 1 shall expire on December 31, 2018. 2. Storm Water Drainage Easement. Grantor hereby grants to the Grantee, their successors, successors -in -title and assigns, for the benefit of the Benefitted Tracts, the permanent and perpetual, non-exclusive right, privilege and easement appurtenant for storm water drainage within the Burdened Tract and to use the storm water drainage pipes to be installed by Grantee in order to drain storm water through the pipes within the Easement Area. 3. Construction. The installation of the storm water drainage pipes shall be performed by Grantee in an expeditious, good and workmanlike manner. 4. Maintenance. The Grantee covenants that, following completion of the installation of the storm water drainage pipes, it will at all times and at its sole cost and expense, maintain the storm water drainage pipes that Grantee installs in a good state of repair and will perform such repairs as are required to keep the storm water drainage pipes in a good and fit manner and in all events in accordance with applicable law. Additionally, Grantee shall have the obligation to provide general and typical storm water pond maintenance on the Burdened Tract, which may include the following: mowing of area surrounding wet pond, taking vegetation control measures, including algae controls and cleaning away trash and debris. The biggest concern would be regarding the cost -sharing of maintenance for the system as well as the limitation of built -upon area to ensure it remains compliant with the permit and approved plans. The solution depends on the situation. One solution I've seen is that an owners association was created with both entities being members and the association documents outlining the responsibilities. Another solution I've seen is a legal document formalizing the agreement between the two parties. However, if the outparcel is sold, then there would need to be considerations that the agreement be transferred to the new owners. I would recommend speaking with a lawyer to get their opinion on the liabilities that would be incurred and their assistance in formalizing any agreement between the two parties. The HOA may also wish to obtain their own consultant to ensure the HOA's best interests are being met. Section E of the Application instructions available on this website indicates that projects draining to an off -site SCM are not eligible for the Fast -Track Permitting Program and must apply under the standard permitting process. If the mod to SW8 120911 is submitted under the fast track program and issued an authorization to construct, the offsite application cannot be submitted until the final permit to SW8 120911 is submitted and approved (refer to .1044 for the final permit requirements). I think Linda may have permitted it and approved in 2012. The certification was complete in 2013 and per my file review there were no NOVs or incompliance issues with the two ponds on the permit. What we want to do is modify Pond #1 and add new drainage area and BUA that is offsite from the existing property therefore an offsite permit would apply. I've run the calcs and there's no issues with the storage volume and surface area. We want to permit it fast-trak under the new rules. We'd revise the calcs, etc. to make sure it's all compliant with the post 2016 rules, and ensure there are no changes to the outlet structure for the water quality volume. So can we fast-trak the mod and then submit the offsite fast trak7 I can come in and meet (with the plans and permit copies) if that's easier. Thanks ).
