CONSENT OF MEMBER.
TO ACTION WITHOUT MEETING
JANUARV 17, 2017
The undersigned, being the sole Member- of Hood Real Estate, LLC, hereby consents to,
approves of and authorizes the following actions:
1. The resignation of Amelia T. Hood as a Manager of the Company is hereby
accepted. The Member also acknowledges that a prior Manager, Ruth P. Hood, has passed away.
2. The following person is hereby nominated and elected to serve as sole Manager of
the Company to serve in accordance with the Company's Operating Agreement until the earliest
to occur of (i) his death, resignation, or adjudication of incompetency, or (ii) removal by action
of the Members of the Company:
Coleman P. Hood
3. The Member hereby authorizes and directs the Manager of the Company to sell
the real property owned by the Company on Old Mill Road in Weddington, North Carolina at
such price and upon such terms as the Manager in his discretion deems to be in the best interest
of the Company and the Member. The Manager is further authorized to enter into and execute on
behalf of the Company such contracts, deeds, affidavits and other documents as may be
necessary or appropriate to sell the Company's said real. property.
This Consent and the actions authorized and approved herein, shall be effective as of
May 31, 2017 and any actions by Coleman P. Hood or the former Managers of the Company
prior to that date, and any actions by the new Manager on or after that date are hereby ratified
and confirmed. The actions taken and authorized herein shall continue in effect indefinitely until
revoked, modified or amended by action of the Member.
