TI IIS BILL OF SALE is made as of August 31, 2019 by KEYSTONE FOODS LLC, a
Delaware limited liability company ('`Seller"), in favor of DEORO FOODS LLC, an Oklahoma
limited liability company ('-Buyer'), pursuant to the Asset Purchase Agreement entered into by and
between Seller and Buyer dated as of July 17, 2019 (tile "Purchase A reemenf). Any capitalized
terns used but not defined in this Bill of Sale have the meanings given in the Purchase Agreement.
For good and valuable consideration, Seller hereby grants, bargains, sells, assigns, transfers,
and delivers unto Buyer all of the Transferred Assets. to have and to hold the same unto Buyer. its
successors and assigns forever, clear and discharged of and from all former grants, charges. taxes,
judgments. security interests, and other liens and encumbrances of whatsoever nature, other than
Permitted Liens.
This Bill of Sale is made pursuant and subject to the Purchase Agreement. This Bill of Sale
incorporates all of the terms, conditions, representations, warranties, and covenants in the Purchase
Agreement. Nothing in this Bill of Sale is intended to supersede, modiA. limit, expand, or amend
any of the rights or obligations of Seller or Buyer under the Purchase Agreement.
