Dear Stormwater Permitting Division,
On July 1, 2014 the above referenced recycling facility was sold and is now under new ownership. The
new owner/operator, Wise Recycling 1, LLC, intends to continue to operate the site as a recycling
center. On July 30, 2014, we completed and signed the "prior" operator section of a Permit
Name/Ownership Change Form and forwarded to the new owner/operator (Wise Recycling 1, LLC) for
their signature and submission to NCDENR.
To date we have not received confirmation that the new operator has in fact submitted the ownership
change notice, therefore please accept this letter as our notice to you that effective 07/01/14 we are no
longer operating the facility. A copy of the ownership change is attached for your reference.
Below you will find contact information for the new owner/operator. Notice related to that facility for
activities after 07/01/14 should be forwarded directly to them.

BILL OF SALE, ASSIGNMENT AND ASSUMPTION AGREEMENT
This BILL OF SALE, ASSIGNMENT AND ASSUMPTION AGREEMENT (this
"Agreement'), dated as of July 1, 2014, is made by and among Wise Recycling_I,-:LLC; a
Delaware limited liability company (the "Com an "), Wisd Recycling, LLC, a:Maryland limited
liability company ("Wise Subsidiary'), Wise Recycling West, LLC, a Delaware limited liability
company ("Wise Property Owner'), and Wise Metals Holdings LLC, a Delaware limited liability
company ("Wise").
WHEREAS, the Company, Wise Subsidiary, Wise Property Owner, Wise, Source
Recycling, LLC, a Delaware limited liability company, and Terrapin Metals Recycling, LLC, a
Delaware limited liability company, are parties to that certain Contribution Agreement, dated as
of June 30, 2014 (as may be amended, modified or supplemented from time to time, the
"Contribution Agreement"; capitalized terms used but not otherwise defined herein shall have
the respective meanings ascribed thereto in the Contribution Agreement), pursuant to which,
among other things, Wise has agreed to cause Wise Subsidiary and Wise Property Owner to
transfer, assign, contribute and deliver to the Company all of Wise Subsidiary's. and Wise
Property Owner's right, title and interest in and -to the Wise -Contributed Assets, excluding the
Wise Excluded Assets, to the Company, and the Company has agreed to accept from Wise
Subsidiary, all of Wise Subsidiary's right, title and interest in and to the Wise Contributed Assets
and to assume the Wise Assumed Liabilities; and
WHEREAS, the execution and delivery of this Agreement by the Company, Wise
Subsidiary, Wise Property Owner and Wise is a condition to the obligations of the parties to the
Contribution Agreement to consummate the transactions contemplated by the Contribution
Agreement.
NOW THEREFORE, in consideration of the mutual promises and covenants set forth
herein and in the Contribution Agreement, and other good and valuable consideration, the receipt
and sufficiency of which is hereby acknowledged, and intending to be legally bound hereby,
each party hereto agrees as follows:
1. Transfer of Wise Contributed Assets. For value received, effective as of the
Closing and subject to the terms and conditions of the Contribution Agreement, each of Wise
Subsidiary and Wise Property Owner do hereby sell, transfer, assign, convey and deliver to the
Company, its successors and assigns all of such party's right, title and interest in and to the Wise
Contributed Assets, including, without limitation, all of the tangible personal property set forth
on Schedule 1 attached hereto, free and clear of all Liens (other than Wise Permitted Liens), to
have and to hold, all and singular, the Wise Contributed Assets forever, and the Company does
hereby accept the sale, transfer, assignment, conveyance and delivery of all of such party's right,
title and interest in and to the Wise Contributed Assets. Notwithstanding anything in this
Agreement or the Contribution Agreement to the contrary, Wise and Wise Subsidiary are
retaining ownership and possession of, and are not selling, transferring, conveying, assigning or
delivering to the Company, any right, title or interest in, to or under, any asset other than the
Wise Contributed Assets.

2. Assumption of Obligations, As part of the consideration for the Company's
purchase of the Wise Contributed Assets, effective as of the Closing, the Company hereby
assumes, undertakes and agrees to perform, pay, honor, be liable for and discharge when due,
any and ail of the Wise Assumed Liabilities.
3. Further Actions. From and after the date of this Agreement, each of the parties
hereto shall use all reasonable efforts to take, or cause to be taken, all appropriate action, do or
cause to be done all things necessary, proper or advisable under applicable Law, and execute and
deliver such documents and other papers, as may be required to carry out the provisions of this
Agreement and consummate and make effective the transactions contemplated by this
Agreement.
4. Miscellaneous.
(a) Except as otherwise provided in the Contribution Agreement, the
respective rights and obligations of the parties hereto shall not be assignable without the prior
written consent of the other parties hereto. This Agreement shall be binding upon and inure to
the benefit of the parties hereto and their respective successors and permitted assigns.
(b) ' Nothing in this Agreement, express or implied, is intended to or shall be
construed to modify, expand or limit in any way the terms of the Contribution Agreement. To
the extent that any provision of this instrument conflicts or is inconsistent with the terms of the
Contribution Agreement, the Contribution Agreement will govern.
(c) This Agreement may not be amended or modified except in a writing
signed by the parties hereto.
(d) This Agreement shall be exclusively interpreted and governed by the Laws
of the State of Delaware and the federal laws applicable therein, without regard to its conflict of
law provisions.
(e) This Agreement may be executed in two or more counterparts, each of
which shall be deemed an original, but all of which together shall constitute one and the
same instrument.

have reviewed and approved your request to transfer the exclusion from NPDES stormwater
permitting requirements.
Please note that by our original acceptance of the No -Exposure Certification and by our
approval of your request to transfer it, you are obligated to maintain no -exposure conditions at
your facility. If conditions change such that your facility can no longer qualify for the no -
exposure exclusion, you are obligated to immediately obtain NPDES permit coverage for your
stormwater discharge. Otherwise, the discharge becomes subject to enforcement as an un-
permitted discharge.
Annual re -certification is required, and we have enclosed one blank Annual No Exposure
Exclusion Self Re -Certification form for your use. Your certification of no exposure does not
affect your facility's legal requirements to obtain environmental permits that may be required
under other federal, state, or local regulations or ordinances.

This BILL OF SALE, ASSIGNMENT AND ASSUMPTION AGREEMENT (this
"Aareemei '), dated as of July 1, 2014, .is made by -and among Wise Recycling 1, LLC, a
Delaware limited liability company (the "CCQmpany"),Wise Recycling, LLC, a'Ma yland.liniited
liability company ("Wise Subsidiary'% Wise.Recycling West, LLC, a Delaware limited liability
company ("Wise Property Owner"), and Wise Metals Holdings.LLC,.a Delaware liniited:liability
company C 1 ise").
WHEREAS, the Company, Wise Subsidiary, Wise 'Property Owner, Wise, .Source
Recycling, LLC, a Delaware limited liability company, and Terrapin Metals Recycling, LLC,.a
Delaware limited liability company, are parties to that certain Contribution Agreement, dated as
of June 30, 2014 (as inay be amended, modified or supplemented from .time to time,, the
"Contribution Agreement"; capitalized terms used but not otherwise defined ,berein .shall have
the respective meanings ascribed thereto in the Contribution Agreement), pursuant to which,
among other things, Wise has agreed ,to cause Wise Subsidiary :and Wise :Property Owner to
transfer, assign, contribute and deliver to the Company all of Wise Subsidiary's and Wise
Property Owner's right, title and interest in and to the Wise Contributed Assets, excluding the
Wise Excluded Assets, to the Company, and the Company'has agreed to accept from Wise
Subsidiary, all of Wise Subsidiary's right, title and interest in and to.the Wise Contributed Assets
and to assume the Wise Assumed Liabilities; and
WHEREAS, the execution and delivery of this Agreement by the Company, Wise
Subsidiary, Wise Property Owner and Wise is a condition to the -obligations of the,parties to the
Contribution Agreement 'to consummate the transactions contemplated by the Contribution
Agreement.
NOW THEREFORE, in consideration of the mutual promises and covenants ,set forth
Herein and in the Contribution Agreement, and other good and valuable consideration, the:receipt
and sufficiency of which is hereby acknowledged, and intending to be legally bound hereby,
each party hereto agrees as follows:
I. Transfer of Wise Contributed Assets. For value received, effective as of the
Closing and subject to the terms and conditions of the Contribution Agreement, each of Wise
Subsidiary and Wise Property Owner do hereby sell, transfer, assign, convey and deliver to the
Company, its successors and assigns all of such party's right, title and interest in and to the Wise
Contributed Assets, including, without limitation, all of the#angible personal property set forth
on.Schedule l attached hereto, free and clear of all Liens (other than Wise Permitted Liens), to
have and to hold, all and singular, the Wise Contributed Assets forever, and the Company does
hereby accept the sale, transfer, assignment, conveyance and delivery of.a.1 of.suchiparty's right,
title and interest in and to the Wise Contributed Assets. Notwithstanding anything in this
Agreement or the Contribution Agreement to the contrary, Wise and Wise Subsidiary are
retaining ownership and possession of, and are not selling, transferring, conveying, assigning !or
delivering to the Company, any right, title or interest 'in, to or under_, any asset other than -the
Wise Contributed. Assets.

2. Assumption of Obligations. As part of the consideration for the Company's
purchase of the Wise Contributed Assets, effective as of .the Closing, -the Company :hereby
assumes, undertakes and agrees to perform, pay, honor, be .liable for and discharge when due,
any and all of the Wise Assumed Liabilities.
3. Further Actions. From and after the date of: this. Agreement, each of the parties
hereto shall use all reasonable efforts to take, or cause to Abe taken, all appropriate action, do or
cause to be done all things necessary, proper or advisable under: applicable Law,,and execute and
deliver such documents and other papers, -as may .be required to carry out the provisions,of this
Agreement and consummate and make effective the transactions contemplated by this
Agreement.
4. Miscellaneous.
(a) Except as othetivise provided :in the Contribution .Agreement, .the
respective rights and obligations of the parties hereto shall not be assignable without the prior
written consent of the other parties hereto. This Agreement: shall'be 'binding 1upon:and inure -to
the benefit of the parties hereto and their respective successors and permitted:assigns.
(b) .Nothing in this Agreement, express or implied, is intended to -or shall be
construed to modify, expand or limit in any way the terms of the Cont6bution Agreement. 'To
the extent that any provision of this instrument conflicts orris inconsistent with,the iterms,of!the
Contribution Agreement, the Contribution.Agreement will govern.
(c) This Agreement may not be amended or modified except in a writing
signed by the parties hereto.
(d) This Agreement shall be exclusively interpreted and governed by the.Laws
of the State of Delaware and the federal laws applicable therein, without.regard to pits conflict of
law provisions.

exposure" and obtaining/maintaining an exclusion from NPDES stormwater permitting.
I certify under penalty of law that there are no discharges of stormwater contaminated by exposure to industrial activities
or materials from the industrial facility or site identified in this document (except as allowed under 40 CFR 122.26(g)(2)).
I understand that I am obligated to annually self re -certify No Exposure and, if requested, submit this re -certification to
DWQ or the operator of the local municipal separate storm sewer system (MS4) into which the facility discharges (where
applicable). I understand that I must allow the North Carolina Division of Water Quality, or MS4 operator where the
discharge is into the local MS4, to perform inspections to confirm the condition of no exposure and to make such
inspection reports publicly available upon request.
In the event that the site no longer qualifies for a No Exposure Exclusion, I understand that I must obtain coverage under
an NPDES permit prior to any point source discharge of stormwater from the facility. Additionally, I certify under penalty of
law that this document and all attachments were prepared under my direction or supervision in accordance with a system
designed to assure that qualified personnel properly gathered and evaluated the information provided. Based on my
inquiry of the person or persons who manage the system, or those persons directly responsible for gathering the
information, the information provided is to the best of my knowledge and belief true, accurate and complete. I am aware
that there are significant penalties for providing false information, including the possibility of fine and imprisonment for

statement of a material fact in a rulemaking proceeding or contested case under this Article; or who falsifies, tampers with, or knowingly
renders inaccurate any recording or monitoring device or method required to be operated or maintained under this Article or rules of the
[Environmental Management] Commission implementing this Article shall be guilty of a Class 2 misdemeanor which may include a fine

As a current holder of a No -Exposure Certitication, please,npte the following important change to the Division's
implementation of this program. The No -Exposure Certifications no longer will have an expiration date. Previously your
no -exposure exclusion had to be re -certified with the Division every 5 years. This will no longer be required. Please
disregard the expiration date on your original certification. However, in order to assure that your facility stays in
compliance with all of the conditions in the no-exposurd certification; ��ot; must self re -certify your facility at least
annually. Please see the attachment for information on self re -certification.
If you are waiting for a response from the Division for a renewal certification you already submitted, please consider this
letter the Division's approval for renewing your No -Exposure exclusion.
Please note that this does not change your obligation to.maintain no -exposure conditions at your facility. If -
conditions change such that your facility can no longer qualify for a no -exposure exclusion, you are obligated to
immediately obtain NPDES permit coverage for your stormwater discharge. Otherwise, the discharge becomes
subject to enforcement as an un-permitted discharge. State statute provides for fines of up to $25,000 per day for -
un- ermitted discharges.
Your conditional exclusion from permitting does not affect your facility's legal requirements to obtain environmental
permits that may be.required under other federal, state, or local regulations or ordinances.

I certify under penalty of law that I have read and understand the eligibility requirements for claiming a condition of "no
exposure" and obtaining/maintaining an exclusion from NPDES stormwater permitting.
I certify under penalty of law that there are no discharges of stormwater contaminated by exposure to industrial activities
or materials from the industrial facility or site identified in this document (except as allowed under 40 CFR 122.26(g)(2)).
I understand that I am obligated to annually self re -certify No Exposure and, if requested, submit this re -certification to
DWO or the operator of the local municipal separate storm sewer system (MS4) into which the facility discharges (where
applicable). I understand that I must allow the North Carolina Division of Water Quality, or MS4 operator where the
discharge is into the local MS4, to perform inspections to confirm the condition of no exposure and to make such
inspection reports publicly available upon request.
In the event that the site no longer qualifies for a No Exposure Exclusion, I understand that I must obtain coverage under
an NPDES permit prior to any point source discharge of stormwater from the facility. Additionally, I certify under penalty of
law that this document and all attachrnents were prepared under my direction or supervision in accordance with a system
designed to assure that qualified personnel properly gathered and evaluated the information provided. Based on my
inquiry of the person or persons who manage the system, or those persons directly responsible for gathering the
information, the information provided is to the best of my knowledge and belief true, accurate and complete. I am aware
that there are significant penalties for providing false information, including the possibility of fine and imprisonment for
knowing violations.

North Carolina General Statute 143-215.6 B(i) provides that:
Any person who knowingly makes any false statement, representation, or certification in any application, record, report, plan, or other
document tiled or required to be maintained under this Article or a rule implementing this Article; or who knowingly makes a false
statement of a material fact in a rulemaking proceeding or contested case under this Article; or who falsifies, tampers with, or knowingly
renders inaccurate any recording or monitoring device or method required to be operated or maintained under this Article or rules of the
[Environmental Management] Commission implementing this Article shall be guilty of a Class 2 misdemeanor which may include a fine
not to exceed ten thousand dollars ($10,000).
This completed form must be kept on file at the facility for at least 5 years. Do not submit this

NPDES Storm Water Permitting
Submission of this No Exposure Certification constitutes notice that the entity identified in Section A does not require permit authorization for its storm water
discharges associated with industrial activity in the State identified in Section B under EPA's Storm Water Multi -Sector General Permit due to the existence
of a condition of no exposure.
A condition of no exposure exists at an industrial facility when all industrial materials and activities are protected by a storm resistant shelter to prevent
exposure to rain, snow, snowmelt, and/or runoff, Industrial materials or activities include, but are not limited to, material handling equipment or activities,
industrial machinery, raw materials, intermediate products, by-products, finaf products, or waste products. Material handling activities include the storage,
loading and unloading, transportation, or conveyance of any raw material, intermediate product, final product or waste product, A storm resistant shelter is
not required for the following industrial materials and activities:.
- drums, barrels, tanks, and similar containers that are tightly sealed, provided those containers are not deteriorated and do not leak, "Sealed"
means banded or otherwise secured and without operational taps or valves;
adequately maintained vehicles used in material handling; and
final products, other than products that would be mobilized in storm water discharges (e.g., rock salt).
A No Exposure Certification must be provided for each facility qualifying for the no exposure exclusion. In addition, the exclusion from NPDES permitting is
available on a facility -wide basis only, not for individual outtalls, If any industrial activities or matnrials are or will be exposed to precipitation, the facility is
not eligible for the no exposure exclusion.

I certify under penalty of law that there are no discharges of storm water contaminated by exposure to industrial activities or materials from the industrial
facility or site identified in this document {except as allowed under 40 CFR 122.26(g)(2)).
I understand that I am obligated to submit a no exposure certification form once every five years to the NPDES permitting authority and, if requested, to
the operator of the local municipal separate storm sewer system (MS4) into which the facility discharges (where applicable). I understand that I must
allow the NPDES permitting authority, or MS4 operator where the discharge is into the local MS4, to perform inspections to confirm the condition of no
exposure and to make such inspection reports publicly available upon request. I understand that I must obtain coverage under an NPDES permit prior
to any point source discharge of storm water from the facility.
Additionally, I certify under penalty of law that this document and all attachments were prepared under my direction or supervision in accordance with a
system designed is assure that qualified personnel properly gathered and evaluated the information submitted. Based on my inquiry of the person or
persons who manage the system, or those persons directly responsible for gathering the information, the information submitted is to the best of my
knowledge and belief true, accurate and complete. I am aware that there are significant penalties for submitting false information, including the possibility
of fine and imprisonment for knowing violations.

**COMMENT TO #5: At no time during the centers processing is the material exposed to
precipitation. The only time for potential exposure is when the consumer is unloadin
the recycling non-ferrous metal from their vehicle. At this time the material is
carried from their vehicle into our recycling center for processing.
