On January 30, 2015, the Division of Energy, Mineral and Land Resources received your request to rescind
your coverage under Certificate of Coverage Number NCG 180108. In accordance with your request,
Certificate of Coverage Number NCG180108 is rescinded effective immediately.
Operating a treatment facility, discharging wastewater or discharging specific types of stormwater to waters
of the State without valid coverage under an NPDES permit is against federal and state laws and could result
in fines. if something changes and your facility would again require stormwater or wastewater discharge
permit coverage, you should notify this office immediately. We will be happy to assist you in assuring the
proper permit coverage.
If the facility is in the process of being sold, you will be performing a public service if you would inform the
new or prospective owners of their potential need for NPDES permit coverage.

ASSIGNMENT AGREEMENT
THIS ASSIGNMENT AGREEMENT (this "Agreement"), dated as of the 141h
day of January, 2015, is made between E.P.M.P., LLC, a North Carolina limited liability
company ("Assignor") and JACOBS TRADING, LLC, a Delaware limited liability
company ("Assignee"), and hereby recites and provides:
RECITALS:
WHEREAS, Assignor and La-Z-Boy Greensboro, Inc., a North Carolina
corporation ("Seller") have entered into a Asset Purchase Agreement, dated as of
December 23, 2014 (the "Purchase Agreement"), whereby Seller has agreed to sell
Assignor, and Assignor has agreed to purchase from Seller, certain land located at 389
Armory Road, North Wilkesboro, NC (as more particularly described in the Purchase
Agreement, the "Property"). A copy of the Purchase Agreement is attached hereto as
Exhibit A; and
WHEREAS, Assignor desires to assign its right, title and interest in and to the
Purchase Agreement, and Assignee desires to accept such assignment and assume
Assignor's obligations thereunder, all pursuant to the terms of this Agreement.
AGREEMENT:
NOW, THEREFORE, in consideration of the Agreement and other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
Assignor and Assignee hereby agree as follows:
1. Assignment of Purchase Agreement. Assignor hereby sells, assigns,
transfers and conveys unto Assignee, and its successors and assigns, all of its right, title,
and interest as "Purchaser" under the Purchase Agreement, including but not limited to
Assignor's interest in and to any Earnest Money deposited by Assignor under the
Purchase Agreement. In consideration of the foregoing assignment, Assignee hereby
assumes and agrees to perform all of the obligations of Purchaser under the Purchase
Agreement. In furtherance of the foregoing, Assignee shall indemnify, defend, protect
and hold harmless Assignor from and against any and all losses, costs, claims, liabilities
and damages, including reasonable attorneys' fees arising from or related to third party
claims in connection with the Property and/or Assignee's breach of any of the
"Purchaser's" obligations under the Purchase Agreement; provided, however, that the
foregoing indemnity shall not be applicable to the extent such claims arise in connection
with the negligence or willful misconduct of Assignor or its agents or employees.

2. Due Diligence Costs. Specifically, Assignee shall pay at Closing the
reasonable and documented cost of the following due diligence items prepared in
connection with the due diligence investigation of the Property: (i) phase I environmental
report; (ii) ALTA survey; (iii) asbestos inspection; and (iv) roof inspection.
3. Governing Law, This Agreement shall be governed by, and shall be
construed in accordance with, the laws of the State of North Carolina,
4. Successors and Assigns. This Agreement and the terms and provisions
herein shall inure to the benefit of, and shall be binding upon, the respective successors
and assigns of Assignor and Assignee.
5. Incorporation by Reference. All of the Exhibits attached hereto or
referred to herein and all documents in the nature of such Exhibits are by reference
incorporated herein and made a part of this Agreement. Any capitalized terms not herein
defined shall have the meanings ascribed thereto in the Purchase Agreement.
6. Survival. The terms and conditions of this Agreement shall survive the
Closing Date.
7. Counterparts. To facilitate execution, this Agreement may be executed
in as many counterparts as may be required. It shall not be necessary that the signatures
on behalf of all parties appear on each counterpart hereof. All counterparts hereof -shall
collectively constitute a single agreement.

In response to your renewal application for continued coverage under general permit NCG180000, the Division of
Water Quality (DWQ) is forwarding herewith the reissued stormwater general permit. This permit is reissued
pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement
between the state of North Carolina and the U.S. Environmental Protection Agency, dated December 6, 1983.
The following information is included with your permit package:
* A copy of general stormwater permit NCG180000
* A Stormwater Pollution Prevention Plan (SPPP) Certification Form. Completion of this form is required to
certify that you have developed and implemented the SPPP as per the conditions of the permit. This form
must be completed and returned to the Division within 30 days of receipt of this letter.
DO NOT SEND the SPPP with the signed form.
* Five copies of the Analytical Monitoring form and five copies of the Qualitative Monitoring form
* A copy of a Technical Bulletin on the Stormwater program which outlines program components and
addresses frequently asked questions
* A corrected Certificate of Coverage if you indicated a name change on the Renewal Application
Your coverage under this general permit is not transferable except after notice to DWQ. The Division may require
modification or revocation and reissuance of the Certificate of Coverage. This permit does not affect the legal
requirements to obtain other permits which may be required by DENR or relieve the permittee from responsibility
for compliance with any other applicable federal, state, or local law rule, standard, ordinance, order, judgment, or
decree.
