BILL OF SALE
This Bill of Sale (this "Bill of Sale") is made as of May 6, 2014, by each of Jupiter Bathware,
Inc., an Alabama corporation and its wholly owned subsidiary, Batheraft Inc., a Georgia corporation,
Golden Bay Trucking, Inc., an Alabama corporation, Harry P. McCoy, all individual and Brooks Davis, an
individual (collectively, the "Sellers"), in favor of Bathcraft, LLC, a Delaware limited liability company
(the "Buyer").
WITNESSETH
WHEREAS, Pursuant to that certain Asset Purchase Agreement dated as of the date hereof (the
"Asset Purchase Agreement"), by and among the Sellers, the Buyer and Harry P. McCoy, in his capacity
as the Sellers' Representative, the Sellers have agreed to transfer, assign, and convey to the Buyer all of the
Sellers' right, title and interest in, to and under the Assets. Capitalized terms used herein and not otherwise
defined shall have the meaning given to such teens in the Asset Purchase Agreement,
NOW, THEREFORE, in consideration of the mutual covenants contained herein and in the Asset
Purchase Agreement, and for the good and valuable consideration, the receipt and sufficiency of which are
hereby acknowledged:
l . Effective as of the Effective 'Time, the Sellers do hereby irrevocably grant, assign, transfer
and convey to the Buyer, all right, title and interest in and to all the Assets, free and clear of all liens and
Encumbrances, other than Permitted Encumbrances. Notwithstanding anything herein to the contrary, this
Bill of Sale shall not apply to any of the Excluded Assets.
2. This Bill of Sale is made without representation or warranty, except as set forth in
paragraphs 3 and 4 below and those representations and warranties of the Sellers made in the Asset
Purchase Agreement. This Bill of Sale is made pursuant to the terms of the Asset Purchase Agreement and
does not create any additional obligations, covenants, representations or warranties or alter, amend, or
replace any of the obligations, covenants, representations, or warranties contained in the Asset Purchase
Agreement. This Bill of Sale shall not expand or enlarge any of the remedies under the Asset Purchase
Agreement including, without limitation, any limits on indemnification therein. In the event of any
inconsistency between this Bill of Sale and the Asset Purchase Agreement, the Asset Purchase Agreement
shall control.
3. The Sellers further covenant that they shall, upon the request of the Buyer, execute and
deliver such further bills of sale, assignments and other documents consistent herewith as may be
reasonably required to convey and transfer the Assets to the Buyer, as may be appropriate to confirm or
otherwise to carry out the transactions contemplated by this Bill of Sale.
4. This Bill of Sale shall be binding upon the Sellers and its successors and assigns, and shall
inure to the benefit of the Buyer and its successors and assigns.
5. This 13111 of Sale shall be governed by and construed in accordance with the laws of the
State of New York.

Division of Water Quality (DWQ) is forwarding herewith the reissued stormwater general permit. This
permit is reissued pursuant to the requirements of North Carolina General Statute 143-215.1 and the
Memorandum of Agreement between the state of North Carolina and the U.S. Environmental Protection
Agency, dated December 6, 1983.

NCG050000 as attached.
This certificate of coverage shall become effective May 1, 2003.
This Certificate of Coverage shall remain in effect for the duration of the General Permit.

In msponse to your renewal application for continued coverage under the subject permit, the Division
of Water Quality (DWQ) is forwarding herewith the reissued stormwater general permit. This permit
is reissued pursuant to the requirements of North Carolina General Statute 143-215.1 and the
Memorandum of Agreement between North Carolina and the US Environmental Protection agency
dated December 6, 1983.
The following information is included with your permit package:
■ A copy of the stormwater general permit.
■ A Stormwater Pollution Prevention Plan Certification Form. This form certifies that you have
developed and implemented the Stormwater Pollution Prevention Plan (SPPP) required in your
permit. This form must be completed and returned to the Division within 30 days of receipt of
this letter. DO NOT send the SPPP with the,signed form.
■ Five copies of Analytical Monitoring forms.
■ Five copies of Qualitative Monitoring forms.
■ A copy of a Technical Bulletin on the stormwater program which outlines program components
and addresses frequently asked questions.
■ A corrected Certificate of Coverage if you indicated a name or address change on the Renewal
Form returned to the Division.
Your certificate of coverage is not transferable except after notice to DWQ. The Division of Water
Quality may require modification or revocation and reissuance of the certificate of coverage.
This permit does not affect the legal requirements to obtain other permits which may be required by
DWQ or perrnits required by the Division of Land Resources, Division of Air Quality, Coastal Area
Management Act or any other Federal or Local governmental perrnits that may be required.

forwarding herewith the subject certificate of coverage to discharge under the subject state - NPDES general
permit. This permit is issued pursuant to the requirements of North Carolina General Statute 143-215 .1 and the

If any parts, measurement frequencies or sampling requirements contained in this permit are
unacceptable to you, you have the right to request an individual permit by submitting an individual permit
