Please find enclosed the revised Certificate of Coverage. The terms and conditions contained
in the General Permit remain unchanged and in full effect. This revised Certificate of
Coverage is issued under the requirements of North Carolina General Statutes 143-215.1 and
the Memorandum of Agreement between North Carolina and the U.S, Environmental
Protection Agency.

In compliance with the provision of North Carolina General Statute 143-215.1, other lawful
standards and regulations promulgated and adopted by the North Carolina Environmental
Management Commission, and the Federal Water Pollution Control Act, as amended,

is hereby authorized to discharge stormwater from a facility located at:

to receiving waters designated as an unnamed tributary to Long Creek, in the Catawba River

This certificate of coverage shall become effective September 19, 2016.
This Certificate of Coverage shall remain in effect for the duration of the General Permit.

BILL OF SALE, ASSIGNMENT AND ASSUMPTION AGRZEMENT
THIS BILL OF SALE, ASSIGNMENT AND ASSUMPTION A(3R13$M9NT ("Bill of
Sale' is made as of May 31, 2016, by and between Hagan -Kennington Oil Company, Inc,, a
North Carolina corporation ("Seller ), on the one hand, and PetroLlance LLC, a Delaware
limited liability company ("Buyer"), on the other hand.
RBCITALS;
A. Seller and Buyer are parties to a certain Asset Purchase Agreement dated as of
May 9, 2016 (the "Purchase Agreement'),
B. Pursuant to the Purchase Agreement, the parties are entering into this Bill of Sala,
and
C. Capitalized term not otherwiso defined herein have the meanings assigned to
them in the Purohnse Agreement.
NOW THERBFORB, in consideration of the reoltals'and of the consummation, of the
transaotions contemplated by the Purchase Agreement and fbr other . good and valuable
consideration, tho receipt and suffioienoy of which are hereby acknowledged, the parties agree as
follows;
1. Sale and Assianmen#, Seller horebysells, transfers, assigns, conveys and delivers
to Buyer all of the Acquired Assets, free and clear of all Liens, including, but not limited to, the
contracts and agreements listed in Exhibit A attaubod bcreto,

discharge the Assumed Liabilities.
