TINS BILL OF SALE, ASSIGNMENT AND ASSUMPTION AGREEMENT ("Bill of
Sale') is made as of May 31, 2016, by and between Hagan -Kennington Oil Company, Inc., a
North Carolina corporation ("Sellee% on the one hand, and PetroLiance LLC, a Delaware
limited liability company {'Buyer"), on the other hand,
RECITALS:
A. Salley and Buyer are parties to it certain Asset Purchase Agreement dated as of
May 9, 2016 (the "Purchase Agreement);
B. pursuant to the Purchase Agreement, the parties are entering Into this Bill of Sale;
and
C. Capitalized terms not otherwise defined herein have the meanings assigned to
them in the Pumhaae.Agrmnont.
NOW THBREFORB, In consideration of the recitals and of the consummation, of the
transactions contemplated by the Purchase Agreement and for other . good and valuable
consideration, tbo receipt and sufficlenoy of which are hereby aoknowledged, the parties agree as
follows:

to Buyer all of the Acquired Assets, free and clear of all Liens, including, but not limited to, the

successors and permitted assigns, any rights or remedies under or by reason of this Bill of Salo,

Buyer and appoints Buyer as Seller's attorney-InAot to take any appropriate notion to acquire

the Acquired Assets in the name of Seller or in Its own or any other name, but at Its awn

Interest and are irrevocable,
