Enclosed is a copy of the Compliance Evaluation Inspection (CEI) report for the
inspection conducted at the subject facility on August 20, 2012, by Ms. Barbara Sifford of this
Office. The site drains to an unnamed tributary flowing into Big Bear Creek which is in the
Yadkin Pee Dee River Basin. The site visit and file review revealed that the subject facility is
covered by NPDES Stormwater General Permit NCG070000. Your assistance was greatly
appreciated during the inspection.

JOINT VENTURE FORMATION AGREEMENT
This Joint Venture Formation Agreement ("Agreement') is entered into as of July 20,
2012, by and between AMERICAST, INC, a Virginia corporation ("A "), and HANSON PIPE
& PRECAST LLC, a Delaware limited liability company ("H"). A and H are sometimes
referred to herein singularly as a "Party" and collectively as the "Parties. "
This Agreement contemplates transactions by the Parties to forrn a long-term joint
venture for the marketing, sale, manufacture and distribution of gravity concrete pipe and precast
products (the "Business") in the area more specifically described in Appendix A (the
"Territory") and to enter into certain other agreements between the Parties and certain Affiliates
of the Parties (collectively, the "Transactions").
A and H have determined that a joint venture of their respective gravity concrete pipe and
precast products businesses in the Territory will create operating efficiencies that will enable the
combined Business to remain viable in the market place.
The Parties will cause to be organized under the Delaware Limited Liability Company
Act a limited liability company to be known as Concrete Pipe & Precast, LLC (the "LLC"), into
which each Party will contribute, upon the terms and conditions set forth in this Agreement,
certain property, assets and liabilities as more particularly described below, in exchange for
membership interests in the LLC.
Now, therefore, in consideration of the premises and the mutual promises herein made,
and in consideration of the representations, warranties, and covenants herein contained, the
Parties agree as follows.
ARTICLE 1
DEFINITIONS
1.1 "A " has the meaning set forth in the preface above.
1.2 "A Assets " means the Contributed Assets of A.
1.3 "A Assumed Contracts" has the meaning set forth in § 4.14.
1.4 "A Contribution" has the meaning set forth in § 2.2'
1.5 "A Disclosure Schedule " has the meaning set forth in Article 4.
1.6 A Financial Statements " has the meaning set forth in § 4.5.
1.7 "Adverse Consequences" means all amounts incurred in connection with all
actions, suits, proceedings, hearings, investigations, charges, complaints, claims, demands,
injunctions, judgments, orders, decrees, and rulings, whether brought or instituted by a third
party or any Party hereto, including all damages, dues, penalties, fines, costs, amounts paid in
settlement, obligations, Taxes, liens, losses, expenses, and fees, including court costs, expert
witness fees and attorneys' fees and expenses.

ASSIGNMENT AND ASSUMPTION AGREEMENT
This Assignment and Assumption Agreement ("Assignment") dated as of August 3
2012, is executed and delivered by Hanson Pipe & Precast LLC, a Delaware limited liability
company ("Hanson"), and Concrete Pipe & Precast, LLC, a Delaware limited liability company
(the "LLC', pursuant to that certain Joint Venture Formation Agreement, dated as of July 20,
2012 (the "Agreement'), by and between Americast, Inc., a Virginia corporation, and Hanson.
Hanson and the LLC are sometimes referred to herein singularly as a "Party" and collectively as
the "Parties."
NOW, THEREFORE, in consideration of the agreements contained in the Agreement,
and for other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, Hanson and the LLC hereby agree as follows:
1. Definitions. All capitalized terms not otherwise defined herein shall have the
same meanings given them in the Agreement.
2. Assignment. Hanson hereby grants, bargains, sells, transfers, assigns, contributes
and conveys to the LLC, and its successors and assigns, all of Hanson's right, title and interest
under, in and to the H Assumed Contracts and the other Assumed Liabilities of H.
3. Assumption. The LLC hereby accepts the forgoing assignment and expressly
assumes and covenants and agrees to pay, perform and discharge (a) all obligations and duties of
Hanson which accrue or arise from and after the Closing Date under or with respect to the H
Assumed Contracts and (b) the other Assumed Liabilities of H.
4. Third Party Rights. The LLC's assumption of the H Assumed Contracts from
Hanson shall not enlarge the rights of any third party under the H Assumed Contracts; nor shall it
prevent the LLC, with respect to any party other than Hanson, from contesting or disputing any
liability, or the terms and provisions of the H Assumed Contracts.
5. General Provisions.
(a) This Assignment is executed and delivered at the Closing pursuant to the
Agreement. Nothing contained herein shall be deemed or construed to limit, amend or reduce
the rights of the Parties provided for in the Agreement, including, without limitation, the
indemnification provisions thereof, all of which shall remain in full force and effect. -
(b) This Assignment may be executed in one or more counterparts, each of
which shall be deemed an original but all of which together will constitute one and the same
instrument. Any signature on the signature page hereto transmitted by facsimile or electronic
mail transmission shall have the full force and effect of an original signature.
(c) This Assignment shall be governed by and construed in accordance with
the domestic laws of the State of Delaware without giving effect to any choice or conflict of law
provision or rule (whether of the State of Delaware or any other jurisdiction) that would cause
the application of the laws of any jurisdiction other than the State of Delaware.

(d) Each of the Parties hereto submits to the jurisdiction of any state or federal
court sitting in Wilmington, Delaware, in any action or proceeding arising out of or relating to
this Assignment and agrees that all claims in respect of the action or proceeding may be heard
and determined in any such court. Each of the Parties waives any defense of inconvenient forum
to the maintenance of any action or proceeding so brought and waives any bond, surety, or other
security that might be requited of any other Party with respect thereto. Each Party agrees that a

In accordance with your application for a discharge permit received on March 7, 2007, we are
forwarding herewith the subject certificate of coverage (COC) to discharge under the subject state —
NPDES general permit. This permit is issued pursuant to the requirements of North Carolina General
Statute 143-215.1 and the Memorandum of Agreement between North Carolina and the US
Environmental Protection Agency dated May 9, 1994 (or as subsequently amended).
If any parts, measurement frequencies, or sampling requirements contained in this permit are
unacceptable to you, you have the right to request an individual permit by submitting an individual
permit application. Unless such demand is made, this certificate of coverage shall be final and binding.
Please take notice that this certificate of coverage is not transferable except after notice to the
Division of Water Quality. The Division of Water Quality may require modification or revocation and
reissuance of the certificate of coverage. This permit does not affect the legal requirements to obtain
other permits which may be required by the Division of Water Quality or permits required by the
Division of Land Resources, Coastal Area Management Act or any other federal or local governmental
permit that may be required.

River Basin in accordance with the effluent limitations, monitoring requirements, and other conditions set forth in
Parts I, II, HI, IV, V and VI of General Permit No. NCG070000, as attached.
This Certificate of Coverage shall become effective March 30, 2007.
This Certificate of Coverage shall remain in effect for the duration of the General Permit.
