I did print out the permit, but then noticed our old company name is still of on the document. I think it was back in May
when I received the letter and website to update our information, and follow the directions to ensure the name was
changed. Not sure what happen, but is there any way to change the company name from Surface Guard Films LLC to
Pregis Polymask?

BILL OF SALE
This BILL OF SALE (this "Bill of Sale"), dated as of October 3, 2016 (the "Effective
Date" ), is delivered by 3M Company, a Delaware corporation ("3M") and 3M Innovative
Properties Company, a Delaware corporation ("3M IPC" and together with 3M, each a "Seller"
and collectively, the "Sellers"), in connection with that certain Asset Purchase Agreement, dated
as of September 7, 2016 (as amended, modified or supplemented from time to time on or prior to
the Effective Date, the "Purchase Agreement"), by and between 3M, Surface Guard Films, LLC,
a Delaware limited liability company ("Buyer" and, together with Sellers, the "Parties"), and,
solely for purposes of Section 5.12(a) of the Purchase Agreement, 3M IPC. The execution and
delivery of this Bill of Sale is contemplated by Section 2.8(b)(i)(C) and Section 2.8(b)(ii)(B) of
the Purchase Agreement.
Capitalized terms, unless otherwise defined in this Bill of Sale, have the respective
meanings set forth in the Purchase Agreement. This Bill of Sale is in all respects subject to the
terms and conditions of the Purchase Agreement, which shall govern the respective rights of
Sellers, on the one hand, and Buyer, on the other hand, with respect to the Transferred Assets,
and nothing contained in this Bill of Sale shall in any way supersede, modify, replace, amend,
change, rescind, waive, defeat, Iimit, impair, expand, exceed, enlarge or affect the provisions set
forth in, or any Person's rights, remedies or obligations under the Purchase Agreement, this Bill
of Sale being intended solely to effect the transfer of the Transferred Assets pursuant to the
Purchase Agreement. To the extent that any provision of this Bill of Sale is inconsistent or
conflicts with the Purchase Agreement, the Purchase Agreement shall control.
FOR GOOD AND VALUABLE CONSIDERATION, the receipt and sufficiency of
which are hereby acknowledged, each Seller does hereby sell, transfer, assign, convey and
deliver to Buyer and its successors and assigns to have and to hold forever, free and clear of all
Encumbrances other than Permitted Encumbrances, all of such Seller's right, title and interest in,
to and under the Transferred Assets.
Buyer acknowledges that Sellers make no representations or warranties with respect to
the Transferred Assets conveyed hereby except as specifically set forth in the Purchase
Agreement.
The terms and conditions of Section 5.22(a) of the Purchase Agreement (Further
Assurances) are hereby incorporated into this Bill of Sale by reference, applied mutatis mutandis
to the matters contemplated by this Bill of Sale.
Any term or provision of this Bill of Sale that is invalid or unenforceable in any situation
in any jurisdiction shall not affect the validity or enforceability of the remaining terms and
provisions hereof or the validity or enforceability of the offending term or provision in any other
situation or in any other jurisdiction. Any invalid or unenforceable provision shall be modified to
the extent necessary to allow for enforceability and to give effect to the original intent of the
Parties to the extent possible.
No amendment of any provision of this Bill of Sale shall be valid unless the same shall be
in writing and signed by Sellers and Buyer.

This Bill of Sale and all matters arising out of or relating to it shall be interpreted,
construed and governed by and in accordance with the internal Laws of the State of Delaware
without giving effect to any choice or conflict of law provision or rule (whether of the State of
Delaware or any other jurisdiction) that would cause the application of the Laws of any
jurisdiction other than those of the State of Delaware.
This Bill of Sale may be executed in one or more counterparts, each of which shall be
deemed to be an original and all of which, when taken together, shall be deemed to be one and
the same agreement. A signed copy of this Bill of Sale transmitted by facsimile, email or other
means of electronic transmission shall be deemed to have the same legal effect as delivery of an
original executed copy of this Bill of Sale for all purposes.
This Bill of Sale will not confer any rights or remedies upon any Person other than the
Parties hereto and their respective successors and permitted assigns.

forwarding herewith the subject certificate of coverage to discharge under. the subject state - NPDES
general permit. This permit is issued pursuant, to the requirements of North- Carolina General Statute
143-215.1 and the Memorandum of Agreement between North Carolina and the US Environmental .
Protection agency dated May 9, 1994 (or as subsequently amended).
If any parts, measurement frequencies, or sampling requirements contained in this permit _ are
unacceptable -to you, you have the right to request an individual permit by submitting an individual
permit application. Unless such demand is made, this certificate of coverage shall be final and binding_
Please take notice that this certificate of coverage is not transferable except after notice to the
Division of Water Quality. The Division of Water Quality may require modification or revocation and
reissuance of the certificate of coverage.
This permit does not affect the legal requirements to obtain other permits which may be required
by the Division of Water Quality or permits required by the Division of Land Resources, Coastal Area
Management Act, or any other Federal or Local governmental permit that may be required.

This certificate of coverage shall become effective December 19, 2003.
