OTC's Acquisition of Rockwell Collins, Inc. on November 27, 2018
Dear Annette Lucas
The purpose of this correspondence is to notify you of the recent acquisition of the stock of
Rockwell Collins, Inc., headquartered in Cedar Rapids, Iowa ("Rockwell Collins"), by United
Technologies Corporation, headquartered in Farmington, Connecticut ("UTC"), and the related
merger of Rockwell Collins into UTC's aerospace business (currently operating as UTC
Aerospace Systems) .
Rockwell Collins is now a wholly -owned subsidiary of UTC. Following the transaction, Rockwell
Collins will continue to exist as a corporate entity and all current Rockwell Collins operating
businesses will continue to exist in the name of Rockwell Collins or a Rockwell Collins
subsidiary. Similarly, the legal entities operating at any of the UTC Aerospace Systems
company sites will remain the same. To the extent there are any name changes in the future,
we will provide you with any necessary notifications or other filings.
We note that this stock acquisition and merger involved no sale or transfer of facilities, business
operations, or other assets owned and operated by the Rockwell Collins or UTC entities.
Accordingly, there will be no immediate changes to the ownership or operation of any Rockwell
Collins or UTC Aerospace Systems site.

It is our understanding that the regulatory permits, licenses, registrations, certificates, consents,
and other authorizations issued by you for this site are unaffected by this stock acquisition and
merger because no changes are contemplated in the legal status of the legal entity associated
with such authorizations or the operations at this site.
Notwithstanding the fact that the legal entity at this site will remain the same for the foreseeable
future, we want to alert you that the signage at our facility is changing to reflect the fact that our
site is going to operate in the name of "Collins Aerospace." Collins Aerospace is not a legal
entity, but rather an umbrella commercial trade name under which our site will operate as part of
the worldwide family of Collins Aerospace family of companies.
