This letter is a follow-up to a previous stream determination conducted on-site by Mr. Chris
Pullinger of this Office. This letter also serves as a review for confirmation and documentation of
the previous call. On October 12, 2011, 1 conducted an on-site determination to review the
drainage feature located on the subject property. The feature is labeled as "10-0909" on the
attached map and initialed by me on September 22, 2011 and serves as a written record for your
files. The project site is located approximately 0.90 miles west of the intersection of NC Highway
168 and Moyock Landing Drive in Moyock, Currituck County.
The Division of Water Quality (DWQ) has determined that the feature labeled as "10-0909" on the
attached map, and highlighted in blue has been determined to be a natural stream. This feature
and any other wetlands and surface waters should be identified on any future plans for this
property. It is recommended that the Army Corps of Engineers (USACE) be contacted to review
the project area to determine jurisdictional wetlands and surface waters.
The owner (or future owners) should notify the DWQ (and other relevant agencies) of this
decision in any future correspondences concerning this property. This on-site determination
shall expire five (5) years from the date of this letter. Landowners or affected parties that
dispute a determination made by the DWQ or Delegated Local Authority that a surface water
exists and subject to the buffer rules (if applicable) may request a determination by the Director.
A request for a determination by the Director shall be referred to the Director in writing c/o Karen
Higgins, 1650 Mail Service Center, Raleigh, NC 27699-1650. Individuals that dispute a
determination by the DWQ or Delegated Local Authority that "exempts" a surface water from the
buffer rule may ask for an adjudicatory hearing. You must act within

INDEPENDENT CONTRACTOR AGREEMENT
THIS AGREEMENT is made the 1.3 qday of dLU�at , 2018 between the County
f
of Currituck (hereinafter "County") and Anlauf Engineering, PLLC [Contractor], (hereinafter
"Contractor").
RECITALS
County is a body corporate and politic of the State of North Carolina with the duties and
powers set forth in Chapter 153A of the North Carolina General Statutes.
Contractor represents that it is duly qualified to perform business, and otherwise to
transact business in North Carolina.
IT IS THEREFORE AGREED as follows:
1. Scone of Work. Contractor agrees to perform the following services for County:

administration as well as construction inWgction and materials testing (hereinafter "the
Services").
2. Compensation. Contractor will be paid for its Services by County as follows: four
hundred and thirty-two thousand dollars and nine hundred dollars 3432.900,00).

3. Contractor's Freedom to Contract. Contractor may employ assistants at its sole
expense and discretion as may be necessary to fulfill Contractor's obligations under this
Agreement. Contractor agrees that anyone to whom it delegates any or all of the Services called
for by this contract will be competent, qualified and capable of performing the work without any
supervision, contact or assistance by County's employees. Any such assistant will be employed
only by Contractor, and will not be an employee of the County while performing services under
this contract.
4. Expenses. County shall not be liable to Contractor for any expenses which
Contractor incurs, nor shall Contractor be liable to County for office help or expenses.
Contractor shall have no authority to bind County by any promise or representation, unless
specifically authorized by the County Manager in writing to do so.
5. Term. This Agreement may be terminated by either party at any time upon L0
days written notice to the other party. Upon the termination of this Agreement, Contractor shall
prepare and provide to County a list of all pending unfinished business involving Contractor.
Contracted Services under the terms of this agreement shall terminate upon completion of the
Services which shall in no event 24 months for completion of the Services.
C. Nature of Relationship. Contractor understands that it is an independent
contractor and is not an employee, subcontractor, agent, servant, partner nor joint venturer of
County. Contractor understands that it has the right to use its best judgment and efforts to fn1811

the terms and obligations of this Agreement. Contractor further understands and acknowledges
the following:
a. That it will receive no compensation other than as outlined in this Agreement and
is not subject to nor eligible for any benefits which may be offered by County to its
employees, such as vacation pay, sick leave, insurance coverage or retirement plan
participation.
b. Its Services provided in accordance with this Agreement are an independent
calling or occupation.
C. Contractor is expected to use its own skill, judgment and expertise to fulfill the
obligations of this Agreement, and is not supervised, directed or controlled by County as
to the means or methods it should employ.
d. Contract is not required to perform tasks in any particular order or sequence.
e. Contractor needs no training from County as to how to fulfill its duties and
responsibilities.
f Contractor may determine its own daily schedule and those of its own employees
or servants without prior approval of County.
g. Contractor is not required to devote any particular percentage of its time or
resources to perform the Services required hereunder.
h. Contractor furnishes its own equipment and supplies and is expected to maintain
its business office somewhere other than at the County's office.
i. To the extent Contractor must procure or maintain any insurance, license,
certification or trade membership, it must do so at its own cost.

j. This Agreement shall not prevent Contractor from performing other services for
other parties. Contractor may engage in other business endeavors or projects of any kind
or nature.
7. Taxes. Contractor assumes exclusive liability for payment of all federal, state or
other governmental division taxes and contributions for social security, Medicare/Medicaid, etc.,
now or hereafter required, incurred or assessed by law. Contractors providing equipment,
materials, parts or supplies shall provide a breakdown of labor, materials, parts or supplies and
sales tax by County or a sales tax report approved by the County Finance Department with the
invoice. Contractor agrees to indemnify and hold harmless the County from any claims for taxes
as described in this Section.
8. insurance. Contractor understands and agrees that neither it nor its employees are
subject to workers' compensation or general liability coverage maintained by the County for its
employees. Contractor agrees to procure and maintain workers' compensation insurance
coverage for the benefit of contractor's employees or subcontractors and to procure general
liability insurance listing the County as an additional insured at all times relevant to this
Agreement. Contractor shall provide to County a valid and current certificate of workers'
compensation and general liability insurance listing the County of Currituck as an additional
insured. In the event Contractor shall fail at any time to have in force and effect insurance as
required by this Section, Contractor agrees to indemnify and hold harmless County for (l) any
premium paid by County to maintain insurance coverage applicable to Contractor and/or its

employees or subcontractors; (2) any worker's compensation benefits paid by County as a result
of Contractor's failure to comply with this Section; and (3) any amounts paid by County for
general liability claims as a result of Contractor's failure to comply with this Section.

9. Indemnity. Contractor shall and does hereby agree to indemnify, save harmless
and defend County from the payment of any sum or sums of money to any person whomsoever
on account of claims or suits growing out of injuries to persons, including death, or damage to
property caused by Contractor, its employees, agents or subcontractors in any way attributable to
the performance of the Services, including (but without limiting the generality of the foregoing),
all claims for service, labor performed, materials furnished, provisions and supplies, injuries to
person or damage to property, liens, garnishments, attachments, claims, suits, costs, attorneys'
fees, costs of investigation and of defense. It is the intention of this paragraph to hold the
Contractor responsible for the payment of any and all claims, suits, or liens, of any nature and
character, in any way attributable to or asserted against County or against Contractor and
County, or which the County may be required to pay. In the event the liability of the Contractor
shall arise by reason of the sole negligence of County and/or the sole negligence of County's
employees, agents or servants, then and only then, Contractor shall not be liable under the
provisions of this paragraph.

10. Art ti n. Any controversy or claim arising out of, or relating to this
Agreement, or its breach, shall be settled by arbitration in Currituck County, North Carolina in
accordance with the provisions of the North Carolina Revised Uniform Arbitration Act, (the
"Act'). The parties to this Agreement understand that this arbitration provision shall expressly
apply to this Agreement in accordance with the Act. Judgment upon the award rendered may be
entered and enforced in any court of competent jurisdiction.
11. E -Verify. Contractor shall comply with the requirements of Article 2 of Chapter
64 of the North Carolina General Statutes. Further, if Contractor utilizes a subcontractor,
Contractor shall require the subcontractor to comply with the requirements of Article 2 of
Chapter 64 of the North Carolina General Statutes.
12. Iran Divestment: Contractor certifies that, as of the date listed above, it is not on
the Final Divestment List as created by the State Treasurer pursuant to N.C.G.S. §147-86.58. In
compliance with the requirements of the Iran Divestment Act and N.C.G.S. §147-86.58,
Contractor shall not utilize in the performance of the contract any subcontractor that is identified
on the Final Divestment List. The undersigned hereby certifies that he or she is authorized by
the vendor or bidder listed above to make the foregoing statement.
13. Notices. Any notice, request or report given by one party to the other shall be in
writing, deposited in the United States Mail (postage prepaid) or hand delivered and properly
addressed as follows:

14. Non -Waiver. Nothing set forth herein is intended nor shall be construed as a
waiver of any immunity available to County, its governing board or employees.
I5. Headings. The headings, subheadings and captions in this Agreement and in any
exhibit hereto are for reference purposes only and shall not affect the meaning or interpretation
of this Agreement.
16. Amendments. This Agreement may not be amended except by written instrument
duly executed by or on behalf of all of the parties hereto.
17. Complete Air went. This Agreement constitutes the entire Agreement between
County and Contractor pertaining to its subject matter and supersedes all prior and
contemporaneous negotiations, agreements and understandings of either or both parties in
connection therewith.
18. Governing Law The validity. interpretation and performance of this Agreement
and of its provisions shall be governed b) the la« s of the State of North Carolina.
The undersigned have read the entire Agreement and accept the terms and conditions as

SCOPE OF SERVICES
Anlauf Engineering, PLLC (ENGINEER) shall perform the following professional
services for Currituck County (OWNER) on the referenced Moyock Regional wastewater
treatment facility 200,000 gpd expansion project (PROJECT).

1. GENERAL
a) Consult with OWNER or designated representative to define and clarify
OWNER's requirements for the project development plan, goals, schedule,
communications, OWNER contacts, progress reporting, available data, and
other project matters as appropriate.
b) The ENGINEER will coordinate the preparation of the required engineered
design documents with the OWNER
c) The ENGINEER shall prepare the following submittals:
• Schematic Submittal - Drawings of the Site, Collection, Treatment and
Disposal System in Schematic format;
• Design Submittal — 50 and 90 percent design packages, including
engineering cost estimates and review meetings;
• Construction Submittal — Construction Drawings;
d) Project Meetings: The ENGINEER shall meet with OWNER's
representative(s) as needed during the duration of the design effort to keep
OWNER apprised of project progress and all significant issues. ENGINEER
has estimated this to occur on a monthly basis.
The ENGINEER shall provide all documents developed throughout the
project to the OWNER in electronic format.
e) The ENGINEER shall work to procure the required permits for the project as
outlined under the heading "DESIGN & PERMITTING" of this document.
f) The ENGINEER shall subcontract with other professionals as outlined under
the heading "DESIGN & PERMITTING" of this document in order to
properly design the facility and obtain the required permits.
2. SCHEMATIC DESIGN
a) The ENGINEER shall submit schematic drawings of the site configuration
and wastewater collection treatment and disposal systems within 90 days of
the signing of this contract.
3. DESIGN & PERMITTING
a) ENGINEER shall develop the final design of the facility described herein

• Coordinate final design with OWNER, NCDOT, and other utility
companies as required.
• Assist the OWNER in the treatment process selection. Determine the
best location for the plant. Develop schematic designs of the
wastewater treatment and disposal system on the site at fall build out.
• ENGINEER, through, sub consultants, shall provide respective
architectural (50' x 50' support building), plumbing/mechanical &
electrical (PM&E) engineering (building & plant), structural and
geotechnical engineering (building & plant). Prepare Contract
Documents to include final drawings and specifications showing the
scope, extent, and character of the work to be performed and furnished
by a contractor. Specifications shall be prepared, where appropriate, in
general conformance with the 16 -division format of the Construction
Specifications Institute. The Contract Documents shall include the
following:
➢ Sediment and erosion control requirements;
Stormwater Management system requirements;
D Geotechnical subsurface evaluation for design;
D WWTP drawings including civil and site layout, mechanical,
electrical and Structural.
Details for 50 ft, x 50 ft. building including architectural,
plumbing/mechanical/electrical and structural. This building is
to house master control panel and some ancillary wastewater
treatment plant equipment or components.
➢ Details for a new high rate infiltration disposal area
➢ Details for the expansion of the perimeter drainage system
D Agronomic, Soils, Water Balance and Hydrogeological
Evaluation and modeling.
➢ Twenty-four (24) foot wide wastewater treatment plant access
road (Engineer will coordinate with Currituck Station and the
Owner for location and design).
Water Main Extension Plans.
b) The ENGINEER will subcontract with the following professional disciplines
for the below referenced scopes of work to complete the design:
1) Geotechnical Engineering Services — The ENGINEER will subcontract
with an engineering firm providing professional geotechnical engineering
services for the purposes of having a geotechnical and soils analysis
performed in the area of the WWTP, building pad footprint and the fixture
irrigation pond area.

2) Licensed Soil Scientist — The ENGINEER with subcontract with a North
Carolina Licensed Soil Scientist (NCLSS) to perform soil/site evaluation,
agronomic study, water balance, hydrogeologic evaluation and subsequent
modeling for a 200,000 gpd expansion. The ENGINEER will also
subcontract the same NCLSS to evaluate the maximum disposal capacity
of the Winslow Tract and to develop disposal configuration schematics of
the site.
3) Architect — The ENGINEER will subcontract with an architect for the
purpose of having the building designed to meet all relevant building
codes and structural requirements.
4) Plumbing, Mechanical and Electrical Engineering Services — The
ENGINEEER will subcontract with a firm providing professional
engineering services in the areas of plumbing, mechanical and electrical
(PME) engineering services for the purpose of having the PME design
prepared for the proposed building and wastewater treatment plant. This
contract proposal also assumes that the design of the power supply to the
facility will be by Dominion North Carolina Power.
5) Surveying Services — The ENGINEER will subcontract with a North
Carolina Licensed Professional Land Surveyor for the purpose of
collecting additional survey data deemed necessary.
b) Structural Engineer — The ENGINEER will subcontract with a North
Carolina Licensed Professional Engineer for the purpose of designing all
structural components of the wastewater treatment plant and support
structures.
c) Maintain contact with NCDENR, DWQ and any other regulatory agency
having review and approval authority over the design of the project.
Submit preliminary design drawings and such other design information as
may be required.
d) At approximately the 50 and 90 percent completion stages of the
drawings, specifications, engineering cost estimates and review the
Contract Documents with OWNER.
e) Permitting:
1) ENGINEER shall assist the OWNER in securing permits associated
with the project including the following subtasks:

• Regulatory Review: Where necessary, ENGINEER shall
discuss the proposed project with the applicable regulatory
agencies to fully define the permit requirements and to identify
major permitting issues that need to be resolved. A permitting
strategy shall be developed to address the major issues
identified and to facilitate the permit acquisition process.
2) Prepare and Submit Permit Applications: Applications for the required
permits and approvals shall be prepared for submittal to the respective
agencies. Where acceptable, ENGINEER will make applications
directly. This scope of work assumes that the following permits and
approvals will be required:
• Wastewater Treatment Facility Non -Discharge Modified Permit
from the North Carolina Department of Environment Quality
(NCDEQ), Division of Water Resources;
• Commercial (Non -Residential) Site Plan Zoning Permit for
"Utility Facilities" use thru the Currituck County Planning
Department.
• Soil Erosion & Sedimentation Control Plan permit from the
NCDEQ, Land Management Section.
• Stormwater Management Plan Permit or Letter of Exemption from
NCDEQ, Stormwater Section.
• Water Main Extension Permit from the NCDEQ, Public Water
Supply Section
• NCDOT Encroachment Agreement & Driveway/Road Access.
3) ENGINEER has included the respective permit review fees in this
agreement.
f) ENGINEER will coordinate with the regulatory agencies as necessary
throughout the permit application and review process. This shall include up to
four regulatory agency meetings.
g) ENGINEER will prepare an engineering cost estimate based on the final
design and at the Schematic, 50% and 90% submittals.
h) The following Engineering Design Services provided by the ENGINEER
excluded in this contract are as follows:
• Collection System Design and Permitting (beyond W WTP headworks
design);
• Hydrologic evaluation upstream or downstream of the adjacent or
receiving stream;

Base Engineering/Permitting Fees/Bidding/Construction inspection $432,900.00
SCHEDULE
This scope assumes 9-12 months for design and permitting services from date of
ENGINEER's authorization to proceed from OWNER. Work can commence
immediately upon the issuance of the notice to proceed.
PAYMENT TO ENGINEER
OWNER shall pay ENGINEER for services rendered under this Agreement as follows:
Lump Sum amount:
1. Appropriate amounts are incorporated in the Lump Sum to account for labor,
overhead, and profit.
2. If authorized in writing by OWNER, and agreed to by ENGINEER, services
beyond the scope of this Agreement will be performed by ENGINEER for agreed
to additional compensation.
3. ENGINEER may alter, with the mutual consent of the OWNER, the distribution
of compensation between individual budget items noted herein to be consistent
with services actually rendered, but shall not exceed the total lump sum amount
unless approved in writing by OWNER.
Work scope described in this agreement assumes no impacts to N.C. Division of Coastal
Management (CAMA) areas of environmental concern and United States Army Corps of
Engineers section 404 ,jurisdictional wetlands, therefore permitting for impacts or
mitigation of same is not a part of this agreement.
Permit or review fees to local, state, or federal agencies are part of this contract.
The proposed scope of services can be completed for a total fee of four hundred and
thirty-two thousand dollars and nine hundred dollars ($432,900.00). This fee includes all
reasonable and customary reimbursable expenses (i.e., mileage, prints, etc.). Statements
for services rendered, through the last day of each month, will be presented for payment
on the first day of the subsequent month. Each monthly statement amount shall be due
and payable on or before the 30th day of the invoice month. Non-payment of the current

statement amount, in full, of the current month, shall constitute cause for a work stoppage
on the project; unless prior written arrangements for payment have been agreed thereto.
Should a work stoppage be caused, for a non payment, as described above, work shall not
proceed until satisfactory arrangements have been made between the signers of this
agreement.
This is a performance contract Parties, hereto, agree that payment for services shall be
made based upon completion of tasks outlined under this Agreement, and shall not be
conditioned upon an event, such as securing a permit, or other event.
All files, documents, original drawings, etc., produced and generated by the ENGINEER,
as required for the project, shall remain the shared property of the ENGINEER and the
OWNER, with full copying and reproduction rights vested therein.
Copies of all documents, drawings, etc., shall be issued, at the request of the OWNER, to
the appropriate persons, corporations and agencies involved in the development of the
project. The costs of such reproductions shall be covered in the contract costs.
We have enclosed two copies of this Agreement. Please execute and return one to
ENGINEER as authorization to proceed and retain the other for your files.
