The wetland restoration activities at TBP, including planting woody species has been completed in full. As I have
discussed with each of you separately, I intend to complete annual monitoring of the stream and wetland restoration
areas simultaneously (i.e. together) vs. two separate events. Likely, we will split the difference of the stream and
wetland restoration completion dates, which would mean the annual field monitoring would occur sometime in and
around September 2019. If this will be a problem, then let me know.
Additionally, the applicant is aware of further obligations to close out the NOV, including annual monitoring and
providing the draft revised conservation easement to the USACE for review within the next 30 days.

wetland mix. However, it is entirely too wet to attempt planting container plants. Planting contractor is planning to be

The sediment basins have been closed by DENR and wetland restoration activities to restore wetland grade has been in
process for approximately 2 weeks. The up-gradient wetland has been restored to grade (PVC pipe removed) and is

ready for planting and the down-gradient wetland is expected to be returned to grade by EOD or tomorrow. Tentative
schedule for herbaceous seed mix planting is Thursday and container plants Monday, 11/5. Planting is contractor
schedule dependent, but the applicant is aware of the urgency to get the plantings completed as quickly as possible. I
will follow up upon completion of final grade restoration of down-gradient wetland, herbaceous and container
plantings; however, we request an extension of 2 weeks to get these activities completed as it cannot be completed
within previously requested schedule. Please confirm that both agencies are amendable to this request or please let me
know if either have any concerns. Thank you for your assistance.

The Corps is amenable to your request. As such, the following items must be completed by September 30, 2018:
1) The portions of the sediment basins on the up and downstream side of the road within the originally delineated
wetland areas still must be removed, graded, prepared, and seeded per Plan Sheets C1.2 and C1.3 of the approved
restoration plan;
2) Previously graded wetland restoration areas on the upstream side of the road will require additional
grading/seeding where a pvc pipe currently dewaters the sediment basin.
3) Previously graded wetland restoration areas on the downstream side of the road will require additional grading to
ensure appropriate hydrology concurrently with item 1) above. This area appears to be too high and elevation. To
ensure restoration success, I suggest that you use a reference elevation in the existing wetland forest adjacent to this
area. Brad Luckey (Pilot Environmental) can provide specific guidance on this topic. Further, the sump within the
wetland area should be removed and restored for compliance and safety purposes;
Any requests to alter the completion timeframes for the stream and wetland restoration activities are subject to
approval from U.S. Army Corps of Engineers, Wilmington District, Raleigh Regulatory Field Office (Corps); such requests
must be sent in writing including justification that meeting such timeframes is not practicable. Please also recall the
October 31, 2018 deadline for planting woody species in wetland restoration areas, as well as the requirement to amend
the recorded Conservation Areas (see item v on our December 19, 2017 letter). Please let me know if you have any

I hope you both are well and had an enjoyable long holiday weekend. The work at TBP road crossing is nearing
completion; however, is still on-going and the sediment basins have still not been closed out by DEMLR. As such, the
applicant requests an extension to September 30, 2018 to complete the wetland restoration. Please let me know if this
will be a problem.
Additionally, I have included a picture of the field conditions of the rip-rap beneath the culvert following maintenance to
ensure aquatic passage as requested previously. This was the only picture that I was able to recover from my phone, but
if you need more then let me know and we can oblige.

I wanted to provide you a status update of the restoration activities at TBP. The rip-rap dissipater has been re-worked in
the field to provide aquatic passage by burial of rip-rap to allow for aquatic passage. The sediment basins within the
wetland restoration area have not yet been closed out with NCDEQ-DEMLR. As such, restoration of grade of the
wetland area cannot be completed yet and we request an extension to August 31, 2018 for restoration of grades within

Brad,
Thank you for meeting me and Sue Homewood (NCDWR) on site yesterday to review the stream/wetland restoration
progress at Triad Business Park. Based on the site visit, the stream restoration sections are complete, including
structures, matting, and planting. The stream restoration looks good, including the additional log vein structure on the
upstream end of the culvert, and live stakes appear to be growing well. Wetland grading and seeding has taken place in
a portion of the restoration area. As discussed, the rip rap pad on the downstream end of the culvert requires work,
given that the stream flows below the rip rap and does not allow for aquatic life passage. I have included a list of items
to complete below:
1) Sediment basins on the up and downstream side of the road are still in place. The portions of these basins within
the originally delineated wetland areas still must be removed, graded, prepared, and seeded per Plan Sheets C1.2 and
C1.3 of the approved restoration plan no later than July 31, 2018. Any requests to alter the completion timeframes for
the stream and wetland restoration activities are subject to approval from U.S. Army Corps of Engineers, Wilmington
District, Raleigh Regulatory Field Office (Corps); such requests must be sent in writing including justification that meeting
such timeframes is not practicable;
2) Previously graded wetland restoration areas on the upstream side of the road will require additional
grading/seeding where a pvc pipe currently dewaters the sediment basin.
3) Previously graded wetland restoration areas on the downstream side of the road will require additional grading to
ensure appropriate hydrology concurrently with item 1) above. This area appears to be too high and elevation. To

4) The rip rap pad placed downstream of the culvert uses rocks that are too large and above grade to allow aquatic
life passage through this area. A thalweg should be established through the rip rap pad area for low flow of the stream
channel. In order to allow aquatic life passage, rip rap within the thalweg should be imbedded in the sediment.
These activities must be complete no later than July 31, 2018 as referenced above. Please also recall the October 31,
2018 deadline for planting woody species in wetland restoration areas, as well as the requirement to amend the
recorded Conservation Areas (see item v on our December 19, 2017 letter). Please let me know if you have any

Park is grated. Specifically, based on the justification you provided:

I just spoke to Bret and wanted to provide a more detailed time line and understanding of the stream and wetlands
restoration. Riverworks was supposed to begin the stream restoration on March 12, but has been pushing the schedule
back due to personnel being tied up on a restoration in SC that is being slowed by rainfall. Riverworks has said that they
tentatively think that the stream restoration activities will being on 4/2. Understand this may still get delayed if it
continues raining 3-4 days a week and Riverworks cannot finish their SC restoration. However, if it is delayed again, we
would think that it would only be a week or two more before they begin the stream restoration. We are anticipating the
stream restoration to take 1-2 weeks to complete.
Once the stream restoration is completed and flow re-directed into the culvert, then grading and backfilling of the
culvert can occur. As referenced by Bret's earlier email, they are actively moving dirt now in areas that they can and are
very eager to have the crossing functioning for upcoming Phase II occupants. We anticipate backfill and final grading to
be completed sometime in May to maybe June. It will take a couple of weeks for permanent vegetation to get
established to close out the grading permit and S&EC devices. We are thinking that once all this occurs (likely sometime
as early as May to as late as July), then the wetlands restoration would commence and then planting woodies would be
in the fall. Initial restoration efforts would include restoring pre-disturbance grade (i.e. hydrologic function) and
herbaceous seeding. Planting containerized plants would be at a better time of year for plant mortality and would be
conducted likely in mid to late October.
I think that there was some earlier confusion (and likely rightly so) about why the initial wetland restoration date (i.e.
end of October) was referenced. I was really only considering when the last part of the restoration (planting woodies)
would be finished and that was the reasoning for the proposed final wetlands restoration date. I hope that this clears up
any miss understanding.

Please refer to restoration sequence of the agency approved restoration plan. Due to the location of the wetland
restoration area, the culvert must be backfilled and stabilized to close out sediment basins located in the wetland
restoration area. If the wetland restoration was staged such that the areas outside of the sediment basins within the
wetland restoration area were graded and seeded prior to closing the sediment basins, then machinery would be
working in the restored/seeded wetland to remove the sediment basins. This would likely result in greater restoration
efforts/soil amendments/tillage, etc. to remove the sediment basins and could jeopardize the overall success of the
wetland restoration. The wetland restoration was staged like this to specifically limit the amount of machinery in the
wetland restoration area. Let me know if this does resolve your concerns.

Wetland restoration cannot be completed until stream restoration is completed, stream flow directed through
culvert, final grading of crossing is stabilized with vegetation and closure of sediment and erosion control devices with
NCDEQ (in that order). There have also been other issues outside of weather, including encountering unexpected rock
which could likely continue to delay grading for the crossing. I do not anticipate that the above items will be completed
until sometime into or maybe even after the summer. I anticipate that the wetland restoration activities will not begin
until the fall or after to be in a window of conducive planting timing. I know you will need an exact date, so if we have to
provide a date (which is essentially a best guess at this time), then I would say by 10/31/18.

FOURTH AMENDMENT TO THE DECLARATION OF PROTECTIVE COVENANTS,
CONDITIONS, RESTRICTIONS AND RESERVATIONS
This Fourth Amendment (this “Amendment”) to the DECLARATION OF PROTECTIVE
COVENANTS, CONDITIONS, RESTRICTIONS AND RESERVATIONS is made as of the ____ day of
_________, _________ by TDO LAND HOLDING LLC, a North Carolina limited liability company,
(“Declarant”).
RECITALS
WHEREAS, TDO Land Holding LLC, NB Johnson II, LLC and SB Johnson II, LLC subjected
certain property owned by such entities, which property is known as Triad Business Park Phase I and shown
on the plat recorded in Plat Book 175, Page 97 and 98 of the Guilford County Registry (the “Business Park
Property”) to that certain Declaration of Protective Covenants, Conditions, Restrictions and Reservations
(the “Original Declaration”), which Declaration was recorded on September 30, 2008 in Book 6939, Page
2897 of the Guilford County Registry, and was amended by the terms of that Amendment to Declaration
of Protective Covenants, Conditions, Restrictions and Reservations (the “First Amendment”), which First
Amendment was recorded on December 31, 2008 in Book 6963, Page 452 of the Guilford County Registry;
and by the terms of that Restated Second Amendment to Declaration of Protective Covenants, Conditions,
Restrictions and Reservations (the “Second Amendment”), which Second Amendment was recorded on
August 22, 2016 in Book 7846, Page 2945 of the Guilford County Registry; and was amended by the terms
of that Third Amendment to Declaration of Protective Covenants, Conditions, Restrictions and
Reservations (the “Third Amendment”), which Third Amendment was recorded on June 18, 2018 in Book
NPGBO1:2897963.1
8059, Page 59 of the Guilford County Registry. The Original Declaration, First Amendment and Second
Amendment are collectively referred to herein as the “Declaration.” Capitalized terms used but not defined
herein will have the meanings given to them in the Declaration; and
NOW, THEREFORE, the Declarant, as permitted by the Declaration, does hereby amend the
Declaration as more fully set forth herein:
1. Article 12 of the Declaration is hereby deleted in its entirety and replaced with the
following:
ARTICLE 12: Conservation Area
12.0 The areas shown on the Wetland Delineation Plat as Conservation Areas as shown
on Exhibit A and as described on Exhibit A-1 attached shall be maintained in perpetuity in their natural or
mitigated condition. No person or entity shall perform any of the following activities on such conservation
area:
a. fill, grade, excavate or perform any other land disturbing activities;
b. cut, mow, burn, remove, or harm any vegetation;
c. construct or place any road, trails, walkways, buildings, mobile homes, signs,
utility poles or towers, or any other permanent or temporary structures;
d. drain or otherwise disrupt any hydrology or drainage ways of the conservation
area;
e. dump or store soil, trash, or other waste;
f. graze or water animals, or use for any agricultural or horticulture purpose.
This covenant in Section 12.0 is intended to ensure continued compliance with the mitigation condition of
a Clean Water Act authorization issued by the United States of America, U.A. Army Corps of Engineers,
Wilmington District, action ID SAW-2008-02029, and therefore may be enforced by the United States of
America. This covenant in Section 12.0 is to run with the land, and shall be binding on the Declarant and
all Lot Owners, and all parties claiming under it.
Nothwithstanding the provisions of Section 9.1 of this Declaration, this Section 12.0 of the
Declaration may not be amended without the express written consent of the U.S. Army Corps of Engineers,
Wilmington District.
2. Miscellaneous. Except as expressly amended hereby, the Declaration remains unaltered
and in full force and effect and is hereby ratified, adopted and confirmed in all respects. This Amendment
will govern in the event of any conflict between the terms of the Declaration and the terms of this
Amendment. This Amendment will be binding upon, and inure to the benefit of, and will be enforceable by
the Declarant, Association, Owner and Tenant, and their respective successors and permitted assigns. In the
event that a paragraph, section, sentence, clause or phrase contained in this Amendment becomes or is held
by any court of competent jurisdiction to be illegal, null or void or against public policy, the remaining
paragraphs, sections, sentences, clauses or phrases contained in this Amendment will not be affected
thereby. This Amendment may be executed in any number of counterparts, each of which will be deemed

an original and all of which counterparts together constitutes one agreement with the same effect as if the
parties had signed the same signature page.
