A�iation Administra#ion, hereinafter referred to as the FAA. WITNESSETH WHEREAS, the parties lisied above ha�e entered into an Airport Impro��ment Grant Agreemant; and WHEREAS, tt�e parties listed abo�e have entered into an agreement providing farthe construction, operatian, and mainfenance of FAA owned naviga#ion, communicatian and weather aids for the support af Air Traffic �perati�ns; and WHEREAS, the parties consider it desirable to wvrk in coaperatian with ea�h other in the technicaf installation and aperation of air na�igationaf aids; and WHEREAS, both parties agreed the establishment, vperation, and maintenance af systems for air traffic cat�trol, navigatian, communication, and weather reparting is in the primary interest of safety and direct suppor� of the ongoing operatian of the Rncky Mount-Wilson Rsgional Airpart. N�W, THEREFQRE, the parties mutually agree as follaws: 1. TERMS AND CQNDITIDNS {Jun-0�4}: It is mutuafly understovd and agreed tha# the Airpart requires FAA na�igation aid facilities in order to operate their business and that the FAA requires navigation, communication and weather aid facilities at the Airport in order ia suppart Air Traffic Operations. Thus, in the interest of both parties it is hereby agreed that the Airport will allow the FAA tv canstruct, operate, and maintain FAA owned na�igation, communicatian and weather aid facilities in areas on the Airport that ha�e been mutually determined and agreed up�n for the term cvmmencing on Mar�h 1, 2009 and cantinuing #hough September 30, 20�8. The FAA can terminate this agreement, in whale or part at any time by giving at least �6D} day's natice in writing. Said notice shall be sent by certified ar registered mail. Federaf Aviation AdministratiQn DTFAS�-09-L-�0070 LRJ (a} Tflgether with a right-of-way for ingress to and egress from the premises; a right-of-way for estabfishing and maintaining pole lines or �nder graund lines for extending electrical power artdlor ielecommunicatiar�s lines to the premises; including a right-of-way far subsurFace power, communicativn andlor water lines to the �remises; all right-of-ways to �e over #he area referred fa as Rocky Mount- Witson Regional Airport, ta be routed reasonably determined to be ihe most convenien# to the FAA and as not to interFere with Airport operations. Ti�e Airport shall ha�e the right to re�iew and comment on �lans covering access and utility rights-of-way under this paragraph. �bj And the rigF�t to grading, canditioning, and instaliing drainage facilities, and seeding the soil of the premises, and the remo�al of all vbstru�tions frvm the premises which may constitute a hindrance ta the establishment and maintenance af navigational aid systems. The Airpart shafl have fhe right #o review and comment on plans co�ering work permitted under this paragraph. tc} And the right to make alteratians, attach �xtures, and erect additiorts, s#ructures ❑r signs, in direct support of the Airport. The Airport sha�l have the right to re�ieirv and camment on plans co�ering worlc permitted under this paragraph. (d) And the right to park, withaut cast, ail afficial and pri�ate�y owned vehicles used for the maintenance and operation of the air na�igational facilities. Parking shalf be pro�ided adjacent to the na�igatianaf aid facility vr as near as possible without interfering wifh fhe aperation af the Airport. 2. C�NSfDERATfON �Auq- Q2): The FAA shall pay the Airp�rt no mone#ary consideration, it is mutually agreed that the rights extended ta the FAA herein are in cQnsideration of the abligations assumed by the FAA in iis establishment, operatian, and maintenar�ce af na�igational aid facilities upon the premises. 3. PURP�SE (Apr-�5�: It is understaod and agreed #hat the use af the herein described premises, known as, Rocky Mount-Wilson Regiona! FAA FACILITIES (Apr-Q5] The FAA facEiities cavered by this agreement are identified on the most current appro�ed Airport Layout Plan (ALP) andlor other pertinent drawings that are made par� of this agreement by reference and shown an the attached FAA "List af Faciiities"_ 5. TITLE Ta IMPR�VEMENTS [Apr-�5): Title ta the impro�ements constructed far use by the FAA during the life of this agreement shall be in the name of the FAA. fi. HAZARDOUS SUBSTANCE CQNTAMINATInN Ma -a0 : The FAA agrees to remediate, at its sole cost, all hazardous substance contamination an the FAA facili#y premises that is faund to have occ�rr�d as a direct result vf the instailation, operation, relocation andlor maintenance of the FAA's facilities covered by this agreement. The Airp�rt agrees t� remediate or ha�e remediated at its sole cast, any and all other hazardaus substance cantamination found on the FAA facility premises. The Airport also agrees to sa�e and hold the Ll. S. Gvvernment harmless far any and all casts, liabilities andlor claims by #hird parties that arise out of hazardous contaminatian found an the FAA facility premises that are not directly attributable to the installafion, �peratian andlor maintenance of the facilities on the attached FAA "List af Facifities." 7. INTERFERENCE WITH FAA OPERATI�NS Qc#-9G : The Airp�rt agrees not to erect ar aifow to be erected any structure or obstruction af whatsoever kind or nature within the Airport's houndaries that may interf�re with the prop�r operation of the na�igational aid faciiities installed by the FAA, as it is nat in the best interest of the Airport or the FAA. $. FUNOING RESP�N5161LITY FnR FAA FACILITIES Oc#-9fi : The Airport agrees that any relocation, replacement, or madifi�ation of any existing ar future FAA's na�igational aid systems made necessary by Airport impro�ements or changes, which interferes with #he technical and/or operational characteristics of the facility, will be at the ex�ense of the Airpvrt, with the exceptivr► vt any such impro�ements or changes which are made at the request of the FAA. In the e�ent such relacations, repla�ements, or modifications are n�cessary due tv causes not attributable to either the Airport ar the FAA, funding responsi�ility shali be de#ermined by mutual agreement between the parties. N(7N-REST�RATI�N �ct-9fi : It is hereby agreed �etween the parties, that upor� termi�ation of its ocGupancy, the FAA shal[ ha�e no obligation to restore andlor rehahilitate, either wholly or partially, the property which is the subject matter of this agreement.
