BILL OF SALE
This BILL OF SALE(the"Bill of Sale"),dated as of December 15,2016 is from Mocaro
Dyeing and Finishing, Inc., a North Carolina corporation ("Seller") to SDFC, LLC, a North
Carolina limited liability company("Buyer").The Seller and the Buyer are referred to collectively
herein as the "Parties", and each as a"Party". Capitalized terms used in this Bill of Sale but not
otherwise defined shall have the meanings ascribed to such terms in the Asset Purchase Agreement
(as defined herein).
WHEREAS,Seller,Buyer and Kuniy Properties,LLC,have entered into an Asset Purchase
Agreement,dated as of November 23,2016(the"Asset Purchase Agreement");and
WHEREAS, pursuant to the terms and subject to the conditions of the Asset Purchase
Agreement, Seller is to cause the assignment and delivery to Buyer, and Buyer is to take
assignment and delivery of, the Purchased Business Assets, as described in the attached Exhibit
A;and
WHEREAS, this Bill of Sale is being delivered pursuant to Section 2(a)(i) of the Asset
Purchase Agreement.
NOW,THEREFORE,for good and valuable consideration:
I. Conveyance to Buyer. Seller hereby sells,transfers, assigns, conveys and delivers
to Buyer all right,title and interest in, to and under the Purchased Business Assets in accordance
with the terms and conditions of the Asset Purchase Agreement. Buyer herby accepts the sale,
transfer, assignment, conveyance and delivery of the Purchased Business Assets in accordance
with the terms and conditions of the Asset Purchase Agreement.
2. Asset Purchase Agreement. This Bill of Sale is subject to the terms and conditions
of the Asset Purchase Agreement and nothing herein, express or implied, shall be deemed to
supersede,modify,limit or expand any of the provisions of the Asset Purchase Agreement. In the
event of any conflict between the terms of this Bill of Sale and the Asset Purchase Agreement,the
terms of the Asset Purchase Agreement shall prevail.
3. Further Assurances:No Breach.From time to time after the date hereof, each Party
will execute and deliver such instruments and documents and do such further acts as may be
reasonably requested by the other Party in order to carry out the purpose of this Bill of Sale.
Notwithstanding anything to the contrary contained herein to the extent that any of the Purchased
Business Assets are not assignable without the consent of another party and such consent has not
been obtained prior to the Closing Date, this Bill of Sale shall not constitute an assignment or
attempted assignment that would constitute a breach thereof. In case for any reason Buyer shall
not be authorized or qualified to receive any specific property or contract claim,demand or right
owned by Seller,Seller further covenant to execute appropriate deeds,acts,transfer,assignments,
instruments and conveyances of any such property, claim, contract, demand or right required by
the Asset Purchase Agreement to be conveyed to Buyer and now owned by Seller when and as
Buyer, and its successors and assigns shall be authorized or qualified to receive the same. Any
obligation of Seller under the Asset Purchase Agreement to effect the transfer of any Purchased

Business Asset to Buyer shall not be terminated or abridged by this provision.
4. Succession and Assignment.This Bill of Sale shall be binding upon and inure to the
benefit of Seller and Buyer and their respective successors and permitted assigns. Neither Seller
nor Buyer may assign either this Bill of Sale or any of its rights,interests,or obligations hereunder
without the prior written approval of Seller and Buyer.
5. Governing Law. This Bill of Sale and each other document delivered pursuant to
this Bill of Sale shall be governed by, and construed in accordance with,the internal Iaws of the
State of North Carolina without regard to the choice of law principles thereof.
6. Counterparts. This Bill of Sale may be executed in one or more counterparts,each
of which shall be deemed an original, but all of which together shall constitute one and the same
instrument.

3. Further Assurances:No Breach.From time to time after the date hereof, each Party
will execute and deliver such instruments and documents and do such further acts as may be
reasonably requested by the other Party in order to carry out the purpose of this BiII of Sale.
Notwithstanding anything to the contrary contained herein to the extent that any of the Purchased
Business Assets are not assignable without the consent of another party and such consent has not
been obtained prior to the Closing Date, this Bill of Sale shall not constitute an assignment or
attempted assignment that would constitute a breach thereof. In case for any reason Buyer shall
not be authorized or qualified to receive any specific property or contract claim,demand or right
owned by Seller,Seller further covenant to execute appropriate deeds,acts,transfer,assignments,
instruments and conveyances of any such property, claim, contract, demand or right required by
the Asset Purchase Agreement to be conveyed to Buyer and now owned by Seller when and as
Buyer, and its successors and assigns shall be authorized or qualified to receive the same. Any
obligation of Seller under the Asset Purchase Agreement to effect the transfer of any Purchased

Business Asset to Buyer shall not be terminated or abridged by this provision.
4, Succession and Assignment.This Bill of Sale shall be binding upon and inure to the
benefit of Seller and Buyer and their respective successors and permitted assigns. Neither Seller
nor Buyer may assign either this Bill of Sale or any of its rights,interests,or obligations hereunder
without the prior written approval of Seller and Buyer.
5. Governing Law. This Bill of Sale and each other document delivered pursuant to
this Bill of Sale shall be governed by, and construed in accordance with,the internal laws of the
State of North Carolina without regard to the choice of law principles thereof.
6. Counterparts.This Bill of Sale may be executed in one or more counterparts,each
of which shall be deemed an original, but all of which together shall constitute one and the same
instrument.
