To Whom It May Concern:
Attached you will find all the documents needed for Edgecombe County's Sewer System Permit
renewal. Since our last Permit, Edgecombe County has added several new lift stations along
with gravity and force mains. Also, Edgecombe County took over ownership of the Town of
Princeville's Sewer System in 2015. All of these updates can be found in the attached permit.

15A NCAC 02T .0400 — SYSTEM -WIDE WASTERWATER COLLECTION SYSTEMS
INSTRUCTIONS FOR FORM CSA 04-16 & SUPPORTING DOCUMENTATION
Documents shall be prepared in accordance with 15A NCAC 02T .01009 15A NCAC 02T .0400, and all relevant
Division Policies. Failure to submit all required items will necessitate additional processing and review time.

General — When submitting an application to the Pretreatment, Emergency Response, & Collection Systems (PERCS)
Unit, please use the following instructions as a checklist in order to ensure all required items are submitted. Adherence to
these instructions and checking the provided boxes will help produce a quicker review time and reduce the amount of
requested additional information.
The Applicant shall submit one original and one copy of the application and supporting documentation.
A. Cover Letter

returned If necessary for clarity or due to space restrictions, attachments to the application may be made, as long
as the attachments are numbered to correspond to the section and item to which they refer.

Convenience and Necessity (CPCN) from the North Carolina Utilities Commission demonstrating the Applicant
is authorized to hold the utility franchise for the area to be served by the wastewater collection system, or
❑ Provide a letter from the North Carolina Utilities Commission's Water and Sewer Division Public Staff stating an
application for a franchise has been received and that the service area is contiguous to an existing franchised area
or that franchise approval is expected.

UTILITY SYSTEM TRANSFER AGREEMENT
EDGECOMBE COUNTY
THIS UTILITY SYSTEM TRANSFER AGREEMENT ("Agreement") is made,
entered into and effective as of the I" day of August, 2015 (the "Effective Date") by and
between the TOWN OF PRINCEVILLE, North Carolina ("Town"), a municipal corporation
duly organized and validly existing under the laws of the State of North Carolina and the
COUNTY OF EDGECOMBE, North Carolina ("County"), a political subdivision and body
politic of the State of North Carolina (collectively the "Parties"), and the NORTH CAROLINA
LOCAL GOVERNMENT COMMISSION ("LGC"), an agency of the State of North Carolina
housed within the North Carolina Department of State Treasurer;
WITNESSETH:
WHEREAS, Town purchases water from the Town of Tarboro, North Carolina on a
monthly basis pursuant to an agreement dated June 11, 1973, and distributes such water to the
Town's water customers through a system of water pipes, meters, mains, lines, pumps and
related equipment together with real property, easements and other property rights; and
WHEREAS, Town owns a sewer system that consists of sewer lines, pipes, pumps,
mains, meters, lift stations and related equipment together with real property, easements and
other property rights, by which it collects and transfers for proper disposal the wastewater of its
customers; and
WHEREAS, on July 30, 2012, after notice and warning provided to the Town pursuant
to GS 159-181(c), the LGC impounded the Town's books and records and took control of its
financial affairs, and as of the Effective Date, continues to manage and control the Town's
financial affairs; and
WHEREAS, upon assuming financial control of the Town, the LGC determined that it
was in the Town's long term financial interest to divest itself of its water and sewer systems and
in its short term financial interest to contract with the County to manage said water and sewer
systems; and
WHEREAS, on November 14, 2012 the LGC and County entered in to a Water and
Sewer Operations Contract whereby the County undertook the billing, collection, management,
operation and maintenance of the Town's water and sewer systems (the "System") as well as the
billing for the Town's collection and removal of solid waste within the Town's corporate limits
and extraterritorial jurisdiction (the "Garbage Billing"). Throughout the duration of said
operations contract, the Town has continued to purchase water from Tarboro on a monthly basis
and pay such invoices as were generated thereby, and the County has billed to and collected from
the Town's water customers as part of its management of the System; and
WHEREAS, the Parties have found said operations contract to be beneficial and agree

that it is in the best interests of the Town, its citizens and System customers to transfer from the
Town to the County, the title and ownership of the System, including but not limited to the fixed
assets, accounts receivable, accounts payable, notes, deeds of trust, loans, grants, contracts,
agreements, permits, applications for service, billing, collection and payment records, meters,
lines, pipes, pumps, maps, easements, pump stations, lift stations, equipment, unexpired
warranties, force mains, treatment plants, real property and easement or other property rights,
retail water connections and customer deposits in the utility fund as of the Effective Date; and
WHEREAS, the County, on April 6, 2015 acting pursuant to GS 162A-87, resolved to
create Water and Sewer District No. 6 in Edgecombe County ("District No. 6"), the boundaries
of which include the corporate limits and extraterritorial jurisdiction of the Town, as are more
particularly described in the legal description set forth on Exhibit "A" and illustrated on the map
set forth on Exhibit `B" and declared its desire to take ownership of the System and operate it as
part of District No 6 pursuant to all applicable statutes, laws, rules and regulations and in
accordance with the terms and conditions hereinafter stated; and
WHEREAS, the Town, acting pursuant to GS 160A-274 and GS 162A-87, desires to
transfer the System, including, but not limited to, the fixed assets, accounts receivable, accounts
payable, notes, deeds of trust, loans, grants, contracts, agreements, permits, applications for
service, billing, collection and payment records, meters, lines, pipes, pumps, maps, easements,
pump stations, lift stations, equipment, unexpired warranties, force mains, treatment plants, real
property and easement or other property rights, retail water connections and customer deposits in
the utility fund as of the Effective Date, to the County and have them owned and operated as part
of District No. 6 pursuant to all applicable statutes, laws, rules and regulations and in accordance
with the terms and conditions hereinafter stated; and
WHEREAS, the County, acting pursuant to GS 160A-274 and GS 162A-87, agrees to
acquire the System including, but not limited to, the fixed assets, accounts receivable, accounts
payable, notes, deeds of trust, loans, grants, contracts, agreements, permits, applications for
service, billing, collection and payment records, meters, lines, pipes, pumps, maps, easements,
pump stations, lift stations, equipment, unexpired warranties, force mains, treatment plants, real
property and easement or other property rights, retail water connections and customer deposits in
the utility fund as of the Effective Date, and cause them to be owned, operated and maintained
by and as a part District No. 6; and
WHEREAS, the County further agrees to cause said System to be owned, operated,
maintained and expanded as part of District No. 6, and to accommodate growth and development
within said district in accordance with the County's and said district's utility system policies,
standards and procedures and pursuant to the terms and conditions hereinafter stated; and
WHEREAS, the Parties have given all the necessary approvals and taken all such actions
as are required for the transfer of the System; and
WHEREAS, in furtherance of said transfer, the Town and County desire to enter into
this Agreement, and the LGC desires to join in the execution of this Agreement for the purpose
of consenting thereto and approving its terms, the purposes of said Agreement being as follows:

A. To assure the continued provision of quality, reliable, economical, safe and sanitary
water and sewer service within the present and future corporate limits and utility
service area of the Town, as a part of District No. 6;
B. To provide for the orderly and permanent transfer of responsibility for the
ownership, construction, operation, maintenance, management and financing of the
System from the Town to the County as part of District No. 6; and
C. To assist the Town in its efforts to return to financial health and regain control of its
financial affairs; and
WHEREAS, the Parties further desire to continue the arrangement whereby the County
handles the Town's Garbage Billing, and plan to enter into a separate agreement to that end.
NOW THEREFORE, in consideration of the foregoing, and the benefits to and from the
Town and the County flowing from the mutual promises, covenants and representations
contained herein, the receipt and sufficiency of which are hereby acknowledged, Town and
County do hereby undertake, promise and agree for the themselves and their respective
successors and assigns, to transfer the ownership and operation of the System from the Town to
the County, and the County hereby agrees to own and operate the System as part of District No.
6, and the LGC, in its role as manager of the Town's financial affairs pursuant to the authority
granted to it by Chapter 159 of the North Carolina General Statutes, hereby joins in the execution
of this Agreement for the purpose of approving the transaction contemplated hereby.
THE FURTHER TERMS AND CONDITIONS OF THIS AGREEMENT ARE AS
FOLLOWS:
1. PURCHASE AND SALE OF SYSTEM
As of the Effective Date, and upon the promises, covenants, representations, agreements,
conditions and terms set forth in this Agreement, the Town hereby sells the System to the
County, including but not limited, to the real property, fixed assets, accounts receivable, accounts
payable, notes, deeds of trust, loans, grants, contracts, agreements, permits, applications for
service, billing, collection and payment records, meters, lines, pipes, pumps, maps, easements,
pump stations, lift stations, equipment, force mains, treatment plants, real property and easement
or other property rights, and customer deposits in the utility fund as of the Effective Date, and
the County shall accept title to the System. The real property transferred is more particularly
described on the attached Exhibit "C." The fixed assets, grants and cash equal to customer
deposits on hand as of the Effective Date are more particularly described on the attached Exhibit
«D »
2. PURCHASE PRICE, TRANSFER DOCUMENTS,• CLOSING PROCEDURE
The purchase price is ONE AND NO/100ths Dollars ($1.00). Title to the real property
shall be transferred by North Carolina Non -Warranty Deed in the form set forth on the attached
Exhibit "E." Title to the other components of the System shall be transferred by bills of sale,
assignment and assumption agreements and such other documents as may be appropriate, in the
Princeville Water and Sewer Agreement edit 7-29-15 (rmh) Page 3
forms set forth on the attached Exhibits "F" through "I." All such transfer documents (the
"Transfer Documents") shall be dated, entered into and effective as of the Effective Date. The
Parties acknowledge that this Agreement is effective as of the Effective Date; however,
recognizing that that execution of the Transfer Documents will take some time and coordination,
the Parties and the LGC agree that on or before August 31, 2015 (the "Closing Date"), the
Parties shall execute and deliver all the Transfer Documents. Moreover, from time to time after
the Closing Date, any Party may request of the other the execution, acknowledgement and
delivery of additional Transfer Documents as may be necessary to properly effectuate the intent
of this Agreement, and upon request, the other Party shall promptly comply.
3. DUE DILIGENCE
The purchase and sale of the System is "AS IS, WHERE IS AND WITH ALL
FAULTS." The Parties acknowledge and agree that the County conducted its due diligence of
the System during the time it has operated the System pursuant to the Water and Sewer
Operations Contract. By executing this Agreement, County accepts the condition of the System.
4. TRANSFER OF GOVERNMENTAL AUTHORIZATIONS AND PERMITS
Town and County shall cooperate and jointly pursue the issuance, cancellation and
transfer, as applicable, of all governmental authorizations and permits needed in order for
County to operate the System as part of District No. 6. Town and County shall each be
responsible for their respective fees and costs in this regard.
S. TRANSFER AND ASSUMPTION OF GRANTS. LOANS AND LIABILITIES
County agrees to assume the payments on the Town's loan made under the American
Recovery and Reinvestment Act of 2009 ("ARRA") administered by the North Carolina
Department of Environment and Natural Resources ("NCDENR"). The loan, styled as H-ARRA-
09-1392 DRINKING WATER (the "ARRA Loan"), was in the original principal amount of ONE
HUNDRED FORTY FOUR THOUSAND FOUR HUNDRED THIRTY TWO AND
NO/100THS DOLLARS ($144,432.00) at zero percent (0%) interest. The ARRA Loan
payments have been made annually beginning May 1, 2011, and if not sooner paid, will be paid in
full on May 1, 2031 The first payment was in the amount of $7,691.20. Thereafter, annual
payments due on the first day of May have been and will continue to be made to NCDENR in the
amount of $7,196.88 pursuant to the amortization schedule attached hereto as Exhibit J. The ARRA
Loan will remain in the Town's name, but the County assumes all responsibility and obligation for
making the annual ARRA Loan payments on behalf of the Town, directly to NCDENR. In addition,
County shall assume and discharge all other liabilities relating to the Town's ownership and
operation of the System.
6. ACCOUNTS RECEIVABLE. CUSTOMER DEPOSITS AND CONTRACTS
CLAIMS AND APPLICATIONS FOR SERVICE
Town shall transfer to County sufficient cash to cover the deposits of all existing
customers of the System as of the Effective Date. County shall assume responsibility for all

existing customer claims as of the Effective Date, and to the extent allowed by law, shall
indemnify and hold Town harmless from loss or damage with respect to such claims. Further,
Town shall transfer to the County all accounts receivable as of the Effective Date.
7. RISK OF LOSS
Risk of loss with regard to the ownership, operation and maintenance of the System is
with the County as of the Effective Date
S. ASSUMPTION BY COUNTY OF RESPONSIBILITY FOR SERVICE
As of the Effective Date, County assumes responsibility for providing water and sewer
services to the Town's customers as a part of District No. 6, as well as Garbage Billing services
to such customers.
9. RETURN OF FINANCIAL CONTROL
The Parties acknowledge and agree that the execution of, and full and complete
performance under this Agreement is a condition precedent to the return of financial control from
the LGC to the Town.
10. COUNTY' S REPRESENTATIONS AND WARRANTIES
County represents and warrants as follows:
a. All representations and warranties made by the County in this Agreement are true, correct
and complete as of the Effective Date.
b. County has all requisite power and authority to enter into this Agreement and carry out
and perform its terms.
c. County is not subject to, nor a party to, any proceedings, agreements or other restrictions
of any kind or character that could or would prevent consummation of the transaction
contemplated by this Agreement.
d. The execution, delivery and performance of this Agreement will not violate any
provisions of law, order of any court or agency of government, or other instrument to
which County is a party or by which it is bound.
e. All necessary actions required to establish District No. 6 have been undertaken and
completed by the County.
f. All necessary actions required to authorize County's purchase of the System and operate
it as part of District No. 6 have been taken as duly required by law and all other
appropriate governmental authorizations required in order to effectuate the intent of this
Agreement have taken place.
g. County shall own, operate and maintain the System as part of District No. 6, and shall
provide service to all present and future customers of the System in accordance with the
requirements of all applicable laws, rules and regulations.
h. County has adequate water capacity to provide water to all present and future customers
of the System.

i. On or before the Closing Date, County shall execute, deliver to and accept from Town all
such additional Transfer Documents as may be required to effectuate the intent of this
Agreement.
11. TOWN'S REPRESENTATIONS AND WARRANTIES
Town represents and warrants as follows:
a. All representations and warranties made by Town in this Agreement are true, correct and
complete as of the Effective Date.
b. Town, with the consent of the LGC, has all requisite power and authority to enter into
this Agreement and carry out and perform its terms.
c. Except for the financial management restrictions imposed on the Town by the LGC under
the authority of GS 159-181(c), Town is not subject to, nor a party to, any proceedings, or
other restrictions of any kind or character that could or would prevent consummation of
the transaction contemplated by this Agreement.
d. With the execution of this Agreement by the LGC pursuant to its authority under GS 159-
181(c), the execution, delivery and performance of this Agreement will not violate any
provisions of law, order of any court or agency of government or other instrument to
which Town is a party or by which it is bound.
e. All necessary actions required to authorize Town's sale of the System to County to be
owned and operated as part of District No. 6 have taken place as duly required by law and
all other appropriate governmental authorizations required in order to effectuate the intent
of this Agreement have been obtained.
f. All necessary actions required to join and become part of District No. 6 have been
undertaken and completed by the Town.
g. As of the Effective Date, Town has given notice to Tarboro of the termination of the
water purchase agreement between them.
h. On or before the Closing Date, Town shall execute, accept from and deliver to the
County all such additional documents as may be required to effectuate the intent of this
Agreement.
12. TIME IS OF THE ESSENCE; CONTINUING OBLIGATIONS
Time is of the essence in this Agreement. Further, each party is under a continuing
obligation through close of business on the Closing Date to notify the other party in writing if it
becomes aware of (a) any fact or condition that causes or constitutes a breach of this Agreement,
(b) the occurrence of any fact or condition that would be reasonably likely to cause or constitute
a breach of this Agreement, and (c) any occurrence that may make the satisfaction of any
condition of this Agreement unlikely or impossible. Any written notice given to any Party shall
be simultaneously provided to the LGC.
13. NOTICE
All notices, certificates or other communications made, given or provided hereunder shall
be sufficiently given and shall be deemed given when hand delivered or mailed by certified mail,
return receipt requested, to the following addresses:

Fiscal Management.
14. APPLICABLE LAW, JURISDICTION AND VENUE
This Agreement shall be governed by and construed in accordance with the laws of the
State of North Carolina. Exclusive jurisdiction and venue for any litigation arising out of, or to
enforce this Agreement shall be in Superior Court in Edgecombe County, North Carolina.
15. RECORDING FEES AND TAXES
Fees to record the deed and any other instruments necessary to deliver title to the System
to the County shall be paid by the County. As Town and County are units of local government,
neither is obligated to make payment of personal property or ad valorem taxes on the System.
Neither should be responsible for the payment of any income, business license or other taxes due
and payable as a result of Town's ownership and sale of the System. Any excise tax due on the
purchase price shall be paid by the Town.
16. ASSIGNMENT, TERMINATION; BINDING EFFECT
This Agreement shall not be assigned or terminated without the prior written consent of
the LGC. This Agreement shall be binding on, inure to, and be construed solely for the benefit
of the Parties, their respective successors and permitted assigns, and except for the LGC which
has the express authority to enforce this Agreement, no claim or cause of action shall accrue to
the benefit of any non-party.
17. AMENDMENTS AND WAIVERS
No amendment, supplement, modification or waiver of this Agreement shall be binding
upon any Party unless executed in writing by all Parties and consented to in writing by the LGC.
18. ENTIRE AGREEMENT
This Agreement is the entire agreement between the Parties as consented to by the LGC,
and supersedes all prior and contemporaneous agreements, understandings, negotiations and
discussions of the Parties and the LGC, whether oral or written, pertaining to the subject matter
hereof, and there are no warranties, representations or other agreements between the Parties and
the LGC in connection with the subject matter hereof, except as specifically set forth herein.

19. COUNTERPARTS
This Agreement may be executed in one or more counterparts, each of which shall be
deemed an original but all of which together shall constitute one and the same instrument.
20. EXHIBITS INCORPORATED BY REFERENCE

herein.

BILL OF SALE
KNOW ALL MEN BY THESE PRESENTS that Town of Princeville, North Carolina
(hereinafter "Town") for the sum of ONE AND NO/100ths Dollars ($1.00) and other good and
valuable consideration paid by the County of Edgecombe, North Carolina (hereinafter
"County"), the receipt and sufficiency of which is hereby acknowledged, pursuant to the Utility
System Transfer Agreement by and among Town and County dated and effective as of August
1, 2015 (the "Agreement"), has granted, bargained, sold, transferred, set over and delivered, and
by these presents does grant, bargain, sell, transfer, set over and deliver, unto the County, its
successors and assigns, the assets associated with the Town's water and sewer ("System") as
more particularly described in the Agreement and set forth in the following paragraphs:
1. The Town's sewer system described as all wastewater collection, transmission,
pumping and effluent and disposal facilities of every kind and description whatsoever, including
without limitation the sewer system, two (2) sewer system improvements, CFHC lift station,
pump located on Mutual Boulevard, pump located on Greenwood Boulevard, two (2) pumps
located on Newton Street and pump located on Church Street, all leasehold improvements,
licenses, trade fixtures, pumps, generators, controls, tanks, distribution pipes or facilities, valves,
meters, replacement meters, service connections, and all other physical facilities, appurtenances
and property installations used in the operation of such system.
2. The Town's water system including all water storage, distribution and production
facilities and equipment, including pumps, tanks and pipes of every kind and description
whatsoever, including without limitation all trade fixtures leasehold improvement, licenses,
pumps, generators, controls, tanks, distribution pipes or facilities, valves, meters, replacement
meters, service connections and all other physical facilities, appurtenances and property
installations used in the operation of such system.
3 All governmental permits associated with the System and as may be described in
the Agreement.
4. The equipment, parts, tools, chemicals, inventory, furniture and other personal
property owned by the Town and used exclusively in connection with the operation of the
System.
5. All assets, rights, materials and/or claims used, owned or held as a part of the
System, including, without limitation: all plans, specifications, maps, drawings (including as -
built drawings) and other renderings of the System's infrastructure, all warranties, claims and
any similar rights to the System's infrastructure, any and all permits for the System's
infrastructure and all intangible rights, goodwill and rights of the System's infrastructure.

Town represents and warrants that it has exclusive ownership, possession, control, and
marketable title to the above -referenced property subject to the ARRA loan described in the
Agreement.
THE SALE OF THE SYSTEM'S ASSETS IS "AS IS, WHERE IS AND WITH ALL
FAULTS." TOWN MAKES NO REPRESENTATION AND THERE IS NO WARRANTY
WITH RESPECT TO THE CONDITION OF THE ASSETS.
TO HAVE AND TO HOLD the same unto the County, it successors and assigns forever,
and Town does covenant and agree, to and with the County, to warrant and defend the sale of the
aforesaid System hereby sold unto County, its successors and assigns, against all and every lien,
claim and encumbrance granted by Town or those claiming through the Town.

ACCOUNTS RECEIVABLE AND APPLICATIONS FOR SERVICE
THIS ASSIGNMENT AND ASSUMPTION OF CUSTOMER CONTRACTS
ACCOUNTS RECEIVABLE AND APPLICATIONS FOR SERVICE ("Assignment") is dated,
made, entered into and effective as of the I" day of August, 2015 (the "Effective Date") by and
between Town of Princeville, North Carolina, a North Carolina municipal corporation ("Town")
and County of Edgecombe, North Carolina, a North Carolina political subdivision and body
politic and corporate ("County), and is made in connection with that certain Utility System
Transfer Agreement ("Agreement") between the parties, of even date herewith, concerning the
transfer from Town to County of Town's water and sewer system ("System").
WITNESSETH:
WHEREAS, as a result of the acquisition of the System by the County, all of Town's
former customers shall now become retail water and sewer and customers of the County pursuant
to the terms and conditions set forth in the Agreement; and
WHEREAS, in order for the County to provide retail water and sewer service to the
Town's former customers, Town must assign all of its customer service contracts to the County,
including all security deposits, accounts receivable and applications for service (collectively the
"Contracts"); and
WHEREAS, Town and County now wish to set forth the terms, covenants and conditions
pursuant to which Town shall assign over and transfer the Contracts to the County.
NOW, THEREFORE, for and in consideration of the covenants, conditions, terms,
conditions, representations and warranties made by the parties hereto each to the other as set
forth herein and in the Agreement, Town and County agree as follows:
1. Assignment. As of the Effective Date, Town hereby assigns, conveys, transfers
and sets over unto County all of Town's rights, title and interest in, to and under all of the
Contracts, including without limitation, all of Town's rights, title and interest in and to the
security deposits and in and to any claims for payment (whether current or in arrears) or any
other claims arising under the Contracts against any customer thereunder arising from utility
services rendered as of the Effective Date.
2. Transfer of Secunty Deposits. Simultaneously with the execution of this
Assignment, Town transfers to the County the sum of THIRTY THOUSAND EIGHT
HUNDRED THIRTY NINE AND 95/100THS DOLLARS ($30,839.95) which amount
represents the System customer security deposits being held as of the Effective Date. Town and
County shall make all best efforts to insure the deposits transferred from Town to County remain

paired with the proper System customer accounts; however, in the event an error should occur,
Town shall assist County in any way necessary to correct any errors and reconcile customer
accounts.
3. Binding Effect. This Assignment shall inure to the benefit of and shall be binding
upon the parties hereto and their respective successors and assigns.
4. Counterparts. This Assignment may be executed in one or more counterparts,
each of which shall be deemed an original but all of which together shall constitute one and the
same instrument.

ASSIGNMENT OF UNEXPIRED WARRANTIES
THIS ASSIGNMENT OF UNEXPIRED WARRANTIES ("Assignment") is made,
entered into and effective as of the 1 Sc day of August 2015 (the "Effective Date") by and between
Town of Princeville, North Carolina, a North Carolina municipal corporation ("Town") and
County of Edgecombe, North Carolina, a North Carolina political subdivision and body politic
and corporate ("County), and is made in connection with that certain Utility System Transfer
Agreement ("Agreement") between the parties, of even date herewith, concerning the transfer
from Town to County of Town's water and sewer system ("System").
WITNESSETH:
WHEREAS, as a result of the acquisition of the System by the County, the County is
acquiring the System's assets; and
WHEREAS, as part of the conveyance of the System's assets, Town intends, to the extent
they are assignable, to convey to County and County intends to accept, all of Town's rights, title
and interest in, to and under those certain warranties given by any vendor, contractor, sub-
contractor or any other third party providing labor, materials, or any service to the System
(collectively the "Warranties").
NOW, THEREFORE, in consideration of the mutual promises, covenants,
representations and agreements contained herein, the recitals set forth above (which are
incorporated herein by this reference) and other good and valuable consideration, the Parties do
undertake, promise and agree for themselves, their permitted successors and assigns as follows.
1. Town hereby, to the extent they are assignable, transfers, conveys and assigns
unto County, its successors and assigns, all right, title and interest of Town in and
to the Warranties. County hereby accepts the transfer and assignment of the
Warranties and assumes the performance, obligations, duties and liabilities of
Town under such Warranties as of the date hereof. As of the date of this
Assignment, Town's obligations and responsibilities to act under such Warranties
shall cease and terminate and Town shall have no further liabilities or obligations
with respect to the Warranties.
2. Town hereby covenants to County, its successors and assigns, that (i) Town has a
good and lawful right to convey its rights under the Warranties, (ii) the Warranties
are free from all encumbrances, liens and mortgages, and (iii) Town is not in
default, breach or violation under any term of the Warranties.
3. This Assignment shall inure to the benefit of and be binding upon Town and
County and their successors and assigns. This Assignment is not intended to

confer upon any person other than the parties hereto any rights or remedies
hereunder.
4. This Assignment shall be governed in all respects, whether as to validity,
construction, capacity, performance or otherwise, by the laws of the State of
North Carolina applicable to contracts made and to be performed within that
State.
5. If any term or provision of this Assignment shall, to any extent or for any reason,
be held to be invalid or unenforceable, the remainder of this Assignment shall not
be affected thereby and shall be construed as if such invalid or unenforceable
provision had never been contained herein or been applicable in such
circumstances.
6. This Assignment incorporates the Agreement and the Bill of Sale, and by
reference, all definitions, terms, provisions, conditions and limitations set forth
therein. In the event of any conflict or inconsistency between the Agreement, the
Bill of Sale and the definitions, terms, provisions, conditions and limitations set

FORM OF ASSIGNMENT OF PERMITS
ASSIGNMENT AND ASSUMPTION OF PERMITS
AND GOVERNMENTAL APPROVALS
THIS ASSIGNMENT AND ASSUMPTION OF PERMITS AND GOVERNMENTAL
APPROVALS ("Assignment") is made, entered into and effective as of the 1st day of August,
2015 (the "Effective Date") by and between Town of Princeville, North Carolina, a North
Carolina municipal corporation ("Town") and County of Edgecombe, North Carolina, a North
Carolina political subdivision and body politic and corporate ("County), and is made in
connection with that certain Utility System Transfer Agreement ("Agreement") between the
parties, of even date herewith, concerning the transfer from Town to County of Town's water
and sewer system ("System").
WITNES SETH:
WHEREAS, Town has, as of the Effective Date conveyed to County, pursuant to the
Agreement and the Transfer Documents, all of the real and personal property, both tangible and
intangible, comprising the System; all capitalized terms not defined herein shall have the
meaning ascribed to them in the Agreement; and
WHEREAS, as part of the Agreement, Town intends, to the extent they are assignable, to
assign to County, and County intends to accept the assignment of, all of Town's rights and
obligations under those certain consents, licenses, certificates of authorization, registrations,
permits and approvals issued, granted, given or otherwise made available to the Town for the
operation of the System, by or under the authority of any governmental body having jurisdiction
over the operation of the System (collectively the "Permits"). The Permits are forth on "Schedule
A" which is incorporated by reference as if fully set forth herein.
NOW THEREFORE, in consideration of the mutual promises, covenants, representations
and agreements contained herein and in the Agreement, and other good and valuable
consideration, the receipt and sufficiency of which the parties hereto hereby acknowledge, the
parties do undertake, promise and agree for themselves, their permitted successors and assigns as
follows:
1. Town hereby, to the extent permissible, transfers, conveys and assigns unto the
County, its successors and assigns, all right, title and interest of the Town in and to the Permits
as of the Effective Date.
2. County hereby accepts the transfer and assignment of the Permits and assumes the
performance, obligations, duties and liabilities of the Town under such Permits as of the
Effective Date. As of the Effective Date, the Town's obligations and responsibilities to act under
such Permits shall cease and terminate and Town shall have no further liabilities or obligations
with respect to the Permits.

3. Town hereby covenants to the County, its successors and assign that, as of the
Effective Date, it is not in default, breach or violation of any terms and conditions of the Permits.
4. This Assignment shall inure to the benefit of and be binding upon Town and
County and their successors and assigns. Otherwise, this Assignment is not intended to confer
upon any person or entity any rights or remedies hereunder.
5. This Assignment shall be governed in all respects, whether as to validity,
construction, capacity, performance or otherwise, by the laws of the State of North Carolina
applicable to contracts made and to be performed in the State.
6. If any term or provision of this Assignment shall, to any extent or for any reason,
be held to be invalid or unenforceable, the remainder of this Assignment shall not be affected
thereby and shall be construed as if such invalid or unenforceable provision had never been
contained herein or been applicable in such circumstances.
7. This Assignment incorporates the Agreement and by reference all definitions,
terms, provisions, conditions and limitations set forth therein. In the event of any conflict or
inconsistency between the Agreement and this Assignment, the terms of the Agreement shall
control.
8. This Assignment may be executed in one or more counterparts, each of which
shall be deemed to be an original, but all of which together shall constitute one and the same
Assignment.

be addressed. Below you will find each "High Priority" line and a description.

- This Sewer line is a fused pipe that is encased and bored under the Tar River, installation took
place in 2004.
2. 10" sewer line —Swift Creek and Hwy 97 W
- This Sewer line is a fused pipe that is encased and bored under Swift Creek; installation took
place in 2012.
3. 10" sewer line — Falling Run Branch and Hwy 97 W
- This Sewer line is a fused pipe that is encased and bored under the branch; installation took
place in 2012.

license on the privilege of keeping dogs within Edgecombe

General Statutes 153A-153.
Section 13 There is hereby levied on each marriage license issued
during the Fiscal year 2017-2018 a tax of sixty dollars
($60 00) in accordance with the provisions of the General
Statutes 161-10 The proceeds of such tax shall be
deposited in the General Fund

(.95) per one hundred dollars ($100) valuation of property

the revenues of the Macclesfield Fire Department It is
estimated that revenues of $65,000 will be available to the
Fire District Fund from the Macclesfield Fire Tax District

make available all records and ledgers on these accounts to the Finance
Officer so that these funds may be included in the General Ledger for

I. GENERAL
The Sewer Overflow / Spill Response Plan is designed to ensure that every report of a
sewage overflow incident is immediately dispatched to the appropriate Edgecombe
County Water & Sewer Department personnel for confirmation. Quick response will
minimize the effects of the overflow/spill with respect to impacts on public health,
beneficial uses and water quality of surface water and on customer service.
A. Objectives
The primary objective of the overflow/spill response plan is to protect public
health and the environment, satisfy regulatory agencies and waste discharge
permit conditions which address procedures for managing sewer overflows.
Additional objectives are:
- Protect collection system personnel
- Protect the collection system, wastewater facilities, and all appurtenances
- Protect private and public property beyond the collection and treatment
facilities.
B. Organization of Plan
The key elements of the plan are addressed as follows:

II. OVERFLOW/SPILL RESPONSE PROCEDURE
The Overflow/Spill Response Procedure presents a strategy for the Edgecombe
County Water & Sewer Department to mobilize labor, materials, tools and equipment
to correct or repair any condition, which may cause or contribute to an unpermitted
discharge. The plan considers a wide range of potential system failures that could
create on overflow to surface water, land or buildings.
A. Receipt of Information Regarding an SSO
An overflow/spill may be detected by Water and Sewer Department
employees or by others. The Edgecombe County Water & Sewer Department
is responsible to act based on received phone calls or reports on possible
sewage overflow from the wastewater disposal system, and to provide
immediate response to investigate and/or correct reported sewer overflow.
Generally, telephone calls from the public reporting possible sewer overflows
are received at the public offices identified under Contacts.
1. The operator should obtain all relevant information available regarding the
overflow including:
a. Time and date call was received;
b. Specific location;
c. Description of problem;
d. Time possible overflow was noticed by the caller;
e. Caller's name and phone number;
f. Observations of the caller; and

g. Other relevant information that will enable the Edgecombe County
Water & Sewer Department to quickly locate, assess and stop the
overflow.
2. The operator dispatches maintenance personnel to confirm the
overflow/spill.
3. Once overflow/spill is confirmed, NC Water Quality must be contacted
immediately to make them aware.
4. Overflow report form must be filled out completely and sent in the NC
Water Quality within 24 hours.
5. If the overflow/spill will affect the public or any public drinking water
supply then customers must be notified immediately.
B. Dispatch of Sewer Maintenance Personnel to Site of Sewer Overflow/Spill
1. Dispatching Maintenance Personnel
• When the Edgecombe County Water & Sewer Department receives
notification of a potential sewer overflow outlined in Section A, the
department dispatches maintenance personnel with appropriate
resources as required.
2. Maintenance Personnel Instructions
Dispatch maintenance personnel. Assign and appropriate personnel,
materials, supplies and equipment needed.
All personnel being dispatched to the site of an SSO proceed
immediately to the site of the overflow. Report any delays or conflicts
in assignments immediately for resolution.
In all cases response maintenance personnel report their finding,
including possible damage to private and public property, to the
Edgecombe County Water & Sewer Department Director and
supervisors immediately upon making their investigation. If the
Director has not received findings from the field crew within one (1)
hour then the Director should contact the field personnel and
determine the status of the investigation.
3. Additional Resources
• The Edgecombe County Water & Sewer Department Director receives
and conveys to appropriate parties requests for additional personnel,
material, supplies and equipment for maintenance personnel working
at the site of the SSO.
4. Preliminary Assessment of Damage to Private and Public Property
• Staff shall not enter onto private property without permission from the
appropriate personnel.
• Maintenance personnel shall take appropriate photographs and/or
video footage; if possible, of the sewer overflow/spill impacted area in
order to thoroughly document the nature and extent of impacts. Retain
photos for filing with the Overflow/Spill report.

5. Field Supervision and Inspection
• The Edgecombe County Water & Sewer Department director and
Supervisors visit the site of the sewer overflow/spill to ensure that
provisions of this Overflow Response Plan and other directives are
met.
The Edgecombe County Water & Sewer Department Director is
responsible for verbally notifying NC Water Quality within the
specified time and submitting the Overflow Report.
6. Coordination with Hazardous Material Response
• Upon arrival at the scene of a sewer overflow, should a suspicious
substance (e.g., oil sheen, foamy residue) be found on the ground
surface, or should a suspicious odor (e.g., gasoline) not common to the
sewer system be detected, the maintenance crew shall immediately
contact the Director and Supervisors for guidance before taking further
action.
• Should the Department Director or Supervisors determine the need to
alert the hazardous material response team, the maintenance personnel
awaits the contracted hazardous waste team response.
• Contact the Emergency Spill Hotline 1 (800) 858-0368.
• Upon arrival of the hazardous material response team, the maintenance
personnel take direction from the person with the lead authority of that
team. Only when that authority determines if is safe and appropriate
for the maintenance personnel to proceed under the SORP with the
containment, clean-up activities and correction.
C. Overflow Correction, Containment and Clean -Up
1. Responsibilities of Edgecombe County Maintenance personnel Upon
Arrival
• It is the responsibility of the first personnel who arrive at the site of a
sewer overflow to protect the health and safety of the public by
mitigating the impact of the overflow to the maximum extent possible.
Should the overflow not be the responsibility of the Edgecombe
County Water & Sewer Department but there is imminent danger to
public health, public or private property, or to the quality of waters of
the state, then the Edgecombe County Water & Sewer Department
personnel takes emergency action until the responsible party assumes
responsibility and provides actions.
• Upon arrival at the SSO, the maintenance personnel performs the
following:
o Determines the cause of the overflow, e.g. sewer line
blockage, pump station mechanical or electrical failure,
sewer line break, etc.;
o Identifies and requests assistance or additional resources
to correct the overflow or to assist in determination of its
cause;
o Takes immediate steps to stop the overflow, e.g. relieves
pipeline blockage, manually operates pump station
controls, repairs pipe, etc. Extraordinary steps may be
considered where overflows from private property
threaten public health and safety (e.g., an overflow
running off of private property into the public right-of-
way); and
o Requests additional personnel, material, supplies, or
equipment that will expedite and minimize the impact of
the overflow.
2. Initial Measures for Containment
Determine the immediate destination of the overflow, e.g. storm drain,
street curb gutter, body of water, stream bed, etc.;
Identify and request the necessary materials and equipment to contain
or isolate the overflow, if not readily available; and
Take immediate steps to contain the overflow, e.g., block or bag storm
drains, recover through vacuum truck, divert downstream manhole,
etc.
3. Additional Measures Under Potentially Prolonged Overflow Conditions
In the event of a prolonged sewer line blockage or a sewer line collapse,
set up a portable by-pass pumping operation around the obstruction.
• Take appropriate measures to determine the proper size and number of
pumps required to effectively handle the sewage flow.
• Implement continuous or periodic monitoring of the by-pass pumping
operation as required.
• Address regulatory agency issues in conjunction with emergency
repairs.
4. Cleanup
Clean sewer overflow sites thoroughly after an overflow. No readily
identified residue (e.g., sewage solids, papers, rags, plastics, rubber
products, etc.) is to remain.
• Whenever possible digital photos should be taken of the area before
and after cleanup.
• Where practical, thoroughly flush the area and clean of any sewage or
wash -down water. Solids and debris are to be flushed, swept, raked,
picked -up, and transported for proper disposal.
• Secure the overflow area to prevent contact by members of the public
until the site has been thoroughly cleaned.
• Where appropriate, disinfect and deodorize the overflow site.
• Where sewage has resulted in ponding, pump the pond dry and dispose
of the residue in accordance with applicable regulations and policies.
• If a ponded area contains sewage, which cannot be pumped dry, it may
be treated with bleach. If sewage has discharged into a body of water
that may contain fish or other aquatic life, do not use bleach. Contact
NC Division of Water Quality for specific instructions.
D. Sewage Overflow Report
The Sewer Overflow Report in Appendix A contains information which is
required to be reported to NC Division of Water Quality upon the nature of
the spill. If the overflow will affect any form of drinking water or anything
involved with public water (e.g., streams, rivers, basins, etc.) contact must be
made with a representative of the NC Division of Water Quality orally, within
two hours of becoming aware of the incident. The Edgecombe County Water
& Sewer Director completes a sewer overflow report (Ref. Appendix A).
Director or Supervisors notify the office and NC Division of Water Quality
when overflow is eliminated.
• Determination if the sewage overflow had reached surface waters, i.e.,
all overflows where sewage was observed running to surface waters,
or there was obvious indication (e.g. sewage residue) that sewage
flowed to surface waters; and
• Determination that the sewage overflow had not reached surface
waters by describing conditions at the sewage overflow, which support
this determination.
• Determination of the start time of the sewer overflow by one of the
following methods:
a. Date and time information received and/or reported to have begun
and later substantiated by Edgecombe County Water & Sewer
maintenance personnel.
b. Visual observation;
• Determination of the stop time of the sewer overflow by one of the
following methods:
a. When the blockage is cleared or flow is controlled or contained; or
b. The arrival time of the Edgecombe County Water & Sewer
Department maintenance personnel, if the overflow stopped
between the time it was reported and the time of arrival.
• Visual Observations
An estimation of the rate of sewer overflow in gallons per minute (GPM)
by one of the following criteria:
a. Direct observations of the overflow; or
b. Measurement of actual overflow rate from the sewer main.
• Determination of the volume of the sewer overflow
• Photographs of the event, when possible.
• Assessment of any damage to the exterior areas of public/private
property. Edgecombe County Water & Sewer maintenance personnel
shall not enter private property for purposes of estimating damage to

structures, floor and wall coverings, and other personal property
without authorization from the Director or Supervisors.
E. Customer Satisfaction
The Edgecombe County Water & Sewer Department follows up in person or
by telephone with the entity who was reporting the overflow. The cause of the
overflow and its resolution will be disclosed.
III. PUBLIC ADVISORY PROCEDURE
This section describes the actions the Edgecombe County Water & Sewer Department
will take, in cooperation with the NC Water Quality, to limit public access to areas
potentially impacted by unpermitted discharges or pollutants to surface water bodies
from the wastewater collection system.
A. Temporary Signage
The Edgecombe County Water & Sewer Department has primary
responsibility for determining when to post notices of polluted surface water
bodies or ground surfaces that result from uncontrolled wastewater discharges
from its facilities. The postings do not necessarily prohibit use of recreational
areas, unless posted otherwise, but provide a warning of potential public
health risks due to sewage contamination.
B. Other Public Notification
Should the posting of surface water bodies or ground surfaces subjected to a
sewer overflow be deemed necessary by the Edgecombe County Water &
Sewer Department, the Director or Supervisors will determine the need for
further public notification.
IV. REGULATORY AGENCY NOTIFICATION PLAN
The Regulatory Agency Notification Plan establishes procedures, which the
Edgecombe County Water & Sewer Department follows to provide formal notice to
the NC Division of Water Quality as necessary in the event of an SSO.
• Agency notifications will be performed in parallel with other internal
notifications.
• Internal notification and mobilization of Edgecombe County Water & Sewer
personnel are established in Section II — Overflow Response Procedure.
• Using data supplied during the verification process and updates from the
maintenance personnel, the Edgecombe County Water & Sewer Department
Director or Supervisors prepares initial and final Overflow Reports. Initial
report will be provided orally to the NC Division of Water Quality and if
necessary the local Health Department within either two (2) hours or 24 hours
from the time the Department became aware of the SSO.
• Prepare and provide final report to the regulatory agency within five (5) days
after the department becomes aware of the overflow. Submit by mail. The
Edgecombe County Water & Sewer Department Director or Supervisors are
responsible for meeting the notification requirements. The Director or
Supervisors prepares written notification to the appropriate regulatory agency
of any confirmed overflows. The Director signs these notifications.
V. MAINTENANCE OF SORP
The SORP will be reviewed on an annual basis. Possible amendments can include:
• Change in procedures
• Change in contact personnel
• Changes due to regulatory requirements

3.0 IDENTIFICATION OF FORESEEABLE EMERGENCIES
An emergency includes any event that may degrade the quality or quantity of a potable
water supply system. Water supply systems in eastern North Carolina can be faced with a
multitude of situations, either natural or human -cause, that may result in an emergency.
The following is a list of foreseeable emergencies that the Edgecombe County Water
System could experience.
Natural — Disaster Hazards
• Hurricane
• Tornado

• Forest or Brush fires and Firestorms
• Other Severe Weather: Lightning, Extreme Heat, Heavy Snow or Ice Storms
• Waterborne Disease
• Drought
Human — Caused Disaster Hazards
• Hazardous — Material Release: Chlorine Spill, Source Water Contamination
• Fire: Water Treatment Facility Structure Fire, Community Fire
• Construction or Transportation Accidents: Power Outage, Water Main Break
• Vandalism: Facility or Equipment Damage
4.0 DESCRIPTION OF EMERGENCY RESPONSE FOR EACH
IDENTIFIED EMERGENCY
Most natural and human -caused disasters often come with little or no warning. In these
situations, prompt notification is the first course of action, followed by implementing
actions to contain or isolate the situation. If adequate warning is given prior to a
disaster hazard, actions should be implemented to mitigate the effects of such a disaster.
The following addresses emergency response for each identified emergency listed
above:
Natural -Disaster Hazards
• Hurricane
(In the event that sufficient prior warning is allowed, the following planned
actions should be implemented)
o Initiate notification procedures, Section 5.0
o Check all auxiliary and standby equipment to ensure proper function
o Stock sufficient fuel supplies to operate back up equipment for 10 to 14 days
or make short-term contracts with suppliers to hold fuel in reserve during
hurricane season
o Stock sufficient supplies of chlorine and other necessary treatment chemicals
for 10 to 14 days
o Prepare to switch from automatic to manual control of all SCADA run
components (for those that are not run off of solar power) in the event of a
power outage
o Review inventory of emergency equipment and supplies
o Stock utility trucks with service and repair supplies
o Ensure all communication equipment is charged and operational
o Fill elevated storage tanks

o Test -run emergency generators and top -off with fuel
o Identify and valve off exposed pipes at stream and drainage crossings where
possible
o Fuel all service vehicles
o Make arrangements for food delivery to work crews
o Notify media of emergency operations and locations
o Allow emergency work crew to address personal business
o Set up work schedules and crews
o Sandbag critical areas including building entrances and pump stations
o Move all vital records to the emergency operations post
o Contact contractors, parts shop and mechanics if necessary
• Tornado
(Tornados are difficult to predict and often occur with little or no warning
thus action planning is difficult. However, mitigation actions can be taken prior to
the threat of tornado season to decrease the vulnerability of the system, such as
reinforcing existing structures.) Initiate notification procedures, Section 5.0
• Flood
(Flooding is often a result of heavy rains from hurricanes or severe
thunderstorms thus action planning is similar to that of hurricanes.)
o Initiate notification procedures, Section 5.0
o Stock pile sand to prepare sand bags
o Sandbag critical areas including building entrances and pump stations
o Check all auxiliary and standby equipment to ensure proper function
o Stock sufficient fuel supplies to operate back up equipment for 10 to 14 days

(Earthquakes like tornados are difficult to predict and often occur with little or no
warning thus action planning is difficult.) Initiate notification procedures, Section

Forest or Brush Fires, and Firestorms
(Forest or brush fires and firestorms are more likely a threat during dry weather
or drought conditions. Forest or brush fires can damage water sheds, system
structures, and create water shortages due to firefighting.)

o Fill elevated storage tanks
Other Severe Weather: Lightning, Extreme heat, Heavy Snow or Ice Storms
(Severe weather may create a multitude of hazards including power outages,
equipment damage, and water shortages.)

o Switch to standby power in the event of a power outage
o In the event of heavy snow or ice storms, stock sufficient supplies of chlorine
and other necessary treatment chemicals
• Waterborne Disease

o Follow N.C.D.E.H.N.R. (North Carolina Division of Environmental Health
and Natural Resources) guidelines (i.e. determining if it is a Tier I, II, or III

o Contact Town of Tarboro and The City of Rocky Mount to determine their
drought status and proceed accordingly
o Determine seventy (voluntary or mandatory restrictions) of drought and
implement immediate action

o After repairs have been performed and system is operating at normal
levels, security measures should be analyzed and increased where
necessary
5.0 NOTIFICATION PROCEDURES
In the event of and emergency there are certain procedures that should be followed by all
water system personnel to ensure that the situation is handled appropriately and with as
little risk to public safety as possible. The following is the notification procedure that
should be followed by all Edgecombe County Water and Sewer Department Personnel.
1. First priority is to personnel safety.
2. Phone the first emergency contact listed above (section 2.0 Personnel
Responsible for Emergency Management.) If unavailable, phone next
person on the list until proper notification has occurred.
3. Try to contain or isolate the situation.
4. Analyze type and severity of emergency prior to corrective actions.

5. Notify any residents or customers that may be affected as a result of
the situation. Depending on the area affected, door-to-door
notification, radio, television and newspapers can all be used as a
source of providing information quickly and effectively to the public.
6. Once the problem is resolved, use the same notification procedures as
outlined in step 5. above to inform the public that the situation has
passed and they can resume normal water use procedures.
6.0 EVALUATION OF PRIMARY SYSTEM COMPONENTS
There are certain key components of a water system that keep it operational. This
equipment helps ensure that the quality and quantity of potable water being supplied to its
customers is satisfactory. The following is an overview of the Edgecombe County water
distribution system.
• The Edgecombe County water system is a distribution system that purchases its
water, thru purchase agreements, with the Town of Tarboro and The City of
Rocky Mount. The primary distribution system components include the
following:
o The distribution system is divided into 6 Districts (1, 2, 3, 4, 5 and 6).
o Five (5) Storage tanks totaling 2.3 million gallons of capacity. The
Kingsboro tank is a 1 Million gallon capacity tank. The Bulluck School
Tanks is a 500,000 gallon capacity tank. The Hwy 258 and N. Fountain
Rd. tanks are both 300,000 gallon capacity tanks. Speed Tank is 200,000
gallon capacity.
o Eighteen (18) Sewer Lift Stations. These Stations are labeled as:
Kingsboro Lift Station, Bullock School, West Edgecombe, Hwy 33,
Logsboro, Leggett Main, Leggett Intermediate, Coker-Wimberley, New
Hope, Phillips, In The Curve, Greenwood, Church St., Newton, Carney,
Lakeside, FEMA, Freedom Hill. All of these sites have back up power.
o Four (4) pump stations. These pump stations are equipped with chlorine
and ammonia feed stations. They are located at Hwy 64, Hwy 258, N.
Fountain Rd. and Hwy 43. There will be another station located in
Whitakers once the District 5 project is complete. The Hwy 64 station is
the only one with a back up generator.
