THIS SECOND AMENDMENT TO DECLARATION OF PROTECTIVE
COVENANTS, CONDITIONS, RESTRICTIONS AND RESERVATIONS (the "Second
Amendment") is made as of the f41 day of n MP:7 20h by TDO Land Holding LLC, a
North Carolina limited liability company,
WITNESSETH
WHEREAS, TDO Land Holding LLC, NB Johnson H, LLC and SB Johnson II, LLC
subjected certain property owned by such entities, which property is known as Triad Business
Park Phase I and shown on the plat recorded in Plat Book 175, Page 97 and 98 of the Guilford
County Registry (the "Business Park Property"), to that certain Declaration of Protective
Covenants, Conditions, Restrictions, and Reservations (the "Declaration"), which Declaration
was recorded on September 30, 2008 in Book 6939, Page 2897 of the Guilford County Registry;
WHEREAS, TDO Land Holding LLC ("Declarant") is named as Declarant in the
Declaration;
WHEREAS, pursuant to Section 1.2 of the Declaration, Declarant was permitted to
subject additional property to the provisions of the Declaration at any time or from time to time
as it, in its discretion, may determine;
submitted electronically by "Nexsen Pruet LLC"
in compliance with North Carolina statutes governing recordable documents
and the terms of the submitter agreement with the Guilford County Register of Deeds.

WHEREAS, Section 9.1 of the Declaration provides that the Declaration may be
amended at any time by the Declarant so long as there are "Class A Members" and so long as the
amendment does not further restrict the use of any lot or increase the liability of any lot owner at
the time of such amendment;
WHEREAS, Section 8.1 of the Declaration provides that Declarant is the sole "Class A
Member;"
WHEREAS, the Declaration was amended by that Amendment to Declaration of
Protective Covenants, Conditions, Restrictions and Reservations (the "First Amendment")
recorded on December 31, 2008 in Book 6963, Page 452 of the Guilford County Registry in
order to establish conservation areas on the Business Park Property (the "Conservation Areas");
WHEREAS, Declarant wishes to amend the Declaration in order to modify the
Conservation Areas so that a road can be constructed across part of the Conservation Areas to
allow safe and adequate industrial access to additional property that Declarant wishes to subject
to the Declaration, which property shall be known as "Phase II of the Triad Industrial Park."
NOW THEREFORE, the Declarant, as permitted by the Declaration, does hereby amend
the Declaration as more fully set forth herein:
1. Article 12 of the Declaration is hereby deleted in its entirety and replaced with the
following:
ARTICLE 12: Conservation Area
12.0 The areas shown on the Wetland Delineation Plat as Conservation
Areas as shown on Exhibit A and as described on Exhibit A-1 attached shall be
maintained in perpetuity in their natural or mitigated condition. No person or
entity shall perform any of the following activities on such conservation area:
a. fill, grade, excavate or perform any other land disturbing
activities;
b. cut, mow, burn, remove, or harm any vegetation;
C. construct or place any road, trails, walkways, buildings,
mobile homes, signs, utility poles or towers, or any other
permanent or temporary structures;
d. drain or otherwise disrupt any hydrology or drainage ways
of the conservation area;
e. dump or store soil, trash, or other waste;.

£ graze or water animals, or use for any agricultural or
horticulture purpose.
This covenant in Section 12.0 is intended to ensure continued compliance with the
mitigation condition of a Clean Water Act authorization issued by the United
States of America, U.S. Army Corps of Engineers, Wilmington District, Action
ID SAW -2008-02029, and therefore may be enforced by the United States of
America. This covenant in Section 12.0 is to run with the land, and shall be
binding on the Declarant and all Lot Owners, and all parties claiming under it.
Notwithstanding the provisions of Section 9.1 of this Declaration, this Section
12.0 of the Declaration may not be amended without the express written consent
of the U.S. Army Corps of Engineers, Wilmington District,
