(PCS) requires the recording of a preservation mechanism acceptable to the Corps for the permanent protection of the area identified for preservation in the "South Creek Corridor" plan." PCS staff and outside counsel have worked with Corps of Engineers counsel to reach agreement on the mechanism and the specific language and conditions of the document to fulfill Condition "M". The engineering/surveying firm of Robert M. Chiles, P.E. has surveyed and marked the boundaries of all of the tracts included in the South Creek Corridor Conservation Area, and provided legal descriptions and maps of each tract. This preserved area totals 1,552.24 acres. RECITALS & CONSERVATION PURPOSE A. Declarant owns in fee simple certain real property located in Beaufort County, North Carolina which consists of all of the tracts of land identified as South Creek Corridor Conservation Areas A, B, C, D, E, F, G, H, I, J, K, L, and M: as approximately shown in the Vicinity Map of South Creek Corridor Conservation Areas, dated 9-14-2016 and signed 12/15/16, which is attached as Annex 1 to this Declaration and is incorporated by reference in and is made a part of this Declaration; as also shown on the plats of survey certified by Robert M. Declarant is the Phosphate Division of Potash Corporation of Saskatchewan Inc. and operates the Aurora Mine in Beaufort County, North Carolina; and C. The purpose of this Declaration is to prevent material interference with wetland and/or riparian resources and other natural values ofthe Property and prevent the use or development of the Property for any purpose or in any manner that would materially conflict with the Property's natural condition. As required by Special Condition M of the Department of the Army Permit No. 200110096 issued by the U.S. Army Corps of Engineers (the "Corps") in June 2009 to Potash Corporation of Saskatchewan Phosphate Division, Aurora Mine (the "Permit"), this Declaration is a preservation mechanism acceptable to the Corps for permanent protection of the South Creek Corridor. NOW, THEREFORE Declarant hereby unconditionally and irrevocably declares that the Property shall be held subject to the following restrictions, covenants and conditions as set out herein, to run with the subject real property. ARTICLE I. PROHIBITED AND RESTRICTED ACTIVITIES Any activity on, or use of, the Property inconsistent with the purpose of this Declaration is prohibited. The Property shall be held in its natural, scenic, and open condition and restricted from any development or use that would materially impair or interfere with the conservation purpose of this Declaration set forth above. Without limiting the generality of the foregoing, the following prohibitions of activities and uses and exceptions to prohibitions shall apply to the Property: A. Disturbance ofNatural Features. Material disturbance, alteration or impairment of the natural features of the Property and introduction of non-native plants or animal species are prohibited. Activities on or in the Property that do not materially disturb the natural features of the Property and are therefore not prohibited include (by example and not by way of limitation): recreational uses such as hunting, bird -watching, canoeing, fishing, hiking, or limited tent camping; educational uses; scientific research uses; use and maintenance of the following existing features: signs, easements, rights-of-way, utility lines, ditches, hunting blinds, trails, roads, and landings; and wildfire suppression, management, or control. B. Construction. There shall be no constructing or placing of any building, mobile BN 1939PG313 home, asphalt or concrete pavement, billboard or other advertising display, antenna, utility pole, tower, conduit, line, pier, landing, dock or any other temporary or permanent structure or facility on or above the Property, except as necessary for use and maintenance of the following existing features: signs, utility lines, easements, rights-of-way, trails, roads, ditches, and landings. Temporary placement of one -hunter or two -hunter hunting blinds for a period not to exceed the length of one hunting season is not prohibited. C. Industrial. Commercial and Residential Use. Industrial, residential and commercial activities, including any right of passage for such purposes are prohibited, except as required for wildfire suppression, management, or control and for use and maintenance of the following existing features: signs, utility lines, easements, rights-of-way, trails, roads, ditches, and landings. D. Agricultural. Grazing and Horticultural Use. Agricultural, grazing, animal husbandry, and horticultural uses of the Property are prohibited, except as required to suppress, manage, and control wildfire and to use and maintain the following existing features: signs, utility lines, easements, rights-of-way, trails, roads, ditches, and landings. E. Vegetation. There shall be no removal, burning, destruction, harming, cutting or mowing of trees, shrubs, or other vegetation on the Property, except as required to suppress, manage, and control wildfire and to maintain the following existing features: signs, utility lines, easements, rights-of-way, trails, roads, ditches, and landings. F. Roads and Trails. There shall be no construction of roads, trails or walkways on the property. However, maintenance of existing roads, trails, and walkways is authorized. G. Signage. No signs shall be permitted on or over the Property, except the posting ofno trespassing signs, signs identifying the conservation values of the Property, signs giving directions or prescribing rules and regulations for the use of the Property and/or signs identifying the Declarant as owner of the property. H. Dumping or Storage. Dumping or storage of soil, trash, ashes, garbage, waste, abandoned vehicles, appliances, machinery, or toxic or hazardous waste, or any placement of underground or aboveground storage tanks, or any discharge of a hazardous substance in violation of Clean Water Act Section 311, 33 USC § 1321, on the Property is prohibited. I. Excavation. Dredging or Mineral Use. There shall be no grading, filling, excavation, dredging, mining, or drilling, and no removal of topsoil, sand, gravel, rock, peat, minerals or other materials, and no activity that causes material change in the topography of the land on the Property except as required to restore natural topography or drainage patterns, to suppress, manage, and control wildfire, or to use and maintain the following existing features: signs, utility lines, easements, rights-of-way, trails, roads, ditches, and landings. BK 1939PG314 J. Water Quality and Drainage Pattern. There shall be no diking, draining, dredging, channeling, filling, leveling, pumping, impounding or related activities, and no altering or tampering with water control structures or devices, and no disruption or alteration of the restored, enhanced, or created drainage patterns, except as required to suppress, manage, and control wildfire and to maintain the following existing features: signs, utility lines, easements, rights-of-way, trails, roads, ditches, and landings. In addition, the following are prohibited: diverting or causing or permitting the diversion of surface or underground water into, within or out of the Property by any means, unless required for wildfire suppression, management, or control; removal of wetlands; polluting or discharging of pollutants into waters, springs, seeps, or wetlands; or use of pesticide or biocides. K. Vehicles. The operation of mechanized vehicles, including, but not limited to, motorcycles, dirt bikes, all -terrain vehicles, cars and trucks is prohibited, except: on existing roads; as authorized by existing easements and rights-of-way; as required to use and maintain existing signs, utility lines, easements, rights-of-way, trails, roads, ditches, and landings; as required to suppress, manage, and control wildfire; and as required to provide access for disabled persons. L. Other Prohibitions. Any other use of or activity on the Property that is not otherwise addressed by this Declaration and is inconsistent with the purpose of this grant as stated in Recital C is prohibited. M. Drainage District. None of the provisions of this instrument control, restrict, or otherwise regulate any activities of the South Creek Drainage District, a political subdivision of the State of North Carolina, or its governing body, the Board of Commissioners of the South Creek Drainage District. ARTICLE H. ENFORCEMENT & REMEDIES A. This Declaration is intended to ensure continued compliance with the mitigation condition of authorizations issued by the United States of America, U.S. Army Corps of Engineers, Wilmington District, and therefore may be enforced by the United States of America. This covenant is to run with the land and shall be binding on all parties and all persons claiming under Declarant. B. Corps, its employees and agents and its successors and assigns, have the right, with reasonable notice, to enter the Property at reasonable times for the purpose of inspecting the Property to determine whether Declarant, Declarants representatives, or assigns are complying with the terms, conditions and restrictions of this Declaration. C. Nothing contained in this Declaration shall be construed to entitle Corps to bring any action against Declarant for any injury or change in the Property caused by third parties, resulting from causes beyond Declarant's control, including, without limitation, fire, flood, storm, and earth movement, or from any prudent action taken in good faith by Declarant under emergency conditions to prevent, abate, or mitigate significant injury to life, damage to property or harm to property resulting from such causes. BK 1939PG315 ARTICLE III. NO PUBLIC ACCESS A. This Declaration does not convey to the public the right to enter the Property for any purpose whatsoever. ARTICLE IV. DOCUMENTATION AND TITLE A. Property Condition. Declarant represents and acknowledges to the best of its knowledge after appropriate inquiry and investigation consisting of personnel reviewing aerial photography and viewing the Property from vehicles travelling on roads located on or adjacent to the Property (the "Inquiry and Investigation") that the Property is currently undeveloped land with no improvements other than utility lines, rights of way, trails, roads, ditches, landings, signs, and hunting blinds. B. Title. Declarant covenants and represents that Declarant is the sole owner and is seized of the Property in fee simple and has the right to make this Declaration. ARTICLE V. MISCELLANEOUS A. Conservation Purpose. Declarant, for itself, its successors and assigns, agrees that this Property shall be held exclusively for the conservation purpose stated in the Recitals & Conservation Purpose and activities that do not materially disturb natural features including (by example and not by way of limitation): recreational uses such as hunting, bird -watching, canoeing, fishing, hiking, or limited tent camping; educational uses; scientific research uses; use and maintenance of existing signs, utility lines, easements, rights-of-way, trails, roads, ditches, and landings; and wildfire suppression, management, or control. B. Entire Agreement. This instrument sets forth the entire agreement ofthe parties with respect to the Declaration and supersedes all prior discussions, negotiations, understandings or agreements relating to the Declaration. If any provision is found to be invalid, the remainder of the provisions of this Declaration, and the application of such provision to persons or circumstances other than those as to which it is found to be invalid, shall not be affected thereby. C. Recording. Declarant shall record this instrument and any amendment hereto in timely fashion in the official records of Beaufort County, North Carolina and may re-record this instrument and any amendment at any time. D. Environmental Condition of Property. Declarant warrants and represents that to the best of its knowledge after appropriate inquiry and investigation consisting of the Inquiry and Investigation: (a) as of the date of the Inquiry and Investigation, the Property described herein is in substantial compliance with all federal, state and local environmental laws and regulations; and (b) as of the date of the Inquiry and Investigation, there are no hazardous materials or wastes (including, BH 1939PG316 without limitation, any materials containing asbestos) located on, in or under the Property the presence of which on the Property would constitute material violations of law; and (c) as of the date of the Inquiry and Investigation, there is no environmental condition existing on the Property that prevents or materially impedes use of the Property for the purpose set forth in the Recitals & Conservation Purpose.
