This AMENDMENT TO DECLARATION OF PROTECTIVE COVENANTS
FOR THE VILLAGES AT TURTLE CREEK (this "Amendment") is made this 30c' day of
2008 by DCNC NORTH CAROLINA I, L.L.C., a North Carolina
limited liability company ("DECLARANT").
WITNESSETH:
WHEREAS, the DECLARANT heretofore executed that certain Master
Declaration of Protective Covenants for The Villages at Turtle Creek and caused the same to be
recorded in Book 3029, Page 10, et seq., in the Pender County Registry (as heretofore and
hereafter amended from time to time, the "Protective Covenants");
WHEREAS, in Article 16 of the Protective Covenants, the DECLARANT
subjected portions of the Property defined in Section 1.11 as the "Conservation Area" to certain
rules and regulations in order to ensure continued compliance with the mitigation condition of a
Clean Water Act authorization issued by the United States of America, U.S. Army Corps of
Engineers, Wilmington District, Action ID;
WHEREAS, in Section 16.3 of the Protective Covenants, the DECLARANT
reserved the right to amend Article 16 and/or Section 1.11 of the Protective Covenants and
subject the Property to additional restrictions, subject to the express written consent of the U.S.
Army Corps of Engineers, Wilmington District, or its successor;
NOW THEREFORE, in accordance with its rights under Article 16 of the
Protective Covenants, the DECLARANT does hereby amend the Protective Covenants as follows:
1. Section 1.11 is hereby deleted in its entirety and is replaced with the
following text:
"1.11 "Conservation Area": All of those areas within The Villages at Turtle Creek which have
been identified as jurisdictional wetlands by the U.S. Army Corps of Engineers Action ID No.
200600208 and designated as "Conservation Area" on those plan sheets entitled "Proposed
Individual Permit Site Plan Wetland Conservation Areas and Impacts from Road Crossings"
(sheet C.1.1) and "Proposed Individual Permit Site Plan Wetland Conservation Areas and
Boundary Distances" (sheets C.1.2, C.1.3 and C.1.4), all dated February 2, 2007 and last revised
March 24, 2008, which plan sheets are attached hereto as Exhibit D. The Conservation Area is
located on a portion of certain Units and/or Common Area within The Villages at Turtle Creek.
The Conservation Area may be amended as provided in ARTICLE 16. The Conservation Area
shall be maintained and preserved in its natural or mitigated condition, pursuant to a Clean Water
Act authorization issued by the United States of America, U.S. Army Corps of Engineers,
Wilmington District, Action ID, as further set forth in ARTICLE 16."

2. Section 16.1(b) is hereby deleted in its entirety and is replaced with the
following text:
"(b) except for necessary manual operations, cut, mow, burn, remove, or harm any vegetation
(provided however, activities necessary for fire suppression, removal of hurricane, storm
and flood damage and debris, or removal of material for disease control shall be
allowed)"
3. DECLARANT, being the owner or having all of the rights in and to the Property,
hereby declares that the Property shall be held, sold, and conveyed subject to the Protective
Covenants, as amended herein, which covenants shall run with title to the Property and shall be
binding on all parties having any right, title, or interest in the described Property or any part
thereof, and shall inure to the benefit of each owner thereof.
EXCEPT AS AMENDED HEREIN, the Protective Covenants shall be and remain in full
force and effect.
