MINUTES OF ANNUAL MEETING
OF DIRECTORS OF
SOUTHWOOD REALTY COMPANY
Gastonia, North Carolina
January 31, 2012
This being the time and place for the 2012 annual meeting of the directors of
Southwood Realty Company and all of the directors having waived notice of the annual
directors meeting, but all are in fact present at this annual directors meeting. Said
waiver is adopted as a part of these minutes.
By unanimous vote Herman E. Ratchford. Jr. was elected Chairman of the
meeting and Chairman of the Board of Directors. Herman E. Ratchford, Jr. was also
elected President of the corporation.
By unanimous vote Dan W. Ratchford, was elected Vice President and Secretary
of the corporation.
By unanimous vote Herman E. Ratchford, Jr. was elected Treasurer of the
corporation.
By unanimous vote William Ratchford was elected Asst. Vice-President of the
corporation.
By unanimous vote Katie Ratchford was elected Asst. Secretary of the
corporation.
By unanimous vote the President was directed to take charge of and continue
the business of the corporation and to spend money as he deemed necessary.
There being no further business, the meeting was adjourned.
