Transfer Agreement
This Transfer Agreement ("Agreement") is made and entered into as of the 1st day of
April, 2016 by and between Marathon Petroleum Company LP and MPLX Terminals LLC in order to effect
a transfer of NC0027006 (the "Permit") and the responsibility, coverage, and liability thereunder from
Marathon Petroleum Company LP to MPLX Terminals LLC.
MPLX Terminals LLC certifies that there will be no operational changes that warrant modification to the
Permit.
The transfer contemplated in this Agreement will become effective on April 1, 2016, and on such date
MPLX Terminals LLC agrees to assume the responsibility, coverage, and liability of the Permit and
Marathon Petroleum Company LP agrees to relinquish all rights which it may have under said Permit.

SUBJECT: Marathon Petroleum Company LP
Selma Terminal
NPDES Permit NC0027006 (Change of Name/Ownership)
This letter is to inform you that Marathon Petroleum Company LP is transferring certain assets to an
affiliate which will own and operate the facility. This includes the Selma Terminal, located at
2555 West Oak Street, Selma, North Carolina, 27576, for which the agency has granted coverage under
NPDES Permit NC0027006, dated November 1, 2013 ("Permit"). Effective April 1, 2016, the new
owner and permittee of the terminal will be MPLX Terminals LLC ("MPLX Terminals") whose
corporate office is located at 539 South Main Street, Findlay, Ohio, 45840. The facility name will be
"MPLX Terminals LLC—Selma Terminal." This change is not associated with any change in the
permitted discharge.
The new owner and operator of the terminal may obtain coverage under the permit in accordance with
Section E, Condition 4 of the Permit. By submitting this letter, enclosed Permit Name/Ownership
Change Form, and legal documentation of the transfer of ownership, MPLX Terminals respectfully
requests that the North Carolina Department of Environment and Natural Resources approve the transfer
of the Permit, from MPC to MPLX Terminals, effective as of April 1, 2016.
