The perpetual right of way and easement and right to flood and inundate by waters from the Narrows Reservoir and the Yadkin River and its tributaries all of the real property conveyed by this instrument lying south of the northern boundary line of Tract No. I on the west side of the Narrows Reservoir as shown on the aforesaid plat recorded in Plat Book 5, Page 21, Stanly County Registry, up to and including the contour at elevation 546 feet, APGI datum; 3. As further consideration for the conveyance of the real property described hereinabove, it is expressly understood and agreed that part of said real property is located in close proximity to the Narrows Reservoir and part of said real property crosses portions of the Narrows Reservoir and that said parts of said real property shall be subject to the natural variations caused by the rise and fall in the Yadkin River and its tributaries, and subject further to such rise and fall as the operation of APGI's hydro -electric power developments on the Yadkin River now constructed, or that hereafter may be constructed, may make necessary or desirable; and ALCOA INC, hereby covenants to and with APGI and ALCOA INC. hereby does indemnify, hold harmless, absolve, acquit and release APGI from any and all claims and/or liabilities for injury (including death) to the person and/or damage to the property, either real or personal, of ALCOA INC., or those claiming through or under ALCOA INC., arising from such rise and fall or from flooding to any elevation of any of the real property described hereinabove in this deed; 4. A perpetual right of way and easement 68 feet in width, being 34 feet on either side of the centerline as presently located of the 100 KV transmission line from the High Rock Power Plant as it crosses these parcels, said right of way and easement being for the operation and maintenance of a line or lines for the transmission of electricity and for telephone use with the right to inspect, maintain, repair, replace, modify and/or change said line or lines and the towers, poles, crossarms, insulators, structures, and all appliances, fixtures, apparatus, equipment, and property constituting such electrical transmission line and also the telephone line, and also reserving to APGI title to the towers, poles, crossarms, wires, and all other fixtures and appliances constituting this electrical transmission line and also the telephone line, and the right (but not the obligation) to control vegetation in said right of way and easement area, such control to include, but is not limited to, cutting trees, trimming branches, spraying herbicides and removing vegetative growth. 5. The right to cross, re -cross and parallel the parcels of real property hereinabove described either by going over said parcels of real property or across said parcels of real property or under said parcels of real property at such places as APGI may select with sewer pipes and mains, gas pipes and mains, water pipes and mains, drainage ditches,- culverts, conduits, telegraph and telephone lines, fibre optic lines and other telecommunication lines and lines for the transmission of electric power and for ingress, egress and regress to APGI's real property and in all other ways reasonably necessary for the transaction of the business of APGI, and the right to inspect, maintain, repair, replace, modify and/or change all of the aforementioned and the right and easement to go upon the real property hereinabove described as necessary to carry out all rights set forth in this document; 7. The right, but not the obligation, to repair and/or maintain and/or keep clear and/or remove blockages from any culverts and/or conduits which cross through or under the real property herein conveyed; 8. The right, but not the obligation, to repair and/or maintain any causeways and/or trestles and/or bridges which are located in and/or on the real property herein conveyed. Without limiting or being limited by any of the foregoing and notwithstanding anything to the contrary contained herein, ALCOA INC. shall not use or permit the use of the property herein conveyed in any manner which would constitute a non de minimis disturbance of APGI's lawful operation of the Yadkin hydroelectric project, operated under license for Project No. 2197 granted by the Federal Energy Regulatory Commission (or its predecessor agency in administering the Federal Power Act) under the Federal Power Act on May 19, 1958, as amended or renewed and including any new permanent license issued by the Federal Energy Regulatory Commission (or its successor agency in administering the Federal Power Act) in respect of such project, including, without limitation, ALCOA INC.'s use and operation of those transmission facilities owned by APGI and used to transmit electric power from the 39.6 MW hydroelectric generating facility located on the Yadkin River in Davidson and Rowan Counties, North Carolina to the 110 substation in Badin, North Carolina and APGI hereby reserves all rights as required to operate such project. PARCEL ONE, PARCEL TWO and PARCEL THREE conveyed herein are subject to such interests, if any, as other parties may now have under, by virtue of or pursuant to the following: 1. Unrecorded lease agreement dated May 7, 1904, between The Whitney Company and Southern Railway Company, if still applicable; 2. The right of way granted and conveyed to Southern Railway Company by an instrument executed by The Whitney Company dated March 27, 1905, and recorded in Deed Book 32, Page 457, Stanly County Registry, if still applicable; 3. The right of way, rights, privileges and easements granted to the Winston-Salem Southbound Railway by virtue of that federal court consent decree dated April 29, 1910, as recorded in Deed Book 38, Page 337, Stanly County Registry, and as recorded in Deed Book 51, Page 337, Montgomery County Registry; 4.
