Neuse River Basin
The Old Savannah Nutrient Offset and Buffer Mitigation Bank Parcel (Parcel) is proposed under the
terms and conditions of the Old Savannah Nutrient Offset and Buffer Mitigation Banking Instrument
(MBI), made and entered into by Wildlands Holdings II, LLC, acting as Bank Sponsor(Sponsor), and the
North Carolina Department of Environmental Quality—Division of Water Resources (DWR) on October
24, 2016. The Parcel shall be planned and designed according to the MBI, 15A NCAC 02B .0240, and the
Consolidated Buffer Mitigation Rule 15A NCAC 0213 .0295, which became effective on November 1,
2015.
The project encompasses land along unnamed tributaries to Mill Creek in Johnston County, NC. One
purpose of the Bank is to provide riparian buffer mitigation credits to compensate for unavoidable
buffer impacts in the 03020201 Hydrologic Unit Code (HUC) of the Neuse River Basin.The second
purpose of the Bank is to provide nutrient offset credits for stormwater requirements with new and
existing development requiring nutrient offsets within the 03020201 HUC, excluding Falls Lake
Watershed. Bank service areas are depicted in Figure 1.
1.0 Project Location and Description
1.1 Introduction
The Parcel involves restoring riparian buffers and other riparian areas adjacent to streams and ditches
onsite in order to help reduce non-point source contaminant discharges to downstream waters in the
Neuse River Basin. Approximately 33.3 acres will be protected with a permanent conservation
easement. Out of the 33.3 acres, 14.1 acres will be restored for Neuse riparian buffer credit, 0.3 acres
will be preserved for Neuse riparian buffer credit, and 12.1 acres (27,503.55 lbs.- N) of riparian areas will
be restored for nutrient offset credit. No credit will be generated on 6.8 acres (0.1 acre of ditch, 1.5
acres of stream, and 5.2 acres does not qualify for mitigation credit due to distance from project
features).
In general, riparian buffer restoration area widths on streams will extend out to 100 feet from the top of
bank for Neuse buffer credits and out to 200 feet for nutrient offset credits. Nutrient offset credits will
also extend from top of bank on ditches out to 200 feet.
1.2 Parcel Location
The Parcel is located in central Johnston County, approximately four miles east of the City of Dunn
(35.3032000 N, 78.5154000 W).To get to the site traveling east on US Hwy 40 from Raleigh,
approximately 4.5 miles past the intersection with US Hwy 95,turn right onto Woods Crossroads Road.
Travel an additional 4.5 miles and turn left onto to Hay Barn Road.The site can be accessed by a
driveway 0.2 miles down Hay Barn Road on the left (Figure 2).
2.0 Project Area - Existing Conditions
2.1 Parcel Features
The Parcel is located in a rural watershed within the Neuse River Basin (HUC 03020201) and within sub-
basin 03-04-04. Current land use conditions on and around the project include row crop agriculture and
pasture. The project includes restoring riparian areas along four unnamed tributaries (Features A, B, D,

and E) and one ditch (Feature C) as shown on Figure 3. Features B, D, and E flow into Feature A which
then flows into an unnamed tributary off-site.The system ultimately flows into Mill Creek,which is
classified as Nutrient Sensitive Waters by the North Carolina Division of Water Resources (DWR).
DWR performed a stream determination on the Parcel which is documented in a Stream Determination
Letter dated May 6, 2015. Per the letter, Features A, B, D, and E are classified as intermittent streams
and are subject to the Neuse buffer rules. Feature C is classified as a ditch (Appendix).
DWR visited the Parcel on April 20, 2016 to assess the site's viability for riparian buffer mitigation and
nutrient offset. The results are documented in a Site Viability Letter dated June 4, 2015 (Appendix). Per
the letter, Features A, B, D and E are viable for riparian restoration and suitable for either buffer
mitigation or nutrient offset credits. Feature C is viable for nutrient offset credit only.
Photos showing site conditions of the Parcel at the time the BPDP was submitted are provided in the
Appendix.
2.2 Parcel Soils
The soils in the proposed project area are mapped by the 1994 Johnston County Soil Survey.There are
three main soil types on the site: Goldsboro sandy loam (GoA), Pantego loam (Pn), and Rains sandy loam
(Ra).These soils are described below in Table 1. Figure 4 depicts the soil survey overlain with site
streams.

2. 3 Existing Vegetative Communities
The Parcel consists primarily of open agricultural fields currently in row crop production. Recent crops
include corn, soybean,tobacco, sweet potatoes, and wheat. Streams, ditches, and other stormwater
conveyances on the Parcel have little to no existing riparian buffer and most of the riparian areas are
mowed annually.
Narrow existing buffers, ranging from 20 feet to 30 feet in width are located along the left bank of
Feature D and the right bank of Feature E (Areas A and B respectively on Figures 5 and 6). There is also a
narrow forest fringe of approximately 5 feet in width on the left bank of Feature A downstream of
Feature C(Area C on Figure 5)which will be preserved and excluded from the creditable acreages.The

existing buffers and forested areas adjacent to the Parcel consist primarily of water oak(Quercus nigra),
willow oak (Quercus phellos), red maple (Acer rubrum), sweetgum (Liquidambarstyraciflua), Black gum
(Nyssa sylvatica), loblolly pine (Pinus taeda), and persimmon (Diospyros virginica).The forested areas
along the boundary of the project were assessed for existing vegetation conditions on July 17, 2015.This
forested area is generally characterized as a Coastal Plain Small Stream Swamp, according to the North
Carolina Natural Heritage Program (NHP) classification system (Schafale, 2012).
2.4 Threatened and Endangered Species
The US Fish and Wildlife Service (USFWS) database was searched for federally listed threatened and
endangered plant and animal species for Johnston County, NC. Five federally listed species are currently
listed in Johnston County (Table 2).

A pedestrian survey of the Parcel was performed on April 20, 2015. On-site habitats include agricultural
row crop fields and early successional woodlands. Active runoff from adjacent agriculture fields and
sedimentation degrades any potential on-site stream habitat for the Tar River spinymussel and the
dwarf wedgemussel. The maintained clearings are routinely cut to the herbaceous strata, eliminating
potential on-site habitat for Michaux's sumac.The red-cockaded woodpecker requires 60+year old pine
trees, and bald eagles require tall, mature trees for nesting and breeding, neither of which exist on the
Parcel. Potential suitable feeding habitat for bald eagles may exist on the Parcel due to the proximity of
the Parcel to Mill Creek. The pedestrian survey revealed no individual federally threatened or
endangered species.
2.5 Cultural Resources
Review and comment from the State Historic Preservation Office (SHPO)with respect to any
archeological and architectural resources related to the Parcel was requested on June 5, 2015. SHPO
responded on June 30, 2015 and stated they"are aware of no historic resources which would be
affected by the project". All correspondence is included in the Appendix.

2.6 Environmental Issues
An Environmental Data Resources, Inc. (EDR) Radius Map Report with Geocheck was ordered for the
Parcel through EDR on June 5, 2015. Neither the target property nor the adjacent properties were listed
in any of the Federal, State, or Tribal environmental databases searched by EDR.There are no known or
potential hazardous waste sites identified within one mile of the project area.The executive summary of
the EDR report is included in the Appendix.
2.7 FEMA/Floodplain
The Parcel is not located within the Federal Emergency Management Associations' (FEMA) designated
floodway or approximate 100-year flood boundary. No floodplain impacts associated with the Parcel are
anticipated.
2.8 Site Restraints
The Atlantic Coast Pipeline (ACP) has plans to construct a pipeline on property adjacent to the Parcel. At
one time ACP had considered an alignment through the Parcel, but the route has been modified so that
the Bank Parcel will not be affected by construction of the new pipeline. Documentation from ACP,
including an email from the Right of Way representative for the pipeline project and a map showing the
previous pipeline route and the new, final route and study area is included in the Appendix. The
proposed pipeline is located on the adjacent property to the south of the Parcel. There is a small section
of study area for the pipeline on the Bank Parcel, but this study area is outside of the mitigation
credit/conservation easement area.
3.0 Proposed Neuse Buffer and Nutrient Offset Restoration Plan
Actions required to develop the Parcel for mitigation will require converting current land use practices
into a native hardwood forest. The Neuse buffers (Top of Bank-50') and the nutrient offset riparian
restoration areas (51'-200') will involve the planting of at least 4 species of native hardwood tree.
Vegetation management and herbicide applications may be needed during the first year of tree
establishment in the restoration areas to prevent establishment of invasive species that could out-
compete the planted native species. More detailed descriptions of the proposed restoration activity
follow in Sections 3.1 and 3.2.
3.1 Parcel Preparation
The majority of the Parcel slated for riparian restoration efforts has been maintained as a cleared
agricultural field. Little site preparation other than select herbicide treatments or limited mechanical
clearing to remove undesirable underbrush prior to planting will be required. Fencing will be installed in
areas where pasture is the current land use,to keep cattle and other livestock out of the streams and
riparian restoration areas. There is a pipe in place on Feature B which will be removed during
construction of the project, to ensure diffuse flow is maintained. The restoration area will be hand
planted using dibble bars or other acceptable forestry practices. Site preparation and planting is planned
to begin in January 2017.
As part of the parcel preparation, one small in-line agricultural surface water impoundment, located
downstream on Feature A, will be removed in order to allow for stable stream channels to be
constructed and for that area to qualify for buffer restoration credit. All appropriate permits will be
acquired before any earthwork is performed on the pond and stream. Confirmation of permits obtained
for this project will be provided in the As-Built Report.

3.2 Planting
The revegetation plan for the Parcel includes planting bare root trees and controlling invasive species
growth. Bare root trees selected for the Parcel are native, bottomland, hardwood species typical for
Coastal Plain Small Stream Swamp communities (Table 3). Trees will be planted at a density sufficient to
meet the MBI defined five-year success criteria of 260 trees per acre. An appropriate seed mix will also
be applied to provide temporary ground cover for soil stabilization and reduction of sediment loss
during rain events. Planting is scheduled for January 2017.

"Character Trees" are defined as planted or volunteer species identified from a survey of local
vegetation on less degraded sections of the specified stream and from reference literature that details
native species.Table 4 provides a list of Character Tree species other than the species specified for
planting. Loblolly pines will not be considered towards success criteria and will be managed accordingly
if volunteers become overpopulated in areas and are expected to out-compete hardwoods.

4.0 Monitoring and Maintenance Plan
4.1 Monitoring Protocol
Permanent vegetation monitoring plots will be installed and evaluated within the restoration areas to
measure the survival of the planted trees. The number of monitoring quadrants required was
determined in accordance with the Carolina Vegetative Sampling Protocol (CVS) Levels 1 & 2. A total of
23 plots will be established within the credit generation area. The size of individual quadrants will be
100 square meters for woody tree species and shrubs. Vegetation assessments will be conducted
following the Carolina Vegetation Survey (CVS) Level 2 Protocol for Recording Vegetation (2008). A
reference photo will be taken from the southwestern corner of each plot. Photos will be taken from all
photo points each monitoring year and provided in the annual reports. All planted stems will be marked
with flagging tape and recorded.
The first annual monitoring activities will commence at the end of the first growing season, at least five
months after planting has been completed. Species composition, density, and survival rates will be
evaluated on an annual basis by plot and for the entire site. The Sponsor shall submit to DWR an annual
monitoring report, no later than December 31"of each year, for five consecutive years and will follow
the terms and conditions of the MBI. Success criteria within the Neuse buffer and nutrient offset
restoration areas will be based on the survival of a minimum density of 260 planted stems per acre after
five years of monitoring.
4.2 Parcel Maintenance
Adaptive measures will be developed or appropriate remedial actions will be implemented in the event
that the Parcel or a specific component of the Parcel fails to achieve the success criteria outlined in
Section 4.1. Site maintenance will be performed to correct any identified problems on the Parcel that
have a high likelihood of affecting project success. Such items include, but are not limited to, excess tree
mortality caused by fire,flooding, drought, or insects. Any actions implemented will be designed to
achieve the success criteria and will include a work schedule and updated monitoring criteria. Any parcel
maintenance performed will be included in the monitoring report for that year. A rigorous herbicide
schedule will need to be implemented over the first year of tree establishment in the restoration areas
to prevent establishment of invasive species that may compete with the planted native vegetation. The
only herbicides used on the Parcel will be aquatic approved herbicides and will be applied in accordance
with North Carolina Department of Agriculture rules and regulations. The easement boundary will be

checked annually as part of monitoring activities and the conditions as well as any maintenance
performed will be reported in the annual monitoring reports to NC DWR.
If mowing is deemed necessary by the Sponsor during the monitoring period, the Sponsor must receive
approval by the DWR prior to any mowing activities within Zone 1 and Zone 2 of the Neuse buffers to
ensure that no buffer violations have been performed. Failure to receive approval prior to mowing
activities within the Neuse buffer as defined in 15A NCAC 02B .0233 by the DWR, could result in Neuse
buffer violations and violations of the conservation easement. If necessary, the Sponsor will develop a
species-specific control plan.
4.3 Easement Boundaries and Fencing
Easement boundaries will be identified in the field to ensure clear distinction between the Parcel and
adjacent properties. Boundaries may be identified by cattle fence, marker, bollard, post, tree-blazing, or
other means as allowed by site conditions and/or conservation easement. Boundary markers disturbed,
damaged, or destroyed will be repaired and/or replaced on an as needed basis.
5.0 Financial Assurance
Following approval of the Old Savannah Bank Parcel BPDP,the Sponsor shall provide a Performance
Bond from a surety that is rated no less than an "A-"as rated by A.M. Best.The Performance Bond
amount shall be 100%of the estimated cost for project implementation as described in the approved
BPDP, but not less than $150,000. In lieu of posting the performance bond,the Sponsor may elect to
construct the project prior to the first credit release. In that case, no performance bond will be
necessary.
After completion of the restoration/construction, a separate Performance/Maintenance Bond will be
secured for 100%of the estimated cost to implement the monitoring and maintenance plan but not less
than $100,000.The Performance/Maintenance Bond shall apply at the inception of the monitoring
period for a term of one year,to be extended annually for a minimum of five years. Upon DWR
approval,this may be lowered each year based on the adjusted cost to complete Parcel monitoring.
Performance bonds for monitoring shall be renewed to cover the next years monitoring period,with
confirmation of renewal provided to DWR with each annual monitoring report when applicable. DWR
reserves the right to alter the credit release schedule if monitoring reports are submitted without proof
of bond renewals when applicable.
6.0 Mitigation Potential
Approximately 33.3 acres of land will be protected with a permanent conservation easement. Out of the
33.3 acres, 14.1 acres will be restored for Neuse riparian buffer credit, 0.3 acres will be preserved for
Neuse riparian buffer credit, and 12.1 acres will be restored for nutrient offset credit (Figure 5). No
credit will be generated on 6.8 acres (0.1 acre of ditch, 1.5 acres of stream, and 5.2 acres do not qualify
for mitigation credit due to distance from project features).The Old Savannah Parcel will generate a
total of 27,503.55 lbs. N of nutrient offset credits.Additionally, it will generate 615,284 ft'of Neuse
buffer credits. Credit generating mitigation activities per drainage feature are outlined in Table 5.
The Sponsor may use the 14.1 acres for either Neuse buffer credits or nutrient offset credits, but not
both.The Sponsor must request and receive approval from DWR prior to any credit conversions and
transfers to the credit ledgers. With each conversion and transfer request submitted to the DWR,the
Sponsor will provide all updated credit ledgers showing all transactions that have occurred up to the
date of the request. Buffer preservation credits cannot be converted into Nutrient offset credits.

The Sponsor will maintain 3 credit ledgers. One to account for buffer Preservation credits, one to
account for buffer Restoration credits, and one to account for Nitrogen nutrient offset credits. Overall
credit generation by drainage feature is detailed in Table S.The total credit generation is summarized in
Table 6.

Dear Mr. Hutton,
On April 15, 2015, Katie Merritt, with the Division of Water Resources (DWR), received a request from
Wildlands Holdings Il, LLC(WHII)for a site visit near the above-referenced site to determine the potential
for nutrient offset and Neuse riparian buffer mitigation. On April 20, 2015, Ms. Merritt performed a site
assessment of the subject site, which is more accurately described in the attached topo map. if approved,
mitigating this property could provide riparian buffer credits and/or nutrient offset credits within the Neuse
River Basin, 8-digit Hydrologic Unit Code 03020201, with the exception of the Falls Lake Watershed. 'Please
note, that if WHII chooses to apply 15A NCAC 02B .0295 (Rule .0295) towards its buffer mitigation,WHII will
have to submit a Mitigation Banking Instrument (MBI) specific for this site. The existing Neuse Umbrella
Mitigation Banking Instrument is not compatible for use of the temporary Reale .0295 for buffer mitigation.
Ms. Merritt's evaluation of the property for buffer and nutrient offset mitigation is shown below:
Barefoot Property
* Streams onsite are unnamed tributaries that drain offsite into Jumping Run Creek.
■ Features A, B, D, and E,as shown on the attached topo map, were determined by DWR staff from
the Raleigh Regional Office to be at least intermittent streams and are all subject to the Neuse
buffer reales. These features were determined onsite to be viable for riparian buffer restoration and
suitable for Neuse buffer mitigation credit. A stream buffer determination letter was issued for the
subject site by the DWR Raleigh Regional Office on May 6, 2015.
+ Land Uses adjacent to features A, B, D, and E are active row crop or pasture. Riparian restoration
along these features is viable for nutrient offset credits. Buffer mitigation and nutrient offset
cannot be proposed within the same square feet.
* Prior to Feature B being restored, the underground pipe in Zone 1 must be removed as to ensnare
diffuse flow is maintained. Feature B ends at the confluence of the drainage feature near the road
crossing.

* Feature G was determined to be a perennial stream. This feature was located offsite
* Feature H was determined to be a stormwater conveyance, but its viability for nutrient offset credit
was not discussed. Additional information must be provided to make that determination.
A map showing the project site and the features is provided and signed by Ms. Merritt on June 2,2015. For
any areas depicted as not being viable for nutrient offset credit above, Wl could propose a different
measure, along with supporting calculations and sufficient detail to support estimates of load reduction, for
review by the DWR to determine viability for nutrient offset according to 15A NCAC 02B .0240. Alternative
buffer mitigation options may be proposed under 15A NCAC 02B .0295 (m).

any historic properties or cultural resources within the referenced project area. The project is located
on Hay Barns Road,just south of Woods Crossroads Rd.The attached USGS Site Map (Dunn USGS 7.5
minute topographic quadrangle) illustrates the approximate location of the project area.
This project is located within a rural agricultural area with adjacent forested areas. The purpose of this
project is to add to the WEI—Neuse 01 Umbrella Mitigation Bank. Construction of this project will result
in the replanting and establishment of native riparian buffer species. No impacts to on-site Jurisdictional
Waters of U.S.will occur as a result of this project.

Allison,
Please see the chain of emails below regarding the North Carolina Division of Water Resources' approval
of our Old Savannah mitigation bank on the former Donnie Barefoot property(Johnston County, NC PID:
1F1304B) which was a risk of the Atlantic Coast Pipeline crossing.
At NC DWR's request,the purpose of this email is to formally notify the Atlantic Coast Pipeline that
Wildlands is proceeding with placing the conservation easement upon the property and opening
NCDWR approved nutrient offset and riparian buffer mitigation bank. If the route is changed back
where it requires condemnation of a portion of the property it will cancel out credits issued to the bank
making the condemnation process substantially more expensive and difficult.
Katie Merritt at NCDWR is asking for a clear statement from you confirming that the pipeline is being re-
routed to avoid our Old Savannah mitigation bank on Parcel ID 1F1304B and will not impact our
site? Can you please reply back to this email to that effect?

Andrea,
Real Quick, I would notify them in writing that you are planning to move forward with your conservation
easement, and that when that easement is down,things could get complicated if that reroute isn't
confirmed. With that, WEI would be taking a risk and a credit asset cut if the easement is finalized and
the ACP ends up going through there. That asset cut would be determined at the As-Built stage. I would
think, that from the email you received below from ACP, that WEI could move forward with their
conservation easement planning...but I'd like for them to tell you that directly.

concern about the pipeline coming through and affecting the project.
The pipe has been rerouted and is no longer an issue for the site (see email below from the Dominion

The mitigation bank is NOT affected directly by either pipeline ROW or temporary work space.
It is only in the 300' survey corridor. There will be additional cultural surveys done this week to
