On behalf of the owner, Alamance Crossing, LLC, we are hereby providing additional
information as described in our last response dated January 24, 2008. This additional information
is an amendment to our existing Individual Permit application under review by both the USACE
(Action ID No. 2007-03073-201) and DWQ (Project No. 07-1576) for the proposed Alamance
West project.
As per your guidance we have developed revised impact maps and other exhibits to
reflect the conceptual alternative plan proposed in our January 9" and 24"', 2008 response
packages. Attached are the revised impact maps, conservation area map and draft restrictive
covenant language, and revised EEP mitigation numbers and acceptance letter. The final revised
stormwater management plans will be provided by the project engineer within a week.

Dote: The connection and potential impact between the two storrnwater ponds has been
avoided as described in the January 9r' letter. The "break" shown in the conservation
area in the approximate location of the original stoirnwater connection is described
further in the "Conservation Area" section below and is not intended to represent an
impact to waters.
Note.: The road crossing design shown in Impact Area #1 is preliminary and not for
construction. Revisions to produce final construction documents may be necessary. All
impacts to waters have been shown as permanent in the preliminary design. All impacts

are requested to be permitted and mitigation will be provided accordingly. No impact to
waters will extend beyond those boundaries shown on the prelcxlinary plans.
2. CONSERVATION ARE, A
Attached is the "Conservation Area Map" dated April 9`" 2008 prepared by the project
surveyor and the 0-aft "Declaration of Conservation Area" to be included in the
restrictive coven its of the development. If this is accepted by the USACI, then the
applicant xwih ` r in a perpetual conservation area protected under a legally binding
restrictive covenx t over 4.28 acres of riparian arewbuffers including 1.14 acres of
wetlands and 2,680 feet of streams.
Note; There are three "breaks" in the conservation area. One of the "breaks" is the
Impact Area #1 road crossing. The other two "breaks" are shown for a potential future
sanitary sewer easement requested by the City of Burlington. This sanitary sewer would
be constructed to connect to and take "off line" an aging pump station located at the
apartment complex. to the north of the project site. The City has informed the applicant
that they will take all means necessary to avoid impacts to wetlands and streams (such as
directionally boring under the waters). however, the City wanted to ensure that the
Conseivation Area would not hinder potentially constructing this sanitary sewer in the
fixture. The southern of the two "breaks" may be constructed first to provide sanitary
sewer service to the development. Plans have not been finalized on this, but the project
exrgxneer has stated that if a sanitary sewer line is placed in this "break.°' to service the
development it would not impact waters and be constructed either as an aerial crossing
above the ordinary high water mark or directionally bored under the stream (depending
on elevations)).
3. MITIGATION

DECLARATION OF CONSERVATION AREA (Area 2
THIS DECLARATION OF CONSERVATION AREA is dated as of the day of , 2008 and is
made by ALAMANCE CROSSING, LLC, a North Carolina Limited Liability Company ("Declarant"). The
address of the Declarant is c/o CBL & Associates Properties, Inc., 2030 Hamilton Place Boulevard,
Chattanooga, TN 37421.
WITNESSETH:
WHEREAS, Declarant is the fee simple owner of the parcels of land comprising Area 2 as shown on the
Lease Area Plan which is attached hereto as Exhibit "A" (the building footprints shown on Exhibit "A" are of
no legal effect); and
WHEREAS, Area 2 is more particularly described on Exhibit "B" attached hereto; and
WHEREAS, the Declarant desires that certain identified "wetland areas" ("Conservation Areas")be preserved
and subject to the restrictions set forth herein; and
WHEREAS, the Conservation Areas are shown on Exhibit "C" attached hereto; and
WHEREAS, Declarant has agreed that the Conservation Areas shall be subject to the restrictions set forth in
this Declaration of Conservation Area ;
NOW, THEREFORE, Declarant hereby submits the Conservation Area to the restrictions contained in this
Declaration.
1. The Conservation Areas as shown on Exhibit C shall be maintained in perpetuity in their natural and
unmitigated condition. No person or entity shall perform any of the following activities on or within the
Conservation Areas:
fill, grade, excavate or perform any other land disturbing activities;
cut, mow, burn, remove, or harm any vegetation;
construct or place any roads, trails, walkways, buildings, mobile homes, signs, utility poles or towers, or any
other permanent or temporary structures;
drain or otherwise disrupt or alter the hydrology or drainage ways of the Conservation Area;
dump or store soil, trash, or other waste; or
graze or water animals, or use for any agricultural or horticultural purpose.
2. This Declaration is intended to ensure continued compliance with the mitigation condition of a Clean
Water Act authorization issued by the United States of American, U.S. Army Corps of Engineers, Wilmington
District, Action ID, and therefore my be enforced by the United States of America. This Declaration contained
shall be effective as of the date hereof, shall run with the land burdened thereby, shall be binding upon all
owners and occupants thereof, or any part thereof and improvements thereon, and their respective
successors and assigns, shall constitute an encumbrance on Area 2.
3. This Declaration may be amended by the written agreement of Declarant and its successors or assigns
but only with the prior written consent of the U.S. Army Corps of Engineers, Wilmington District .
4. If any term, covenant or restriction herein shall be invalid or unenforceable, the remainder shall not be
affected thereby, and each term, covenant and restriction shall be valid and enforceable to the fullest extent
permitted by law.

The purpose of this letter is to notify you that the North Carolina Ecosystem Enhancement Program (NCEEP) is willing to
accept payment for impacts associated with the above referenced project. Please note that this decision does not assure that
the payment will be approved by the permit issuing agencies as mitigation for project impacts. It is the responsibility of the
applicant to contact these agencies to determine if payment to the NCEEP will be approved.
This acceptance is valid for six months from the date of this letter and is not transferable. If we have not received a copy of
the issued 404 Permit/401 Certification/LAMA permit within this time frame, this acceptance will expire. It is the
applicant's responsibility to send copies of the permits to NCEEP. Once NCEEP receives a copy of the permit(s) an invoice
will be issued based on the required mitigation in that permit and payment must be made prior to conducting the authorized
work. The amount of the In Lieu Fee to be paid to NCEEP by an applicant is calculated based upon the Fee Schedule and
policies listed at www.nceep.net.
Based on the information supplied by you the impacts that may require compensatory mitigation are summarized in the
following table.

Upon receipt of payment, EEP will take responsibility for providing the compensatory mitigation. If the regulatory agencies
require mitigation credits greater than indicated above, and the applicant wants NCEEP to be responsible for the additional
mitigation, the applicant will need to submit a mitigation request to NCEEP for approval prior to permit issuance. The
mitigation will be performed in accordance with the Memorandum of Understanding between the N. C. Department of
Environment and Natural Resources and the U. S. Army Corps of Engineers dated November 4, 1998.
