Dear John,
Southern Environmental Group, Inc. (SEGi) has been retained by Round Tree Ridge, LLC (herein referred to as
"Applicant") to submit the attached Pre -Construction Notification (PCN), in order to obtain the US Department
of the Army's approval to utilize Nationwide Permit 29 and Division of Water Resources corresponding General
Certification, at the proposed Round Tree Ridge subdivision, in New Hanover County, North Carolina.
The fill of 0.15 acre of forested Section 404 wetlands is necessary to facilitate the construction of Lot 27. In
addition, 0.07 acre of the RPW will be filled to facilitate the construction of three (3) roads that will provide
access to the subdivision and to the lots within the subdivision. In total, 0.22 acre of USACE Section 404
wetlands and waters will be permanently impacted. The Applicant proposes to mitigate for the impacts through
payment to the Cape Fear Umbrella Mitigation Bank.
It is my sincere hope that the information found within and attached to this correspondence will allow the

The purpose of this project is to construct a residential subdivision, with associated utilities and infrastructure. This will entail
extending Lehigh Road and Ridley Drive, as well as construct a road that will provide future connection to the adjacent
southern tract. With this work, three (3) relatively permanent waters (RPW/ditches) will need to be piped. Also, due to the
steep drop in elevation on Lot 27, the discharge of clean earthen fill into the forested wetland, at the back of the lot, is needed to
provide sufficient building pad for the future dwelling. (see Appendix D for details).

The project consists of piping the three (3) RPWs and filling a portion of a small forested wetland. Dump trucks, excavator,
and a bulldozer will be utilized to install culverts and grade the clean earthen fill to a specified elevation and 3:1 slope (see
Appendix D for details).

1. Avoidance and Minimization
la. Specifically describe measures taken to avoid or minimize the proposed impacts in designing project.
Work within the RPWs will only take place during dry times. This should reduce the potential for sediment to be carried
outside the proposed impact limits. The Applicant explored installing a retaining wall, to minimize the impact to the forested
wetland. According to the Applicant, the retaining wall would be 14 ft high and would require structural footings. The safety
issue of having a 14 ft high wall, with children around, plus the enormous costs of that wall made it impractical. Avoiding the
wetlands makes the lot un-buildable because the slope would have to start well inside the building pad. This solution allows
for a natural vegetative 3:1 slope, which is required as part of the soil and erosion control plan.

Sediment and erosion control best management practices will be utilized during the construction of the access road. Work
within the ditches will only take place during dry periods.

ARTICLE VI
LIMITATION OF LIABILITY AND
INDEMNIFICATION OF MANAGERS
A. Limitation of Liability.
No Manager or Member of the Company is liable for the obligations of the Company solely by
reason of being a Member or Manager, and no Member shall become liable by participating, in whatever
capacity, in the management or control of the business.
No Manager or Member of the Company shall be liable to the Company (or its Members) for
monetary damages for an act or omission in such person's capacity as a Manager, except as provided in
the Act for (i) acts or omissions which the Manager knew at the time of the acts or omissions were clearly
in conflict witb the interest of the Company, or (ii) any transaction from which the Manager derived an
improper personal benefit.

L. Tense and Gender
Unless the context clearly indicates otherwise, the singular shall include the plural and vice versa.
Whenever the masculine, feminine, or neuter gender is used inappropriately in this Agreement, this
Agreement shall be read as if the appropriate gender were used.
M. Captions.
Captions are included solely for convenience of reference and if there is any conflict between
captions and the text of this Agreement, then the text shall control.
N. Benefits of Agreement.
Nothing in this Agreement, expressed or implied, is intended or shall be construed to give to any
creditor of the Company, or any creditor of any Member, or any other person or entity whatsoever, other
than the Members and the Company, any legal or equitable right, remedy, or claim under or in respect of
this Agreement or any covenant, condition or provisions herein contained, and such provisions are and
shall be held to be for the sole and exclusive benefit of the members and the Company.
O. Counterparts.
This Agreement may be executed in multiple counterparts, each of which shall be deemed an
original for all purposes and all of which when taken together shall constitute a single instrument.
Executed signature pages to any instrument may be detached and affixed to a single instrument, which
single instrument with multiple executed signature pages affixed thereto constitutes the original
instrument. All of these counterpart instruments shall be read as though one and they shall have the same
force and effect as if all of the parties had executed a single signature page provided, however, the loss,
destruction, or other disappearances of any of or more of the original counterparts of this Agreement shall
not affect its validity in any manner.
IN WITNESS WHEREOF, the undersigned, being the Company and the current Members of
the Company have caused this Agreement to be duly adopted by the Company on _,,%—/q 12016,
and do hereby assume and agree to be bound by and to perform all of the terms and provisions set forth in
this Agreement.
