THIS DECLARATION OF PROTECTIVE COVENANTS FOR 76.39 ACRES OF LAND
(DEEP POINT MARINA PROPERTY) is made as of the 1&0?day of February, 2008, as follows:
WHEREAS, Bald Head Island Limited, LLC, a Texas limited liability company, is the sole
owner and developer of that certain real property known as "Deep Point Marina", consisting of
76.39 acres of land situated in the City of Southport, Brunswick County, North Carolina, as shown
and described on that certain plat of survey prepared by Withers & Ravenel - Brunswick
Surveying, dated February 19, 2008 and sealed February 20, 2008, a copy of which is attached
hereto as Exhibit A and incorporated into this Declaration; and,
WHEREAS, Bald Head Island Limited, LLC is developing the Deep Point Marina Property
and, in connection therewith, has or will be obtaining a Clean Water Act authorization from the
U.S. Army Corps of Engineers, which authorization will require that Bald Head Island Limited,
LLC record certain covenants to ensure that the 404 wetland areas depicted on the attached survey
plat are maintained in their natural or mitigated state in perpetuity;
NOW THEREFORE, in accordance with the requirements of above-referenced
authorization, Bald Head Island Limited, LLC hereby declares that the Deep Point Marina Property,
consisting of the 76.39 acres of land shown and described on the survey plat attached hereto as
Exhibit A, shall be subject to the following covenants, which shall run with the land in perpetuity
and be binding on Bald Head Island Limited, LLC and all subsequent owners thereof, to wit:
1. The areas shown on the survey plat, attached hereto and marked Exhibit A, as 404
wetland areas shall be maintained in perpetuity in their natural or mitigated condition. No person or
entity shall perform any of the following activities on such 404 wetland areas:
A. fill, grade, excavate or perform any other land disturbing activities;
B. cut, mow, burn, remove, or harm any vegetation;
C. construct or place any roads, trails, walkways, buildings, mobile homes, signs, utility
poles or towers, or any other permanent or temporary structures;
D. drain or otherwise disrupt or alter the hydrology or drainage ways of the 404 wetland
areas;

E. dump or store soil, trash, or other waste;
F. graze or water animals, or use for any agricultural or horticultural purpose.
2. These covenants are intended to ensure continued compliance with the mitigation
condition of a Clean Water Act authorization issued by the United States of America, U.S. Army
Corps of Engineers, Wilmington District, Action ID / and therefore may be
enforced by the United States of America.
3. These covenants are to run with the land, and shall be binding on the owner, and all
parties claiming under it.
4. These covenants cannot be amended without the express written consent of the U.S.
Army Corps of Engineers, Wilmington District.
