Groundwater Management Associates,Inc.
Professional Services Contract
THIS AGREEMENT is by and between Green Engineering,PLLC ("Client")and Groundwater Management Associates,Inc.,with an
office at 2205 Candun Drive,Suite A,Apex,North Carolina,27523("GMA")who agree as follows.
1. ENGAGEMENT. Client desires to engage GMA to provide certain services("the Services")in connection with Client's project
("the Project"),set forth in a GMA proposal dated February 6,2024("the Proposal"):
Project Name:PaNuotank County RO Welltield Expansion
Project Site:Pasquotank County,North Carolina
Short Description of Services: Hvdrogeologic Consulting on the Cherry Glade Production Well and Rehabilitation and Testing of the Weslev#3
Production Well.and Stream Gaging and Monitoring of the Little River.
For performance of Services,Client shall pay GMA as set forth in the Proposal and in accordance with the terns and conditions referenced below.
Payment for services is the responsibility of the Client.
11. CONTRACT DOCUMENTS. The following documents form a part of this Agreement and are incorporated herein by reference:
A. The Proposal,attached hereto as Exhibit A .
B. Groundwater Management Associates,Inc.,General Terms and Conditions,attached hereto as Exhibit B
C. The plans,reports,specification,and other documents provided by Client and described in an exhibit marked N/A and
attached hereto.
D. Other exhibits,marked and described as follows, N/A and attached hereto.
In the event of any inconsistency or conflict among Contract Documents,the provision in that Contract Document first listed above shall govern.

C. Unless referenced by number in the following space,Client waives any requirement that GMA execute an acceptance copy of Client's
purchase order,numbered presented to GMA for the sole purpose of expediting payment,which purchase order shall not be construed
or interpreted to amend,modify,or waive any of the Terms and Conditions referenced in Section II.,above.
IN WITNESS WHEREOF the parties have caused this Agreement to be executed by their duly authorized representatives this
