CLINARD FARM, LLC is authorized to enter into and complete the transaction pursuant to the Agreement for Purchase and Sale of Real Property, attached hereto as Exhibit A(the "Contract"), by and between CLINARD FARM, LLC, as Seller, and CLINARD FARM PARTNERS, LLC, as Buyer, (as successor-in-interest to LEOTERRA ACQUISITIONS, LLC) providing for the purchase for Two Million and No/100 Dollars ($2,000,000.00)by Buyer from Seller of two parcels of land in Davidson County,North Carolina known as 756 Hege Road and being approximately 181.17 acres in size(the"Property"). 2. CLINARD FARM, LLC is authorized to provide seller financing for the purchase in the principal amount of One Million Six-Hundred Fifty Thousand and No/100 Dollars($1,650,000.00),to be secured by a Deed of Trust on the Property, and any other required loan documents(all of the foregoing being hereinafter referred to as the "Loan Documents"). 3. BRENDA C. DANIEL, WILLIAM R. CLINARD, DAVE W. CLINARD and PAT C. BURTON as Members and Managers of CLINARD FARM,LLC,together or individually,are hereby authorized to make, execute and deliver, to cause to be made, executed and delivered, all such agreements, instruments and other documents and to do or cause to be done,all such actions and things,in the name and on behalf of CLINARD FARM,LLC and under its seal or otherwise,as may be required pursuant to the Contract or as may be deemed necessary or appropriate by BRENDA C.
