President Right Angle Engineering 9r OPERATING AGREEMENT OF AMERICAN LAND HOLDINGS, LLC THIS OPERATING AGREEMENT ("Agreement") effective this 30th day of De- cember, 2016 by the undersigned members of American Land Holdings, LLC, a Vir- ginia limited liability company, herein referred to as the "Company," provides as fol- lows: I. Term of the Limited Liability Company The term of the Company commenced on December 30, 2016 upon the issu- ance of the Certificate of Organization by the State Corporation Commission of the Commonwealth of Virginia, and shall continue perpetually unless terminated as pro- vided in this agreement. IL Members The persons identified on Schedule A of this shall be the members of the Com- pany (the "Member" or "Members" whether singular or plural) and shall each share in the ownership interests in the Company as provided on Schedule A. III'. Purpose of the Company The purpose of the Company shall be to buy, sell, grant or receive with or with- out consideration real or personal property of the Company, hold, invest in, manage and develop such property, and to engage in any other activities as the Member shall determine, for the purpose of making a profit, and to avail itself of any and all tax ad- vantages and protections from liability. IV. Registered Agent and Office The initial registered agent shall be Garrett M. Smith and the initial registered office shall be 610 West Rio Road, Charlottesville, VA, 22901. V. Business Office The initial business office shall be at 181 Clubhouse Way, Zion Crossroads, VA 22942. VI. Management of Operations Except as otherwise provided in this Agreement, all decisions with respect to the management of the Company shall be made by the Managers. The Managers are listed on Schedule B, and each shall serve until one or more successors are elected or until the Members determine that there is need for fewer or additional Managers. Except as otherwise provided in this. Agreement or by the Virginia Limited Liability 1 Act (the "Act"), the Managers shall have complete power and authority to manage and operate the Company and to make all decisions affecting its business and affairs. No person dealing with the Company shall be required to inquire into the authority of the Managers to take any action or to make any decision. Only the Members may 1) select, hire and replace, at any time, any entity or natural person to act as a Manager, who shall exercise only such powers and author- ity as the Members confer upon such Manager at the time of the Manager's appoint- ment; 2) borrow money upon such terms and conditions as the Members deem ap- propriate whether secured by the real estate owned or to be owned by the Company, or not, and to execute and deliver such notes, deeds of trust, settlement statements and other documents necessary or appropriate to compete such transactions; 3) buy real estate of the Company or to sell such real estate in a manner not in the ordinary course of the Company's business of selling subdivided lots to the public and to builders,and to execute and deliver such contracts, deeds, plats, covenants and re- strictions, settlement statements and other documents necessary or appropriate to compete such transactions. The Managers shall have the authority to sell and develop the real estate of the Company in the ordinary course of business. The Managers shall be further author- ized to execute and deliver all contracts, deeds, settlement statements and any and all other documents necessary to complete the development, sale or other conveyance of any real estate, including conveyances to or from the Members or affiliated entities with or without consideration. VII. Duties of Members and Managers The Members and Managers shall devote such time, effort, and skill to the Company's affairs as it deems necessary and proper for the Company's welfare and success. VIII. Fees to Members and Managers Members and Managers shall be entitled to fees for services rendered to or on behalf of the Company as the Members may determine. I% Reimbursement All expenses incurred with respect to the organization, operation, and man- agement of the Company shall be borne by the Company. A Member or Manager shall be entitled to reimbursement from the Company for direct expenses incurred by him allocable to the organization, operation, or management of the Company. 1) X. Capital Contributions It is intended that the cash capital contributions shall be as set forth on Schedule A and non-cash contributions shall be the labor and industry of the Mem- bers. Such contributions shall be made at the Members' convenience, and at such time or times as may be agreed upon hereafter. XI. Certificates for Membership Interests. The membership interest of Members in the Company may at the option of the Member be represented by a Certificate of Membership. The exact contents of a Cer- tificate of Membership shall be determined by the Members from time to time. XII. Maintenance of Member's Capital Accounts A separate capital account for each Member ("Capital Account") shall be estab- lished and maintained throughout the full term of the Company by the Treasur- er/Manager. The Capital Account shall be established and maintained in accordance with the applicable Treasury Regulations in order that the allocations of profits and losses pursuant to this Agreement have the desired "economic effect" under the ap- plicable Treasury Regulations. XIII. No Interest upon Contributions Members shall not be entitled to receive interest on their capital contribution. • XIV. Return of Capital Contribution The Members shall not be entitled to withdraw any part of their capital contri- bution or their Capital Account or to receive any distribution from the Company, ex- cept as specifically provided by this Agreement or as otherwise agreed in writing. Ex- cept as otherwise provided herein, there shall be no obligation to return to Members i it's capital contribution to the Company so long as the Company continues in exist- ence. XV. Loans Not to be Treated as Capital Contribution Loans or advances by Members to the Company shall not be considered capital contributions and shall not increase the Capital Account of such lending or advanc- ing Member. XVI. Additional Contributions or Loans Except as provided in this Agreement, the Members shall not be required under any circumstances to contribute or lend any money or property to the Company. 3 XVII. Profits All profits and losses of the Company shall belong to the Members, provided the Members may in their discretion enter into one or more contracts for sales and marketing services that provide for compensation in the form of an agreed percentage of net profits. XVIII. Bank Accounts Funds of the Company shall be deposited in Suntrust Bank, Charlottesville, Virginia. The Treasurer/Manager is fully authorized to take all such actions as may be required to open such account or accounts as she may determine and to approve all resolutions required by such bank. Funds may be withdrawn from such accounts only for bona fide and legitimate Company purposes. The Company funds may, from time to time, be invested in such securities, money market funds, certificates of de- posit or other liquid assets as the Managers deem appropriate. The Members shall not be accountable or liable for any losses of the Company funds resulting from failure or insolvency of any depository institution, so long as the deposit of such funds was in compliance with this Agreement. XIX. Books and Records At all times during the term of the Company, the Managers shall keep or cause to be kept, full and accurate books of account, records and supporting documents, which shall reflect, completely and accurately, and in reasonable detail, each trans- action of the Company, including, but not limited to, transactions with the Members or affiliates. The books of account shall be maintained and tax returns prepared and filed based on the method of accounting determined by the Manager, including on a consolidated basis as determined by the Manager. The books of account, records and all documents and other writings of the Company shall be kept and maintained at the principal office of the Company. The Members or any designated representatives shall, upon reasonable notice to the Managers, have access to such financial books, records and documents during reasonable business hours and may inspect and make copies of any of them at his, her or their own expense. The Managers shall cause the Company to keep at its principal office all books and records required to be maintained by the Act and other laws of the Common- wealth of Virginia. XX. Obligation of Members and Managers The Members and Managers are required to give sufficient, but not their undi- vided, time and attention to the best interests of the business of the Company. 4 XXI. Tax Allocations If applicable, and except as otherwise expressly provided in this Agreement, the Internal Revenue Code, or Treasury Regulations, the Company shall allocate its tax items in the same manner and percentages as its book items are allocated. XXII. Tax Year and Accounting Matters The tax year of the Company shall be determined by the Managers. The Com- pany shall adopt methods of accounting as the Managers determine upon the advice of the certified public accountant employed by the Company. XXIII. Tax Elections The Members may cause the Company to make, refrain from making or revoke all tax elections provided for under the Internal Revenue Code and the Treasury Reg- ulations. XXIV. Tax Matters Member C. Dice Hammer shall be the "Tax Matters Partner" as defined in Section 6231(a)(7) of the Code (if that Section is relevant to the Company) with full and com- plete power to act in that capacity. XXV. Tax Classification The Members intend that the Company be classified for federal and state in- come tax purposes as a partnership. Furthermore, the Members agree to take all ac- tions reasonably necessary to ensure such classification; and authorize the Treasur- er/Manager Tonna B. Bouno to take such actions as may be required to accomplish this objective, provided that such actions do not alter the economic returns and risks associated with the Company's business. XXVL Limited Right to Withdraw No members shall have any right to resign voluntarily or otherwise withdraw from the Company without providing at least thirty (30) days advance written notice of such withdrawal to the Company. XXVII. Redemption The redemption of the Members' interests in the Company shall be as follows: (1) In the event that more than one member exists and a member desires to withdraw or sell his, her or its interest in the Company and such member provides a Notice of Withdrawal as required in paragraph XXVI, the Company shall have the op- 5 tion to purchase that member's Interest at a price determined as set forth below. The option shall be exercised by written notice to the Members or their successors in in- terest, if any, given within thirty (30) days after the value has been determined as set forth below, with closing to be within ten (10) days after the giving of the notice of ex- ercise. (2) In the event of the dissolution or Bankruptcy of a member, the Company shall have the option to purchase the member's Interest at a price determined as set forth below. The option of the Company shall be exercised by written notice to the member or his, her or its successor in interest, if any, and the option of the member or his, her or its successor in interest shall be exercised by written notice to the Company, given within thirty (30) days after the value has been determined as set forth below, with closing to be within ten (10) days after the giving of Notice of Exer- cise. (3) Valuation. The value of a member's Interest shall be determined on an an- nual basis by majority vote of the membership interests or such other method of val- uation as the Members may have agreed. (4) Payment. The redemption price for a member's Interest shall be paid as fol- lows: a. To the extent that the Company holds liquid assets or receives the proceeds of sale, insurance or condemnation, the purchase price shall be paid in cash at the later of the closing date of sale or as the proceeds are received by the Company; and, b. To the extent the purchase price exceeds any such cash, the bal- ance of the purchase price shall be represented by a promissory note, made and en- dorsed by the Company as purchaser, payable to the former Members or the former Member's successor in interest, payable in five annual installments of principal and interest, bearing a fixed rate of interest at the higher of the Prime Rate or the appli- cable federal rate of interest in effect at closing under Section 1274 of the Code, with the first payment due one (1) year after the date of withdrawal and with interest cal- culated from the date set forth in whatever payment plan has been agreed upon. XXDIII. Deadlock. (1) If the Members are unable to agree on any of the Fundamental Matters • listed below and such disagreement continues for Sixty (60) days despite good faith deliberations by the Members ("Deadlock"), then either Member shall be entitled to exercise the buy-sell rights set forth in this Section by delivering a Buy-Sell Offer No- tice (as defined herein). For purposes hereof, "Fundamental Matters" shall mean any of the following matters: (a) Amend, modify or waive the Articles of Organization or this Operat- ing Agreement; (b) Make any material change to the nature of the business conducted by the Company or enter into any new business; (c) Adopt or amend a budget; (d) Issue additional Membership Interests or admit additional Mem- bers to the Company; (e) Incur any indebtedness, pledge or grant liens on any assets or guarantee, assume, endorse or otherwise become responsible for the obligations of any other person except to the extent previously approved or authorized in a budget; (f) Make any loan, advance or capital contribution to or in any person except to the extent approved or authorized in a budget or contract; (g) Enter into or effect any transaction or series of related transactions involving the purchase, lease, license, exchange or other acquisition (including by merger, consolidation, acquisition of stock or acquisition of assets) by the Company of any assets and/or equity interests of any person, other than in the ordinary course of business consistent with past practice; (h) Enter into or effect any transaction or series of related transactions involving the sale, lease, license, exchange or other disposition (including by merger, consolidation, sale of stock or sale of assets) by the Company of any assets, other than sales of inventory in the ordinary course of business consistent with past prac- tice; (1) Commence or settle any lawsuit, action, dispute or other proceed- ing or otherwise assume any liability with a value in excess of$1,000,000 or agree to the provision of any equitable relief by the Company; (m) Initiate or consummate an initial public offering or make a public offering and sale of the Membership Interests or any other securities; (n) Make any investments in any other person in excess of $500,000; or (o) Dissolve, wind-up or liquidate the Company or initiate a bankrupt- cy proceeding involving the Company. 7 • (2) Buy-Sell Offer Notice. If a Member wishes to exercise the buy-sell right provided in this Agreement, such Member (the "Initiating Member") shall deliver to the other Member (the "Responding Member") written notice (the "Buy-Sell Offer No- tice") of such election, which notice shall include (a) a description of the circumstanc- es that triggered the buy-sell right, and (b) the purchase price (which shall be payable exclusively in cash (unless otherwise agreed)) at which the Initiating Member shall (i) purchase all of the Membership Interests owned by the Responding Member (the "Buy-out Price") or (ii) sell all of its Membership Interests to the Responding Member (the "Sell-out Price"), with any difference between the Buy-out Price and the Sell-out Price based solely on each Member's Membership Interest in the Company, without regard to any market discount or premium from differences in such proportionate in- terests. (3) Response Notice. Within thirty (30) days after the Buy-Sell Offer Notice is received (the "Buy-Sell Election Date"), the Responding Member shall deliver to the Initiating Member a written notice (the "Response Notice") stating whether it elects to (a) sell all of its Membership Interests to the Initiating Member for the Buy-out Price or (b) buy all of the Membership Interests owned by the Initiating Member for the Sell-out Price. The failure of the Responding Member to deliver the Response Notice by the Buy-Sell Election Date shall be deemed to be an election to sell all of its Mem- bership Interests to the Initiating Member at the Buy-out Price. (4) Closing. The closing of any purchase and sale of Membership Interests pursuant to this Agreement shall take place thirty (30) days after the Response Notice is delivered or deemed to have been delivered or some other date mutually agreed up- on by the parties. The Buy-out Price or the Sell-out Price, as the case may be paid at closing by wire transfer of immediately available funds equal to at least 20% of the purchase price to an account designated in writing by the selling Member (the "Sell- ; ing Member"). If necessary, the Selling Member shall provide seller financing over five ' years to the purchasing Member for up to 80% of the purchase price as provided in Section XXVII(4)(b). At the closing, the Selling Member shall deliver to the purchas- ing Member (the "Purchasing Member") good and marketable title to its Membership • Interests, free and clear of all liens and encumbrances. Each Member agrees to coop- erate and take all actions and execute all documents reasonably necessary or appro- priate to reflect the purchase of the Selling Member's Membership Interest by the Purchasing Member. (5) Default. If the Purchasing Member defaults in any of its material closing obligations, then the Selling Member shall have the option to purchase the Purchas- ing Member's entire Membership Interest at a price that is equal to ninety-five per- cent(95%) of the per unit purchase price payable by the Purchasing Member at the initial closing. 8 (6) Notices. All notices, requests, consents, claims, demands, waivers and other communications hereunder (each, a "Notice") shall be in writing and addressed to the parties at their addresses set forth on Schedule A attached hereto (or to such other address that may be designated by the receiving party from time to time in ac- cordance with this Section). All Notices shall be delivered by a personal delivery, na- tionally recognized overnight courier (with all fees prepaid), facsimile or e-mail of a PDF document (with confirmation of transmission) or certified or registered mail (in each case, return receipt requested, postage prepaid). Except as otherwise provided in this Agreement, a Notice is effective only (a) upon receipt by the receiving party, and (b) if the party giving Notice has complied with the requirements of this Section. XXIX.Expulsion of a Member A member may be expelled from the Company on the following conditions: (1) If a member is convicted of a felony, or of a crime involving a breach of business ethics, moral turpitude, or immoral conduct; (2) If a member becomes insolvent, makes an assignment for the benefit of creditors, is declared to a bankrupt, or such member's assets are assigned or admin- ° istered for the benefit of creditors; or (3) If a member otherwise engages in any illegal act, or gross negligence, or willful misconduct in the performance of a member's duties hereunder. XXX. Events of Dissolution The Company shall be dissolved upon the occurrence of any of the following events: (1) The agreement in writing of the Members to dissolve the Company; (2) The expiration of the term of the Company; (3) The sale, transfer, or other disposition of substantially all of the non- cash assets of the Company if the Members determine in writing to dissolve the Company; (4) The adjudication of the Company as insolvent, or the entry of any order of relief by a court of competent jurisdiction with respect to the Company under any applicable insolvency or bankruptcy laws, or the filing of an involuntary petition in bankruptcy against the Company (which is not dismissed within ninety (90) days), or the filing against the Company of a petition for reorganization under the Federal Bankruptcy Code or any state statute (which is not dismissed within ninety (90) days), or a general assignment by the Company for the benefit of creditors, or the voluntary claim by the Company that it is insolvent or entitled to relief under any provisions of the Federal Bankruptcy Code, or any state insolvency statute, or the appointment for the Company of a temporary or permanent receiver, trustee, custo- 9 dian or sequestrator if such receiver, trustee, custodian, or sequestrator is not dis- missed within ninety (90) days; s) Upon the resignation, expulsion, bankruptcy, which mean being the sub- ject of an order for relief under Title 11 of the United States Code, or dissolution of a member, or occurrence of any other event that terminates the continued membership of a member in the Company unless, within ninety (90) days of such event, all of the remaining members agree to continue the Company in which event the business of the Company shall be continued in accordance with this Agreement; (6) When so required in accordance with other provisions of this Agreement; or (7) As otherwise required by the Act. (8) Neither the death or incompetency of the Member nor the assignment or transfer of the Member's entire membership interest will dissolve the Company. XXXI. Distribution upon Dissolution If the Company dissolves, and is not continued in accordance with this Agree- ment, then, except as otherwise provided in this Agreement, the net proceeds of dis- solution, including proceeds from any accompanying sale of Company assets, shall be distributed in the following order of priority: (1) First, toward the satisfaction of all outstanding debts and other obliga- tions of the Company, other than those owing to the Member; (2) Second, towards repayment of outstanding loans, if any, made by the Members to the Company; and, (3) Last among those members with a positive Capital Account balance, after adjustments for all distributions and allocations for all prior periods, in proportion to their ownership interests. XXXII. Termination Within a reasonable time following the completion of the winding up of the Company, the Managers or the Liquidating Representative, as the case may be, shall supply to each member a statement that shall set forth the assets and the liabilities of the Company as of the date of complete winding up and each member's portion of the distributions pursuant to this Agreement. Upon completion of the winding up of I the Company and the distribution of all Company assets, the Company shall termi- nate and the Members shall execute and record a Certificate of Cancellation of the Company, as well as any and all other documents required to effectuate the dissolu- tion and termination of the Company. 10 XXXIII. Limitation on Members'Liability The Members whether acting in the capacity of a member or manager, shall not be liable, responsible or accountable to the Company or any other member in damag- es or otherwise for any acts, or for any failure to act, if such act or failure to act was performed in good faith; provided, however, that a member shall not be relieved of his, her or its fiduciary obligations to any other member or the Company imposed by law, or for liability for fraud, bad faith, or gross negligence. XXXIV. Indemnification of f Organizers, Managers, and Members. (1) To the greatest extent not inconsistent with the laws and public policies of the State of Virginia, the Company shall indemnify any organizer, Managers, or Members (any such organizer, manager, or member who is a person, and any re- sponsible officers, partners, shareholders, directors, or managers of such organizer, manager, or member which is an entity, hereinafter referred to as the indemnified "Individual") made a party to any proceeding because such Individual is or was a member, manager, or organizer against all liability incurred by such Individual in connection with any proceeding; provided that the Individual has met the standards of conduct for indemnification set forth in this Article. The Company shall pay for or reimburse the reasonable expenses incurred by any member, manager, or organizer in connection with any such proceeding in advance of final disposition thereof if (1) the Individual furnishes the Company with a written affirmation of the Individual's • good faith belief that he, she or it has met the standard of conduct for indemnifica- tion described below, and (2) the Individual furnishes to the Company a written un- dertaking, executed personally or on such Individual's behalf, to repay the advance if it is ultimately determined that such Individual did not meet such standard of con- duct. (2) The Company shall have the power, but not the obligation, to indemnify any Individual or entity who is or was an employee or agent of the Company to the same extent as if such individual or entity was an organizer, manager, or member. (3) Indemnification of an Individual is permissible under this section only if: a. The conduct of the Individual was in good faith; and • b. He, she or it reasonably believed that the conduct was in, or at least not opposed to the Company's best interest, or c. In the case of any criminal proceeding, he, she or it had no reason- able cause to believe the conduct was unlawful; and d. Amendment Except as provided by law or otherwise set forth herein, this Agreement may only be modified or amended by a written instrument executed by the Members pur- suant to unanimous consent. 12 • XV7. Severability Each provision of this Agreement shall be considered severable, and if for any reason any provision or provisions hereof are determined to be invalid, such invalidi- ty shall not impair the operation of, or affect, those portions of this Agreement that are valid, and this Agreement shall remain in full force and effect and shall be con- strued and enforced in all respects as if such invalid or unenforceable provision or provisions had been omitted. XXXVII. Burden and Benefit upon Successors Except as expressly otherwise provided herein, this Agreement is binding upon, and inures to the benefit of the Members and their successors and assigns. XXXVIII. Further Assurances Members hereby agree that it shall hereafter execute and deliver such further instruments, provide all information and take or forbear such further acts and things as may be reasonably required to carry out the intent and purpose of this Agreement and as are not inconsistent with the terms hereof. Project Description: The Accolade subdivision is a proposed development containing -y " Yts on a 15.39 ac. parcel zoned R-5. The subject property, located on Topsail Island near the southern Surf City Limits line, is bordered by Hwy 50 to the south, Cutlass Drive to the west and Topsail Sound waters to the north. The property is primarily wooded, and a detailed Tree Survey has been completed as well as a Soil Suitability Analysis. The land disturbing activity associated with the project will consist of select clearing and grubbing of trees, clearing existing drainage swales, grading of the site, and sediment and erosion control measures such as a silt fence, gravel construction entrance, and infiltration basin. The basin will act as sediment basin during construction but will be sized for 90% TSS removal of impervious area runoff with complete infiltration. Also included in the project will be storm piping, water lines, and sewer lines, and paved parking areas with curb and gutter. A community area will also be built with clubhouse, pool, and picnic shelter. Lots will not be mass graded. The total area which will be disturbed for this project is approximately 4.25 acres. 2. Site Description: The project site is in Surf City, Pender Co., NC, located directly to the west of Highway 50. The property on which the development will take place is currently owned by Pirates Cove Development Company, LLC. The subdivision layout will include internal Private Roads with connections onto both Cutlass Drive and Hwy 50. The main entrance will be from Hwy 50. The street layout provides circulation and property frontage for min. of 50' wide lots, 50' R/W and a 20' paved roadway with curb and gutter. It is intended to review options of both the road alignment and roadway bifurcation to preserve specimen Trees. On site soils consist of Newhan Corolla complex. These soils are mainly loamy, fine sands of USCS classification of SP fine sand. There are existing wetlands onsite that have been delineated and shown on plans. No wetland impacts are proposed. New construction onsite will consist of paved roads with curb and gutter, curb inlets, storm piping, and infiltration basin. The property is served by Surf City Public Water and limited Sewer. There is a Surf City Sewer Pump Station located on-site. However, due to limited sewer capacity, only 10 connections are available. The remaining lots will be served by individual septic systems and pump-to septic fields. The pump-to systems will include a deeded septic lot for the building lot being served. As indicated above, a Soils Suitability Analysis was conducted by a Soil Scientist and serves as a guide to placing lots within suitable soil areas. The Public Water System will require the extension of the existing Hwy 50 water main into the site with a loop connection on Cutlass Drive. The main extension will include the required Fire Hydrants. General slope of the site is from center to north. Land use in the vicinity is residential. Accolade Subdivision March 2023 3. Adjacent Property: The areas adjacent to the project site are mostly residential areas and the intracoastal waterway. 4. Drainage Considerations: The project will have three separate drainage areas. The area adjacent to the ICWW will be low density with built upon area being below 12% which will be the residential lots with driveways. The second drainage area will be for all of the roadways, sidewalks, community area, and remaining residential lots and will be considered High Density at approximately 48.3%. The third drainage area is the small driveway apron that connects to Cutlass Drive since the grades do not support collecting this small portion into the collection system. Drainage calculations to determine the size of storm piping is attached in the appendix— Storm Piping Calculations. The project site is graded so that storm water drains into strategically placed curb inlets. From the curb inlets, storm water will empty into a network of storm pipes which drain into the new infiltration basin. Calculations showing the sizing of the stormwater detention basin are shown in the attached appendix — Stormwater Calculations. The infiltration basin will be sized where the required temporary storage volume was determined using the SCS Curve Number Runoff Method with TR55 Time of Concentration of Type Ill Distribution for pre/post of the 1 year 24 hour event. The basin will hold over 3 times the required volume and infiltrate within 2 days. 5. Erosion Control Considerations: The following erosion control measures are used on this project: 1. Temporary Gravel Construction Entrance/Exit To prevent sediment from leaving the site, temporary gravel construction entrances should be installed where the project entrance falls onto Galloway Road. For dimensions and specifications, see construction details. 2. Land Grading The existing slope of the site is from center to west and east towards the back of the property. Most of the disturbed areas on the site will drain into curb inlets which will empty into stormwater piping and drain into onsite detention ponds. 3. Silt Fence Silt fence should be installed prior to clearing and grading activities. Silt fence should be checked routinely. If needed, silt fence should be cleaned and replaced if damaged. See Construction Detail for dimensions and specifications. 4. Inlet Protection Inlet protection consisting of a small portion of silt fence surrounding proposed curb inlets will be utilized to prevent sediment from entering the drainage system. See Construction Detail for dimensions and specifications. 5. Infiltration Basin Accolade Subdivision March 2023 Basin will be built to control sediment from leaving the site. The basin will be cleaned of any sedimentation during construction once the site has been fully stabilized. See Construction Detail for dimensions and specifications. 6. Temporary Rock Check Dam Rip rap dams constructed at discharge points of the temporary construction ditches and ditches that will remain on site. These check dams will serve as temporary sediment traps until the detention ponds are constructed and vegetation is established in the existing drainageways that are to be cleaned out. See Construction Detail for dimensions and specifications. 6. Construction Schedule: 1. Obtain plan approval and other applicable permits. 2. Hold pre-construction meeting at least one week prior to beginning construction. 3. Install temporary construction entrance/exits. 4. Before clearing and grading of the site, install silt fencing and clean and replace as necessary. Install temporary rock check dams. 5. Build onsite skimmer sediment basins that will become detention ponds. 6. Check existing swales and clear as necessary. 7. Begin clearing and grading of the site. 8. Install storm piping beginning at sediment basins continuing upstream while constructing onsite curb inlets with inlet protection along the way. 9. Install sewer and waterlines and pave new roadway. 10. Clean basin of deposited sediments back to virgin soil once site has been fully stabilized. 11. All erosion and sediment control practices will be inspected bi-weekly and after each rainfall event. Needed repairs will be made immediately. 12.After the entire covered area is stabilized, all temporary measures will be removed and permanent vegetative repairs to be completed. 7. Vegetation Plan: 1. After complete stabilization of the entire covered area, top cover soils will be roughened by making 1"-2" deep grooves perpendicular to the slope. 2. Spread lime (agricultural limestone) evenly over the area at a rate of 1.5 tons/acre; spread 10-10-10 fertilizer at a rate of 1000 lb/acre and incorporate into the top 6" of soil. Accolade Subdivision March 2023 3. Loosen surface prior to applying seed. 4. Broadcast seed at recommended rates. 5. Rake seed into the soil and lightly pack to establish good contact. 6. Mulch with 4000 lb/acre grain straw or equivalent and anchor by weighted farm disc set nearly straight or other mulch anchoring tool. 7. Mow as needed and refertilize in late winter or early spring by topdressing with 10- 10-10 fertilizer. 8. Graded surfaces shall not be exposed without grass coverage for more than 15 days. If grades are not complete and exposure is more than 15 days, temporary seed with rye grain at 50 lb/acre. 8. Maintenance Plan: 1. Contractor shall maintain all sedimentation and erosion control devices during construction. 2. All devices shall be checked after each rain event and weekly. Repairs shall be made immediately when detected. 3. Any deficiencies shall be brought to the immediate attention of the Engineer. The previously submitted Hydrogeologic Evaluation involved estimating the seasonal high water table (SHWT) and completing infiltration testing within a planned stormwater control measure (SCM) area at the Accolade Site in Surf City, Pender County, North Carolina. The Hydrogeologic Evaluation included estimating groundwater mounding beneath the planned SCM resulting from a 1-inch storm event over a 12-hour period. However, the mounding evaluation calculated mounding resulting only from precipitation falling directly into the basin and did not include stormwater runoff inflows to the basin. The Hydrogeologic Evaluation Report was provided to the North Carolina Department of Environmental Quality (DEQ) and a request was subsequently received from the DEQ that a mounding evaluation be performed to calculate groundwater mounding resulting from stormwater runoff to the infiltration basin during a 1-year, 24-hour storm event. This addendum report details the methodology and findings from the requested groundwater mounding evaluation. Groundwater Mounding Evaluation Methodology ECS completed a groundwater mounding evaluation using MOUNDSOLV version 4.0 software, which is a two-dimensional, numerical modeling program. The model required assigning several parameter values related to aquifer properties and SCM details. A description of model inputs is provided below. Aquifer Properties The numerical model required values for the following aquifer properties: horizontal hydraulic conductivity, specific yield, and initial saturated aquifer thickness. A description of the assigned values is provided below. • Horizontal hydraulic conductivity: A horizontal hydraulic conductivity value of 75 feet/day was assigned to the model. This value was chosen based on infiltrometer testing that was performed as part of our initial hydrogeologic evaluation, as described within our previously submitted Hydrogeologic Report. Previous infiltrometer testing revealed that the average infiltration rate within the footprint of the SCM was 15.0 inches per hour(30 feet/day). Johnson, 1963. • Initial Saturated Aquifer Thickness: An initial saturated aquifer thickness value of 25.4 feet was assigned to the model. This value was based on information obtained during geotechnical drilling at an offsite location located 1.5 miles from the subject site, where two 30-foot-deep borings encountered sand and silty sand sediment from a few feet below ground surface to the base of each boring. As such, the depth to a restrictive clay layer at the offsite location was found to be greater than 30 feet. Based on a conservative assumed depth to a restrictive clay layer of 30 feet and the depth to static groundwater beneath the SCM at the time of our earlier site evaluation (i.e., approximately 4.6 feet), the initial saturated aquifer thickness at the subject site was estimated to be 25.4 feet. Infiltration Basin Information The numerical model required assigning values for the planned infiltration basin's footprint dimensions, storm event recharge rate, and storm event duration and recovery period. A description of the assigned values is provided below. • Infiltration Basin Dimensions: Estimated infiltration basin dimensions were provided by the site's civil engineering firm, Right Angle Engineering, PLLC. Basin dimensions of 240 feet by 70 feet were assigned to the model. ECS was informed that the area of the planned basin's footprint will be approximately 16,951 square feet. • Storm Event Recharge Rate: ECS was requested to model a storm event representing a 1-year, 24-hour storm event, per DEQ requirements. The 1-year, 24-hour storm event corresponds to a storm intensity of 3.75 inches for a duration of 24 hours. ECS was informed by Right Angle Engineering, PLLC, that the average stormwater runoff inflow to the basin during this storm event would be approximately 0.31 cubic feet per second (26,784 cubic feet per day). As such, a recharge rate of 26,784 cubic feet per day was assigned to the model. ECS evaluated the apparent infiltration capacity of the basin in comparison to the expected recharge rate to determine whether the basin is capable of infiltrating the expected average inflow. Based on the average infiltration rate within the SCM of 15.0 inches/hour (30 feet per day; see previous Hydrogeologic Report) and the area of the basin's footprint(16,951 square feet), the infiltration basin would be expected to have the capacity to infiltrate up to an estimated 508,530 cubic feet per day. As such, the expected storm event inflow of 26,784 cubic feet per day represents a fraction of the basin's apparent capacity. • Storm Event Duration and Recovery Period: The simulated storm event was modeled for a duration of one day. Following the 1-day storm period, a 5-day recovery period was modeled to evaluate groundwater mounding subsidence during the recovery period. No stormwater runoff inflows were added to the basin during the recovery period. Groundwater Mounding Evaluation Findings The parameter values described above were input to the MOUNDSOLV software program and simulations were performed using the Ziotnik et al. (2017) solution. Model findings indicate that the maximum groundwater mounding beneath the planned infiltration basin at the conclusion of the 1-day storm event would be approximately 1.86 feet and groundwater mounding would decline in a laterally outward direction from the center of the basin. Please note that, with regard to Figure 1- B, a value of"0" on the y-axis represents the static groundwater level, which for this evaluation can be considered a representation of the seasonal high water table level or any other static level, as our evaluation does not consider actual groundwater elevations. Modeling the 5-day recovery period following the termination of the 1-day storm event indicates that a maximum residual mounding of approximately 0.20 feet would exist beneath the center of the basin at the conclusion of the recovery period. As with mounding during the storm event, the height of mounding would decline in a laterally outward direction from the center of the basin. It is important to note that the residual mounding values represent an approximation of actual conditions, as the mounding analysis was completed using a relatively simplistic two- dimensional model without consideration for hydrogeologic boundary conditions or a sloping water table. It is ECS's opinion that the actual mounding height would be at or very near the static water level at the conclusion of a 5-day recovery period. Please note that, with regard to Figure 2-B, a value of"0" on the y-axis represents the static groundwater level, which for this evaluation can be considered a representation of the seasonal high water table level or any other static level, as our evaluation does not consider actual groundwater elevations. Based on limited data collected at the site and the modeling approach described herein, ECS estimates that the maximum groundwater height beneath the planned infiltration basin would be approximately 1.86 feet at the conclusion of a 1-year, 24-hour storm event. It is estimated that the groundwater mound would subside to a maximum height of approximately 0.20 feet or less during a 5-day recovery period following the storm event. Closing ECS's analysis of the site has been based on our understanding of the site, the project information provided to us, and the data obtained during our evaluation. (Figure 1). ECS was then requested to provide a Hydrogeologic Evaluation of the site in accordance to the North Carolina Department of Environmental Quality(NCDEQ) standard for relaxing the 24-inch separation between infiltration systems and the SHWT. This letter, with attachments, is the report of our evaluation. Field Testing On December 12, 2022, ECS conducted an exploration of the subsurface soil and groundwater conditions, in accordance with the NCDEQ Stormwater Design Manual section A-2, at three requested locations shown on the attached Boring Location Plan (Figure 1). ECS used GPS equipment in order to determine the boring locations. The purpose of this exploration was to obtain subsurface information of the in situ soils for the SCM area(s). ECS explored the subsurface soil and groundwater conditions by advancing three hand auger.borings into the existing ground surface at the requested boring locations. ECS visually classified the subsurface soils and obtained representative samples of each soil type encountered. ECS also recorded the SHWT and groundwater elevations observed at the time of the hand auger borings. The attached Infiltration Testing Form provides a summary of the subsurface conditions encountered at the hand auger boring locations. The SHWT and groundwater elevations were estimated at the boring location below the existing grade elevation. Hydrogeologic Evaluation There are required components listed in the NCDEQ Stormwater Design Manual in order to reduce the 24-inch separation between infiltration systems and the SHWT. In order to evaluate the hydrogeologic conditions of an area designated for an infiltration SCM, these components are evaluated. Below are the required component descriptions for this site. • The site is located in the Coastal Plain Physiographic Province. The Coastal Plain is composed of seven terraces, each representing a former level of the Atlantic Ocean. Soils in this area generally consist of sedimentary materials transported from the other areas by the ocean and rivers. These deposits vary in thickness from a thin veneer along the western edge of the region to more than 2,000 feet near the coast. The sedimentary deposits of the Coastal Plain rest upon consolidated rocks similar to those underlying the Piedmont and Mountain Physiographic Provinces. The groundwater flow direction is believed to be to the north-northwest towards the Intracoastal Waterway (ICW), based on surface topography. G The site was observed to be similar in elevation by a few feet from the east to the west. The site is bordered by residential and undeveloped properties that are bound by Cutlass Drive and South Shore Drive. No stormwater treatment SCM was observed. No abandoned wells or rock outcrops were observed. • Based on regional geology and observations made in a previous geotechnical boring approximately a 1.5 miles from the current site advanced by ECS on July 29, 2021 (see attached boring sounding logs), the site consists of surficial deposits of sandy sediment with silt and clay to a depth of at least 30 feet. This boring is located 1.5 miles from the site (along Atkinson Road). The Castle Hayne Limestone underlies the surficial sediment at depths greater than 30 feet. • The saturated infiltration rate, which is analogous to the vertical hydraulic conductivity rate, of the surficial sediment within the proposed SCM footprint was tested and resulted in a value of approximately 15.0 inches per hour(30 feet/day), based on values obtained 2 Report of Hydrogeologic Evaluation Accolade Surf City, Pender County, North Carolina ECS Project No. 49.19617 May 2, 2023 and averaged from infiltration testing of borings I-1, 1-2 and 1-3. The ratio of vertical hydraulic conductivity to horizontal hydraulic conductivity (i.e., anisotropic ratio) typically ranges between 0.1 and 0.5 for unconsolidated sediments, not including clay. Site- specific horizontal hydraulic conductivity testing would be required to evaluate the anisotropic ratio at the subject site. However, in lieu of this information, ECS has estimated the site's anisotropic ratio as a means to assessing the site's horizontal hydraulic conductivity. Based on grain sizes encountered at tested locations and the resulting vertical hydraulic conductivity values, it appears most likely that an anisotropic ratio closer to the mid to upper end of the typical anisotropic ratio range would yield horizontal hydraulic conductivity values that are more typical of the sediment encountered at the tested locations. An anisotropic ratio of 0.4 was used. As such, utilization of an anisotropic ratio of 0.4 yields an average horizontal hydraulic conductivity value at tested locations of approximately 75 feet/day. Based on this horizontal hydraulic conductivity value and the approximate saturated unconfined aquifer thickness beneath the site (at least 25.4 feet) (this thickness is based on the geotechnical boring, which was terminated at 30 feet below the existing grade elevation, and a depth to groundwater at the site of approximately 4.6 feet), transmissivity (i.e., horizontal hydraulic conductivity multiplied by saturated aquifer thickness) was estimated to be approximately 1,905 square feet per day. It is possible that the actual aquifer transmissivity is higher than 1,905 square feet per day, as the saturated aquifer thickness overlying a confining layer may be greater than 25.4 feet. • The SHWT was observed between 30 and 58 inches below the existing grade elevation at the locations tested. • The surficial aquifer of the site consists of sandy conditions where groundwater is assumed to flow under unconfined conditions. The site currently consists of undeveloped areas. Stormwater is currently infiltrating into the natural areas. A proposed infiltration SCM (infiltration system) is to be constructed in order to contain and treat the runoff of the anticipated impervious areas. • Groundwater recharge at the site in its current state consists of direct surface infiltration of precipitation at the vegetated portions of the site and infiltration of runoff of precipitation into the grassy .areas of the site. The groundwater receptors in the area consist of the Intracoastal Waterway, which is approximately 500 feet to the northwest of the site. The topography of the area is variable and the subsurface flow media consists of clean sands which results in surface water movement in the swales with most surface water removal by infiltration. The pre and post flow calculations for the site will be generated by Right Angle Engineering, PLLC and will be submitted separately from this report. • A mounding analysis was generated utilizing the United States Geological Survey (USGS) spread sheet solving the Hantush (1967) equation for groundwater mounding beneath an infiltration basin. The data used for calculating the mounding conditions was collected from site specific field data, design data, and soil characteristics. On the chart, 3 Report of Hydrogeologic Evaluation Accolade Surf City, Pender County, North Carolina ECS Project No. 49.19617 May 2, 2023 (R) represents a one inch storm event over a 12 hour period (i.e., a storm event infiltration rate of 0.1667 feet/day for an infiltration period duration of 0.5 days). The mounding analysis accounts for precipitation that directly enters the stormwater basin and does not account for all stormwater runoff that will enter the basin. This site is classified by NCDEQ as SA (Protected Market Shellfish and Tidal Salt Water). Rule 15A NCAC 022H.1019 and 1051 references that within SA designated areas, the storm event rate should be 3.85 inches per 1.0 days. Specific yield (Sy) was estimated as 0.32, based on values for similar sediment types published within the USGS Compilation of Specific Yield for Various Materials by A.I. Johnson, 1963. Horizontal hydraulic conductivity (K) was calculated based on infiltration rate data measured in the field and is referenced in the text above. it is recommended that a value of 15 inches per hour infiltration capacity, which is estimated to be comparable to a horizontal hydraulic conductivity rate of approximately 75 feet/day, be used for this analysis and for the SCM design. Basin dimensions (X and Y) were provided by Right Angle Engineering, PLLC (the site civil designer). A mounding analysis was generated for the SCMs being designed using the data collected from the borings that are located within the planned SCM footprint. As previously discussed, the infiltration period duration (T) was assigned as 1 days to simulate a 3.85 inch storm event over a 24 hour period. The USGS mounding spreadsheet is only capable of calculating the maximum groundwater mounding height and maximum thickness of the saturated zone at the end of a storm event, and is not designed to calculate the rate of groundwater mounding subsidence. Thickness of the saturated zone HI(0) was estimated to be 25.4 feet, as discussed above. The spreadsheet is included with the attachments. The maximum mounding at the end of the storm event beneath the infiltration basin is calculated to be 0.16 feet, given the aforementioned limitations of this approach. Based on limited data collected at the site, ECS does not anticipate groundwater mounding beneath the proposed stormwater retention basins resulting from precipitation directly entering the infiltration basins and not accounting for potential stormwater runoff to exceed approximately 0.46 feet following a storm event of 3.85 inch over a 24-hour time period. Groundwater mounding would be expected to subside significantly during a dry period of 5 days following the storm event. If an additional evaluation of the potential groundwater mounding including the post-flow design criteria within the stormwater basin drainage area is necessary, ECS can provide this data in a separate report. Project Description: The Accolade subdivision is a proposed development containing 43 single family lots on a 15.39 ac. parcel zoned R-5. The subject property, located on Topsail Island near the southern Surf City Limits line, is bordered by Hwy 50 to the south, Cutlass Drive to the west and Topsail Sound waters to the north. The property is primarily wooded, and a detailed Tree Survey has been completed as well as a Soil Suitability Analysis. The land disturbing activity associated with the project will consist of select clearing and grubbing of trees, clearing existing drainage swales, grading of the site, and sediment and erosion control measures such as a silt fence, gravel construction entrance, and infiltration basin. The basin will act as sediment basin during construction but will be sized for 90% TSS removal of impervious area runoff with complete infiltration. Also included in the project will be storm piping, water lines, and sewer lines, and paved parking areas with curb and gutter. A community area will also be built with clubhouse, pool, and picnic shelter. Lots will not be mass graded. The total area which will be disturbed for this project is approximately 4.25 acres. 2. Site Description: The project site is in Surf City, Pender Co., NC, located directly to the west of Highway 50. The property on which the development will take place is currently owned by Pirates Cove Development Company, LLC. The subdivision layout will include internal Private Roads with connections onto both Cutlass Drive and Hwy 50. The main entrance will be from Hwy 50. The street layout provides circulation and property frontage for min. of 50' wide lots, 50' R/W and a 20' paved roadway with curb and gutter. It is intended to review options of both the road alignment and roadway bifurcation to preserve specimen Trees. On site soils consist of Newhan Corolla complex. These soils are mainly loamy, fine sands of USCS classification of SP fine sand. There are existing wetlands onsite that have been delineated and shown on plans. No wetland impacts are proposed. New construction onsite will consist of paved roads with curb and gutter, curb inlets, storm piping, and infiltration basin. The property is served by Surf City Public Water and limited Sewer. There is a Surf City Sewer Pump Station located on-site. However, due to limited sewer capacity, only 10 connections are available. The remaining lots will be served by individual septic systems and pump-to septic fields. The pump-to systems will include a deeded septic lot for the building lot being served. As indicated above, a Soils Suitability Analysis was conducted by a Soil Scientist and serves as a guide to placing lots within suitable soil areas. The Public Water System will require the extension of the existing Hwy 50 water main into the site with a loop connection on Cutlass Drive. The main extension will include the required Fire Hydrants. General slope of the site is from center to north. Land use in the vicinity is residential. Accolade Subdivision March 2023 3. Adjacent Property: The areas adjacent to the project site are mostly residential areas and the intracoastal waterway. 4. Drainage Considerations: The project will have two separate drainage areas. The area adjacent to the ICWW will be low density with built upon area being below 12% which will be the residential lots with driveways. The second drainage area will be for all of the roadways, sidewalks, community area, and remaining residential lots and will be considered High Density at approximately 48.2%. Drainage calculations to determine the size of storm piping is attached in the appendix — Storm Piping Calculations. The project site is graded so that storm water drains into strategically placed curb inlets. From the curb inlets, storm water will empty into a network of storm pipes which drain into the new infiltration basin. Calculations showing the sizing of the stormwater detention basin are shown in the attached appendix— Stormwater Calculations. The infiltration basin will be sized where the required temporary storage volume was determined using the SCS Curve Number Runoff Method with TR55 Time of Concentration of Type III Distribution for pre/post of the 1 year 24 hour event. The basin will hold over 3 times the required volume and infiltrate within 2 days. 5. Erosion Control Considerations: The following erosion control measures are used on this project: 1. Temporary Gravel Construction Entrance/Exit To prevent sediment from leaving the site, temporary gravel construction entrances should be installed where the project entrance falls onto Galloway Road. For dimensions and specifications, see construction details. 2. Land Grading The existing slope of the site is from center to west and east towards the back of the property. Most of the disturbed areas on the site will drain into curb inlets which will empty into stormwater piping and drain into onsite detention ponds. 3. Silt Fence Silt fence should be installed prior to clearing and grading activities. Silt fence should be checked routinely. If needed, silt fence should be cleaned and replaced if damaged. See Construction Detail for dimensions and specifications. 4. Inlet Protection Inlet protection consisting of a small portion of silt fence surrounding proposed curb inlets will be utilized to prevent sediment from entering the drainage system. See Construction Detail for dimensions and specifications. 5. Infiltration Basin Basin will be built to control sediment from leaving the site. The basin will be cleaned of any sedimentation during construction once the site has been fully stabilized. See Construction Detail for dimensions and specifications. Accolade Subdivision March 2023 6. Temporary Rock Check Dam Rip rap dams constructed at discharge points of the temporary construction ditches and ditches that will remain on site. These check dams will serve as temporary sediment traps until the detention ponds are constructed and vegetation is established in the existing drainageways that are to be cleaned out. See Construction Detail for dimensions and specifications. 6. Construction Schedule: 1. Obtain plan approval and other applicable permits. 2. Hold pre-construction meeting at least one week prior to beginning construction. 3. Install temporary construction entrance/exits. 4. Before clearing and grading of the site, install silt fencing and clean and replace as necessary. Install temporary rock check dams. 5. Build onsite skimmer sediment basins that will become detention ponds. 6. Check existing swales and clear as necessary. 7. Begin clearing and grading of the site. 8. Install storm piping beginning at sediment basins continuing upstream while constructing onsite curb inlets with inlet protection along the way. 9. Install sewer and waterlines and pave new roadway. 10. Clean basin of deposited sediments back to virgin soil once site has been fully stabilized. 11.All erosion and sediment control practices will be inspected bi-weekly and after each rainfall event. Needed repairs will be made immediately. 12.After the entire covered area is stabilized, all temporary measures will be removed and permanent vegetative repairs to be completed. 7. Vegetation Plan: 1. After complete stabilization of the entire covered area, top cover soils will be roughened by making 1"-2" deep grooves perpendicular to the slope. 2. Spread lime (agricultural limestone) evenly over the area at a rate of 1.5 tons/acre; spread 10-10-10 fertilizer at a rate of 1000 lb/acre and incorporate into the top 6" of soil. 3. Loosen surface prior to applying seed. 4. Broadcast seed at recommended rates. Accolade Subdivision March 2023 5. Rake seed into the soil and lightly pack to establish good contact. 6. Mulch with 4000 lb/acre grain straw or equivalent and anchor by weighted farm disc set nearly straight or other mulch anchoring tool, 7. Mow as needed and refertilize in late winter or early spring by topdressing with 10- 10-10 fertilizer. 8. Graded surfaces shall not be exposed without grass coverage for more than 15 days. If grades are not complete and exposure is more than 15 days, temporary seed with rye grain at 50 lb/acre. 8. Maintenance Plan: 1.
