CLEARWATER MITIGATION SOLUTIONS, LLC
BILL OF SALE
BILL OF SALE, made as of the 28 b day of June 2024, by Clearwater Mitigation
Solutions, LLC, a North Carolina limited liability company ("Seller"), to Raleigh -Durham
Airport Authority (`Buyer").
WHEREAS, Seller and Buyer have entered into that certain Mitigation Credit
Purchase Agreement dated December 12, 2023 (the "Agreement"), with respect to the sale
by the Seller and purchase by the Buyer of riparian wetland mitigation credits generated
within the Clearwater Neuse 01 Umbrella Mitigation Bank. This Bill of Sale does not
amend the Agreement in any way.
NOW, THEREFORE, for and in consideration of the payment of the Purchase
Price (as defined in the Agreement) and other good and valuable consideration, the receipt
and sufficiency of which are hereby acknowledged, Seller hereby sells, assigns, conveys,
delivers and sets over to Buyer, its successors and assigns, 4.99 acres of riparian wetland
mitigation credits generated at the Clearwater Neuse 01 Umbrella Mitigation bank as such
are described in the Agreement.
TO HAVE AND TO HOLD all such riparian wetland mitigation credits sold to
Buyer and its successors and assigns forever. Transfer of such Buffer Credits to Buyer shall
occur as described in Section 3 of the Agreement.
IN WITNESS WHEREOF, Seller has caused this Bill of Sale to be executed by its
duly authorized representative as of the date first above written.
