Site Narrative
Total Site Area:47.03 Acres
Total Onsite Disturbed Area:6.98 Acres
Existing Conditions
The proposed development site is in Bailey Township, Nash County along Old Smithfield Road,across from Rock
Quarry Road (S.R. 1965)at coordinates 35.783786°,-78.075797°. The overall site is bounded by Beaverdam Creek
to the north, Mackenzie Road to the east,agricultural land to the west and Old Smithfield at the south. The
project area is clear and used for agricultural purposes,except for a small portion of woods adjacent to Beaverdam
creek. The existing topography of the project area is mostly 0-4%with some up to 6%slopes in the cleared areas,
with steeper(2-6%&6-10%) slopes in the wooded areas. The soils are made up of hydrologic soil group A, B, D,
and A/D soils.
The northern portion of the site is located just south of Beaverdam creek in the Upper Toisnot Swamp watershed
of the Neuse River Basin. The HUC is 030202030301/stream index 27-86-11-3),which falls in the WS-III, nutrient
sensitive water(NSW)classification,a protected area. The southern area of the development falls towards the
Bloomery Swamp C; NSW; HUC 0302020304/stream index 27-86-6-2,also in the Neuse River watershed.
The project area is comprised of Zone X"area of minimal flood hazard" per FEMA map number 3720276400J,
effective on 11/3/2004.
A minimum 50' buffer is maintained between the surveyed "Area of Inundation"along Beaverdam Creek and the
disturbed area.A 50' riparian buffer site has been identified;grading for the installation of a stormwater outfall
and placement of a level spreader is proposed within 'Zone 2' (outer 20')of the buffer. No impervious is proposed
within 'Zone 2' and the inner 30'shall remain undisturbed.
Erosion Control
The erosion control plan consists of the following practices. See construction sequence for further details.
• One temporary gravel construction entrance is proposed at Road A and Old Smithfield Road,an existing
60' public right-of-way. (NCDEQ Practice 6.06)
• Silt fence is proposed along the downslope perimeter of all disturbed areas and along the road as shown
on the plans. Silt fence installation is intended to detain sediment-laden runoff, protecting adjacent
properties and waterways. Silt fence is to be checked weekly or after any%"or greater rainfall event with
any required repairs being made immediately. Any torn,collapsed,decomposed,or otherwise ineffective
fabric is to be replaced promptly. Excess sediment deposits are to be removed routinely to ensure
adequate capacity for future runoff events. (NCDEQ Practice 6.62)
• Grass-lined cleanwater ditches are proposed. These cleanwater ditches are to be constructed and
stabilized early in site development and are intended to intercept water flowing from offsite and direct it
to the pond without that water becoming sediment laden due to development. North American Green
Erosion Control Blankets shall be installed per the calculations on Sheet C-05 to provide temporary liner
and an approved seed mix will be utilized as a permanent liner. Until grass has been established,the
grass-lined channels will be checked after each rainfall event, paying particular attention to channel or
pipe outlets and bank stability. After grass is established,the channel will be checked after every rainfall
event greater that%". Repairs are to be made immediately. (NCDEQ Practice 6.30). The drainage area
for each cleanwater ditch was delineated using AutoCAD Civil3d and their slopes were determined;this
data along with the design bottom width,side slopes,and maximum depth data was used to populate a
computational spreadsheet to verify the capacity of and determine the liner types for each cleanwater
ditch. See attached calculations and Drainage Area Exhibits.
• Skimmer basins are being proposed to protect the worksite and cleanwater ditches from sediment-laden
runoff. Liners will be installed as indicated on sheet C-06. Diversions are to be inspected weekly and
after every rainfall, removing sediment and repairing ridges as needed. If channel erosion occurs and
timely installation of nonerosive liners may be delayed,check dams may be temporarily installed. (NCDEQ
Practice 6.20)The drainage area for each diversion ditch was delineated using AutoCAD Civil3d and their
slopes were determined;this data along with the design bottom width,side slopes,and maximum depth
data was used to populate a computational spreadsheet to verify the capacity of and determine the liner
types for each diversion ditch.
• Check Dams are proposed near the ends of cleanwater ditches that discharge to reduce channel velocity
prior to discharge.Check dams are also to be installed as needed along the temporary diversions to
reduce velocity along diversions. Check dams are to be inspected weekly and after every rainfall event of
%"or greater and repair is to occur immediately. Sediment accumulation, limbs,and other debris that
may clog the channel shall be removed as needed. The periodic addition of additional stones may be
required to maintain dam height. (NCDEQ Practice 6.83)
• Silt Sock/Wattle for Check Dam is proposed along ditches to protect against excessive velocities per sheet
C-04 layout per detail on C-07. (NCDEQ Practice 6.67)
• Riprap dissipator pads are proposed at the discharge point of the roadside culvert and stormwater pipe at
Dalton Road to reduce the velocity of water discharging from the pipe,dissipate energy,and prevent
erosion. Dissipator pads are to be checked weekly and after every rainfall event of%"or greater, paying
particular attention to dislodged stones and erosion around or immediately downstream of the riprap.
Repairs are to be made immediately.(NCDEQ Practice 6.41)
• Temporary seeding will be applied in according to the North Carolina Erosion and Sediment Control
Planning and Design Manual recommendations for temporary seeding for the Piedmont area to all areas
that will not be brought to final grade within 21 days. Slopes greater than 3:1 will require mulching.
Reseeding and mulching may be required where emergence is poor. These areas are to be protected
from traffic as much as reasonably possible and will not be mowed. (NCDEQ Practice 6.10)
• Permanent seeding will be applied in accordance with the North Carolina Erosion and Sediment Control
Planning and Design Manual recommendations for temporary seeding for the Piedmont areas not
otherwise having temporary stabilization within 15 workdays or 90 calendar days of reaching permanent
grade. (NCDEQ Practice 6.11)
Sequence of Construction
Phase 1- Initial Site Preparation
1. Call the Raleigh Regional Office of NCDEMLR at 919-791-4200 to schedule a preconstruction meeting prior
to beginning any land disturbing activities(including timbering or demolition of existing structures).
2. Install inspection box and rain gauge with required documents.
3. Per the NPDES permit,ground stabilization will be applied within 14 calendar days from last land
disturbing activity. For steep slopes,that area must be stabilized within 7 calendar days.
4. Install construction entrance,silt fence,and silt fence outlets prior to any land disturbing activities
(including any tree clearing or demolition).Clear only as necessary to install these devices as specified on the
approved plan sheet. Install all other erosion control measures as required by NCDEQ including barriers and
diversion ditches as needed.Clear only as necessary to install these devices. Install ditch liners and temporary
culvert pipe as noted on plans.Seed temporary diversions, berms immediately after installation. Install coir wattles
or check dams in temporary diversions per plan and ditch spacing detail on sheet C-07.
5. All diversions and permanent ditches will be lined to the top of the bank. See details for rolled Erosion
Control Products and seeding on sheet C-06.
6. Install proposed 24"culvert and dissipation pad at Old Smithfield Road per approved dot plans and
calculations shown on C-05.
7. Install silt fence and silt fence outlets as shown, including silt fence surrounding three sides of the
stockpile and staging area, leaving openings on the upslope side of the enclosure.See details C-07.
Phase 2-Conveyance And Sediment Capture Installation
8. Install Clean Water Diversions(CWD)with check dams and/or wattles as needed and stabilize slopes per
NCG01 ground stabilization and materials handling notes(sheet C-07). Note removal of existing culvert along new
roadside ditch.
9. Install all skimmer basins.Stabilize slopes per NCG01 ground stabilization and materials handling notes.
Discharge water into the basin in a manner to prevent erosion. Provide a stable conveyance from diversions into
basins(i.e. rip rap lined channel,slope drain,tarp,etc.). Provide stable conveyance(extend pipe, provide tarp or
other acceptable practice)from outlet of skimmer to perimeter silt fence/silt fence outlet. (15a NCAC 04b.0106(4))
10. Install Temporary Diversion Ditches(TDD)as shown starting downstream to upstream.Stabilize slopes per
NCG01 ground stabilization and materials handling notes.
Phase 3-Rough Grading,Culvert,Water Installation Phase
11. Stockpiles, laydown or waste areas,concrete washouts, portable toilets,and fuels must be located at least
50 feet away from any open water conveyances,such as basins,ditches,storm drain inlets,etc.The location of
these activities may be field adjusted if the distance requirements are met.
12. Begin rough grading the site. Temporarily seed or stabilize any denuded areas as per NCG01 ground
stabilization and materials handling notes.
13. Install culverts,dissipation pad and stone filter inlet protection for each.
14. Begin installation of water lines. Install ground stabilization as portions of waterlines are completed.
15. Inspect and maintain erosion control devices weekly and after each% rainfall event throughout
construction. Perform any repairs immediately.
Phase 4- Late Construction Phase
16. Finish grading the site and install all improvements.
17. Seed and straw any remaining denuded areas per NCG01 Ground Stabilization and Materials Handling
notes and seeding tables.
Phase 5-Removal of Devices
18. Once vegetation is established over the entire site,call owner,engineer,and inspector for a final
inspection. Upon approval,clean out the sediment basin using dewatering bag under continuous observation (see
sheet C-08 for complete details)and temporary diversions and bring to final grades. Remove all remaining erosion
control devices,grade the areas of removed devices and seed and straw any denuded areas immediately.
19. When the project is complete,the permittee shall contact DEMLR to close out the E&SC plan.After
DEMLR informs the permittee of the project close out,via inspection report,the permittee shall visit
DEQ.NC.GOV/NCG01 to submit an Electronic Notice of Termination (E-NOT).A$100 annual general permit fee will
be charged until the E-NOT has been filled out.

Map Unit Descriptions
The map units delineated on the detailed soil maps in a soil survey represent the
soils or miscellaneous areas in the survey area. The map unit descriptions, along
with the maps, can be used to determine the composition and properties of a unit.
A map unit delineation on a soil map represents an area dominated by one or more
major kinds of soil or miscellaneous areas. A map unit is identified and named
according to the taxonomic classification of the dominant soils. Within a taxonomic
class there are precisely defined limits for the properties of the soils. On the
landscape, however, the soils are natural phenomena, and they have the
characteristic variability of all natural phenomena. Thus, the range of some
observed properties may extend beyond the limits defined for a taxonomic class.
Areas of soils of a single taxonomic class rarely, if ever, can be mapped without
including areas of other taxonomic classes. Consequently, every map unit is made
up of the soils or miscellaneous areas for which it is named and some minor
components that belong to taxonomic classes other than those of the major soils.
Most minor soils have properties similar to those of the dominant soil or soils in the
map unit, and thus they do not affect use and management. These are called
noncontrasting, or similar, components. They may or may not be mentioned in a
particular map unit description. Other minor components, however, have properties
and behavioral characteristics divergent enough to affect use or to require different
management. These are called contrasting, or dissimilar, components. They
generally are in small areas and could not be mapped separately because of the
scale used. Some small areas of strongly contrasting soils or miscellaneous areas
are identified by a special symbol on the maps. If included in the database for a
given area, the contrasting minor components are identified in the map unit
descriptions along with some characteristics of each. A few areas of minor
components may not have been observed, and consequently they are not
mentioned in the descriptions, especially where the pattern was so complex that it

Pursuant to §55-11-05 of the General Statutes of North Carolina,the undersigned corporation do' .
hereby submit the following Articles of Merger as the surviving corporation in.a merger between
two domestic corporations.
1. Parties to Mer .er. The name of the surviving corporation is Barnes Land Corporation, a
corporation organized under the laws of North Carolina;the name of the merged corporation is BLC
Merger, Inc., a corporation organized under the laws of North Carolina.

prescribed by law by the board of directors of each of the corporations participating in the merger.

was required for the rnerger, and the plan of merger was approved by the shareholders as required by

1. Corporations Participating In Merger.
(a) BLC Merger, Inc. is a corporation existing under the laws of the State of North
Carolina,having been incorporated by Articles of Incorporation filed in the Office of the Secretary of
State of North Carolina on May 13,2005. The authorized capital stock of BLC Merger,Inc.consists
of 100,000 shares of common stock (no par) with full voting privileges of which 100 shares are
outstanding.

of the State of North Carolina, having been incorporated by Articles of Incorporation filed in the
Office of the Secretary of State of North Carolina on April 4,2004. The authorized capital stock of
Bames Land Corporation consists of 100,000 shares of common stock (no par) with full voting
privileges of which 100 are outstanding.
2. Name and Purpose of Surviving Corporation.
The name of the surviving corporation shall be Barnes Land Corporation, The
purpose for which the surviving corporation is formed and the nature of the business to be transacted
by it shall be as set forth in the Articles of Incorporation of Barnes Land Corporation, filed with the
Secretary of State of North Carolina on the 4''day of April, 2004.
3. Terms and Conditions of Mer er.
BLC Merger, Inc., herein merged corporation, shall be merged into Barnes Land
Corporation, herein surviving corporation, pursuant to the terms and conditions of this Plan as
follows:
(a)' The tf N df Which the merger becomes effective is the date of filing the Articles
of Merger in the office of the Secretary of State,and is hereinafter referred to as the"Effective Date",
(b) Until altered, amended or repealed,as therein provided, the by-laws of Barnes
Land Corporation, as of the Effective Date, shall be the by-laws of the surviving corporation,
(c) The first Board.of Directors of the surviving corporation after the state when the
merger provided for herein shall become effective shall be the directors of Barnes band Corporation
in office as of the Effective Date.

(d) The first annual meeting of the stockholders of the surviving corporation held
after the date when this plan becomes effective shall be the annual meeting as provided by the by-
laws of Barnes Land Corporation as of the Effective Date,
(e) The officers of the surviving corporation, who shall hold such offices as are set
before their names from and after the Effective Date and until the first meeting of the Board of
Directors to be held thereafter, are as follows:

into effect and of accomplishing the merger.
(h) Upon the date when this merger shall become effective,the separate existence of
the merged corporation shall cease and the merged corporation shall be merged into the surviving
corporation in accordance with the provisions of this plan,which surviving corporation shall possess
all the rights, privileges, powers and franchises, as well of a public as of a private nature, and be
subject to all the restrictions, disabilities, and the duties of the merged corporations and all and
singular,the rights,privileges,powers and franchises of each of said constituent corporation,and all
property,real,personal and mixed, and all debts due to each of such corporations shall be vested in
the surviving corporation; and all property,rights and privileges,powers and franchises and all and
every other interest shall be thereafter as effectually the property of the surviving corporation as they
were of the merged corporation,and the title to any real estate,whether by deed or otherwise,vested

it.
if at any time the surviving corporation shall consider or be advised that any further
assignments or assurances in law or any things are necessary or desirable to vest in said corporation,
according to the terms hereof, the title to any property or rights of the merged corporation, the
merged corporation shall 'and will execute and make all such proper assignments and assurances and

4. Conversion and Exchange.
Immediately alter and upon the effective date of the merger, the capital structure of

(a) The outstanding 100 shares of common stock of BLC Merger, Inc. will be
surrendered and cancelled.
(b) Each of the outstanding 100 shares of common stock of Barnes Land Corporation
owned by Barnes Family Farms Corp.outstanding on the Effective Date of the merger shall continue

(c) No other common shares or securities or obligations convertible into common
shares of the surviving corporation are to be issued or delivered under the Plan of Merger.
S. Abandonment of Merger.

of and upon the resolution of the Board of Directors of the surviving corporation and a two thirds
majority vote of its shareholders.

RECITAL
1. BLC Merger, Inc. is a wholly owned subsidiary of Barnes Farming Corporation.
2. Pursuant to a restructuring of Barnes Farming Corporation,a holding company structure consisting of
Barnes Family Farms Corp., as the parent, and Barnes Farming Corporation and Barnes Land
Corporation, as the wholly owned subsidiaries, was formed.
3, Barnes Farming Corporation then formed BLC Merger,Inc.and conveyed to BLC Merger,Inc. all real
property owned by Barnes Farming Corporation.
4. BLC Merger, Inc. has agreed pursuant to a Plan of Merger to merge with and into Barnes Land
Corporation, which will be the survivor to the merger.
5. Upon completion of the aforesaid merger, Barnes Land Corporation will be the fee owner of the
property described herein.
WITNESSETH, that the Grantor, without consideration and solely for the purpose of changing the form of
ownership, has and by these presents does grant, bargain, sell and convey unto the Grantee in fee simple all those
certain parcels of land situated in Nash County, North Carolina and more particularly described as follows:
See Exhibit A which is attached hereto and incorporated herein by reference
TO HAVE AND TO HOLD the aforesaid parcels of land and all privileges and appurtenances thereto belonging to
the Grantee in fee simple.
And the Grantor covenants with the Grantee, that Grantor is seized of the.premises in fee simple, has the right to
convey the same in fee simple,that title is marketable and free and clear of all encumbrances, and that Grantor will
warrant and defend the title against the lawful claims of all persons whomsoever except for the exceptions
hereinafter stated. Title to the property hereinabove described is subject to the following exceptions:
(a)All valorem taxes for the current year assessed but not paid.
(b) Easements, right-of-ways, and matters of public record.
(c) Matters of survey.
(d) The lien of that deed of trust from Barnes Fanning Corporation to David C. Morris, Trustee dated
December 10, 2003,recorded in Book 2021, Page 101, Nash County Registry, securing East Carolina
