Page 1 of 7 4077520v2.JBB.33510.T30488 16877 0352 NOW, THEREFORE, for a valuable consideration, including the benefits Grantor may derive from the use and occupancy of the Property and from the approval of the stormwater control measures described herein,the receipt of which is hereby acknowledged, Grantor has bargained and granted and by these presents does hereby bargain and grant unto Grantee, its successors and assigns, a perpetual right and easement on and across the Property in the area shown as "Access Easement, 1.77 Acres" on Exhibit B titled "Easement Survey, Property of: 14205 Slatebrooks" attached hereto and incorporated by this reference for the purpose of permitting Grantee to inspect and, if necessary, maintain and repair the stormwater control measures as more fully set forth herein(the "SCM Easement"). The terms, conditions, and restrictions of this Easement and Agreement are as follows: 1. A description of the specific stormwater control measures required on the Property as well as the maintenance requirements pertaining to such stormwater control measures on the SCM Easement are more fully set forth in the "Operation & Maintenance Agreement, Project Name: Atlantic & Southern (formerly Pinnacle Cranes); Project Location: 14211 Slatebrooks Drive"attached hereto as Exhibit C and incorporated by this reference (the "Operations and Maintenance Manual"). Grantor will perform, at its sole cost and expense, all maintenance requirements set forth in the Operations and Maintenance Manual with respect to the stormwater control measures on the Property within the SCM Easement. 2. Grantor represents and warrants that Grantor is financially responsible for construction, maintenance, repair, and replacement of the stormwater control measures, appurtenances, and vegetation. Grantor agrees to perform the maintenance as outlined above and in the Operations and Maintenance Manual in consideration of the Certificate of Compliance with stormwater regulations received for the Property. 3. If Grantor fails to comply with these requirements, or any other obligations imposed herein or in the Operations and Maintenance Manual then, with reasonable advanced notice to Grantor, Grantee may perform such work as Grantor is responsible for and recover the costs thereof from Grantor. 4. This Easement and Agreement gives Grantee the following affirmative rights: Grantee, its officers, employees, and agents, may enter the SCM Easement whenever reasonably necessary for the purpose of inspecting same to determine compliance herewith, to maintain same and make repairs or replacements to the stormwater control measures and appurtenances and conditions as may be necessary or convenient thereto in the event Grantor defaults in its obligations and to recover from Grantor the cost thereof, and in addition to other rights and remedies available to it, to enforce by proceedings at law or in equity the rights, covenants, duties, and other obligations herein imposed. 5. Grantor shall in all respects remain the fee owner of the Property and the area subject to this easement and may make all lawful uses of the Property not inconsistent with this easement. Without limiting the foregoing, Grantor may install and maintain fences and gates over the areas of the SCM Easement so long as, following reasonable advanced notice and request from Grantee, Grantor provides reasonable access to the SCM Easement through such gates. Nothing herein contained shall be deemed a gift or dedication of any portion of the Property to the general public or for any public use or purpose whatsoever, and except as herein expressly provided for Grantee, no rights, privileges, or immunities of Grantor shall inure to the benefit of any third party, nor shall any third party be deemed to be a beneficiary of any provisions contained herein. 6. The designation Grantor and Grantee shall include the parties, their heirs, successors, and assigns. The covenants and conditions of this Easement and Agreement shall be binding upon Grantor and its personal representatives, heirs, successors, and assigns and all other successors to Grantor in interest to the Property and shall continue as a servitude running with the above-described land. Title to the areas constituting the SCM Easement is subject to (i) ad valorem taxes for the year 2024 and subsequent years, (ii) zoning and land use ordinances affecting the Property, (iii) liens, deeds of trust, encumbrances, easements, restrictions, covenants, rights of way, and other matters of record, and (iv) matters which would be revealed by a current and accurate survey of the Property.
