Acting pursuant to a resolution of the Board of Managers of Pilot Travel Centers
LLC (the "Company"), duly adopted on August 31, 2001 and October 31, 2006, the
undersigned, Mitchell D. Steenrod, Senior Vice President and CFO, does hereby delegate
to Joey Cupp, Environmental Compliance Manager of the Company for the period
hereinafter specified, the power and authority, in addition to and not in limitation of any
other power and authority he may have, acting alone and subject to the restrictions and
limitations set forth herein, to sign Environmental documents sent to the State of North
Carolina to enter into commitments and to negotiate, execute, deliver, and perform under
contracts and do and perform all such other acts and things on behalf of and in the name
of the Company, as are necessary and appropriate to accomplish the management,
business, and affairs of the Company in the ordinary course of business, subject in any
case and in all matters to (i) the control of the President of the Company and (ii) the right
of the President of the Company to revoke this power and authority upon written notice to
Joey Cupp, a copy of which notice shall be duly filed with the Secretary of the Company
("Delegation").
Joey Cupp is hereby authorized, acting singly, unless provided otherwise below,
to negotiate, execute, acknowledge, deliver, and perform under, in the ordinary course of
the Company's business, as are necessary and appropriate to accomplish the management,
business and affairs of the company in the ordinary course of business subject in any case
and in all matters relating to the Enviroiunerrtal Documents which are prepzucdni the
regular course of business for the State of North Carolina which include, but is not
limited to, the following facilities attached hereto as Exhibit A.
Joey Cupp is further authorized to execute, acknowledge, deliver and perform
under, in the ordinary course of business, not by limitation but by way of confirmation,
the following types of documents:

Provided, however, nothing contained in this power shall authorize Joey Cupp to
(i) underwrite, warrant, endorse or guarantee the performance, obligation, or other similar
undertaking of any person, Company or other entity whatsoever other than subsidiary
Companies of the Company; (ii) purchase, sell, convey, exchange or lease real estate,
except as expressly provided above; or (iii) underwrite, warrant, endorse or guarantee the
debt obligation of any person, Company or other entity whatsoever.
Joey Cupp shall be authorized to act for all the facilities listed in the attached
Exhibit A and those that may become known in the State of North Carolina in the future
as owned or operated by Pilot Travel Centers LLC. In the event additional facilities have
been added and this Delegation of Authority is still in full force and effect, Joey Cupp in
his position as Environmental Compliance Manager, shall have the authority to notify the
State of North Carolina of any additional facilities covered by this Delegation of
Authority by a letter addressed to the appropriate department and shall have all the rights
assigned to him under this Delegation of Authority in full force and effect as if fast above
stated herein on Exhibit A until the expiration of this Delegation of Authority.
Joey Cupp shall.be authorized to act hereunder from the effective date hereof only
so long as he shall remain an employee of the Company or until such time as this
instrument has been revoked, annulled, and set aside by an instrument of revocation filed
with the Secretary of the Company, or until December 31, 2016, whichever may first
occur.
A photocopy of this Delegation of Authority shall serve as the original.

Underground Storage Tank (UST) system owners and operators are
required by federal and state law to provide notification for all UST systems
that were in the ground on or after May 8, 1986, unless taken out of
operation on or before January 1, 1974. In addition, registration of
commercial USTs in use on or after January 1, 1989 is necessary to comply
with state law (N.C.G.S. 143-215.94C).
A UST system owner is: (a) in the case of a UST system in use on
November 8, 1984, or brought into use after that date, any person who owns
a UST system used for storage, use, or dispensing of regulated substances;
and (b) in the case of any UST system in use before November 8, 1984, but
no longer in use on that date, any person who owned such UST immediately
before the discontinuation of its use.
A UST system operator is any person in control of, or having responsibility
for, the daily operation of a UST system.
The primary purpose of this notification form is to obtain and update
information on UST system locations, ownership, construction, product
stored, leak detection and corrosion protection methods, etc. and to facilitate
permitting and the payment of annual operating fees. It is expected that the
information provided will be based on reasonably available records, or, in the
absence of such records, personal knowledge, belief, or recollection.
Which USTs are included?
Regulated and/or commercial USTs, including the following:
USTs used to store or resell petroleum product (e.g., motor fuels, jet
fuels, waste oil, kerosene, varsol, transmission fluid, mineral spirits,
gasohol, etc.)
• Heating oil USTs > 1,100 gallons (gals)
• Farm or residential USTs > 1,100 gals
• Emergency generator USTs
• Hydraulic lift USTs
• Oil -water separator USTs (containing petroleum in amounts > 1 % of
tank capacity)
• Hazardous substance USTs > 110 gals (e.g., alcohols, naphthalene,
dry cleaning fluids, antifreeze, formaldehyde, hexane, etc.)
Which USTs are excluded?
Certain tanks are not included in these notification requirements. These
tanks include the following: small home heating oil and farm tanks (<_ 1,100
gals), large heating oil tanks (> 1,100 gals) if used to heat four or fewer
households and located on premises where used, septic tanks, storm water
or waste water collection systems, flow -through process tanks, and tanks
situated in an underground area (such as a basement, cellar, mine, shaft,
vault or tunnel) if the tank is situated upon or above the surface of the floor.

' Interstitial monitoring leak detection is required for all UST systems installed on or after 11/1/2007. You must enter one of the following choices - Tank:
Vacuum, Pressure, or Hydrostatic; Piping: Sump sensor, Vacuum, Pressure, or Hydrostatic. Interstitial monitoring leak detection is also required for all
UST systems that store a hazardous substance or that are located between 100 and 500 feet of a public water supply well or between 50 and 100 feet
of any other well used for human consumption or within 500 feet of a protected surface water classified as High Quality Water (HQW), Outstanding
Resource Water (ORW), Water Supply I (WS-1), Water Supply II (WS-ll), or Shell Fishing (SA). (The only exception is for single -walled underground
petroleum tanks in the locations described above and installed after January 1, 1991 and before May 1, 2000. Owners and operators of these tanks
may use enhanced leak detection as a temporary method until January 1, 2016. Enhanced leak detection consists of 0.2 gallon per hour weekly leak
rate tests using an automatic tank gauge plus annual sampling of supply wells within 500 feet for constituents of petroleum.)

The financial responsibility regulations (15A NCAC 20) require that owners and operators of regulated petroleum USTs assure the availability of funds to
pay for assessment and cleanup costs in the event of a leaking tank'. The payment of annual tank operating fees into the State Trust Funds fulfills a major
portion of the financial responsibility requirements. However, to completely fulfill the requirements, additional funds must be assured by one or more of the
mechanisms listed below. The amount of additional financial responsibility required (at a minimum) is the sum of the "3rd Party ($100,000.00)" and
"Cleanup ($20,000.00)" State Trust Fund deductibles plus $600/tank (scaling factor). The State Trust Funds may not be used to cover the amount of the
deductibles. Federal and state governments owning regulated petroleum UST systems are exempt.

BILL OF SALE FOR UNDERGROUND STORAGE TANKS
This Bill of Sale is between Speedway LLC, a Delaware limited liability company, with a
mailing address of 500 Speedway Drive, Enon, OH 45323 ("Grantor') and Pilot Travel Centers
LLC, a Delaware limited liability company, with a mailing address of 5508 Lonas Drive,
Knoxville, TN 37909 ("Grantee").
WHEREAS, Grantor, Grantee and PFJ Southeast LLC ("PFJ"') entered into a
Contribution Agreement dated June 17, 2016, pursuant to which, Grantor and Grantee
contributed certain assets to PFJ (the "Contribution Agreement").
WHEREAS, all capitalized terms used herein, but not defined, will have the meanings
given to them in the Contribution Agreement.
WHEREAS, in furtherance of the Contribution Agreement, Grantor desires to transfer to
Grantee, and Grantee desires to accept, upon the terms of this Bill of Sale and the Contribution
Agreement, all of the underground storage tanks and related equipment located at the Speedway
Travel Centers as of the Closing Date.
The parties, for good and valuable consideration, the receipt and sufficiency of which is
acknowledged, agree, as follows:
1. Effective upon the execution of this Bill of Sale, Grantor, subject to the terms of the
Contribution Agreement, contributes, assigns, transfers, conveys and delivers to Grantee all of
the underground storage tanks and related equipment located at the Speedway Travel Centers as
of the Closing Date and Grantee, subject to the terms of the Contribution Agreement, acquires,
accepts and assumes, all of Grantor's right, title, obligations and interest in, to and under the
underground storage tanks and related equipment located at the Speedway Travel Centers as of
the Closing Date.
2, EXCEPT AS SET FORTH IN THE CONTRIBUTION AGREEMENT, GRANTOR
MAKES NO WARRANTIES, EXPRESS OR IMPLIED, OR REPRESENTATIONS AS TO
THE CONDITION OF THE OF THE UNDERGROUND STORAGE TANKS AND RELATED

CONTRIBUTION, ASSIGNMENT & ASSUMPTION AGREEMENT
This Contribution, Assignment & Assumption Agreement (the "Agreement") dated as of June
2016 (the "Agreement'), is made by and among Speedway LLC, a Delaware limited liability
company ("Speedway'), and Pilot Travel Centers LLC, a Delaware limited liability company
("Pilot") and, upon its execution of the Addendum and Joinder to the Contribution Agreement,
PFJ SOUTHEAST LLC, a Delaware limited liability company (the "Company").
RECITALS
WHEREAS, on the date hereof, Speedway and Pilot own and operate certain travel centers
within the southeast United States;
WHEREAS, Speedway and Pilot desire to contribute and assign certain travel centers and assets,
as set forth herein, to the Company;
NOW, THEREFORE, in consideration of the premises and the mutual covenants of Speedway,
Pilot and the Company, and upon the terms and subject to the conditions hereinafter set forth,
Speedway, Pilot and the Company, intending to be legally bound, agree as follows:
ARTICLE I
DEFINED TERMS
Section 1.1 Defined Terms. Capitalized terms used in this Agreement and not otherwise
defined shall have the meanings specified therefor below.
"Affiliate" of any Person shall mean any other Person directly or indirectly controlling,
controlled by, or under common control with, such Person; provided, that, for the purposes of
this definition, "control" (including, with correlative meanings, the terms "controlled by" and
"under common control with'), as used with respect to any Person, shall mean the possession,
directly or indirectly, of the power to direct or cause the direction of the management and
policies of such Person, whether through the ownership of voting securities, by Contract or
otherwise; provided, however, that unless otherwise indicated, the Company shall not be
considered an Affiliate of Speedway or Pilot, nor shall Speedway or Pilot be considered
Affiliates of the Company.
"Antitrust Authorities" shall mean the Federal Trade Commission, the Antitrust
Division of the United States Department of Justice, the attorneys general of the several states of
the United States and any other Governmental Entity having jurisdiction with respect to the
transactions contemplated hereby pursuant to applicable Antitrust Laws.
"Antitrust Filings" means those reports filed in compliance with the Sherman Act, as
amended; the Clayton Act, as amended; the HSR Act; the Federal Trade Commission Act, as
amended; and all other Laws, Orders, administrative and judicial doctrines that are designed or
intended to prohibit, restrict or regulate actions having the purpose or effect of monopolization,

respect to the Company, the business conducted by the Company at the Speedway Travel
Centers and Pilot Travel Centers.
ARTICLE II
CONTRIBUTION AND TRANSFER OF ASSETS BY SPEEDWAY AND
ASSUMPTION OF SPEEDWAY LIABILITIES
Section 2.1 Contribution and Transfer of Assets. Effective on and as of the Effective Time, as
defined in Section 4.6, upon the terms and subject to the conditions set forth herein and in
consideration of the representations, warranties and agreements of Pilot and the Company
contained herein and in the other Transaction Documents, the assumption of the Speedway
Assumed Liabilities by the Company, the payment, contribution, transfer and delivery by the
Company to Speedway of the consideration set forth in Article IV, and for other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Speedway
agrees to contribute, convey, transfer, assign and deliver to the Company, and the Company
agrees to unconditionally and absolutely accept and assume from Speedway, the cash payable by
Speedway under Sections 2.1(h) and 21(aJ of this Agreement ("Speedway Cash Amount") and
all right, title and interest of Speedway, in, to and under all tangible assets, intangible assets,
Speedway Contracts, Permits and other rights, wherever located, which are used or held for use
primarily in or related primarily to the operation or conduct of Speedway's Travel Center
Business (other than the Speedway Excluded Assets and Speedway Excluded Liabilities, which
shall be retained by Speedway), whether or not any of such assets has any value for accounting
purposes or otherwise, as the same shall exist as of the Effective Time (the "Speedway
Transferred Assets"), free and clear of all Liens, other than the Permitted Encumbrances.
Without limiting the foregoing, except to the extent provided in Section 2.2, the Speedway
Transferred Assets shall include the following:
(a) Travel Centers. The retail travel centers (including any standalone QSR operated
by Speedway) and undeveloped properties identified on Schedule 2.1(a) hereto (the "Speedway
Travel Centers"), including all Speedway Real Property Owned, Speedway Real Property
Leased, Speedway Personal Property Owned and Speedway Personal Property Leases which
constitutes, or is used or held for use primarily in or related primarily to the operation or conduct
of the foregoing, and any additions, improvements, replacements and alterations thereto made as
permitted by the terms of this Agreement between the date of this Agreement and the Effective
Time.
(b) Real Property Owned. All real property identified on Schedule 2.1(b) hereto,
together with (i) all rights, privileges, easements, rights of way, licenses, hereditaments,
servitudes, use rights and other appurtenances relating thereto; (ii) all right, title and interest in
and to any land lying in the bed of any street, road or highway, existing or proposed, in front of
or adjoining any of such real property, any award made or to be made with respect to any of such
real property by reason of change of grade or the closing of any street, road or highway and all
strips and gores of real property abutting or adjoining any of such real property; and (iii) all
buildings, structures, improvements, paved parking areas, fixtures and all other appurtenances
thereto located on such real property, and any additions, improvements, replacements and
alterations thereto made as permitted by the terms of this Agreement between the date of this

(e) Bills of Sale. Speedway and Pilot shall have executed Bills of Sale and
assignment to the Speedway Transferred Assets and Pilot Transferred Assets, respectively, to
Company, in forms mutually acceptable to Speedway and Pilot (each, a `Bill of Sale").
(g) LLC Agreement. Speedway and Pilot shall have filed the Certificate of
Formation of the Company in the office of the Delaware Secretary of State, and shall have
entered into the LLC Agreement in the form of Exhibit A.
(h) Management Agreement. The parties shall have entered into a Management
Agreement in the form of Exhibit B (the "Management Agreement").
(i) Addendum and Joinder. The Company shall have executed an Addendum and
Joinder to this Contribution Agreement in the form of Exhibit E.
0) Deeds. Speedway and Pilot shall have executed General Warranty Deeds for the
Speedway Real Property Owned and Pilot Real Property Owned, respectively, to the Company,
in forms mutually acceptable to Speedway and Pilot (each, a "Deed").
(k) Sublease Agreements. Speedway and Pilot shall have executed Sublease
Agreements in forms mutually acceptable to Speedway and Pilot, as required by the last clause
each of Section 2.1 and Section 3.1, if any.
(1) Assignments of Speedway Material Contracts. Speedway and the Company shall
have entered into the Assignments of all Speedway Material Contracts, all with the signed
consents of third parties to such agreements as required, in forms reasonably acceptable to Pilot.
(m) Assignments of Pilot Material Contracts. Pilot and the Company shall have
entered into the Assignments of all Pilot Material Contracts, all with the signed consents of third
parties to such agreements as required, in forms reasonably acceptable to Speedway.
(n) Termination and Modification of Certain Existing Agreements. Speedway and
Pilot (i) shall terminate the Lease Agreement relating to motor fuels equipment and related
marketing premises and the Deposit Agreement between the parties relating to the Virginia
Speedway Travel Centers, both of which are dated September 26, 2014, and (ii) shall amend (x)
the two Lease Agreements relating to Motor Fuels equipment and related marketing premises
between the parties relating to convenience stores in Virginia and Connecticut, respectively, both
of which are dated September 26, 2014, and (y) the Fuel Supply Agreement relating to the
Virginia Speedway Travel Centers. The termination of the Deposit Agreement shall include the
payment by Pilot to Speedway as required by that agreement, with the understanding that
$250,000 of such required payment may be retained by Pilot and paid to Speedway no later than
ninety (90) days after the Closing Date.
(o) Permits and Licenses. All permits and licenses necessary for normal operation of
the Travel Center Business of the Company shall have been issued to the Company.
(p) Conversion Schedule. The parties shall have agreed to a written conversion
schedule, identifying the timetable for conversion of Speedway Travel Centers ("Conversion
