The only changes in this permit are in regard to name and ownership. All other terms and conditions in the original permit remain unchanged and in full effect. This Certificate of Coverage is issued pursuant to the requirements of North Carolina General Statute 143-215.1 and the Memorandum of Agreement between North Carolina and the U. S. Environmental Protection Agency dated December 6, 1983. If any parts, measurement frequencies or sampling requirements contained in this permit are unacceptable to you, you have the right to request an individual permit by submitting an individual permit application. Unless such request is made, this certificate of coverage shall be final and binding. Please take notice that this certificate of coverage is not transferable except after notice to the Division of Water Quality. The Division of Water Quality may require modification or revocation and reissuance of the certificate of coverage. This permit does not affect the legal requirements to obtain other permits which may be required by the Division of Water Quality or permits required by the Division of Land Resources, Coastal Area Management Act or any other Federal or Local governmental permit that may be required. Cook: President Enclosures AGREEMENT THIS AGREEMENT made this 29th day of September 1997, by and between Marathon Oil Company (MOC), an Ohio corporation with offices at 539 S. Main St., Findlay, Ohio 45840, and Emro Supply LLC (ESL), a Delaware limited liability company with offices at 539 S. Main St., Findlay, Ohio 45840. WHEREAS, on or about May 15, 1997, MOC and Ashland, Inc. announced the signing of a Letter of Intent between the two companies in which they would form a limited liability company as a joint venture between them for the operation of the respective companies' refining, supply and transportation, and marketing operations. WHEREAS, it is contemplated that as part of such' -joint venture operation, the assets necessary therefor will be transferred to ESL, together with all permits, registrations, licenses or similar items necessary for such operations to be conducted in accordance with past practices and in accordance with all applicable laws, rules and regulations. WHEREAS, the operation of such assets by ESL requires in many instances the advance notification or application to the appropriate environmental regulatory agencies. WHEREAS, in order to facilitate a timely closing of the formation of the joint venture, it is necessary to enter into this agreement. THEREFORE, in consideration of the mutual promises contained herein and the receipt of other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows: 1. On or after December 1997, MOC, by general and specific conveyance, will transfer to ESL, and ESL agrees to accept, substantial downstream assets including the Garyville Refinery located in St. John the Baptist Parish, Louisiana, including all environmental or other permits, registrations and licenses necessary or useful for the operation thereof. 2. Each party agrees to make all appropriate and necessary filings with regulatory agencies, including environmental agencies, necessary to effectuate all such transfers. These shall include, without limitation, notices of change in ownership or operational control for permit, registration or license purposes of the assets and, where appropriate, application for new or amended licenses, registrations and permits. Each party agrees to cooperate fully with the other in order to assist in completing such filings in a timely manner. 3. Each party acknowledges that this agreement is a necessary part of such transaction and that it may be disclosed where necessary to accomplish the ultimate change of permits to ESL. - 1 - IN WITNESS WHEREOF, MOC and ESL have signed this agreement effective on the date first written above.
