THIS MEMORANDUM OF OFFER TO PURCHASE CONSERVATION EASEMENT
("Memorandum'l dated, as of , � � x �� �'' 2023 is made by Rocking F Farm,
LLC, herein represented by Steve Fields, Member, and Marguerite Fields, Member
(collectively and severally, "Seller'"), whose address is 6740 Monett Road, Climax, North
Carolina, 27233.
Seller hereby acknowledges the following:
1. Provertv. Seller is the owner of that certain real property located in Guilford County, North
Carolina: PIN: 7799003002 ("Property').
2. Offer. Seller and KCI Environmental Technologies and Construction, Inc., a Delaware
corporation (`Buyer'), have entered into that certain Offer to Purchase Conservation
Easement ("Offer") pursuant to which Buyer agrees to purchase from Seller, and Seller
agrees to sell to Buyer, conservation easement rights located on the Property in accordance
with the terms thereof.
3. Term. The term of the Offer begins as of the date thereof and continues until twenty-five
(25) months after approval by the applicable federal and/or State regulatory agencies of the
development of compensatory mitigation credits on the Property.
4. Extensions. Buyer is permitted to extend the Offer three (3) times for a period of sixty
(60) days each.
5. Conflicts. In the event there is any conflict between the terms of the Offer and this
Memorandum, the terms of the Offer shall control.
