ASSIGNMENT AND TRANSFER CERTIFICATE
ASSIGNMENT AND TRANSFER OF LIMITED LIABILITY COMPANY MEMBERSHIP INTEREST
For value received, Lizbeth Packer Kimberly, as Executor of the Estate of Anthony W. Packer
("Transferor"), hereby sells, assigns and transfers all of Transferor's limited liability company membership
interests, currently reflected on the books of the Company as 100% interest, (the "Membership Interest") in
GARRON VENTURES, LLC, a North Carolina limited liability company (the "Company"), to Lizbeth Packer
Kimberly (Or Her Successor), as Trustee of the Anthony W. Packer Trust U-A-D 12-14-2010, as amended and
restated("Transferee"),including,but not limited to, all of the right,title and interest in and to the properties(real
and personal) and capital of the Company and all distributions of cash or other property made by the Company
which are allocable to its Membership Interest. Transferee hereby accepts from Transferor all of the Membership
Interest. Transferee agrees to be substituted as a member in the Company in the place and stead of Transferor to the
extent of the Membership Interest assigned to and accepted by Transferee as provided herein. The intent of this
transfer is to evidence an estate administration settlement transfer from the Transferor to Transferee,an irrevocable
trust for the benefit of the issue of Anthony W.Packer.
Transferor: Lizbeth Packer Kimberly,as Executor of the Estate of Anthony W. Packer
Transferee: Lizbeth Packer Kimberly (or Her Successor), as Successor Trustee of the Anthony W.
Packer Trust u/a/d 12-14-2010,as amended and restated,a North Carolina irrevocable trust.
Membership All of Transferor's limited liability company membership interest in the Company,
Interest: currently reflected on the books of the Company as a One Hundred Percent (100%)
membership interest.
Effective Date: February 17,2023.
Transfer Agent: Lizbeth Packer Kimberly,Executor of the Estate of Anthony W. Packer
Transferor represents to Transferee that:
(a) This Assignment and Transfer Certificate has been duly executed and delivered by the Transferor
and is a valid and binding obligation of the Transferor, enforceable in accordance with its terms;
(b) Transferor has good title to its Membership Interest, free and clear of any liens, claims,
encumbrances,security interests or options and Transferee shall acquire good title to the Membership Interest,free
and clear of any liens,claims, encumbrances, security interests or options; and
(c) The Membership Interest represents One Hundred(100%)of the outstanding membership interest
of the Company.
The Membership Interests represented by this Certificate, and the transfer thereof, are subject to the
provisions of the Operating Agreement of the Company, copies of which are on file in, and may be examined at,
the principal office of the Company. By executing this certificate,the Transferee listed above hereby agrees to all
of the terms,restrictions and conditions set forth in the Operating Agreement of the Company.
