That GRANTOR, for valuable consideration paid by GRANTEE, the receipt of which is
hereby acknowledged, has and by these presents does grant, bargain, sell and convey unto
GRANTEE in fee simple all of that certain tract or parcel of land containing 34.951 acres, more
or less, lying and being in Cape Fear Township, Chatham County, North Carolina, said land
being more particularly described on Exhibit A attached hereto and incorporated herein by
reference (the "Property ')
TO HAVE AND TO HOLD the Property and al[ privileges and appurtenances thereto
belonging to GRANTEE in fee simple.
GRANTOR covenants with GRANTEE that GRANTOR is seized of the Property in fee
simple and has the right to convey the same in fee simple. GRANTOR. covenants with
GRANTEE that title is marketable and free and clear of all encumbrances, and that GRANTOR
will warrant and defend the title against the lawful claims of all persons whomsoever, other than
the following exceptions:
1. Ad valorem taxes for the year 2011 and subsequent years not yet due and payable.
2. Road, railroad, utility, or other rights of way and/or easements of record.
3. Reservation of Mineral Rights and Easements as set forth in that deed from
Cherokee Sanford Group, LI,C to Cherokee Land Company, LLC dated February

4. Zoning ordinances and other governmental restrictions affecting the use and
development of the Property.

BEGINNING at a Control Corner, an existing railroad iron located on the east
hank of the Cape Fear River and marking the northwestern comer of a tract of
land owned, now or formerly, by Cherokee land Co. LLC (Deed Book 817, Page
617. Chatham County Registry — Parcei A-2) and marking the southwestern
corner of a tract of land owned, now or formerly, by Carolina Power & Light
Company dlbla Progress Energy Carolinas. Inc. (PEC) (Deed. Book FY, Page 281
and Deed Book FY, Page 283, both Chatham County Registry); thence from said
point of BEGINNING along and with former northern and western property lines
of Cherokee land Co. LLC. the following four (4) courses and distances: 1) South
