WITNESSETF{: WHEREAS, pursuant to that certain Asset Purchase Agreement (For Vehicles & Equipment) (the "Purchase Agreement"), dated as of December 7, 2022, by and between the Assignor and Assignee, Assignor has agreed to sell, assign, convey,transfer, and deliver all of its right, title and interest in the Purchased Assets to the Assignee, and the Assignee has agreed to take title to and acquire such Purchased Assets from the Assignor, ail pursuant to the terms of the Purchase Agreement (capitalized terms which are used but not defined in this Agreement shall have the meaning ascribed to such terms in the Purchase Agreement); and WHEREAS, the Assignor and the Assignee have agreed to enter into this Agreement pursuant to which the Assignor will sell the Purchased Assets described in Exhibit A to Assignee. NOW, THEREFORE, in consideration of the foregoing premises and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. Assets. Pursuant to the Purchase Agreement and in accordance with the terms thereof, Assignor hereby sells, assigns, conveys, transfers, and delivers to the Assignee, its successors and assigns, free and clear of all Liens, all of the Assignor's right,title, and interest in and to the Purchased Assets as detailed in Exhibit A attached hereto. 2. Binding Effect.The Purchased Assets are hereby sold,transferred,conveyed, assigned, and delivered to the Assignee, its successors and assigns, for its and their own use and benefit,forever. 3. Further Assurances. The Assignor hereby covenants that, at any time from time to time after the delivery of this Agreement, at the Assignee's request and without further consideration,the Assignor will do, execute, acknowledge and deliver, or will cause to be done, executed, acknowledged and delivered, all and every such further acts, conveyances,transfers, assignments, and assurances as the Assignee reasonably may require to more effectively convey,transfer to or vest in the Assignee the Purchased Assets. 4. Binding on Successors; No Third-Party Beneficiaries. This Agreement is for the sole benefit of the parties hereto and their respective heirs, executors, legal representatives, successors and permitted assigns, and shall not be construed as conferring any rights on any other persons. _ ' S� No Expansion of Terms. Thb Agreement is executed and delivered pursuant to the Purchase Agreement. Neither the making nor the acceptance of this Agreement shall enlarge, restrict or otherwise modify the terms of the Purchase Agreement or constitute a waiver or, release by Assignor or the Assignee of any liabilities, duties or obligations imposed upon any of them by the terms of the Purchase Agreement, including, without limitation, the representations and warranties and other provisions that,survive the date hereof as provided in the Purchase Agreement. To the extent that any provision of this Agreement conflicts or is inconsistent with the terms of the Purchase Agreement,the Purchase Agreement shall govern. 6. Counterparts. This Agreement may be executed via facsimile, e-mail, or other e[ectronicnneansaninanynurnb2rofcounterparts, eachofvvhichshg!7bedeennedanoriginaL and all of which taken together shall constitute but one and the same instrument. This Agreement shall become binding only when each party hereto has executed and delivered to the other parties hereto one or more executed counterparts. T Governing Law.
