Attached hereto as Exhibit A is a true, complete and correct copy of delegations of authority adopted by resolution of the Board of Directors of the Corporation on August 20, 2015, authorizing the President and Chief Executive Officer with the authority to further delegate such authorization, to take any action which he deems to be in the best interest of the Corporation. Exhibit A DELEGATION OF AUTHORITY PRESIDENT AND CHIEF EXECUTIVE OFFICER (BY BOARD OF DIRECTORS ON AUGUST 20,2015) Re: General Delegation RESOLVED, That in matters not covered by specific delegations granted to the President and Chief Executive Officer by the Articles of Incorporation, Bylaws, or resolutions of this Board (including future resolutions) the President and Chief Executive Officer is authorized, on behalf of the Corporation (with the authority to delegate such authorization with such limitations and rights to redelegate as he deems appropriate) to take any action which he deems to be in the best interest of this Corporation; provided that the dollar value of that action is less than $20,000,000; and provided further that the President and Chief Executive Officer is not hereby authorized to take any action that is solely reserved to the Board by statute, the Articles of Incorporation, Bylaws or resolutions of the Board (including future resolutions); RESOLVED FURTHER, That the President and Chief Executive Officer is authorized, on behalf of the Corporation (with the authority to delegate such authorization with such limitations and rights to redelegate as he considers appropriate) to execute and deliver such instruments and documents, to do all such other acts and things, and to take all such further steps as, in his opinion, may be necessary or appropriate in order to fully carry out the intent of the foregoing resolution;and RESOLVED FURTHER,That the authority granted by these Delegations of Authority is applicable to action taken by the President and Chief Executive Officer in connection with any and all of the Corporation's subsidiaries and affiliates.
