ASSIGNMENT OF PURCHASE AND SALE AGREEMENT
THIS ASSIGNMENT OF PURCHASE AND SALE AGREEMENT (the "Assignment")
is made effective as of the 4th day of August, 2023, by and between CA Property Acquisitions,
LLC, an Ohio limited liability company (the "Assignor") and CT Spout Springs, LLC, an Ohio
limited liability company("Assignee"), under the following circumstances:
A. Assignor, as "Purchaser", and Parrous Properties, L.L.C.,, as "Seller", entered
into that certain Purchase and Sale Agreement with an effective date of December 7, 2022, as
amended (the "Purchase Agreement") for the purchase and sale of that certain real property
located at (i) 1517 NC 24-87, Cameron, NC commonly known as Harnett County Parcel ID:
9584-88-8752.000 and (ii) NC 24-87, Cameron, NC commonly known as Harnett County Parcel
ID: 9584-88-9658.000 (the "Property"), pursuant to the terms and conditions of the Purchase
Agreement;
B. The Property is more particularly described in the Purchase Agreement; and
C. Assignor desires to assign all of its right, title and interest in and to the Purchase
Agreement, and Assignee desires to accept the assignment.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, and other good and valuable consideration, the receipt of which is hereby acknowledged,
the parties hereto agree as follows:
1. Assignor hereby assigns to Assignee all of its right, title and interest in and to the
Purchase Agreement.
2. Assignee hereby accepts all of Assignor's obligations under the Purchase
Agreement.
3. This Assignment may be executed in multiple counterparts, each of which shall
be deemed an original and all of which shall constitute one agreement. The signature of any
party to any counterpart shall be deemed to be a signature to, and may be appended to, any other
counterpart.

From time to time, Keating, Muething&Klekamp, P.L.L. (we, us or Company) may be required
by law to provide to you certain written notices or disclosures. Described below are the terms

Getting paper copies

documents are first sent to you. After such time, if you wish for us to send you paper copies of
any such documents from our office to you, you will be charged a$0.00 per-page fee. You may
request delivery of such paper copies from us by following the procedure described below.
Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time
change your mind and tell us that thereafter you want to receive required notices and disclosures
only in paper format. How you must inform us of your decision to receive future notices and
disclosure in paper format and withdraw your consent to receive notices and disclosures
electronically is described below.
Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the
speed at which we can complete certain steps in transactions with you and delivering services to
you because we will need first to send the required notices or disclosures to you in paper format,
and then wait until we receive back from you your acknowledgment of your receipt of such
paper notices or disclosures. To indicate to us that you are changing your mind, you must
withdraw your consent using the DocuSign 'Withdraw Consent' form on the signing page of your
DocuSign account. This will indicate to us that you have withdrawn your consent to receive
required notices and disclosures electronically from us and you will no longer be able to use your
DocuSign Express user account to receive required notices and consents electronically from us
or to sign electronically documents from us.

Unless you tell us otherwise in accordance with the procedures described herein,we will provide
