Kevin, I sent out our Intent to Approve notification to the IRT this morning, which you should have received by now. Once we are through the dispute resolution process, I will arrange for it to be signed and we will prepare an approval letter. The instrument may also be signed by other IRT members, but it will be considered approved for our purposes once we have signed the instrument. In the meantime, you may need to upload a copy of the instrument and mitigation plan to the DWR Laserfiche system – I’ve copied Maria for her awareness. I went over the terms and obligations with the long-term steward, NCWHF, and the NCWHF has agreed to be the third-party designee for the finanical assurance per correspondence and email below. They have in the past been the obligee and/or thrid party designee for the financial assurances on other approved mit plans with other providers, and experience working with a number of other mitigaiton providers in NC. Additionally, I discussed your concerns regarding the finanical assurance with Bob Spoth (EcoSystems Insurance) who has been my Financial Assurance Advisor / Broker. Bob has helped me with other mitigation projects in the past, and very knowledgeable in this space.Bob was stating that although Clearwater would be the "named insured" on the policy, the policy would not payout to Clearwater, it pays the third party designee as required by the Corps, per the excerpt below. Excerpt from Bob Spoth at EcoSystems Insurance: 1. "The insurance policy is set up that way. No problem there. It is payable to a third party or standby trust. Note: most Corps districts do not allow a standby trust because that may invoke the Miscellaneous Receipts Act (Constructive Receipt). That's up to the Corps attorneys though - we will follow whatever they want. a. Technical point - you are the "named insured". The still policy does not pay you. It pays the 3rd party designee as required by the Corps. You have to be the Named Insured because you are the permit holder. It relates to a bond in that sense. The "Principal" on the bond is you but the bond pays the "Obligee" the Corps - different semantics but same result. I think it has to be that way because you are the permitee." As I'm writing this Todd wanted to see some verification that the Long-Term Steward (NCWHF) would be able/willing to take on this role, whether its an email confirmation or in letter form. Table of Contents – Sec. 9.3 should be Nuisance and Invasive Species Management 2. Pg 13, Table 4 – Is the title of this table supposed to reference Enhancement Area 2 rather than 1? 3. Pg 19, Sec 6.3.6 states “The overall supplemental planting within Enhancement Area 2 was less than 50%, however, an additional year of vegetative monitoring can be added to Enhancement Area 2, if it is the desire of the IRT.” Additionally, your response to comments states that “there is an additional year of monitoring proposed for the entire site”. I’m not sure whether you are proposing an additional year of monitoring or not, or for the whole site or just Enhancement Area 2. At this point, I don’t necessarily think we need to have another year (beyond Year 8/2026). Can you just explain this more clearly? Also, something to keep in mind for this year’s monitoring in Enhancement Area 2 is that we normally do not allow supplementally planted vegetation to count toward success until it has been in the ground for 2 growing seasons, otherwise supplemental planting could be used to skew the monitoring results. 4. Page 25, Table 11 shows that vegetation was monitored in Year 4, but the report states in several other places (Sec 5.4 and Sec 8.4) and that vegetation was not monitored in Year 4. Is Table 11 incorrect? 5. Pg 27, Sec 11.2 – This section states that the financial assurances (FA) will be paid to the bank sponsor (Clearwater Mitigation Solutions, LLC). FA cannot be paid to eh sponsor, as this would defeat the purpose of the FA. Per the UMBI “all financial assurances shall be made payable to a standby trust or to a third-party designee, acceptable to the Corps, who agrees to complete the project or provide alternative mitigation”. I believe this is also how the insurance policy is set up, which defines a third party to receive payment from Underwriters. We just need to identify who the appropriate third part is. 6. The LTM plan has been updated to show the endowment ($50,000) to be fully funded upon transfer of the Conservation Easement to NCWHF (LTM Steward). Does the CE transfer upon bank approval, or would this not occur until project closeout? The endowment must be fully funded in order for the first release of credits (%65), and Table 8 should be updated to include this as a task. My FA concerns were also with the wording in the latest version of the Mitigation Plan (July 2023 version on RIBITS) where Clearwater is identified as the entity that would receive payment. Just wanted to verify that you’ll change this in the final final version. Table of Contents – Sec. 9.3 should be Nuisance and Invasive Species Management 2. Pg 13, Table 4 – Is the title of this table supposed to reference Enhancement Area 2 rather than 1? 3. Pg 19, Sec 6.3.6 states “The overall supplemental planting within Enhancement Area 2 was less than 50%, however, an additional year of vegetative monitoring can be added to Enhancement Area 2, if it is the desire of the IRT.” Additionally, your response to comments states that “there is an additional year of monitoring proposed for the entire site”. I’m not sure whether you are proposing an additional year of monitoring or not, or for the whole site or just Enhancement Area 2. At this point, I don’t necessarily think we need to have another year (beyond Year 8/2026). Can you just explain this more clearly? Also, something to keep in mind for this year’s monitoring in Enhancement Area 2 is that we normally do not allow supplementally planted vegetation to count toward success until it has been in the ground for 2 growing seasons, otherwise supplemental planting could be used to skew the monitoring results. 4. Page 25, Table 11 shows that vegetation was monitored in Year 4, but the report states in several other places (Sec 5.4 and Sec 8.4) and that vegetation was not monitored in Year 4. Is Table 11 incorrect? 5. Pg 27, Sec 11.2 – This section states that the financial assurances (FA) will be paid to the bank sponsor (Clearwater Mitigation Solutions, LLC). FA cannot be paid to eh sponsor, as this would defeat the purpose of the FA. Per the UMBI “all financial assurances shall be made payable to a standby trust or to a third- party designee, acceptable to the Corps, who agrees to complete the project or provide alternative mitigation”. I believe this is also how the insurance policy is set up, which defines a third party to receive payment from Underwriters. We just need to identify who the appropriate third part is. 6. The LTM plan has been updated to show the endowment ($50,000) to be fully funded upon transfer of the Conservation Easement to NCWHF (LTM Steward). Does the CE transfer upon bank approval, or would this not occur until project closeout?
