PARTIAL RELEASE OF CONSERVATION EASEMENT

THIS PARTIAL RELEASE OF CONSERVATION EASEMENT (this "Partial Release") is made this 3rd
day of January, 2023 by and between Wildlands Holdings V, U.C, a North Carolina limited liability
company ("Wildlands") and Evelyn Jeanne Perry (unmarried), Mary Carolyn Bishop (widow), Judith Gail
Perry Kadlac and spouse Gene E. Kadlac, (collectively "Grantor")
The designation Wildlands and Grantor as used herein shall include said parties, their heirs, successors
and assigns, and shall include singular, plural, masculine, feminine or neuter as required by context.
RECITALS
A. Grantor owns in fee simple certain real property situated, lying and being in Orange County,
North Carolina, conveyed to Grantor by and described in that deed recorded in the Orange County
Register of Deeds at Book 4476, Page 495 (the "Property").
B. On October 15, 2020, Grantor conveyed a conservation easement on a portion of the Property
to Wildlands, which easement is recorded in Book 6684, Pages 955-972, of the Orange County Registry
(the "Conservation Easement").

in compliance with North Carolina statutes governing recordable documents
and the terms of the submitter agreement with the orange county Register of Deeds.

C. The Conservation Easement imposes certain land use restrictions intended to preserve and
protect those portions of the Property encumbered by the Conservation Easement for the purposes set
forth therein.
D. The Property that is subject to preservation and protection under the Conservation Easement
consists of a total of 15.519 acres and is more particularly identified and described therein as the
Conservation Easement Area.
E. Due to an inadvertent mistake, the Grantor installed certain agricultural infrastructure within
the Conservation Easement Area, which infrastructure is expressly prohibited by the terms of the
Conservation Easement. Rather than maintain a non -conforming Conservation Easement and to
remedy the violation, the parties hereto desire to release certain portions of Conservation Easement
Areas 3, 7 and 8 shown on Plat recorded in Plat Book 122, Pages 102 through 104, in the Orange County
Registry.
F. The portions to be released from the Conservation Easement are identified as "Release Area A"
containing 0.014 acre, "Release Area B" containing 0.042 acre and "Release Area U containing 0.048
acre (the "Release Areas) and are more particularly shown on the plat entitled "Conservation Easement
Plat for Wildlands Engineering, Inc., Perry Hill II Mitigation Site, DWR #2019-0157v3", prepared by IPW
Surveying and Engineering, PLLC, recorded on July 14, 2023 in Plat Book 126, Pages 117 through 119 in
the Orange County Registry.
G. Based on the foregoing, the North Carolina Department of Environmental Quality, Division of
Water Resources has authorized the execution of this instrument for the purposes set forth herein.
NOW THEREFORE, for and in consideration of Ten Dollars ($10.00) and other good and valuable
considerations, the receipt and sufficiency of which are hereby acknowledged, Wildlands hereby
executes this Partial Release and agrees as follows:
1, The recitals stated above are substantive and are incorporated in full by this reference.
2. All capitalized terms appearing in this Partial Release and not otherwise defined shall have the
meaning ascribed to such terms in the Conservation Easement.
3. Wildlands, for itself, its successors and assigns, does hereby irrevocably and completely remise,
release and quitclaim unto Grantor, their successors and assigns, all right, title, claim and interest of
Wildlands acquired pursuant to the Conservation Easement in and to the Release Areas.
4. This Partial Release shall apply only to the Release Areas and the remainder of the Conservation
Easement Area shall continue to be subject to the Conservation Easement, which Conservation
Easement shall otherwise remain in full force and effect.
TO HAVE AND TO HOLD, the Release Areas, together with all privileges and appurtenances
thereunto belonging, to Grantor, their successors and assigns free, discharged and released from the
encumbrance of the Conservation Easement.
