A Designer's Certifications, by others, was previously provided to NCDEQ for the two
ponds at Windsor Place Apartments. Based on an inspection on Monday, .January 17,
2022, some debris/trash needed to be removed from the opening on the side of the outlet
structure for both ponds, otherwise both ponds appear to have been maintained in
accordance with the permit. Pictures were provided to me on Thursday, February 3, 2022
showing the outlet structures with the debris/trash removed. Therefore, both ponds
appear to have been maintained in accordance with the permit.

A Permit Renewal submittal package, including a Permit Information Update Form, is
provided for Windsor Place Apartments, but it is not to be processed until you approve
the permit transfer you are working on to transfer the permit to Windsor Place
Apartments, LLC. The Permit Renewal submittal package includes the original signed
hard copy of the Permit Information Update Form, the original signed hard copy of the
Permit Renewal Application Form, the original hard copy of a letter from a licensed
professional regarding the SCM, a hard copy of documentation from the NC Secretary of
State for the permittee, a disc with PDFs of the above mentioned items, and the $505
processing fee. The Permit Information Update Form is being provided due to the
contact information listed on your November 24, 2021 letter to Windsor Place
Apartments, LLC.

I am finally back on this project. It appears everything is in compliance. Don Senick advised that the pumps

Dear Mr. Maynard:
On November 10, 2021, the Wilmington Regional Office of the Division of Energy, Mineral and Land Resources
(DEMLR) inspected the subject project, located at Western Blvd. in Jacksonville, Onslow County to determine
the status of compliance with the State Stormwater Management Permit Number SW8 000202. DEMLR file
review and site inspection revealed that the site is NOT in compliance with the terms and conditions of this
permit. Please find a copy of the completed form entitled "Compliance Inspection Report" attached to this letter,
which summarizes the findings of the recent inspection.
As indicated in the attached inspection report, the following deficiencies must be resolved:
�, A well pump was installed at both ponds, supposedly to keep the water level at normal pool in the ponds.
�/ Please confirm the usage requirement for these pumps and explain how they impact the pond. Note that this
may require a modification to the permit, depending on the impact.

l2. Significant erosion was found at the eastern end of the North pond. Please repair and re -seed to stabilize this
area.
3. A substantial amount of woody vegetation was found on the South pond. Please remove the vegetation and
clean up the debris.
Per Section 11.4 of the permit, "The permittee shall at all times provide the operation and maintenance necessary
to assure the permitted stormwater system functions at the design condition." Please ensure to maintain the
system per the approved maintenance agreement and the approved plans.
Per Section I1.10 of the permit, "Within the time frame specified in the notice, the permittee shall submit a written
time schedule to the Director for modifying the site to meet minimum requirements."
To meet the requirement above and to transfer the permit, please provide a plan of action via the attached
Schedule of Compliance form as soon as possible. This form will be attached to the transferred permit.
Please be advised that, as the permittee, you are required to comply with the terms, conditions and limitations of
the Stormwater Management Permit under Title 15A North Carolina Administrative Code 2H .1003 and North
Carolina General Statute 143-214.7, including the operation and maintenance of the permitted stormwater system
and the requirement to submit any changes from the approved plans to the Division for approval.

Failure to provide the requested information, or to respond to this letter with a plan of action, including a timeline
to resolve the identified deficiencies, by December 22, 2021, are considered violations of the permit. If the
requested information is not submitted to this office by the due date, then DEMLR staff will re -inspect the site
and may issue a Notice of Violation. Please also note that any individual or entity found to be in noncompliance
with the provisions of a stormwater management permit or the stormwater rules is subject to enforcement action
as set forth in NCGS 143 Article 21, including the assessment of civil penalties of up to $25,000 per day.

submits these Articles of Organization for the purpose of forming a limited liability company
under the laws of the State of North Carolina:
The name of the limited liability company ("the Company") is WINDSOR
PLACE APARTMENTS LLC.
2. The nature of the business and of the purposes to be conducted and promoted by
the Company is to engage solely in the following activities:
a. To acquire from Western Boulevard Associates LLC a certain parcel of
real property, together with all improvements located thereon, in the City
of Jacksonville, State of North Carolina and known as Windsor Place
Apartments ("the Property").
b. To own, hold, sell, assign, transfer, operate, lease, mortgage, pledge and
otherwise deal with the Property, except as may be limited under any loan
documents.
To exercise all powers enumerated in the General Statutes of North
Carolina necessary or convenient to the conduct, promotion or attainment
of the business or purposes set forth herein.
3. The latest date on which the limited liability company is to dissolve is

7. No person who is serving or who has served as a manager of the limited liability
company shall be personally liable to the limited liability company or any of its
members for monetary damages for breach of duty as a manager, except for
liability with respect to (i) acts or omissions that the manager at the time of such
breach knew were clearly in conflict with the best interests of the limited liability
company, (ii) any transaction from which the manager derived an improper
personal benefit, (iii) acts or omissions occurring prior to the effective date of this
article or (iv) acts or omissions with respect to which the North Carolina Limited
Liability Company Act does not permit the limitation of liability. As used herein,
the term "improper personal benefit" does not include a manager's reasonable
compensation or other reasonable incidental benefit for or on account of his
service as a manager, employee, independent contractor, attorney or consultant of
the limited liability company. Any indemnification of the Company's manager
shall be fully subordinated to any obligations respecting the Property (including
without limitations any first mortgage and such indemnification shall not
constitute a claim against the Company in the event that the cash now necessary
to pay holders of such obligations is insufficient to pay such obligations). No
amendment or repeal of this article, nor the adoption of any provision to these
Articles of Organization inconsistent with this article, shall eliminate or reduce
the protection granted herein with respect to any matter that occurred prior to
such amendment, repeal or adoption.

of State for the State of North Carolina.

limitation or elimination of the personal liability of the Corporation's Directors, such liability shall
be limited or eliminated to the fullest extent permitted by the applicable law.
This Article shall not affect a charter or bylaw provision or contract or resolution of the
Corporation indemnifying or agreeing to indemnify a Director against personal liability. Any repeal
or modification of this Article shall not adversely affect any limitation hereunder on the personal
liability of the Director with respect to acts or omissions occurring prior to such repeal or
